Research a midstream pipeline company as an infrastructure business, not as a “safe high-yield stock.” Start with the issuer’s latest Form 10-K and subsequent Form 10-Qs, add FERC annual forms when the assets are subject to that reporting regime, and use earnings presentations and calls only to locate claims that you can verify in filings. Then map the assets, identify how each contract produces revenue, test customer and volume durability, reconcile cash flow and leverage, and investigate regulatory and operating risks.
An interstate gas transmission company, a gathering-and-processing operator, and a diversified master limited partnership can have very different economics. Basin, route, asset type, jurisdiction, contract language, customer mix and corporate structure determine whether cash flow is resilient or exposed to commodity prices, producer decisions, competing infrastructure and refinancing costs.
Why midstream due diligence starts with the assets
“Midstream” covers several businesses that sit between production and end users. Gathering systems move hydrocarbons from wells; processing plants remove impurities and separate natural-gas liquids; transmission pipelines move gas over long distances; storage balances seasonal demand; fractionation separates liquids into marketable products; and terminals or export connections link domestic supply with wider markets. A company may own one of these asset types, several of them, or interests in joint ventures.

A regulated interstate gas pipeline may earn reservation charges under filed tariffs, while a gathering system may depend on one producer’s drilling program and a processing contract may retain commodity exposure. Before comparing companies, classify each segment by asset, basin or route, customer, jurisdiction and contract form. Do not treat “pipeline” as a complete description of the business.

Assemble the right documents in the right order
Use the newest filing for the issuer and period you are analyzing. An older investor presentation can be useful for history, but it cannot replace current audited numbers, contract disclosures or debt schedules.
- Read the latest Form 10-K. Start with the business description and segment note, then read risk factors, management’s discussion and analysis, audited statements, debt and liquidity disclosures, related-party arrangements, capital commitments and every non-GAAP reconciliation.
- Add each subsequent Form 10-Q. Check what changed after the year-end filing: throughput, pricing, impairments, project spending, maturities, covenant headroom, acquisitions, dispositions and distribution policy.
- Check FERC annual forms where relevant. FERC Form No. 2 is a calendar-year compilation of financial and operating information for major interstate natural-gas pipelines. It includes a comparative balance sheet, income statement, retained earnings, cash flows and notes. Form No. 2-A is an abbreviated annual form for non-major pipelines.
- Use earnings presentations and calls as an index. Pull out management’s statements about expansion, utilization, contract coverage and growth, then test each statement against the filings. Guidance and forward-looking statements are estimates, not realized results.
FERC forms supplement issuer reports; they do not cover every gathering, intrastate, liquids or otherwise non-jurisdictional asset. For a diversified company, you may need several regulatory and operating disclosures to understand the whole portfolio.
Build an asset and market map
Create an inventory before looking at valuation. For every material asset, record what it does, where it sits, how much capacity it has, who owns it and where its output can go.
| Field | What to record | Why it matters |
|---|---|---|
| Asset type | Gathering, processing, transmission, storage, fractionation, terminal or export connection | Determines revenue drivers, operating costs and regulatory exposure |
| Geography | Basin, state or province, route and interconnections | Shows dependence on local production, demand and competing outlets |
| Capacity and ownership | Design capacity, contracted capacity, utilization and the company’s ownership share | Prevents attributing joint-venture capacity or idle capacity to the issuer’s cash flow |
| End markets | Utilities, power generators, industrial users, marketers, exports or other downstream buyers | Reveals demand concentration and alternative outlets |
| Commercial position | Firm reservations, interruptible service, volume commitments and commodity-linked terms | Connects the physical map to revenue durability |
Ask whether an asset connects advantaged production to multiple customers and markets, or whether it depends on one producer, one basin or one outlet. Geographic position and connectivity are competitive advantages only when customers can use them at economic rates. DT Midstream’s fiscal 2024 disclosures describe competition through factors including location, connectivity, available capacity, price, reliability and flexibility. Use those factors as questions, not as proof that every company has the same advantage.

Separate owned, operated and unconsolidated assets
Read the ownership and segment notes closely. A company may operate a system without owning all of it, own a minority interest whose earnings arrive through equity income, or consolidate an entity whose debt and cash flows are presented differently from a wholly owned asset. Record the ownership percentage and accounting treatment for each important joint venture before comparing capacity, EBITDA or debt with another issuer.
Identify exactly how each asset earns revenue
Do not repeat the blanket claim that pipelines are “fee based.” Read the contract descriptions and classify the cash flow source for each segment.
| Revenue form | What it generally means | Questions to answer in the filing |
|---|---|---|
| Firm-capacity reservation or demand charge | The customer pays for reserved capacity, subject to the contract and tariff, even if it does not use all of it | What is the reservation term? Is payment enforceable? Who is the counterparty? Are rates fixed, indexed or subject to reset? |
| Interruptible service | Revenue depends more directly on actual flows and available capacity | How often has service been interrupted? What alternatives do customers have? How volatile are volumes? |
| Throughput or volume fee | Cash flow rises and falls with units transported or processed | What minimum-volume obligations, deficiency payments or acreage dedications support the base case? |
| Commodity-sensitive or keep-whole processing | The operator retains or shares commodity value, creating exposure to prices and product spreads | Which prices drive margin? Are hedges, pass-throughs or collars disclosed? |
| Cost pass-through | Certain fuel, tax or operating costs may be recovered from customers under contract or tariff | Which costs are recoverable, and is recovery automatic or subject to approval? |
Firm contracts can support revenue when actual flows are lower, but their value depends on wording, counterparty credit, enforceability and remaining term. A reservation charge that expires soon or belongs to a weak customer is less durable than a long-term commitment from a creditworthy utility. Minimum-volume commitments and deficiency payments also require scrutiny: determine whether the customer can avoid them through force-majeure clauses, renegotiation or contract termination.

- Measure concentration. Note the percentage of revenue, operating income or volumes tied to the largest customers. Classify them as producers, utilities, power generators, marketers or industrial users.
- Mark expiration dates. Separate contracts expiring in the next 12 months, one to three years, and later periods. Include renewal rights and notice periods.
- Read termination and reset language. Look for termination-for-convenience rights, rate resets, reopeners, force-majeure provisions, deficiency-payment limits and requirements for replacement capacity.
- Assess replacement economics. A renewal at a lower rate or with less volume can reduce cash flow even when the asset remains fully operational.
- Check credit quality and security. Review receivables, collateral, guarantees, parent support and any disclosed customer default or bankruptcy exposure.
Hess Midstream specifically identifies non-renewal, replacement at lower rates and replacement on less favorable terms as risks. That disclosure illustrates why a utilization percentage alone cannot establish future earnings.
Determine whether volumes and utilization are durable
Compare several reporting periods rather than quoting one strong quarter. Build a series for throughput, available capacity, utilization, segment revenue and operating margin. Then explain the operational reason for each change.
- Supply: Is basin production growing, flat or declining? Are drilling economics and producer capital plans supportive?
- Takeaway: Is the area constrained, or are rival pipelines adding capacity?
- Demand: Are utilities, power plants, industrial users or export facilities expanding or contracting?
- Customer choice: Can shippers reroute volumes to another outlet, bypass the system or build their own connection?
- Capacity quality: Is reported capacity contracted, technically available, seasonally limited or dependent on a project that is not yet operating?
Hess Midstream warns that customer throughput can be affected by competition, location, takeaway limits, commodity prices, customer alternatives and where capacity is available. Treat a management growth target or announced project as an aspiration until it is contracted, financed, permitted, constructed and operating.

Use a consistent utilization calculation
Write down the denominator used by the issuer. Utilization may be calculated against design capacity, available capacity, average capacity or the company’s ownership share. Recalculate comparable periods with the same definition where possible. If two companies use different denominators, show the definitions rather than ranking the percentages as if they were identical.

Reconcile cash flow, capital needs and distributions
Begin with audited GAAP cash flow. Then reconcile management’s adjusted EBITDA, distributable cash flow or similar measures to GAAP results and identify every adjustment. Non-GAAP figures can be useful for operating comparisons, but they are issuer-defined and may exclude recurring costs.
| Cash-flow question | Evidence to collect |
|---|---|
| Can operations fund the business? | Operating cash flow, cash interest, taxes and working-capital changes over multiple periods |
| What must be reinvested? | Maintenance capital expenditure, integrity spending, replacements and required environmental work |
| What is discretionary? | Growth capital, acquisitions, expansion projects and equity contributions to joint ventures |
| What competes with distributions? | Debt repayment, preferred payments, buybacks, project funding and asset purchases |
| How is coverage defined? | The issuer’s distributable cash flow numerator, distribution denominator and any adjustments |
Track interest expense, debt maturities, liquidity, revolver availability, covenant tests and fixed-rate versus floating-rate exposure. Review acquisitions and asset sales for their effects on leverage and future cash flow, not just the headline transaction value.
Illustrative issuer figures, not sector benchmarks
Hess Midstream LP reported 2025 revenue of $1,621.3 million, operating costs and expenses of $613.2 million, net interest expense of $225.6 million and adjusted EBITDA of $1,238.1 million. These figures describe that issuer and fiscal year only; they are not industry averages, a forecast or a recommended coverage threshold. Verify the labels, units and reconciliation in the company’s 2025 filing before using them.
Calculate distribution coverage consistently across periods, for example with the issuer’s stated distributable cash flow divided by cash distributions. Do not infer that a high yield is sustainable merely because adjusted EBITDA exceeds distributions. Maintenance capital, taxes, interest, working capital, debt refinancing and contract losses can all reduce cash available to investors.

Investigate regulation, tariffs and operating obligations
Identify the regulator for every material asset. Interstate natural-gas transmission may fall under FERC jurisdiction; intrastate, gathering, liquids and terminal assets can have different federal, state or local regimes. Read the applicable tariff, rate case history, reporting requirements and pending proceedings rather than applying a generic “regulated” label.
For major interstate gas pipelines, FERC Form No. 2 provides additional calendar-year financial and operating detail, while Form No. 2-A is an abbreviated annual form for non-major pipelines. These forms are useful supplements, not substitutes for the issuer’s SEC filings, and they do not cover every asset in a diversified midstream portfolio.
In the 10-K and 10-Q, search for rate disputes, contract litigation, safety incidents, environmental liabilities, permitting delays, integrity management, emissions requirements and remediation obligations. Ask how a problem would affect throughput, operating expense, insurance, capital spending, timing or the ability to place a project in service.
Do these 3 things before closing this tab:
1Scan for outdated or missing drivers - takes under a minute2Repair Windows errors before they cause bigger problems3Fix the driver behind crashes, sound loss and screen glitchesCompare companies on like-for-like terms
If you are comparing two or more issuers, use the same reporting period, ownership basis and metric definitions. A practical comparison sheet can contain the following axes.
| Comparison axis | What to compare | How to interpret it |
|---|---|---|
| Asset mix and market access | Gathering, processing, transmission, storage, fractionation, terminals; basin or route; interconnections and end markets | Different assets require different risk and valuation assumptions |
| Revenue sensitivity | Firm reservations versus interruptible, throughput-linked and commodity-sensitive revenue | Shows how much cash flow may move with volumes or prices |
| Contract profile | Remaining term, renewals, minimum volumes, customer concentration and counterparty quality | Highlights rollover and credit risk |
| Operating performance | Throughput, available capacity, utilization and segment trends | Separates contracted capacity from actual demand |
| Financial resilience | GAAP operating cash flow, maintenance and growth capital, leverage, interest burden, liquidity and maturities | Tests whether the balance sheet can absorb shocks |
| Capital allocation | Distributions, buybacks, acquisitions, debt repayment and project funding | Shows what management prioritizes when cash is limited |
| Regulatory and execution risk | Tariffs, rate proceedings, safety, environmental, permitting and project status | Identifies risks that can delay or permanently reduce returns |
These are comparison axes, not a universal scoring formula. Weight them according to the issuer’s business model: commodity exposure matters more for a keep-whole processor than for a fully reserved transmission segment, while tariff proceedings matter more for a regulated interstate system.
Common mistakes that produce false confidence
- Screening by yield first: A high distribution can reflect a falling unit price, elevated leverage or market concern about contract rollover.
- Calling every pipeline fee based: Interruptible, throughput-linked, keep-whole and other structures can carry material volume or commodity exposure.
- Using stale numbers: Replace an old presentation with the latest 10-K, 10-Q and debt schedule.
- Comparing unlike utilization figures: Confirm each denominator and ownership basis.
- Counting announced projects as cash flow: Require contracts, financing, permits, construction progress and an operating date.
- Ignoring joint ventures: Distinguish consolidated assets from equity-accounted interests and minority ownership.
- Treating adjusted EBITDA as cash: Reconcile every adjustment and subtract maintenance capital, interest, taxes and other recurring requirements.
- Assuming contracts cannot change: Read renewal, termination, reset, deficiency and force-majeure clauses.
- Generalizing one company’s risk: A disclosure from a gathering operator or a regulated interstate pipeline is not automatically applicable to another asset type.
A repeatable pre-investment workflow
- Define the security and period. Record the issuer, security type, fiscal year, latest filing date and whether you are analyzing a corporation, partnership or joint-venture interest.
- Draw the asset map. List each major system, location, capacity, ownership share, interconnection and end market.
- Classify revenue. Assign each segment to firm, interruptible, throughput, commodity-sensitive or pass-through categories and note the contract evidence.
- Build the contract schedule. Capture customer, term, renewal, termination, minimum-volume, rate-reset and counterparty details.
- Trend operations. Compare at least several reporting periods for throughput, utilization, capacity, revenue and margins, using consistent definitions.
- Bridge to cash. Reconcile GAAP operating cash flow and issuer-defined non-GAAP measures; subtract maintenance capital and cash interest before judging distributions.
- Stress the balance sheet. List maturities, floating-rate debt, liquidity, covenants and the effect of lower volumes, lower rates, project delays or higher refinancing costs.
- Read the risk sections last, with your map beside you. Link each legal, regulatory, safety, environmental and permitting risk to the asset or contract it could affect.
- Write a decision memo. State the durability thesis, the two or three conditions that would invalidate it, the dates to monitor and what evidence would change your view.
What this process can—and cannot—tell you
Filing-led diligence can reveal how a midstream company is built, paid and financed. It cannot by itself establish fair value, a future share price, tax treatment or suitability for a particular investor. Current valuation, security-specific terms and personal circumstances require separate analysis. The objective is not to label a pipeline company “safe”; it is to make the cash-flow assumptions explicit, comparable and testable before committing capital.
