There is no universally best structure for an Indian startup. If you expect equity fundraising or employee equity, evaluate a private limited company first. An LLP can suit founders who want limited liability and partnership flexibility but do not need the same equity-funding route. A sole proprietorship or general partnership is simpler to start, yet exposes founders to different liability, ownership and future-funding trade-offs.
Registration and DPIIT startup recognition are separate. First select and register the appropriate legal form; only then assess whether you qualify for recognition under the current Startup India rules.
What “startup registration” means in India
“Startup” is not itself a legal entity type. Your business must first exist as a company, LLP, proprietorship or partnership under the route applicable to that form. After incorporation or registration, an eligible entity may make a separate application for recognition by the Department for Promotion of Industry and Internal Trade (DPIIT) through Startup India.

Compare the four common structures before filing
| Structure | Ownership and control | Funding and equity | Liability and compliance character | Usually worth considering when |
|---|---|---|---|---|
| Private limited company | Shareholders own shares; directors manage the company under company law. | Most naturally aligned with issuing shares to outside investors and creating employee-equity arrangements. | Shareholder liability is generally limited, subject to applicable law and conduct. Expect board processes and annual statutory filings. | You plan institutional or angel funding, an employee option pool, multiple investment rounds or a venture-scale ownership structure. |
| Limited liability partnership (LLP) | Partners own and manage the venture under an LLP agreement; designated partners carry statutory responsibilities. | Partnership interests can be flexible, but this is not the same equity route used by a share company. Confirm investor requirements before choosing it. | Limited liability is available subject to law and the partners’ conduct. It still has recurring filings and governance duties. | Founders want partnership-style flexibility and limited liability and do not expect the conventional company-equity funding path. |
| Sole proprietorship | One individual owns and controls the business. | There are no company shares to issue; bringing in an equity investor requires changing the ownership arrangement. | The business and owner are not separated in the same way as an incorporated entity. Registration, tax and licences depend on the activity and location. | A solo founder is validating a small operation and values the simplest possible setup over formal liability separation or venture funding. |
| General partnership | Two or more partners share ownership and control according to their agreement and applicable law. | Partner contributions and profit sharing are contractual rather than company shares. | Partners must assess personal-liability exposure and the consequences of each partner’s actions. Registration and filings follow the applicable partnership process, not the MCA company checklist. | A closely held, co-owned business wants a partnership arrangement and does not need a company-style investment structure. |
The table is a decision aid, not a substitute for advice on your facts. Foreign investment, regulated activities, founder residency, tax treatment and state-specific licences can change the practical answer.
Use these questions to select a structure
1. Will you raise equity or grant employee equity?
If the answer is likely yes, put a private limited company at the top of your comparison. A share-based cap table is easier to explain to investors and employees than repeatedly renegotiating partnership interests. Ask prospective investors which entity forms they can invest in before incorporation; changing form later creates legal, accounting and documentation work.
2. How important is personal-liability separation?
Companies and LLPs offer a liability framework that differs from a proprietorship or general partnership. “Limited” does not protect fraud, wrongful acts, personal guarantees or every statutory obligation. If the venture signs substantial contracts, handles customer funds, employs staff or carries product risk, obtain advice on the exact exposure rather than choosing solely on filing simplicity.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problems3. Who must control decisions?
List the founders, their intended ownership percentages, voting expectations, reserved matters and what happens if someone leaves. A company expresses ownership through shares and director governance; an LLP expresses it through the LLP agreement; a proprietorship has one owner; and a partnership depends heavily on its agreement. Resolve these questions before submitting forms.
4. Can the founders maintain recurring compliance?
A private company brings board and annual-filing work. An LLP also has recurring statutory obligations. A proprietorship or partnership may involve fewer entity-level formalities, but that does not eliminate tax, employment, local-registration or sector-licence duties. Choose the structure you can operate correctly, not merely the one that is quickest to create.

5. Could the business become regulated or cross-border?
Financial services, health, education, defence, exports, data-sensitive operations and other regulated activities can require approvals beyond incorporation. Foreign founders or foreign capital can trigger additional rules. Confirm those issues before committing to a name, ownership split or investment document.
Prepare for incorporation or registration
Make a written structure decision and keep the ownership information consistent across every document. For a company, the Ministry of Corporate Affairs (MCA) materials identify constitutional documents and registered-office evidence among the supporting materials. The exact checklist depends on the applicants and facts, so use the current MCA V3 instructions immediately before filing.
- Settle the proposed legal name and the business activities you will describe.
- Record founders, proposed shareholders or partners, directors or designated partners and their ownership or contribution arrangements.
- Prepare the constitutional document required for the chosen form. For a company, this includes the Memorandum of Association (MOA) and Articles of Association (AOA).
- Collect registered-office address proof, a recent utility bill where requested and the owner’s no-objection certificate (NOC) when applicable.
- Check whether your activity, location, founder status or investment source adds a licence, approval or disclosure.
- Use the current portal instructions rather than copying an old checklist or an earlier tax threshold.
MCA’s older SPICe+ FAQ lists examples of company supporting materials, including the MOA, AOA, registered-office proof, utility bill and owner NOC: MCA SPICe+ FAQ. The FAQ is dated, so cross-check every field and attachment against the current V3 process and linked-form guidance: MCA SPICe+ and linked-filings V3 FAQ.
How to register a private limited company through SPICe+
SPICe+ is the MCA route for company incorporation. The portal’s screens and linked forms can change, so treat the following as the sequence to follow, not as a promise that every applicant sees identical fields.
- Open the current MCA V3 incorporation service. Sign in to the MCA portal and select the current SPICe+ workflow. Read the on-screen instructions for the name and incorporation portions before entering data.
- Enter the proposed name and business activity. Use a name that matches the intended objects and check the portal’s live validation and availability requirements. Keep an alternative ready in case the first choice is unavailable or conflicts with an existing name.
- Define the shareholding and management accurately. Enter each proposed shareholder and director exactly as shown in the identity and address documents you will submit. Agree the share split before filing; changing it later can require additional documentation.
- Prepare the MOA and AOA. The MOA describes the company’s permitted objects and capital framework; the AOA sets internal governance rules. Make sure they reflect the founders’ actual business and decision arrangements.
- Attach registered-office evidence. Provide the address proof, utility bill and owner NOC or other documents requested by the current form. Requirements vary with the premises and applicant, so do not assume the older FAQ is exhaustive.
- Complete the linked filings. SPICe+ is connected to related MCA services. Review each linked form, confirm that names and addresses match and follow the current V3 linked-filing instructions before submission.
- Review, authenticate and submit. Check every attachment, declaration and ownership figure. Save the acknowledgement and monitor the MCA portal for any clarification or resubmission request.
- Keep the incorporation record. Store the submitted forms, constitutional documents, correspondence and the certificate issued by the Registrar of Companies (RoC). You will need a consistent corporate record for banking, contracts, investment and later recognition applications.
Do not quote a universal cost or processing time from an old article. MCA charges and turnaround depend on the filing, authorised capital, state, attachments and whether clarification is required. Use the live portal and obtain professional help if the ownership, address or regulatory facts are complicated.

How to register an LLP through FiLLiP
MCA’s FiLLiP instruction kit describes a combined webform for name reservation and LLP incorporation, together with related services. It states that an LLP must have at least two designated partners, with at least one resident in India. Confirm the current definition of residency and all supporting-document requirements on MCA before filing.

Write down partner contributions, profit-sharing, management authority and exit rules. If an investor expects shares or an employee-equity plan, resolve that issue before choosing FiLLiP.
- Identify the designated partners. You need at least two, including at least one resident in India under the FiLLiP instructions. Verify each person’s current identity, address and consent documentation against the live form.
- Use the MCA V3 FiLLiP service. The form combines name reservation and incorporation functions. Enter the proposed name, business activity, partner details and registered-office information exactly as required by the current portal.
- Prepare the LLP agreement information. Decide contributions, profit sharing, authority, admission or retirement of partners, dispute handling and dissolution terms. The agreement should match the information submitted in FiLLiP.
- Attach the requested evidence and submit. The current instruction kit and portal determine which identity, address, office and consent documents apply to your facts. Do not reuse the private-company SPICe+ checklist automatically.
- Retain the RoC record and execute the agreement. Keep the incorporation acknowledgement and resulting records, and complete post-incorporation agreement formalities within the deadlines shown in the current MCA instructions.
The Ministry of Corporate Affairs describes the purpose this way: “The webform ‘Form FiLLiP’ aims to simplify the process of incorporation of LLP and its registration with the Registrar of Companies (RoC) by the user.” Read the full MCA FiLLiP instruction kit before filing.
What to do if you choose a proprietorship or general partnership
Do not place these forms into the SPICe+ or FiLLiP process. A sole proprietorship and a general partnership have a different legal and registration context from an MCA-incorporated company or LLP.
Sole proprietorship
There is no separate company share structure. The proprietor should identify the registrations, tax accounts, local permissions and sector licences required for the actual activity and state. Open business banking and contract under the correct owner and trading name, and obtain advice on personal-liability and tax consequences before taking material commercial risk.
General partnership
Prepare a partnership deed covering contributions, profit and loss, authority to bind the firm, partner exits, disputes and dissolution. Registration of the firm follows applicable partnership law and processes, which can vary by state. Confirm local, tax and sector requirements independently; the company/LLP filing checklist does not establish what a partnership must submit.

Incorporation is separate from DPIIT Startup India recognition
After incorporation or registration, an eligible entity may apply for DPIIT recognition through Startup India. Recognition is not granted merely because you formed a company or LLP. The current recognition page lists eligible entity forms and criteria connected with the entity’s age, turnover and innovation or scalability. Those displayed thresholds differ from older Startup India articles and legacy notifications.
- Complete the underlying company or LLP incorporation, or the applicable registration for another eligible form.
- Read the current recognition page and the governing notification, checking the date and definitions used for age, turnover, innovation and scalability.
- Prepare the incorporation or registration record and the factual explanation of the innovation or scalability claim requested by the application.
- Submit the recognition application through the current Startup India process and retain the acknowledgement.
- Do not describe the venture as recognised until the application is approved; update investors and customers using the actual status.
Use the current Startup India recognition page for eligibility and application instructions. Do not rely on a threshold copied from an older guide.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Section 80-IAC is a separate tax-exemption application
DPIIT recognition does not automatically produce a tax exemption. Startup India describes Section 80-IAC as a separate application and limits this route to qualifying DPIIT-recognized private limited companies and LLPs, subject to the conditions on the current page.
Check the current eligibility language, dates and documentation at the Startup India Section 80-IAC page. A proprietorship or general partnership should not be promised this route, and a recognised private company or LLP should not treat recognition alone as approval. Tax eligibility depends on the entity’s facts and the applicable law; obtain qualified tax advice before relying on an exemption in a forecast or investment presentation.

LLP
Maintain the executed LLP agreement, partner contribution records, designated-partner responsibilities and recurring filings. Record changes in partners, contributions or business terms promptly. A flexible agreement is useful only if it is written clearly and kept consistent with the entity’s actual operation.
Proprietorship or partnership
Track licences, tax filings, contracts, invoices and banking in the correct legal name. Partnerships should document partner authority and approvals even when the law does not impose company-style board procedures. Simpler formation does not remove liability, tax or employment obligations.
Common mistakes and how to correct them
Choosing the cheapest-looking form before discussing funding
Symptom: A founder registers a proprietorship or partnership and later discovers that the intended investor requires a company or a different ownership instrument. Correction: ask likely investors and advisers what they can fund, model the ownership plan and compare the cost of converting before filing.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
Using an old recognition threshold
Symptom: A pitch deck quotes an age or turnover limit from an outdated article. Correction: check the current Startup India recognition page and governing notification on the date you apply; preserve a copy of the rule used.
Assuming incorporation equals DPIIT recognition
Symptom: The company claims startup benefits immediately after receiving its incorporation record. Correction: submit the separate recognition application and describe the status accurately until approval.
Submitting an address packet that does not match the form
Symptom: The registered-office address, utility bill, owner name or NOC contains inconsistent spellings or dates. Correction: reconcile the documents before submission and follow the current V3 attachment rules rather than relying on an old FAQ.
Applying the SPICe+ checklist to an LLP or partnership
Symptom: The applicant cannot explain why a non-company form is being asked for company constitutional documents. Correction: use FiLLiP for an LLP and the applicable state or partnership process for a general partnership; seek advice for a proprietorship.
Free tools Windows power users keep installed

Ignoring residency, foreign-investment or sector rules
Symptom: The entity is incorporated but cannot lawfully accept the planned capital or conduct the proposed activity. Correction: obtain specialist advice before filing when a founder is non-resident, an investor is foreign or the activity is regulated.
