Renting GPUs is a supply-chain decision, not just an infrastructure purchase. Protect your workload by verifying the provider’s legal and financial position, limiting prepaid exposure, contracting for measurable service levels and an orderly exit, and maintaining a tested second-provider or on-premises path. The objective is simple: if a provider suspends service, runs out of capacity, suffers an incident, or fails financially, your data, checkpoints and operating plan remain usable.
Why cloud-GPU rentals create unusual vendor risk
GPU capacity is expensive, scarce and often sold through layered arrangements. The company invoicing you may be a reseller, while another company owns the servers, controls the facility or supplies the orchestration layer. A low hourly rate can therefore hide exposure to a weak counterparty, an upstream outage, an unannounced subcontractor or a balance that cannot be recovered.
Cloud terms commonly reserve broad suspension rights. The AWS Customer Agreement, for example, says the provider may suspend access immediately after notice when it reasonably determines that specified security, breach, payment-default or bankruptcy/cessation conditions apply. Read that power together with the service terms, acceptable-use policy and payment clauses; a GPU service can become unavailable before a conventional “outage” occurs.
Credit risk is the amount you could lose if the supplier stops operating or refuses access. It includes prepaid credits, deposits, reserved-capacity fees, minimum commitments, unrecovered egress charges and the value of training time lost while you rebuild elsewhere. Technical concentration risk is different but related: one provider may be the only place where your image, quota, interconnect or region is ready to run.

Set a maximum exposure before you choose a provider
Calculate the amount you can afford to lose
Set a written ceiling for each provider covering every payment that could be stranded. Include unused credits, deposits, reservations, committed-spend penalties and the cost of recovering data. For a training run, add the value of work since the last exported checkpoint and the replacement capacity needed to resume.
- Operating balance: keep only the credits needed for the next run or short billing period until the supplier has demonstrated reliable operations.
- Committed spend: treat annual or minimum-spend contracts as unsecured exposure unless the agreement provides meaningful recovery or termination rights.
- Data and recovery exposure: price storage, egress and engineering time required to move your images, datasets and checkpoints.
- Business limit: obtain finance approval for any amount that exceeds the loss the project can absorb without a board-level decision.
Use controls that prevent accidental overexposure
- Create separate billing accounts or projects for experiments and production.
- Require purchase approval for credits, reservations and commitment renewals.
- Set daily and monthly spend limits, quota ceilings and automatic alerts at several thresholds.
- Review unused balances, upcoming renewals and failed-payment notices at least monthly.
- Prefer short renewal periods and staged commitments until legal, security and operational checks are complete.
Ask in writing what happens to unused credits, reserved capacity and deposits after suspension, insolvency, acquisition, a change of control or withdrawal of the GPU service. Do not assume that a credit balance is a deposit held for you; it may be only a contractual right to future service.
Verify the counterparty and its ability to deliver
Identify who is actually responsible
Before paying, record the exact legal entity on the order form, its jurisdiction, parent company, guarantor (if any), billing address and governing law. Determine whether the seller owns the GPU fleet, leases it, or resells another cloud’s capacity. Ask which entity is responsible for refunds, data return, incident notification and deletion if an upstream supplier fails.
The Tool Desk
Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →Outbyte PC Repair FREEClear out junk files and repair common Windows errorsFree Scan →Request the provider’s current financial statements or an equivalent assurance package, insurance limits, operating history, funding or runway information where appropriate, and evidence of deployed scale. Treat marketing claims about funding, inventory and “unlimited” capacity as unverified until supported by documents or an independently checkable record. A young provider can be perfectly viable, but it warrants smaller prepayments and a more conservative exit plan.
Check capacity, not just a catalog page
Have the provider specify the GPU model, memory, interconnect, region, tenancy model, minimum performance expectation and normal provisioning time. Confirm whether the quoted capacity is dedicated, interruptible, queue-based or subject to upstream allocation. Record quota lead times and maintenance-notice periods. A listing for a GPU model does not prove that enough identical devices can be provisioned when your job starts.

Review operating evidence
- Ask for historical availability and capacity statistics for the regions and GPU families you will use.
- Request an explanation of major incidents, including customer notification, restoration time and corrective actions.
- Check support coverage, escalation contacts and whether critical support is available in your operating hours.
- Confirm the provider’s ability to issue invoices, usage records and exportable logs if its control plane is unavailable.
Read the complete contract set before signing
Collect the master agreement, order form, GPU-service terms, data-processing addendum (DPA), acceptable-use policy, support policy, SLA and any incorporated web terms. Keep dated copies. Terms that are incorporated by URL can change independently of your order, so identify the change-notice and termination rights that apply when they do.
Clauses that protect continuity and credit
| Contract area | What to define | Why it matters |
|---|---|---|
| Suspension | Permitted reasons, advance notice, cure period, emergency exceptions and access to data during suspension | Security allegations, payment disputes or financial distress can stop a job even when GPUs are physically running. |
| Credits and deposits | Expiration, refundability, treatment after insolvency, service withdrawal or acquisition, and priority of claims | Prepaid value may be lost unless the agreement gives a usable remedy. |
| Capacity | GPU type, memory, interconnect, region, tenancy, provisioning time and minimum performance | A nominally available GPU may not meet the workload’s throughput or networking needs. |
| Data export | Formats, API access, export window, egress pricing, assistance and access after termination | You need to retrieve datasets, checkpoints, logs and images before the account closes. |
| Deletion | Deletion deadlines, backup treatment and a certificate or equivalent evidence | Termination must remove regulated or confidential data from primary and residual systems. |
| Incident response | Severity definitions, notification deadlines, update frequency, evidence and post-incident report | Fast, useful information determines whether you fail over or wait. |
| Liability and remedies | Caps, carve-outs, indemnities, service credits, direct damages and whether credits are the exclusive remedy | An SLA credit may be inadequate for lost training time or stranded funds. |
| Change control | Notice for price, region, GPU, subprocessor and policy changes; termination rights for material changes | Silent changes can create compliance or economic risk. |
| Exit assistance | Named contacts, transition services, rates, timelines and cooperation with a replacement provider | Migration is harder when the failing supplier controls the only copy of a working environment. |
Make the SLA measurable rather than reassuring
An SLA should state exactly what is measured, where and when, and what happens when the target is missed. Define separate service levels for control-plane availability, GPU provisioning, running-job interruption, network and storage performance, support response, incident notification and restoration.
Questions to ask about every target
- Is the metric monthly, per incident, per region or per resource?
- Does it cover a single instance, a multi-zone deployment or only the provider’s API?
- What maintenance, quota, customer-configuration, upstream and force-majeure exclusions apply?
- Who measures the event, and can you obtain raw timestamps?
- How soon must you submit a claim, and are credits the exclusive remedy?
NVIDIA’s SLA describes availability tracking in 15-minute intervals and a commercially reasonable target to restore a critical incident within 24 hours after NVIDIA determines that the incident is critical. The document also says the 24-hour target may not always be achieved; it is therefore a target, not a guaranteed recovery time.
An archival Google Compute Engine SLA from 2021 stated 99.99% monthly uptime for instances deployed across multiple zones and 99.5% for a single instance. It required a claim within 60 days and made financial credits the exclusive remedy. Treat those figures as historical examples, not current commitments; verify the version in force for your product, region and contract.
For jobs that cannot tolerate interruption, negotiate a remedy for repeated provisioning failures or performance degradation, not only API downtime. Require notice before planned maintenance where practical, and ensure an incident credit does not prevent you from pursuing specifically negotiated rights for data loss, confidentiality breaches or termination assistance.

Assess security, privacy and the supply chain
Classify the workload first
Document the data types, jurisdictions, retention period, regulatory obligations and acceptable isolation model before selecting a region or provider. Confirm encryption in transit and at rest, key-management options, identity controls, privileged-access logging, tenant isolation, vulnerability management and incident-response procedures. Map where training data, checkpoints, logs, support bundles and backups are stored.
Understand subprocessors and dependencies
Request a current subprocessor list and identify the company operating the facility, networking, storage, support and orchestration layers. NVIDIA’s DPA explains that material-vendor security and privacy assessments cover vendors processing, transmitting or storing customer data, and lists AWS, Google Cloud, Azure, Oracle Cloud Infrastructure and Run:ai for relevant services. A list like this shows why the seller’s own controls are not the whole supply chain; obtain notification and objection rights for material additions.
Apply a structured due-diligence model
NIST SP 1326, published in July 2026, organizes supplier due diligence around foreign ownership, control or influence; provenance; resilience; foundational cybersecurity practices; and supply-chain tiers. Use those dimensions to record evidence, not just questionnaire answers. For regulated workloads, require independent assurance reports or audit rights and address data location, chain outsourcing, contingency and exit. The European Banking Authority identifies security, data location, access and audit rights, chain outsourcing, and contingency and exit strategies as key cloud-outsourcing areas.
Reduce concentration with engineered portability
Choosing one provider for lower cost or better native features can be rational, but it must be explicit. UK government cloud-hosting guidance describes the choice among diverse vendors, portability and vendor lock-in as a conscious decision rather than an accident. Concentration risk has two sides: a commercial failure reduces your negotiating power, while a technical outage or permanent shutdown can block the workload.
Keep the artifacts needed to restart
- Container images and Dockerfiles, with pinned base-image digests.
- Operating-system packages, driver and CUDA compatibility notes, and dependency lockfiles.
- Infrastructure-as-code for networks, storage, identities, quotas and GPU instances.
- Dataset manifests, checksums, schema documentation and licenses.
- Model checkpoints, optimizer state, tokenizer files, configuration, evaluation scripts and experiment metadata.
- Secrets-rotation procedures that do not depend on the original provider’s identity system.
Export these artifacts to independent storage on a schedule that matches the value of the work. Keep at least one copy outside the provider’s account and test that it can be read with credentials and tooling you control. Portability is not merely having a download button: OSFI defines it as moving data or porting applications between cloud systems at acceptable cost.

Measure the real migration cost
Run a small restore on a second provider or local capacity. Measure egress time and price, image conversion, driver changes, quota lead time, network and interconnect performance, storage import time and the amount of training progress lost since the last checkpoint. Record engineering hours and any accuracy or throughput change. These measurements turn a theoretical fallback into a budgeted recovery option.
Build an exit and recovery runbook
CSA guidance recommends business-impact analysis with explicit recovery time objectives (RTO) and recovery point objectives (RPO). EBA guidance likewise expects contingency and exit strategies. Assign an owner, a decision deadline and a backup capacity path before a crisis.
Define triggers
- Repeated SLA or provisioning misses.
- A security or privacy incident that cannot be contained within the agreed window.
- A material price, region, GPU or policy change.
- Loss of required capacity or an unacceptable quota delay.
- Ownership change, financial distress, insolvency warning or service withdrawal.
- Failure to meet a regulatory, residency or assurance requirement.
Use this migration sequence
- Declare the event: the service owner records the trigger, affected workloads, RTO, RPO and decision authority.
- Freeze avoidable exposure: stop new prepaid purchases and nonessential jobs; preserve billing records and provider communications.
- Protect state: export the newest checkpoints, datasets, manifests, logs, images and infrastructure definitions to independent storage.
- Provision the fallback: use a pre-approved second provider or on-premises pool, checking quota, region, GPU memory and interconnect requirements.
- Validate: run a known evaluation workload, compare numerical results and throughput, and verify access logging and data-location controls.
- Resume by priority: restart production or revenue-critical jobs first; accept a documented reduction in scale if it meets the RTO.
- Exit cleanly: request final exports, deletion evidence, credit treatment and an incident report; rotate credentials and revoke integrations.
Test the runbook at least annually and after major changes. A tabletop exercise should include an unavailable control plane, a failed payment method, an inaccessible storage bucket and a provider that cannot confirm when service will return.

Practical controls by workload criticality
Experiments and prototypes
Use on-demand billing, small credit balances, automatic shutdown and frequent checkpoint export. A second provider can be documented rather than continuously provisioned if the work has low business impact.
Scheduled batch training
Use reproducible images and infrastructure-as-code, checkpoint at a known interval, and maintain a tested restore path. Compare the cost of lost progress with the cost of exporting state more frequently.
Production inference or revenue-critical training
Use independent copies of data and artifacts, a pre-approved fallback quota, explicit RTO and RPO, 24-hour operational ownership and contractual assistance for transition. Consider escrow or an equivalent continuity arrangement when a provider failure would threaten the business.
Regulated or sensitive workloads
Complete data-location and subprocessor review before deployment. Require appropriate assurance evidence, audit rights, incident timelines, deletion proof and a documented exit that preserves regulatory records.
Final pre-purchase checklist
- Exact contracting entity, ownership, jurisdiction and reseller role documented.
- Financial, insurance and operating evidence reviewed by someone independent of the project.
- Prepaid balance and committed spend within an approved loss limit.
- Master agreement, order form, GPU terms, DPA, SLA, support and acceptable-use terms saved with version dates.
- Suspension, credit treatment, data export, deletion, liability, incident and termination-assistance clauses negotiated.
- GPU capacity, provisioning time, quota, region, tenancy and performance requirements written into the order.
- Security controls, data location, subprocessors and upstream dependencies approved.
- Portable images, dependencies, IaC, datasets and checkpoints stored independently.
- RTO, RPO, exit triggers, owners and a second capacity path documented.
- Restore or migration test completed, with measured time, cost and performance.
Frequently Asked Questions
Are prepaid GPU credits protected if a provider goes bankrupt?
Not automatically. The agreement may treat credits as a service entitlement rather than segregated funds. Ask specifically about unused balances, deposits and reservations after insolvency, suspension, acquisition or service withdrawal, and keep exposure within an approved loss limit.
Is a 99.99% SLA enough for a training workload?
No. Availability percentage alone does not describe GPU provisioning, performance degradation, checkpoint loss, support response, exclusions or recovery. Review the measurement window, claim deadline and remedy, then test your own restore path.
How often should migration and restore procedures be tested?
Test at least annually and after major changes to images, drivers, infrastructure or providers. Critical workloads should also run smaller restore checks often enough to meet their stated RPO.
Quick wins for a faster PC:
Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Repair Windows errors before they cause bigger problemsFix Now →Should a small team use two GPU providers?
Use a second provider when downtime or supplier failure would materially harm the business. If continuous dual capacity is too expensive, keep portable artifacts, export checkpoints, obtain fallback quota in advance and test a small migration.
