An Indian listed company’s shareholding-pattern filing is a dated regulatory snapshot, not a permanent description of ownership. To read it correctly, confirm the as-on date and the latest revision, identify the Promoter and Promoter Group, Public and Non-Promoter Non-Public categories, use SEBI’s prescribed denominator, then inspect holder concentration, voting rights, potential dilution and encumbrances separately.
The filing can show who is reported as holding shares and how those holdings are classified. It cannot, by itself, establish promoter quality, effective control, liquidity or the direction of the share price.
What a shareholding-pattern filing is—and what it is not
Listed companies submit a shareholding pattern for a specified “as on” date. It records share counts, percentages, voting rights and specified ownership categories at that point in time. A later filing can revise an earlier submission, so the document’s as-on date alone is not enough: record the submission date and revision date as well.
Ownership can change between two filing dates through market transfers, allotments, buybacks, corporate actions, conversions or reclassification. Read the filing as a snapshot that must be dated and compared with other disclosures, not as a live cap-table feed or an investment signal.

Where to find the filing and establish which version you are reading
Start with the exchange filing
SEBI’s Corporate Filings locator directs users to the relevant exchange pages. On the NSE shareholding-pattern interface, search by company or symbol and check the as-on date, filing status, submission date and revision date before opening the XBRL detail: NSE Corporate Filings Shareholding Patterns – Equity, SME.
- Search for the issuer or trading symbol.
- Select the filing period and confirm the “as on” date.
- Check whether the status indicates an original filing or a revision, and note both submission and revision dates.
- Open the XBRL or detail link, rather than relying only on a headline percentage.
- Keep the issuer, security class and period together when saving a copy for comparison.
The NSE detail view separates the summary, promoter and promoter-group, public, non-promoter non-public, significant-beneficial-owner and foreign-ownership-limit sections. An example of the detailed XBRL presentation is available in the NSE filing dated 17 March 2026: NSE shareholding-pattern XBRL example.
Why revisions matter
A revised submission may correct holder classification, quantities, percentages or other fields. If two documents have the same as-on date, use the latest valid revision and retain the earlier version only to understand what changed. Never compare an unrevised filing for one quarter with a revised filing for another without recording that difference.
Understand SEBI’s categories and denominator
SEBI’s framework divides specified securities into three top-level categories:
| Category | What it represents | What to inspect |
|---|---|---|
| A: Promoter and Promoter Group | Promoter(s) shown separately from entities or persons classified as promoter group | Direct promoter holdings, each promoter-group holder, voting rights and encumbrances |
| B: Public | Shareholders that are not reported in the promoter or promoter-group category and meet the public-shareholding classification | Names of holders with at least 1%, persons acting in concert where disclosed, and concentration |
| C: Non-Promoter Non-Public | Special non-public holdings outside the promoter category | C1 depository-receipt holdings that do not meet public-shareholding conditions and C2 employee-benefit-trust holdings |
For the headline calculations, SEBI specifies a denominator of A + B + C2. Promoter percentage is A ÷ (A + B + C2); public percentage is B ÷ (A + B + C2). C1 is shown in the classification framework but is not included in that denominator. Do not substitute total issued shares, a different class total or a simple “100 minus promoter” calculation unless the filing’s own headings and formula make that appropriate. See SEBI’s July 2023 Master Circular for LODR compliance for the categories and calculation method.
The six disclosure layers
The standard format contains a summary followed by detailed tables for promoter and promoter group, public shareholders, non-promoter non-public shareholders, significant beneficial owners where applicable, and foreign-ownership limits. Use the summary to orient yourself, then move to the detailed tables to identify the holders behind each total.

Read promoter and promoter-group ownership separately
Do not treat “promoter holding” as one undifferentiated number. SEBI requires promoter(s) to be segregated from promoter-group entities. A promoter’s direct stake may be stable while a family company, trust or other promoter-group entity buys or sells shares. Those movements have different interpretive implications and should be visible in your notes.
Recommended Free Tools
- Record each named promoter and the number and percentage attributed directly to that holder.
- List each promoter-group entity or person separately instead of combining them immediately.
- Compare the direct-promoter total with the promoter-group total in every period.
- Check voting rights and encumbrance fields for each relevant row, not just the category total.
A 13 August 2021 SEBI circular states that, “In the interest of transparency to the investors, all listed entities shall now provide such shareholding, segregated into promoter(s) and promoter group.” Read the circular here: SEBI circular on disclosure of promoter and promoter-group shareholding.
Distinguish registered holders from significant beneficial owners
The name in a shareholding row is the registered holder reported to the exchange. It is not automatically the ultimate beneficial owner. The separate significant-beneficial-owner (SBO) section addresses ownership or influence interests under the applicable rules and is a different disclosure layer.
Compare the registered-holder table with the SBO table where one exists. A mismatch is not necessarily an error: a custodian, nominee, investment vehicle or other intermediary can appear as the registered holder while control or beneficial interest is disclosed elsewhere. Use the definitions and ownership thresholds in the applicable rules rather than inferring a relationship from a name alone.
Measure concentration in the public category
Within public shareholding, the filing identifies shareholders holding 1% or more and persons acting in concert when that information is available. To avoid double-counting, holdings should be consolidated using PAN and folio number, as prescribed in SEBI’s formats. The public table and consolidation guidance are in the SEBI Master Circular.

- Normalize spelling and identifiers, then consolidate rows that share the same PAN or folio number.
- Separate individuals, funds, companies, custodians and other holder types so a nominee is not mistaken for an operating owner.
- Add the largest disclosed positions and compare that subtotal with total public shares.
- Check the acting-in-concert disclosure before interpreting several related holders as independent.
This produces a descriptive concentration picture. It does not prove that the largest public holders coordinate, will remain invested or can influence management.

Check voting rights and possible dilution
Current ownership versus fully diluted ownership
The format reports share counts and ownership percentages, and can include partly paid shares, shares underlying depository receipts, outstanding convertible securities, warrants and employee stock options. It also provides a fully diluted share total and a percentage assuming full conversion where applicable.
| Question | Field to use | Why it matters |
|---|---|---|
| Who owns shares now? | Current shares and current percentage | Describes the registered ownership at the filing date |
| What could ownership become after specified instruments convert? | Fully diluted share total and conversion-adjusted percentage | Shows the effect of potential new shares, not a completed issuance |
| Does economic ownership equal voting power? | Voting-rights columns and class-specific figures | Multiple classes or differential voting rights can separate votes from economic interest |
Compare current and full-conversion percentages only when the filing reports the relevant instruments. A holder’s current percentage can fall on a fully diluted basis even though the holder has not sold shares, because the denominator increases if conversion occurs. Confirm the table headings and formula for that filing because formats and field numbering can be revised. The NSE XBRL example shows how these fields can be presented.
Illustrative dilution calculation
Suppose a filing reports 40 million promoter shares and a current calculation denominator of 100 million shares. The current promoter percentage is 40%. If 10 million shares could be issued on conversion and the filing’s fully diluted denominator becomes 110 million, the conversion-adjusted percentage would be about 36.36% if the promoter receives no new shares. This is an illustration of the arithmetic, not a forecast that the instruments will convert.

Look for separate columns for pledged shares, non-disposal undertakings (NDU), other encumbrances, total encumbered shares and dematerialized holdings. Record both the number of encumbered shares and the holder’s total shares, then calculate the encumbered share count as a proportion of that holder’s stake for a like-for-like comparison across periods.
- Pledged shares: shares disclosed as pledged.
- NDU: shares subject to a reported non-disposal undertaking.
- Other encumbrances: disclosed restrictions that do not fall into the first two fields.
- Total encumbered shares: the filing’s aggregate of the applicable encumbrance fields.
- Dematerialized holdings: the portion reported in dematerialized form, where shown.
A reported pledge is an encumbrance disclosure. It does not by itself establish that a lender has invoked the pledge, that shares have been sold or that a default has occurred. Check later company announcements and exchange notices for any invocation, release or sale.
Use a consistent method when comparing periods

| Comparison | What to record | Interpretive caution |
|---|---|---|
| Promoter and promoter group | Shares and percentages for direct promoters and each promoter-group holder | A change may reflect transfers within the group, an allotment, a sale or reclassification; the percentage alone does not identify the cause |
| Public concentration | Largest disclosed public holders, consolidated by PAN/folio where possible | Only holders meeting the disclosure threshold are listed; undisclosed smaller positions still exist |
| Potential dilution | Current percentage, fully diluted percentage, convertibles, warrants and ESOPs | Fully diluted figures describe a specified assumption, not a completed issue |
| Encumbrances | Pledge, NDU, other encumbrances and total encumbered shares | Compare each field separately; an aggregate can hide whether the mix changed |
| Voting power | Votes and economic ownership by class | Different share classes can make voting control diverge from economic ownership |
| Special categories | Employee-benefit trust, depository-receipt and other non-promoter non-public rows | Changes can affect the denominator and make a simple percentage comparison misleading |
For every row, retain the as-on date, original submission date and revision date. If a percentage changes, inspect corporate-action notices, allotment filings and other exchange announcements before attributing a reason. A rise or fall in promoter ownership is descriptive; it does not establish future returns or the quality of management.
Know the filing timetable
The consolidated LODR text surfaced by SEBI in April 2026 states the following deadlines for specified securities listed on the main board, SME or Innovators Growth Platform:
- Quarterly shareholding-pattern filing within 21 days after the end of the quarter.
- A filing within 10 days after a capital restructuring that changes paid-up share capital by more than 2%.
- For specified securities listed on an SME exchange, a half-yearly filing within 21 days after each half year.
These are regulatory filing windows, not guarantees that every issuer’s page will update at the same moment. Regulations can be amended, so check the applicable current text before relying on a deadline for compliance. The timing provision is in SEBI’s consolidated LODR Regulations PDF (April 2026).
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.A worked reading example
Assume an illustrative filing reports the following current holdings:
| Category | Shares | Included in A+B+C2 denominator? |
|---|---|---|
| A: promoter and promoter group | 40 million | Yes |
| B: public | 58 million | Yes |
| C1: non-promoter non-public | 1 million | No |
| C2: employee-benefit trust | 2 million | Yes |
The specified denominator is 40 + 58 + 2 = 100 million. The promoter percentage is 40%, and the public percentage is 58%. The C1 million shares remain disclosed but are excluded from that calculation. This is why “100 minus promoter percentage” would produce 60%, not the filing’s 58% public percentage.

Next, inspect whether the 40 million promoter-group total consists of 30 million held directly by promoters and 10 million held by named group entities. Then check whether any of those rows carry pledges, NDUs or other encumbrances. Finally, compare the current percentages with the fully diluted table if the filing lists warrants, convertibles or ESOPs. Each step answers a different question and should not be collapsed into one headline number.

Common reading errors and how to avoid them
Using the wrong date
“Filed on” and “as on” are different dates. Use the as-on date for the ownership snapshot and the submission or revision date to establish which version is latest.
Adding C1 to the headline denominator
C1 is part of the category framework but is excluded from the specified A+B+C2 denominator. Follow the filing’s stated calculation.
Combining promoter and promoter-group rows too early
Keep the rows separate first. A transfer between a promoter and a group entity can leave the combined total unchanged while changing the ownership structure.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsTreating a nominee as the beneficial owner
Use the SBO section and other ownership disclosures before assigning ultimate ownership to a registered custodian or vehicle.
Calling a pledge a default
The encumbrance field records a disclosed restriction. Look for a later invocation, release or sale notice before drawing a conclusion.
Comparing unlike bases
Do not compare current ownership in one period with fully diluted ownership in another, or mix different security classes, denominators or revisions.
A practical checklist
- Locate the issuer’s exchange filing through SEBI’s corporate-filings page or the exchange interface.
- Write down the as-on date, submission date, revision date and filing status.
- Read the summary, then open all applicable detailed sections.
- Separate direct promoters from promoter-group entities.
- Apply A+B+C2 for the headline promoter and public calculations.
- Consolidate public holders by PAN and folio where available, and review holders at or above 1%.
- Compare registered-holder names with the SBO table where applicable.
- Record voting rights, partly paid shares, depository receipts, convertibles, warrants and ESOPs.
- Compare current and fully diluted percentages when potential issuance is reported.
- Record pledge, NDU, other-encumbrance and total-encumbrance fields separately.
- Repeat the same worksheet for prior periods and investigate changes through corporate-action and exchange announcements.
What the filing can—and cannot—tell you
A carefully dated filing can describe reported ownership, category composition, public concentration, voting rights, potential dilution and disclosed encumbrances. It cannot by itself establish why a holder acted, whether a promoter is trustworthy, how liquid a stock is, whether a lender will invoke a pledge or what the share price will do next. Those questions require separate financial, governance, trading-volume, corporate-action and announcement analysis.
