An AI company’s credit default swap (CDS) spread is the annualized price of protection against a contract-defined credit event. A wider spread means protection buyers are demanding more compensation for perceived credit risk, but it does not by itself predict an imminent bankruptcy. To assess risk, identify the exact contract, compare the spread with its history and peers, inspect the maturity curve, translate it into a carefully qualified risk-neutral probability, and test the signal against debt, leases, cash flow, capital spending and refinancing needs.
What an AI company’s CDS spread measures
A CDS is a derivative in which the protection buyer pays a premium to the protection seller in exchange for compensation if the reference entity experiences a credit event under the contract. The quoted spread is normally an annualized rate in basis points (bps) applied to the insured notional, with premium payments commonly made periodically rather than as one annual payment.
One hundred basis points equals 1 percentage point. A 250-bps quote therefore represents an annualized premium rate of 2.50% of notional before discounting, accrued-premium adjustments, fees and settlement mechanics. The quote is a market price, not an accounting estimate of expected loss.
Several forces can widen a spread without an immediate default: weaker earnings expectations, higher leverage, a difficult refinancing calendar, declining liquidity, concern about capital-intensive expansion, or a sector-wide increase in risk premia. S&P Global Market Intelligence wrote on March 2, 2026, that “Widening CDS spreads does not imply an imminent default; rather, they reflect investors’ demand for higher risk compensation and focus on earnings and fundamentals.”

The protection trigger is also narrower and more contractual than the word “default” suggests. The European Systemic Risk Board explained in 2025 that CDS-implied probabilities represent the market-implied probability of a credit event recognized by the relevant Determinations Committee, rather than necessarily the probability of an actual default under local legal rules. Failure to pay, a qualifying restructuring or another event specified in the documentation can trigger settlement even when a court has not declared bankruptcy.
Step 1: Identify the exact CDS contract
Never interpret a spread without recording the terms behind it. Two quotes that appear to refer to the same AI company can carry different risk because they cover different debt classes, currencies or maturities.
| Contract field | Why it changes the interpretation |
|---|---|
| Reference entity | Confirm the legal entity, not merely the parent’s trading name. A financing subsidiary may have different debt and guarantees. |
| Seniority | Senior, subordinated and other obligations have different recovery prospects and may not be interchangeable in settlement. |
| Currency | Dollar, euro and other currency contracts can reflect different investor bases, funding markets and basis effects. |
| Restructuring convention | Different conventions determine which restructurings qualify and how deliverable obligations are selected. |
| Maturity | A one-year quote answers a different question from a five- or ten-year quote; record the exact maturity date. |
| Quote timestamp | CDS prices can move quickly around earnings, financing announcements or macro events. A stale quote is not a current risk measure. |
| Bid-ask spread and source | A tight, multi-dealer market is more informative than a wide indicative quote or a single transaction. |
| Composite or index status | An individual-name dealer composite differs from an index level that averages many companies and may include standardized constituents. |
Keep the quote, timestamp and contract terms together in your notes. Comparing a five-year senior quote with a one-year subordinated quote can create a false trend even when each number is accurate.
Step 2: Read the level, change and peer relationship
Start with the company’s own history
Compare today’s spread with the same contract’s recent and long-run history. The absolute level tells you how much protection costs now; the change tells you how quickly the market’s assessment or risk compensation is shifting. A gradual move may reflect a repricing of leverage or rates, while a sharp jump deserves investigation of earnings, liquidity, litigation, financing and technical market factors.
Use matched maturities and seniority when building a history. If the five-year contract was replaced by a new benchmark or the reference entity changed after a merger, mark the break rather than treating it as a clean time series.

Compare with genuinely similar peers
Peer comparison is most useful when companies share rating category, business model, maturity profile and funding currency. An AI infrastructure provider with large data-center leases should not be compared only with an asset-light software company. A company that is wider than stable peers may have idiosyncratic concerns; simultaneous widening across the sector can instead reflect macro risk premia, interest rates or changing views of technology spending.
Interpret the size of a move, not a magic threshold
No authoritative source establishes a universal CDS level that guarantees an AI-company default. A 100-bps spread can be alarming for a highly rated issuer with historically stable pricing, yet ordinary for a distressed borrower. The baseline, speed of change and fundamental context matter more than a headline cutoff.

When quotes are available, line up one-year, three-year, five-year, seven-year and ten-year maturities. The shape shows where protection demand is concentrated.
| Curve pattern | What it can indicate | What to verify |
|---|---|---|
| Front end sharply above the long end | Near-term stress, an upcoming maturity, a covenant issue or an event investors expect to resolve. | Cash balances, committed facilities, the next refinancing date and any announced transaction. |
| Long end persistently high | Concern about structural leverage, solvency, long-term profitability or refinancing beyond the immediate year. | Debt-service capacity, lease commitments, capex economics and the path to positive free cash flow. |
| All tenors widen together | A broad repricing of the issuer or the sector, often with a macro component. | Peer spreads, technology indexes, interest-rate volatility and market liquidity. |
| Inverted or unusually kinked curve | Different near-term and long-term risk assessments, or a technical distortion. | Quote depth, benchmark roll dates, deliverable obligations and one-off dealer flows. |
These are signals rather than deterministic rules. A curve can be distorted by scarce bonds, hedging demand or a temporary shortage of protection sellers, so combine it with the contract and liquidity checks.
Step 4: Convert a spread into an implied event probability—carefully
The flat-curve shortcut
Under a simplified flat hazard-rate model, the annual hazard rate is approximately:

λ ≈ S ÷ (1 − R)
Here, S is the CDS spread expressed as a decimal and R is the assumed recovery rate. S&P Dow Jones Indices and ISDA describe the same relationship as: “With a flat credit curve assumption, S/(1-R), gives a measure of (λ) where: S = CDS Current Spread; R = Recovery Rate Assumption.”

1 − exp(−λt)
This is a market-implied, risk-neutral probability. It includes compensation for risk, liquidity and other pricing premia, so it is not the same as an analyst’s forecast of the real-world frequency of bankruptcy.
Worked calculation using a dated market illustration
S&P Global Market Intelligence gave an illustrative quote of roughly $164,000 per year to insure $10 million of an unnamed AI-related company’s debt for five years on February 27, 2026. Ignoring discounting, fees and premium accrual, $164,000 divided by $10 million equals 1.64%, or 164 bps.
If an analyst assumes a 40% recovery rate solely for illustration, λ ≈ 0.0164 ÷ 0.60 = 0.0273, or 2.73% per year. The five-year cumulative risk-neutral event probability is then approximately 1 − exp(−0.0273 × 5) = 12.8%. Changing the recovery assumption changes the result: at 20% recovery, the shortcut gives a hazard rate of about 2.05%; at 60% recovery, about 4.10%. Those outputs are model sensitivities, not promised outcomes.

When the shortcut is not enough
Real CDS curves are rarely flat. A professional calculation bootstraps survival probabilities year by year from several maturities, incorporates the premium and protection legs, discounts expected cash flows, and models recovery and accrual conventions. Use the shortcut for intuition or a rough comparison, not as a precise probability. If the quote is wide or indicative, the arithmetic may convey more precision than the market itself.
Step 5: Test the spread against AI-company fundamentals
The spread becomes useful when it is reconciled with the balance sheet and cash-generation path. Review the following items for the same reporting period and legal entity as the CDS contract.
| Fundamental check | Questions to answer | Why it matters for an AI issuer |
|---|---|---|
| Total debt, including leases | What is secured, unsecured, senior or subordinated? Are material data-center leases included? | Lease and debt obligations can make leverage materially higher than a simple funded-debt figure suggests. |
| Maturity wall | How much principal, lease obligation or revolver capacity matures in each of the next five years? | Large near-term maturities can explain a front-end CDS spike even when long-term demand remains strong. |
| Cash and committed facilities | How much unrestricted cash is available, and are facilities undrawn, committed and free of tight conditions? | Liquidity determines whether the company can bridge a period of negative cash flow without issuing expensive debt. |
| Free cash flow | Is operating cash flow positive after capital expenditure? Is the trend improving or deteriorating? | AI capacity build-outs can require years of spending before utilization and pricing support debt service. |
| Capital expenditure | What portion is maintenance versus expansion, and can projects be delayed without damaging revenue? | Data centers, power contracts and specialized equipment create large, sometimes inflexible commitments. |
| Customer concentration | Would the loss or delay of one major customer materially reduce cash receipts? | Concentrated demand can amplify refinancing risk if a large contract is postponed. |
| Profitability path | What assumptions drive margins, utilization, pricing and depreciation? When is sustained positive cash flow expected? | High growth does not automatically provide funds for interest, leases and expansion. |
| Collateral and seniority | Which creditors have first claims on valuable assets, and what assets are actually available in a stress case? | Recovery assumptions in a CDS model should reflect the likely value and ranking of claims. |
| Rating and outlook | Do rating agencies signal stable, negative or positive direction, and why? | Ratings are a separate opinion that can confirm or challenge the message in market pricing. |
| Refinancing plan | Are new bonds, equity, asset sales or strategic funding required to finance the AI build-out? | A plan dependent on open capital markets is vulnerable if spreads widen or investor appetite falls. |
For an AI-cloud participant described by S&P Global Market Intelligence, debt and lease obligations, capital-intensive expansion, negative free cash flow and refinancing plans were all cited as contributors to wider quotes. That combination is more informative than any one ratio: a company can have strong revenue growth and still face credit pressure if cash outflows and maturities arrive before the infrastructure earns an adequate return.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Step 6: Check whether the quote is tradable and representative
CDS is an over-the-counter market, so the quality of the observation matters. Record the number of dealers contributing, whether the quote is executable or indicative, the bid-ask width and the size available at each side. A wide spread between bid and offer means the midpoint may not be a price at which a meaningful hedge can be placed.

Investigate whether a move came from several dealers or one print. A single small transaction can move an illiquid name without representing broad investor conviction. Conversely, a series of firm, similarly timed quotes across dealers is stronger evidence of repricing.

Separate individual-name risk from index and sector moves. If an AI-technology index widens while most constituent names move together, the change may be macro or thematic. If the company’s contract widens while peers and the index remain stable, investigate company-specific earnings, leverage, customer, legal or financing news.
Step 7: Use dated peer and index evidence without turning it into a threshold
S&P Global Market Intelligence reported that described BBB-rated technology peers averaged about 68 bps for five-year CDS through mid-February 2026. It also reported that the BB-versus-BBB information-technology index differential was about 25 bps at one year and 65 bps at five years on February 27, 2026.
These figures provide a contemporaneous reference point, not a danger line. A five-year quote materially above 68 bps could reflect a lower rating, heavier leases, weaker liquidity or a different contract. A quote below that level does not eliminate default risk. The index differentials show how rating buckets were priced on those dates; they do not predict where an individual AI company must trade.

How to form a balanced risk judgment
Combine the evidence into a short, falsifiable statement rather than a dramatic label. For example: “The five-year senior spread widened faster than similarly rated peers, the one-year point is elevated relative to the long end, and the company has negative free cash flow with a large maturity in 18 months; the market is pricing higher near-term refinancing risk, but the quote is indicative and does not establish an imminent contractual event.” This format identifies the signal, the corroborating fundamentals, the uncertainty and the time horizon.
| Market signal | Fundamental confirmation | Reasonable interpretation |
|---|---|---|
| Issuer-only widening with stable peers | Leverage rises, cash falls or a financing is delayed. | Idiosyncratic credit deterioration deserves focused analysis. |
| Sector-wide widening | Company liquidity and maturities remain adequate. | Macro or technology-capex risk premia may explain much of the move. |
| Front-end spike | Large maturity, covenant test or refinancing announcement is near. | Near-term funding risk is the priority. |
| Long-end elevation | Persistent negative free cash flow and uncertain returns on capacity. | Investors may be pricing structural solvency or business-model risk. |
| Widening with thin, wide markets | No corresponding fundamental news. | Liquidity or technical pressure may be exaggerating the apparent risk. |
Limitations that prevent overconfidence
- Risk-neutral versus real-world probability: the CDS-implied figure embeds risk premia and liquidity compensation. It is not an unbiased forecast of bankruptcy frequency.
- Contractual event versus legal insolvency: a qualifying restructuring or failure to pay can trigger settlement even when local bankruptcy law would not classify the company as in default.
- Recovery uncertainty: the probability conversion is highly sensitive to the assumed recovery rate and to the seniority and collateral of the insured obligation.
- Basis risk: the CDS entity, the bonds you own and the operating company’s assets may not be the same legal risk. Guarantees, subsidiaries and documentation matter.
- Liquidity distortion: sparse dealer quotes, wide bid-ask spreads and one-off transactions can overstate or understate the market’s consensus.
- Model risk: a flat hazard rate and constant recovery simplify a term structure that may change sharply around maturities or events.
- Historical samples are not guarantees: the Bank for International Settlements analyzed 69 firms in a 2005 default-risk-premia paper, but that sample cannot establish a universal threshold for today’s AI companies.
The practical conclusion is disciplined rather than binary: treat the CDS spread as a continuously updated price of contractual credit protection, then verify what is driving it with the company’s obligations, cash generation, financing access and market quality. No spread level, including the dated examples above, guarantees that an AI company will or will not default.
