A credit-card processing agreement is more than a quoted transaction rate. To understand what you will actually pay and how difficult it will be to leave, collect the signed agreement and every incorporated schedule, identify the pricing model, inventory recurring and conditional fees, then locate the term, renewal, price-change, notice, cancellation, and equipment clauses. Finally, compare offers using the same transaction mix and an all-in effective cost.

This guide is primarily U.S.-oriented. Your signed documents and applicable law control your obligations; no single processor’s fee, notice period, or cancellation right applies to every merchant.

How do I read a credit card processing agreement?

Read it in a fixed sequence rather than starting with the headline percentage in a sales proposal. The percentage may cover only part of your cost, while a low rate can be offset by fixed transaction charges, monthly minimums, gateway fees, equipment obligations, or an expensive exit clause.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  1. Collect the complete contract set. Obtain the executed merchant or services agreement, pricing agreement or fee schedule, amendments, and every policy incorporated by reference.
  2. Identify the parties and scope. Record the legal entity you are contracting with, covered locations, services, effective date, and any document-priority clause.
  3. Classify the pricing model. Determine whether the proposal is blended, interchange-plus, tiered, subscription-based, or a combination.
  4. Inventory every fee and trigger. Note the amount or formula, calculation base, billing date, taxes, and whether it is deducted from settlements or invoiced separately.
  5. Mark flexibility clauses. Find the initial term, automatic-renewal period, cancellation window, notice method, price-change rights, minimum commitments, and equipment-return rules.
  6. Recalculate the offer using your own transactions. Compare effective cost and switching risk, not just the advertised rate.

Use the provider’s definitions section and cross-references as a map. A term such as “transaction,” “network costs,” “merchant discount,” “minimum,” or “termination date” can change the meaning of the pricing page.

Which documents and definitions control?

Ask for the documents below before signing or attempting to cancel. A proposal or sales email may not be the document that governs billing.

Document What to extract Question to ask
Executed merchant or services agreement Parties, services, term, renewal, termination, governing law, dispute process What legal entity is responsible, and which date starts the term?
Pricing agreement or fee schedule Percentage rates, per-transaction amounts, pass-through costs, minimums, recurring fees Which charges are fixed, and which can change with network or card costs?
Amendments and addenda Later pricing, location, equipment, or service changes Does an amendment replace an earlier schedule or add to it?
Gateway, equipment, security, and network policies Separate billing, technical duties, PCI obligations, return rules, incorporated network terms Can a policy change create a new charge or obligation?

Stripe describes a “Pricing Agreement” as an executed agreement that specifies fees and incorporates its services agreement and policy. That hierarchy is provider-specific, so do not assume another processor uses the same order of precedence. Read the clause that says what happens if documents conflict and save the version in force when you signed.

What does interchange-plus pricing mean?

Interchange-plus (also called IC+, cost-plus, or network-cost-plus) separates the underlying network-related cost from the processor’s markup. Stripe’s pricing policy states: “Under an IC+ pricing model, Stripe attributes underlying Network Costs to you and adds a Stripe fee (markup).” If additional cost information arrives later, the agreement may permit an adjustment. Ask for a sample statement that shows each component and the settlement deduction.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Under a blended or flat-rate model, the agreed fee is applied without separately passing through each underlying network-cost difference. It can be easier to forecast, but you may pay the same quoted rate for transactions whose underlying costs differ. Tiered plans group transactions into categories with different rates; the contract’s definitions determine which transactions qualify. Subscription plans may add a recurring charge in exchange for a lower percentage or different per-transaction amount. Agreements often combine these models.

Model How the bill is constructed What to verify
Blended or flat rate One stated rate, often with a fixed amount per transaction Whether keyed, online, premium-card, international, or other transactions receive different treatment
Interchange-plus Attributed network costs plus a processor markup and possibly a fixed amount Which network costs are passed through, how adjustments are calculated, and whether the markup can change
Tiered Transactions assigned to qualified, mid-qualified, or non-qualified tiers (or equivalent definitions) The qualification rules, downgrade triggers, and rates for each tier
Subscription or membership Recurring fee combined with a percentage, per-item charge, or pass-through costs Monthly minimums, included volume, overage pricing, and whether the subscription survives closure
Combination Different models for different channels, locations, or services Which schedule applies to each merchant account, gateway, device, or payment method

Interchange is not the same as your merchant discount

Visa explains that interchange reimbursement fees move between acquiring and issuing banks; merchants do not pay those fees directly. Its U.S. small-business guidance says: “Merchants do not pay interchange reimbursement fees—merchants negotiate and pay a ‘merchant discount’ to their financial institution that is typically calculated as a percentage per transaction.” The merchant discount may include interchange, network fees, acquirer processing fees, and other services. A separately invoiced item, such as terminal rental, is outside that per-transaction discount.

Visa’s Core Rules and Visa Product and Service Rules April 18, 2026 edition includes glossary definitions; its “Merchant Service Charge – Europe Region” definition should not be presented as the U.S. definition. A network interchange table is therefore not your complete merchant price. Use the rate schedule and statement examples in your own agreement.

What fees should I look for in a merchant services agreement?

Make a line-by-line inventory. For each item, write the exact amount or formula, what it is calculated on, when it is charged, whether tax applies, and whether it is deducted from settlement or billed separately.

Fee or cost area Typical trigger to locate Questions for the provider
Percentage and fixed transaction charges Each settled, authorized, keyed, online, or recurring transaction Is the percentage applied to the sale, including tax or tip? Is the fixed amount charged on refunds or declines?
Network and pass-through costs Card type, network, region, authorization data, or regulatory change Which costs are passed through, and can they be adjusted after settlement?
Monthly, subscription, or minimum fees Calendar month, statement cycle, or failure to reach a volume threshold Is an unused allowance forfeited? Does the minimum apply per location or account?
Gateway or online-payment charges Use of a hosted checkout, gateway, tokenization, or API Is the gateway included in the processing rate, and is there a separate fee per transaction or per month?
Statement, batch, account, or setup fees Monthly statement, settlement batch, account opening, or manual service When is the fee waived, and does it apply to inactive accounts?
Chargeback and refund treatment Dispute filing, representment, refund, or reversal Is a fee charged even when the dispute is won? Are original processing charges returned on a refund?
PCI compliance and noncompliance Validation, questionnaire, scanning, lapse, or missing documentation What action avoids the fee, and how much notice is given before it starts?
Equipment purchase, rental, return, or replacement Terminal shipment, monthly rental, damage, loss, upgrade, or closure Who owns the device, where must it be returned, and what deadline and restocking charge apply?
Termination or other conditional charges Early closure, minimum commitment, liquidated damages, or failure to meet notice Is the amount a stated fee, remaining minimums, or a formula based on projected processing?

Stripe’s fee explanation identifies gateway, PCI-compliance, chargeback, early-termination, setup, statement, and batch fees as possible categories. Those are examples, not a list that every provider charges. The same guide notes that costs vary with card type, payment method (in-person versus keyed or online), and industry. Your schedule controls the actual amount.

How do I turn the agreement into an all-in cost?

Use a recent statement or a realistic forecast. Separate the components instead of dividing the total fees by sales and assuming the result is a contractual rate.

  1. List transaction volume and dollar sales by channel: in-person, keyed, online, recurring, domestic, and any international activity.
  2. Apply the stated percentage to the contract’s defined base. Check whether tips, taxes, shipping, or other amounts are included.
  3. Add every fixed per-transaction charge, even when the percentage looks competitive.
  4. Add recurring charges, account or location fees, gateway costs, equipment rental, and monthly minimums.
  5. Estimate chargebacks, refunds, PCI charges, and other conditional items separately; do not hide them in the headline rate.
  6. Compare the resulting effective cost with another offer using the identical mix and period.

For an IC+ proposal, request a statement that labels network costs, processor markup, fixed charges, and separate invoices. For a blended proposal, ask which transactions fall outside the advertised rate. If a cell in a comparison table is not established by the contract, mark it “not stated” and obtain written clarification rather than filling the gap with an assumption.

Which contract terms determine how flexible the agreement is?

Initial term and start date

Find the exact start event: signature, approval, first transaction, shipment, or another date. Record the initial length and whether separate equipment or gateway terms have different end dates.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Automatic renewal

Locate the renewal length and the deadline for non-renewal. Some agreements use a short window before the renewal date. Missing that window can extend the contract even if you stop processing. The agreement, not a general industry practice, determines the result.

Notice method and effective date

Check whether notice must be mailed, sent to a specified email address, submitted through a portal, or delivered to a particular legal entity. Determine when notice is considered received and when closure becomes effective. Keep delivery evidence and a copy of the notice.

Minimum-volume or minimum-fee commitments

A contract may charge a shortfall when monthly volume or fees fall below a threshold. Confirm whether the minimum is measured per merchant account, location, or corporate group, and whether it continues during suspension or after notice.

Liquidated damages and early termination

Search for “early termination,” “liquidated damages,” “termination fee,” “future fees,” “remaining term,” and “minimum commitment.” A formula based on expected future processing can be materially different from a stated administrative fee. The agreement and governing law determine whether a clause is enforceable; this guide cannot predict that for a particular contract.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Equipment and account closure

Identify return addresses, serial-number requirements, packaging, deadlines, restocking charges, ownership transfer, and replacement costs. Also check whether gateway, token, reporting, or chargeback services continue after the processing account closes.

How do price-change clauses work?

Mark every provision that permits a change to rates, pass-through costs, minimums, or service fees. Ask four separate questions:

  • Which costs may change: network pass-throughs, processor markup, recurring fees, or all of them?
  • Who may make the change, and can the provider change a fee by updating a website policy?
  • What notice method and notice period apply?
  • Can you reject the change or terminate without an exit charge, and by what deadline?

Stripe’s Pricing Policy says Stripe may modify that policy by posting a revision or notifying customers, while also stating that a policy modification does not vary fees listed in a pricing agreement unless otherwise agreed. That is a Stripe-specific example, not a rule for another processor. Read the amendment and conflict provisions in your own documents.

How do I cancel a merchant services contract?

Cancellation is a document-and-deadline exercise. Follow the agreement exactly, even if you have already stopped accepting cards.

  1. Calculate the deadline. Start with the term and renewal date, then subtract the required notice period. Check whether weekends, holidays, or receipt dates matter.
  2. Confirm the correct recipient. Use the legal entity and address or portal named in the notice clause, not only a sales representative.
  3. Write an unambiguous notice. Identify the merchant account, locations, requested termination date, and whether you are rejecting renewal or ending early. Ask for written confirmation of the effective date and any amount claimed.
  4. Return equipment as directed. Photograph serial numbers and packaging, use a trackable service, and retain delivery proof.
  5. Settle open items. Ask how pending batches, refunds, chargebacks, reserves, PCI validation, and final statements will be handled.
  6. Reconcile the final account. Compare the final statement with the fee schedule and challenge unexplained deductions promptly under the agreement’s dispute procedure.

Stopping transactions or removing a terminal does not necessarily provide contractual notice. If the deadline has passed, ask whether the provider will waive or negotiate the renewal or termination charge; do not assume it has done so until you receive written confirmation.

Can a credit card processor charge an early termination fee?

It can seek the amount stated in the agreement, but the existence, calculation, and enforceability of an early termination charge depend on the contract, facts, and applicable law. The charge may be a fixed fee, remaining monthly minimums, equipment costs, or a liquidated-damages formula. A provider’s marketing page cannot replace the signed clause.

When reviewing the provision, compare the trigger with the remedy. Does it apply only during the initial term, also during a renewal, or after a price change? Is there a no-fee termination right for a provider breach or an unacceptable price increase? Does the clause require mitigation or specify a cap? These questions help you understand exposure; a lawyer familiar with the governing jurisdiction is the right source for an enforceability opinion.

How should I compare competing processing offers?

Build one comparison using the same sales, transaction count, channels, card mix, locations, and services for every proposal. Visa’s explanation of bundled merchant discount and Stripe’s explanation that underlying costs vary by transaction show why headline percentages alone are inadequate.

Comparison axis What to record
Effective all-in cost Percentage, fixed transaction charges, pass-through costs, recurring fees, minimums, gateway, equipment, and expected conditional fees
Pass-through versus fixed pricing Which amounts move with networks or card mix and which are contractually fixed
Contract flexibility Initial term, renewal length, notice window, notice method, and termination effective date
Price-change rights Permitted changes, notice, rejection or termination rights, and default pricing after a schedule ends
Operational scope In-person, online, recurring, gateway, reporting, fraud tools, locations, and support included
Exit exposure Early termination, liquidated damages, minimum shortfall, equipment return, and continuing services

Ask each provider for a sample statement and a written answer to the same fee questions. A proposal that is slightly more expensive per transaction may be less costly overall if it has no long renewal, lower fixed charges, or a clear no-fee exit. Conversely, a low recurring fee may not compensate for expensive pass-through costs in an online or keyed-heavy business.

Red flags to resolve before signing

  • A sales quote lists one rate but the fee schedule contains separate gateway, batch, statement, PCI, or equipment charges.
  • “Interchange” is presented as your total merchant rate without explaining the processor markup and other fees.
  • The contract incorporates policies that are not attached or identifies a web page without a dated version.
  • Automatic renewal has a short non-renewal window or uses a notice method that is difficult to prove.
  • The price-change clause permits changes but does not clearly state notice, rejection, or termination rights.
  • Liquidated damages are calculated from projected future processing, with no cap or example.
  • Equipment ownership, return timing, or post-closure gateway and chargeback obligations are unclear.
  • A monthly minimum is described in a proposal but not defined by account, location, period, or transaction type.

Resolve each point in the contract or a signed amendment. A promise in a phone call is difficult to use later if it is not incorporated into the agreement.

What about surcharging and network rules?

Surcharging is a separate compliance question from reading your processing price. Visa’s current U.S. small-business guidance says a merchant must notify its acquirer 30 days before beginning to surcharge. That is a network guidance statement, not a complete checklist: state law, other network rules, card-brand notice requirements, and your acquirer’s procedures may differ and can change. Verify all of them before adding a surcharge to your checkout.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Do not assume that a processing agreement authorizes a surcharge merely because it mentions card acceptance. Look for a dedicated surcharge or convenience-fee section and confirm disclosure, receipt, and signage requirements with the acquirer.

A practical agreement-review worksheet

Copy these fields into a spreadsheet and fill them from the documents, not from memory:

  • Contracting legal entity and merchant account number
  • Covered locations, channels, and services
  • Executed agreement date and term start event
  • Initial term and renewal length
  • Non-renewal deadline, notice address, delivery method, and effective date
  • Pricing model and definitions of transaction, network costs, and merchant discount
  • Percentage rate, fixed transaction amount, card or channel exceptions
  • Monthly, subscription, gateway, statement, batch, setup, PCI, chargeback, refund, and equipment charges
  • Minimum volume or minimum fee and the measurement period
  • Price-change triggers, notice, rejection, and termination rights
  • Early termination or liquidated-damages formula
  • Equipment owner, return instructions, deadline, and replacement cost
  • Pending refunds, disputes, reserves, and final-statement procedure after closure
  • Document hierarchy and governing law

Keep the signed version, amendments, statements, invoices, correspondence, and delivery receipts together. Those records are especially important when the provider’s online policy changes or when a final debit is disputed.

When should you get professional help?

Consider a qualified attorney or payment-cost specialist when the agreement has a long term, a large minimum commitment, a projected-future-fee formula, multiple locations, a personal guarantee, a reserve or delayed-settlement provision, or a dispute over the final debit. A professional can apply the governing law and facts to questions that a general explanation cannot answer, including whether a particular liquidated-damages clause is enforceable.

For routine comparison, a statement analysis can still be useful if you provide the complete fee schedule and a representative statement. Ask the reviewer to show the calculation, identify assumptions, and distinguish contractual charges from estimates.
