Read a consulting company’s annual report in a fixed sequence: establish the reporting period and audit scope, study management’s discussion, follow revenue and margins through the income statement, test receivables and liabilities on the balance sheet, reconcile profit to cash, then use segment disclosures and notes to challenge the headline numbers. The goal is to explain how revenue was produced, whether growth is organic, whether margins are durable, and whether reported profit is turning into cash.

Consulting businesses are different from manufacturers because capacity, staffing, utilization, realized rates, project mix and performance fees drive results. A complete reading therefore combines accounting statements with operating metrics and the definitions management uses for each one.

1. Establish what the report actually covers

Confirm the period, currency and accounting framework

Write down the fiscal year-end, the number of months covered, the presentation currency and whether the figures are consolidated. A fiscal 2026 report is not automatically comparable with a calendar-year 2025 report. Check whether a year contains a 52-week or 53-week period, and whether prior-year figures were restated after an accounting change or discontinued operation.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Identify the reporting framework, such as U.S. GAAP or IFRS, and read the company’s definition of revenue, operating income, adjusted EBITDA, bookings and utilization before comparing those measures with another firm. Different frameworks and policies can classify subcontractors, reimbursed expenses, leases and stock compensation differently.

Read the auditor’s report before the numbers

Look for the audit opinion, the period audited, any material-uncertainty language, critical audit matters, scope limitations and references to internal-control weaknesses. An unmodified opinion does not mean the business is risk-free; it means the statements are presented fairly under the stated framework. A qualification, emphasis or unresolved going-concern issue changes how much confidence to place in every subsequent figure.

Use the management discussion as a map

Management’s discussion and analysis (MD&A) should explain changes in revenue, costs, cash, liquidity and known risks. Mark every explanation that is measurable: headcount, utilization, rate, project timing, acquisitions, foreign exchange, restructuring, compensation or performance fees. Later, test those explanations against the statements and notes rather than accepting them as conclusions.

2. Read the income statement as a delivery-economics story

Start with revenue and move down to net income, recording both the amount and the year-over-year change. For a consulting company, ask what changed in the operating engine, not just whether the top line increased.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Line What to examine Consulting-specific question
Revenue Reported growth, constant-currency or underlying growth, contract mix and one-time items Did growth come from more billable people, higher utilization, higher realized rates, acquisitions, currency or success fees?
Direct or delivery costs Consultant compensation, subcontractors, travel and project costs Is delivery cost rising faster than revenue, and is subcontractor use replacing permanent capacity?
Operating expenses Sales, general and administrative costs, research, recruiting, restructuring and integration Are overhead costs scaling with revenue or absorbing the benefit of growth?
Operating income and margin GAAP operating income divided by revenue Is the margin change explained by utilization, pricing, mix, compensation, acquisitions or accounting classification?
Interest and tax Debt cost, effective tax rate and discrete tax items Is net-income growth being driven by financing or tax changes rather than operations?
Net income Profit attributable to shareholders and any noncontrolling interests Can the profit be reconciled to operating cash flow and sustainable operating drivers?

Use the capacity-and-price equation

A useful first approximation is revenue ≈ revenue-generating professionals × available time × utilization × realized billing rate + performance fees and other contract effects. It is an analytical model, not an accounting formula, because companies may include pass-through expenses, managed services, fixed-fee work or reimbursables differently.

Break the reported change into four operating questions:

  • Capacity: Did billable headcount increase or decrease? New hires can expand future capacity but temporarily lower utilization while they are trained or waiting for assignments.
  • Utilization: What share of available professional capacity was billed to clients? Read the company’s denominator carefully: some firms exclude leave, training, internal projects, contractors or newly acquired staff.
  • Realized rate: Did the average amount collected per billable hour rise? A higher rate may reflect price increases, senior-staff mix or a shift toward specialized work rather than a uniform price increase.
  • Mix and contract effects: What proportion came from recurring managed services, time-and-materials projects, fixed-fee engagements, success fees and pass-through items? These categories have different predictability and margins.

Separate operating leverage from accounting noise

If revenue grows but operating margin falls, inspect compensation inflation, recruiting, bench time, subcontractors, lower-margin pass-through work, acquisition amortization, restructuring and integration costs. If margin rises sharply, check whether the improvement comes from utilization recovery, rate and mix, temporary cost controls, a favorable comparison, or the removal of a one-time charge.

3. Interpret utilization, rates, bookings and book-to-bill together

Never treat one operating metric as a universal benchmark. Definitions, staff populations, periods and service mixes differ. Build a small schedule that reproduces the company’s own calculation.

Metric Meaning How to use it Common trap
Billable headcount Professionals available to generate client revenue Shows potential capacity and hiring investment Headcount growth can depress utilization before demand catches up
Utilization Billable time divided by the company’s stated available-capacity denominator Tests how efficiently capacity is deployed Denominators may exclude different leave, training, internal work or contractors
Average billable or realized rate Average revenue or fees per billed hour, as defined by the company Signals pricing power and work mix A higher rate can result from more senior or specialized engagements
Bookings or new bookings Work contracted or awarded during a period, under the company’s definition Indicates demand before revenue recognition Timing, cancellation rights and multi-year contract treatment vary
Book-to-bill Bookings divided by recognized revenue for a stated period Above 1.0 can suggest demand exceeds current conversion It is not backlog, cash or guaranteed future revenue
Backlog or remaining performance obligations Contracted work expected to be recognized later, where disclosed Assesses timing and visibility of conversion Disclosure may exclude cancellable or short-term work

For an illustration of why definitions matter, FTI Consulting reported a 60% utilization rate, a $529 average billable rate per hour, $1.551 billion of revenue and a 20.3% adjusted segment EBITDA margin for 2025. Those are company-specific 2025 figures, not an industry target; compare them only with another company using a similar staff population, period, currency and adjustment policy.

4. Decide whether growth is organic

Reported growth combines several effects. Reconcile it into underlying or organic growth, acquisitions, foreign-currency translation and, where disclosed, divestitures or accounting changes. A simple bridge is:

Reported growth = underlying growth + acquisition effect + currency effect + other perimeter changes.

The components may not add perfectly because of rounding and timing. Check whether management uses “organic,” “underlying,” “same-store” or another label, and read the definition.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Marsh McLennan’s 2025 consulting segment illustrates a complete bridge: revenue was $9.794 billion, up 7% year over year, with 5% underlying growth, 2% from acquisitions and 1% from foreign-currency translation. Operating income was $1.896 billion, an operating margin of 19.4%. The 5% underlying figure is the better indicator of comparable demand; the acquisition and currency components explain why reported growth was higher.

Use the same test for earnings. An acquisition can add revenue immediately while acquired intangible amortization, integration spending or lower initial utilization suppresses margin. Conversely, selling a low-margin unit can lift margin while reducing reported revenue. Read the acquisition note and segment reconciliation before calling either outcome operational improvement.

McKinsey gives a useful forecasting example: if a company reports 8% revenue growth and 5% came from acquisitions, only 3% was organic. The arithmetic is simple, but the decision implication is important: acquired growth may require additional capital, integration work and future deal spending.

5. Read demand visibility without confusing bookings with sales

Accenture’s fiscal 2026 release reported $36.88 billion of consulting revenue, $9.40 billion of consulting new bookings, a 1.0 book-to-bill ratio and a 15.4% GAAP operating margin. These figures should be read as a set: bookings equal to revenue suggest replacement-level demand for the stated period, while the margin shows what remained after operating costs under GAAP. They do not by themselves reveal the duration, cancellation terms or profitability of the booked work.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Inspect the reconciliation between bookings, backlog and recognized revenue. A large contract can be signed today but recognized over several years; a short project can convert quickly. Ask whether bookings include renewals, extensions, pass-through amounts, optional phases or work that has not yet received a purchase order. Check subsequent-year conversion where the company provides it.

6. Use the balance sheet to test revenue quality

The balance sheet is a collection of claims on, and obligations against, the revenue shown in the income statement. Compare each working-capital item with revenue growth and with prior years.

Balance-sheet item What it can reveal Questions to ask
Cash and short-term investments Liquidity available for payroll, acquisitions and debt service How much is restricted, and how much is needed for seasonal working capital?
Accounts receivable Amounts billed but not yet collected Is receivables growth faster than revenue? Are aging and allowance levels worsening?
Unbilled services or contract assets Earned work not yet billable under contract terms Is the balance growing because of healthy project progress or delayed approval and billing?
Deferred revenue or contract liabilities Cash or billings received before revenue recognition Could future revenue be supported by advance billings, and when will it be recognized?
Goodwill and acquired intangibles Premiums paid in acquisitions and identifiable acquired assets What assumptions support valuation, and how sensitive are they to slower growth or lower margins?
Lease liabilities and debt Contractual financing and occupancy commitments What maturities, covenants, interest rates and refinancing needs exist?
Accrued compensation Bonuses and other employee amounts earned but unpaid Does a rise reflect normal bonus timing, rapid hiring or a cash obligation that will reverse later?
Equity Retained earnings, share issuance, buybacks and accumulated other comprehensive income Are buybacks funded by recurring cash, and are currency movements obscuring operating results?

Receivables and unbilled work deserve a trend chart covering at least three years. A consulting company can record revenue before collecting cash, especially on fixed-fee or milestone contracts. Huron Consulting Group explains that allowances for doubtful accounts and unbilled services depend on expected cash realization, the client’s ability to pay, historical fee adjustments and write-offs. It also states that fees billed in advance remain in deferred revenue until the related revenue is recognized. Those policies make aging schedules, write-offs and contract-asset movements essential reading.

7. Reconcile profit to cash flow

Start with operating cash flow

The cash-flow statement begins with net income and adjusts for non-cash items and working-capital changes. Reperform the bridge: add depreciation, amortization, stock compensation and other non-cash charges; then inspect changes in receivables, unbilled work, deferred revenue, payables and accrued compensation.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Profit can exceed operating cash flow when invoices have not been collected, unbilled work has expanded, bonuses were paid, or contract liabilities declined. Cash can exceed profit when customers pay in advance, receivables are collected, accrued expenses rise or non-cash charges are large. Neither direction is automatically good or bad; the question is whether the cause is temporary, seasonal or recurring.

Measure conversion over several years

Calculate operating-cash-flow conversion as operating cash flow divided by net income for each of the last three to five years, then investigate persistent gaps. A single year may reflect a large acquisition, annual bonus cycle, unusual collections or a timing change. A repeated gap suggests that accounting profit is not converting into cash at the expected rate.

Separate maintenance investment from deal spending

Compare operating cash flow with capital expenditure to estimate cash available after maintaining the business. Then show cash paid for acquisitions separately. Consulting firms are often asset-light, but technology platforms, offices, leasehold improvements and data infrastructure still require investment. Acquisition payments, earn-outs and integration costs can consume cash even when reported operating cash flow looks strong.

8. Read segments, geography and service lines

Segment disclosures show where consolidated growth and margin originate. For every segment, record revenue, growth, operating income or adjusted measure, margin, headcount if disclosed, and the stated demand drivers. Reconcile segment totals to consolidated revenue and operating income; unexplained differences may reflect corporate costs, eliminations or differing segment definitions.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Geographic tables reveal currency exposure, concentration and local demand. Industry-group disclosures show whether growth depends on a cyclical client sector. Service-line data distinguishes recurring managed services from project consulting and performance-based work. A company with slower total growth but a rising share of recurring revenue may have more predictable future cash than one growing rapidly through volatile success fees.

Do not compare a segment’s margin with another company’s consolidated margin without checking allocated corporate costs, intersegment eliminations, subcontractor treatment and acquisition boundaries. A higher reported margin may simply reflect a different mix or classification.

9. Treat the notes as part of the statements

AASB guidance describes notes as narrative descriptions or disaggregation of statement items and information needed to understand the financial statements. Material accounting-policy information is information that could reasonably influence decisions made from those statements. Read the notes immediately after encountering a number that depends on a judgment; do not postpone them as optional background.

Revenue recognition and contracts

  • Identify performance obligations, transaction-price estimates, variable consideration and the point or period over which revenue is recognized.
  • Check contract modifications, termination rights, milestone acceptance and the treatment of reimbursed expenses.
  • Reconcile contract assets, unbilled services, deferred revenue and remaining performance obligations.

Acquisitions, goodwill and impairment

  • Read purchase consideration, contingent earn-outs, acquired intangible assets, goodwill and pro-forma contribution.
  • Separate integration and restructuring costs from recurring delivery costs.
  • Review impairment tests, reporting units, discount rates, growth assumptions and sensitivity disclosures.

People and compensation

  • Review stock-compensation expense, vesting schedules, dilution and the difference between cash and non-cash awards.
  • Compare accrued bonuses with cash payments and understand whether restructuring charges include severance or facility exits.

Financing, tax and contingencies

  • Check debt maturities, interest rates, covenants, guarantees and lease commitments.
  • Explain changes in the effective tax rate, uncertain tax positions, valuation allowances and one-time tax benefits.
  • Read litigation, regulatory, client-concentration and related-party disclosures for obligations not visible on the income statement.

10. Reconcile GAAP and adjusted measures

Use GAAP operating income and net income as the anchor. Then build a bridge to adjusted EBITDA or adjusted operating income, listing every exclusion: acquisition amortization, restructuring, stock compensation, litigation, integration, impairment and other items. Ask whether the charge is genuinely unusual. If the same “one-time” cost appears every year, it belongs in your view of normal economics even if management excludes it.

Compare the adjustment bridge with cash. A non-cash amortization charge may not reduce current cash, while restructuring, integration and acquisition payments usually do. Adjusted EBITDA is therefore not free cash flow and should never replace the cash-flow statement.

11. Compare two consulting companies on normalized axes

Build the comparison only after normalizing fiscal periods, currencies, acquisition perimeters, segment definitions, billable-staff populations, subcontractor treatment and GAAP versus adjusted measures.

Axis Evidence to collect Decision question
Growth quality Underlying growth, acquisitions, currency, divestitures and restatements How much growth would remain without buying revenue or benefiting from exchange rates?
Demand visibility Bookings, book-to-bill, backlog, remaining obligations and recurring-revenue share How much future work is contracted, and how quickly can it convert?
Delivery economics Utilization, realized rate, billable headcount, compensation and subcontractor intensity Is capacity being sold efficiently at attractive rates?
Profitability GAAP operating margin, adjusted margin, compensation ratio and segment mix Is the margin durable after recurring adjustments and normal investment?
Cash quality Operating-cash-flow conversion, working capital, capital expenditure and acquisition payments Does accounting profit become discretionary cash?
Risk and resilience Client and industry concentration, geography, debt, goodwill, litigation and accounting judgments What could make next year’s result materially worse?

A higher utilization rate is not automatically superior if it is achieved with lower rates or unsustainable workloads. A higher bill rate is not automatically pricing power if it reflects a temporary shift to senior specialists. A higher margin is not automatically better if the company underinvests in hiring, technology or sales. Interpret each measure with its companion metrics.

Utilization falls while headcount rises

Look for hiring ahead of demand, delayed projects, acquisition onboarding, training, internal investment or a change in the denominator. Then compare the effect on revenue per professional and compensation cost.

Bookings are strong but revenue is flat

Examine contract duration, start dates, cancellation rights, backlog conversion and whether bookings include renewals or optional phases. Strong bookings may represent distant or lower-margin work.

Adjusted margin expands while GAAP margin does not

Read the reconciliation for recurring restructuring, integration, stock compensation and amortization. Quantify the cash portion of each adjustment and decide whether excluding it gives a useful view of ongoing economics.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Goodwill grows rapidly

Reconstruct acquisition consideration, earn-outs and purchase-accounting allocations. Compare goodwill growth with acquired revenue and cash paid, then read impairment sensitivities.

Operating cash flow is volatile

Map each annual movement to receivables, deferred revenue, bonuses, tax payments, acquisitions and other working-capital items. Volatility caused by timing is different from a structural inability to collect fees.

13. A repeatable annual-report worksheet

  1. Record fiscal year-end, months covered, currency, accounting framework and consolidation scope.
  2. Copy the audit opinion, critical audit matters, going-concern language and internal-control findings.
  3. Summarize management’s explanations for revenue, margin, cash and liquidity changes.
  4. Enter revenue, delivery costs, operating expenses, operating income, interest, tax and net income for at least three years.
  5. Recreate the revenue bridge using headcount, utilization, realized rate, mix, acquisitions, currency and performance fees.
  6. Capture each operating metric’s exact definition, denominator, period and staff population.
  7. Split reported growth into underlying, acquisition, currency and other perimeter effects.
  8. Trend receivables, unbilled work, deferred revenue, accrued compensation, goodwill, debt and leases against revenue.
  9. Reconcile net income to operating cash flow and calculate multi-year cash conversion.
  10. Subtract capital expenditure and list acquisition and earn-out payments separately.
  11. Reconcile segment and geographic disclosures to consolidated totals.
  12. Read revenue, acquisition, impairment, compensation, lease, debt, tax, contingency, related-party and non-GAAP notes.
  13. Write a one-page conclusion identifying the principal growth engine, the main cash risk, the most repeatable margin driver and the evidence that would change your view next year.

14. The decision you should be able to make

After completing the worksheet, you should be able to answer four questions with numbers: Is demand growing without relying mainly on acquisitions or currency? Is the company converting professional capacity into revenue at sustainable rates and utilization? Are reported margins supported by recurring delivery economics rather than repeated exclusions? Is profit becoming cash after working capital, capital expenditure and acquisition spending?

If any answer depends on an undefined metric, an unexplained reconciliation or a balance-sheet trend that management does not address, treat that gap as a risk requiring follow-up in the next annual report and quarterly filings.
