To read a construction company’s backlog, first find the issuer’s own definition and the contract status it requires. Then separate signed or otherwise committed work from awarded work, development assets and prospective bids. Finally, test how much of the balance is expected to convert to revenue, how quickly, and with what execution, margin and cash-flow risks.
Backlog is not a universal accounting measure. It is not automatically revenue, profit, cash or a guarantee that every listed project will be built. A useful analysis follows the balance’s definition, commitment level, timing, movement and risk disclosures rather than relying on the headline number.
What backlog and pipeline mean
Backlog is the value of work a company says remains to be performed under contracts or other commitments that meet its stated inclusion rules. Those rules differ by issuer. One contractor may count only executed contracts; another may include a formal notice to proceed, a limited authorization or another assurance that management considers firm.

Treat the pipeline as potential future awards, not as work that is already secured.

The terms can also overlap with accounting concepts such as remaining performance obligations (RPO) or transaction price allocated to unsatisfied obligations. Those measures may be comparable in purpose but are not necessarily identical to a company’s non-GAAP backlog. Always use the reporting company’s labels and reconciliation.
Start with the issuer’s exact backlog definition
Read the latest annual report, quarterly filing or results release before comparing two contractors. Search for “backlog,” “remaining performance obligations,” “awarded backlog,” “contract backlog” and “pipeline,” then copy the definition and the date of the balance you are analyzing.

Do not impose a universal hierarchy on these examples. The same phrase, such as “awarded,” can have different legal and funding implications in different filings.

- Executed contract: Both parties have signed an agreement that defines scope, price or pricing method, and performance obligations.
- Notice to proceed: The customer has authorized some or all work. Check whether it is formal, limited, conditional or revocable.
- Awarded but not executed: The customer has selected the contractor, but a definitive contract may still be under negotiation.
- Letter of intent, option or master-service arrangement: The relationship may support future work, yet volume, price and timing may remain uncertain.
- Development asset or prospective bid: The project is an opportunity rather than a customer commitment.
Primoris uses separate signed and awarded backlog categories, illustrating why the stage must be identified rather than folded into one total. Sterling’s policy requires a fully executed contract and/or formal notice to proceed for not-yet-started awards. Matrix describes signed contracts, limited notices to proceed and other assurances management views as firm. These are issuer-specific criteria, not a sector-wide standard.
Ameresco provides a useful pipeline example: it describes assets in development separately from fully contracted backlog, with contract execution marking the move to fully contracted backlog for the projects described in its June 30, 2026 Form 10-Q. If a company presents development rights, “near-term opportunities” or a bid pipeline beside backlog, do not add them together without an explicit reconciliation.
Find out when backlog is expected to become revenue
A backlog balance becomes more informative when the issuer supplies a conversion schedule. Look for the amount expected within the next 12 months, the remaining duration of projects, segment-level timing and any distinction between work already in progress and work that has not started. Recognition is rarely even across the entire balance.

When no 12-month split is given, record that limitation explicitly. A large balance with no timing detail cannot by itself answer how much revenue is likely next year. Compare the schedule with project duration, segment mix and the company’s revenue-recognition policy.

Read the backlog rollforward, not just the ending balance
A rollforward explains why backlog changed. The most useful format shows beginning backlog, new contracts and change orders or other adjustments, revenue recognized, and ending backlog.
Sterling’s 2025 annual report provides a concrete example. Its backlog was $2.573 billion at December 31, 2024. New contracts, change orders and adjustments added $230.336 million during 2025, while revenue recognized reduced backlog by $772.168 million, leaving $2.031 billion at December 31, 2025. The filing reports the amounts in thousands.

A falling balance can coexist with strong execution if revenue recognized exceeds new awards. A rising balance can reflect genuine demand, acquisitions, large change orders or revisions rather than an equivalent increase in organic future revenue. Read the footnotes for acquisition effects and the company’s explanation of adjustments.
Test whether backlog is funded and cancellable
Contract status alone does not establish economic certainty. For each major category, check the customer’s funding, termination rights and conditions that must be satisfied before full work begins.

Funding and authorization
Determine whether the customer has appropriated or otherwise secured funding. Public-sector work may be awarded before all annual funding is available. A limited notice to proceed may authorize only design or early procurement, leaving the larger construction value conditional.
Termination and cancellation terms
Read whether the customer can terminate for convenience, what costs are reimbursed and whether the contractor is entitled to lost profit. Primoris states that it typically lacks a contractual right to all revenue reflected in backlog if a project is canceled. That means a reported balance should not be treated as an unconditional claim for the full amount.
Permits, approvals and customer decisions
Identify dependencies on permits, land access, environmental approvals, financing, interconnection agreements, engineering completion or customer acceptance. A project can remain in a company’s opportunity set while one of these gates is unresolved.
Change orders and claims
Ask whether the backlog includes approved change orders, pending claims or estimated variable consideration. Separate signed scope from management estimates, and check how the company updates backlog when price or scope is disputed.

Understand why timing estimates can move
Quanta cautions that estimated recognition timing can change because of acceleration, cancellations or delays, commercial issues, regulation, natural disasters, emergencies, adverse weather and customer acceptance of change orders. These factors can move revenue between periods without changing the headline project list.
Execution risk also depends on contract type and cost exposure. Fixed-price work can transfer cost-overrun risk to the contractor; cost-reimbursable work may provide different protection but can have less predictable customer spending. Review cost-to-complete estimates, labor and material availability, subcontractor exposure, liquidated damages, bonding requirements and claims when disclosed.
Backlog does not directly forecast gross margin or cash flow. To assess economics, connect the backlog discussion with segment margins, contract assets and liabilities, billing terms, retainage, working-capital needs and operating cash flow. If the filing does not disclose margin conversion by backlog cohort, do not infer a margin forecast from the total backlog.
Compare two construction companies on like-for-like axes
When comparing issuers, create a side-by-side worksheet instead of ranking the largest headline number.

Only after normalizing these points should you compare backlog-to-revenue ratios or implied years of work. A ratio based on signed contracts is not directly comparable with one that includes limited notices to proceed or development-stage awards.
A step-by-step method for reading a new filing
- Record the reporting date. Write down the date of the balance, not merely the filing publication date. Backlog can change materially between quarter-end and release.
- Copy the definition. Note the exact inclusion test, whether the measure is GAAP, IFRS or non-GAAP, and any reconciliation to RPO or transaction price.
- Classify commitment. Split executed contracts, formal notices to proceed, limited authorizations, awarded-but-unexecuted work and pipeline opportunities.
- Find the conversion schedule. Capture the next-12-month amount or percentage, expected project duration and segment timing. Mark “not stated” when the issuer provides no comparable value.
- Build the rollforward. Reconcile beginning backlog, new contracts, change orders, acquisitions or other adjustments, revenue recognized and ending backlog.
- Check funding and cancellation language. Read risk factors and contract footnotes for termination rights, reimbursement, appropriations, permits and customer approvals.
- Assess concentration. Identify dependence on major customers, projects, geographies, subcontractors or a single end market.
- Connect backlog to financial statements. Compare the movement with revenue, contract assets and liabilities, billings, receivables, operating cash flow and segment margins.
- Write a qualified conclusion. State what the backlog supports, what timing is estimated, and which portions remain conditional. Do not convert an issuer estimate into a guarantee.
What the headline number can and cannot tell you

Common mistakes and how to avoid them
- Comparing totals without definitions: Read each issuer’s inclusion policy and separate signed, awarded and development-stage amounts.
- Calling pipeline backlog: Keep unsigned bids, development assets and options outside contracted work unless the company explicitly includes them.
- Dividing backlog by annual revenue and declaring a forecast: Use the issuer’s conversion schedule, project duration and segment mix; revenue is not recognized evenly.
- Treating backlog as guaranteed sales: Review funding, termination, permitting, customer acceptance and change-order provisions.
- Ignoring the rollforward: A balance can rise because of acquisitions or adjustments and fall because of successful execution.
- Inferring profit or cash: Examine contract type, cost-to-complete, billings, working capital and margins; backlog alone contains none of those answers.
- Using a dated figure as current: Label every balance with its reporting date and note subsequent awards, cancellations or delays disclosed later.
- Assuming RPO equals backlog: Confirm the issuer’s accounting basis and reconciliation before combining the measures.
Bottom line for an investor or analyst
A construction company’s backlog is best read as a defined pool of future work, while its pipeline is a set of opportunities at earlier and less certain stages. The quality of the backlog depends on what the issuer counts, how much is funded and cancellable, when projects are expected to convert, and whether new awards are replacing completed work. Use the definition, commitment map, conversion schedule, rollforward and risk disclosures together; the ending dollar figure alone is not a forecast.
