Share price, market capitalization, and valuation answer different questions. Share price is the quoted value of one share. Market capitalization estimates what the public market is valuing all outstanding shares at. Valuation is a broader judgment or estimate of what a company is worth, using a stated method and assumptions.
To read them correctly, start with the share-count basis and date, then use ratios such as P/E, price-to-book, price-to-sales, or enterprise-value multiples only against comparable companies, periods, and definitions. No single price or ratio proves that a stock is cheap, expensive, or fairly valued.
The three numbers answer different questions
| Measure | What it tells you | What it does not tell you |
|---|---|---|
| Share price | The market quote for one unit of equity at a particular time | The company’s size or whether the stock is cheap |
| Market capitalization | The market value of the company’s publicly traded equity | The value of debt, operating assets, or a complete “fair value” judgment |
| Valuation | An estimate or agreed value based on a method, assumptions, or a transaction | A single objective number that means the same thing in every context |
Investor.gov, the U.S. Securities and Exchange Commission’s investor education site, defines market capitalization as the current public share price multiplied by total outstanding shares. The SEC glossary uses “valuation” more broadly: it can be a value determined by an analyst or agreed between a company and its investors. Keeping those meanings separate prevents the most common reading errors.

It is a per-share market quote
A quoted share price is the price at which the market is currently trading one share. It changes as investors update their expectations about future results, risk, interest rates, competition, and overall market conditions. The quote is observable at a moment in time, but it is not a complete statement about the business.

Two companies can have very different share prices while one is much larger than the other. The price depends on both the value assigned to the equity and the number of shares into which that equity is divided. A company with many shares can have a low per-share price and a large market capitalization; a company with few shares can have a high price and a smaller market capitalization.
Why stock splits change the quote without creating value
In a stock split, the company increases the number of shares and adjusts the price proportionally. For example, if a company has 1 million shares at $40, its equity market value is $40 million. After a two-for-one split, it may have 2 million shares at approximately $20. The arithmetic value remains about $40 million, ignoring market movement and transaction effects. The lower quote does not, by itself, make the company cheaper.
Questions to ask when you see a price
- What date and exchange does the quote represent?
- Is the price adjusted for splits and other corporate actions?
- How many shares are outstanding, and are options or other securities likely to dilute the count?
- Are you comparing the same class of shares and the same currency?
A price without those details is only a starting point. Live prices, share counts, and ratios must be dated because they change continuously.

How to calculate and interpret market capitalization
The basic formula
Market capitalization = current share price × total outstanding shares
FINRA’s illustrative example uses 5 million shares at $20 per share:
5,000,000 × $20 = $100,000,000 market capitalization.
That is a published arithmetic example, not a current figure for a particular company. FINRA describes market capitalization as one way to measure company size. Investor.gov presents the same price-times-outstanding-shares calculation.

What market capitalization represents
Market capitalization is generally the public market value of equity. It answers, “What is the market currently valuing the outstanding shares at?” It is useful for grouping companies by size and for comparing equity values when the share-count basis and date are consistent.
It is not the value of the entire operating business. A company can have substantial debt, excess cash, pension obligations, or other claims that are not captured by equity market capitalization alone. For a firm-level comparison, analysts often use enterprise value instead.
Outstanding, diluted, and weighted-average shares
The formula normally uses current outstanding shares. Financial statements and per-share ratios may instead use a weighted-average share count for a reporting period or a diluted count that assumes certain options, convertible securities, or restricted awards become shares. Those counts can produce different results.
When reading a company filing or data service, identify whether the figure is basic outstanding shares, diluted shares, or a period-average denominator. Use the same convention across companies. A small difference may not matter for a very large company, while a material option or convertible position can significantly change the result.

Market value versus an estimated value
For a public company, market capitalization is a current market value of its equity. A valuation estimate is different: an analyst may estimate worth using projected cash flows, earnings, growth, risk, interest rates, capital structure, and comparable companies. The result depends on the method and inputs selected.
A valuation can also be negotiated. In private fundraising, the SEC distinguishes pre-money valuation, the agreed value before new investment, from post-money valuation, the value after the investment is added. Those terms should not be substituted for the public-market market cap shown on a quote page.
How to present a valuation responsibly
- Name the method, such as a discounted-cash-flow analysis or a selected-multiple comparison.
- State the valuation date and currency.
- Identify whether the result is equity value or enterprise value.
- Show the key assumptions, especially growth, margins, discount rate, debt, cash, and share count.
- Present a range or sensitivity when small assumption changes produce materially different outcomes.
An estimate is not an observable fact in the same way a quoted price is. Two careful analysts can reach different values because their forecasts and risk assessments differ.

Common valuation ratios and what they measure
| Ratio | Formula | Best use | Main cautions |
|---|---|---|---|
| Price-to-earnings (P/E) | Share price ÷ earnings per share | Comparing equity prices with profits among similar, profitable companies | Specify trailing or forward earnings; it is not meaningful when earnings are negative |
| Price-to-book (P/B) | Market value of equity ÷ accounting book value of equity | Comparing similar, asset-heavy businesses | Book value is accounting equity, not market value, and may omit internally created brands, software, and intellectual property |
| Price-to-sales (P/S) | Market capitalization ÷ revenue | Comparing companies when earnings are temporarily low or negative | It mixes an equity numerator with company-wide revenue; margins and sector economics still matter |
| Enterprise value to EBITDA (EV/EBITDA) | Enterprise value ÷ EBITDA | Comparing operating businesses while incorporating debt and cash in the numerator | Define EV and EBITDA consistently; EBITDA is not cash available to shareholders |
Reading the P/E ratio
What the number says
P/E relates the price of one share to the earnings attributable to that share. A P/E of 20 means investors are paying $20 for each $1 of the specified annual earnings per share. Investor.gov notes that P/E can help compare a stock with its own history or with other companies.
Always identify the earnings basis. A trailing P/E uses past reported earnings; a forward P/E uses an estimate. Mixing a trailing P/E for one company with a forward P/E for another can create a false comparison.
Why a lower P/E is not automatically better
A low multiple may reflect slower expected growth, weaker margins, higher financial or regulatory risk, cyclical peak earnings, or concern about the quality of profits. A high multiple may reflect strong expected growth, durable margins, or lower perceived risk. Compare companies with similar business models and earnings definitions before drawing an inference.
When earnings are negative, the ordinary P/E interpretation breaks down: dividing price by a negative or near-zero denominator does not provide a useful “years of earnings” comparison. Use another measure and explain why it is appropriate.
Reading price-to-book
What book value is
Book value is the accounting equity reported on the balance sheet. Price-to-book compares the market value assigned to that equity with its accounting amount. It can be informative for banks, insurers, manufacturers, and other businesses whose assets and liabilities are relatively central to earning power.

Where it becomes misleading
Accounting rules do not record every source of economic value. Internally developed brands, software, customer relationships, and other intellectual property may be absent or recorded at amounts that do not resemble market worth. FINRA cautions that book value is less meaningful for companies whose value depends heavily on such assets. Compare P/B primarily within similar industries and accounting environments.
Reading price-to-sales
Price-to-sales divides equity market capitalization by revenue. It can remain usable when a growing company has little or no profit, but revenue alone says nothing about how much cash the business retains. Two companies with the same sales multiple can have very different gross margins, operating expenses, capital needs, and debt.

- Please Note: To reach 10Gbps speed, keep the cable under 3.3 ft. For USB A Male to USB C adapters, try flipping the USB C connector. USB C Male to USB A adapters support bidirectional 10Gbps transfer within 3.3 ft
Be especially careful about the numerator and denominator. Market capitalization belongs to equity holders, while revenue is generated before interest payments and other claims. For a company-wide comparison, enterprise value-to-sales may be more internally consistent. State which version you use and keep the definition the same across the peer group.
Enterprise value and firm-level multiples
A common enterprise-value framing
A common formulation is:
Enterprise value = market value of equity + debt − cash and cash equivalents
The adjustments reflect that an acquirer or analyst considering the operating business must account for debt claims and may receive the company’s cash. Definitions can vary, so identify which debt, cash, leases, minority interests, or other claims are included.
EV/EBITDA in context
EV/EBITDA compares the value of the operating business with earnings before interest, taxes, depreciation, and amortization. FINRA describes it as a more complete comparison than P/E in some situations because the numerator incorporates debt and cash. It is still not a cash-flow measure: a business must fund taxes, capital expenditure, working capital, and debt service. Use the same EBITDA adjustments and reporting period for every company.

Consider two hypothetical companies on the same date:
| Company | Share price | Outstanding shares | Market capitalization |
|---|---|---|---|
| A | $20 | 5,000,000 | $100,000,000 |
| B | $200 | 250,000 | $50,000,000 |
Company B’s $200 share price is ten times Company A’s $20 quote, but Company B’s market capitalization is half as large because it has one-twentieth as many shares. The share price alone therefore cannot rank company size or tell you which equity is cheaper.

A repeatable process for comparing companies
- Define the question. Decide whether you are comparing the price of equity, the value of the whole operating business, or an estimated intrinsic value.
- Fix the date and currency. Record the quote, share count, financial-statement period, and exchange rate if companies report in different currencies.
- Choose one measure. Use P/E for comparable profitable equity businesses, P/B for suitable asset-heavy peers, P/S when profit is not yet informative, or an enterprise-value multiple for firm-level comparisons.
- Make the definitions consistent. Do not mix trailing and forecast earnings, adjusted and unadjusted EBITDA, basic and diluted shares, or different revenue periods.
- Build an appropriate peer set. Match sector, geography, business model, size, growth stage, and major regulatory or commodity exposures.
- Examine the operating drivers. Compare growth, gross and operating margins, profitability, reinvestment needs, and the durability of earnings.
- Account for financial structure. Review debt maturities, interest costs, cash balances, leases, and other claims when using enterprise value or comparing risk.
- Test the explanation. If one company trades at a lower multiple, ask what growth, risk, profitability, accounting, or balance-sheet difference could explain it.
- Run sensitivities for an estimated valuation. Change growth, margins, discount rates, terminal assumptions, or net debt to see whether the conclusion depends on one fragile input.
Frequent mistakes and how to avoid them
“The share price is low, so the stock is cheap”
A low quote may simply reflect a large share count or a recent split. Calculate market capitalization and then select a suitable valuation measure.
“The company has a large market cap, so the price is fair”
Market capitalization reports what the market is currently paying for equity. It does not establish an independent fair value and does not include the company’s debt and cash as a firm-level measure.
“The lowest P/E is the best bargain”
A low P/E can accompany weak growth, cyclical peak earnings, deteriorating profitability, or higher risk. It is a comparison signal, not a verdict.

“Book value equals what the company is worth”
Book value is an accounting measure. It can be a poor proxy for economic value when internally generated intangible assets are important.
“Any P/S ratio is comparable”
Revenue has no fixed relationship to profit. Compare margins, reinvestment requirements, and sector economics, and consider an enterprise-value version when the question is about the whole business.
“A published multiple is current”
Prices, shares, earnings, debt, cash, and analyst forecasts move. Record the date, source, period, and share-count basis for every input.
What to record before relying on a number
- Quote date, exchange, share class, and currency
- Outstanding, diluted, or weighted-average share count
- Trailing or forecast period for earnings and revenue
- Whether figures are reported, adjusted, or estimated
- Debt, cash, leases, and other enterprise-value adjustments
- Peer companies and the reason they are comparable
- Valuation method, assumptions, and sensitivity range
Investor.gov and FINRA provide the basic definitions for market capitalization and P/E; FINRA’s November 11, 2025 discussion addresses market and book value and EV/EBITDA context; Aswath Damodaran’s NYU Stern materials explain standardized values, multiples, share-count effects, and enterprise-value framing. These sources establish how the measures work, not what any particular company is worth today.

Read a share price as one share’s quote, market capitalization as price multiplied by the relevant outstanding-share count, and valuation as a method-dependent estimate or negotiated value. Then compare ratios only with consistent definitions, dates, periods, peers, and business risks. The interpretation comes from the underlying economics—not from the size of a number by itself.
