A bank’s dividend or share-buyback announcement is not a guarantee that every planned dollar will be distributed. To judge whether a bank can afford its capital return, identify the exact legal entity and reporting date, calculate its full applicable CET1 requirement, read the stress-test capital buffer, and reconcile the board’s plan with what the latest filing says was actually paid or repurchased.
For U.S. bank holding companies, the evidence is spread across the Federal Reserve’s capital-requirement and stress-test materials, the bank’s investor-relations disclosures, and its SEC filings. The method below shows where to look and how to compare two banks without confusing a parent-company ratio with a subsidiary ratio or an authorization with an executed repurchase.
What a capital return policy tells you
A capital return policy is a decision framework. It explains how management and the board decide whether to pay common dividends, repurchase shares, or retain capital for lending, acquisitions, new initiatives, market stress, or other strategic needs. It is not an unconditional promise to distribute a stated amount.

Federal Reserve supervisory guidance says a firm’s policy should describe “the processes relating to common stock dividend and repurchase decisions, including the processes to determine the timing, form, and amount of all planned distributions.” The guidance also expects the policy to identify the metrics used by management and the board and to include contingency actions for a possible capital shortfall.

Policy versus regulatory permission
- Policy: the bank’s internal framework, targets, priorities, and decision process.
- Board declaration: a specific dividend approved for a stated payment schedule.
- Repurchase authorization: permission to buy shares under stated terms; it does not prove that the full authorization will be used.
- Completed distribution: the dividend paid or shares actually repurchased, which must be checked in later filings.
- Regulatory capacity: the capital position and applicable requirements that determine how much room the bank has before distributions could become constrained.
A bank can report capital above its regulatory minimum and still retain distributions because its board targets a higher operating buffer, expects stressed losses, is funding an acquisition, needs to support balance-sheet growth, or faces legal or supervisory limits.
Start with the correct entity and date
Before comparing any percentage, write down three identifiers: the entity, the reporting date, and the ratio’s denominator.
Identify the entity
A public bank group may disclose figures for a consolidated bank holding company, an intermediate holding company, and an insured depository subsidiary. Those entities can have different capital ratios and different applicable requirements. A parent-company CET1 ratio must not be compared with the subsidiary’s ratio as if they were the same measure.
Identify the period
Use the latest available filing and board announcement, then record the date attached to each number. A ratio from an older annual report is not a current ratio. When a bank publishes a new Federal Reserve requirement or stress-test result, do not carry the previous year’s requirement forward without checking the current table.
Confirm the denominator
CET1 percentages are ratios to risk-weighted assets (RWA), not dollar amounts and not dividend yields. A change in RWA can change the percentage even when the dollar amount of common equity is unchanged. Record the RWA figure and the entity used in the filing if you need to translate a percentage headroom into dollars.
Where to find the disclosures
Form 10-K Item 5: dividends and repurchases
SEC Investor.gov identifies Form 10-K Item 5 as the section covering market information, dividends, and issuer purchases of equity securities. Look here for:
- the dividend history and any declared dividend;
- repurchase authorizations and their stated expiration or limits;
- shares purchased during the reporting period;
- the average price paid and, where disclosed, remaining authorization.
Read the wording carefully. “Authorized” describes the maximum permitted activity under the program. “Purchased” or “executed” describes what happened. A large authorization can remain partly or entirely unused.

Form 10-K Item 7: liquidity, capital and trends
Item 7 covers management’s discussion and analysis, including results, liquidity and capital resources, and known trends or uncertainties that could materially affect the business. Use it to understand why the board may retain capital despite a high current ratio, or why a distribution plan could change.
Regulatory-capital note
Follow the filing to its regulatory matters or regulatory-capital note. This is where the company generally reports the ratios for the relevant entity, the applicable buffers, and warnings about restrictions that could apply if capital falls below required levels. A 2025 annual report filed by Renasant Corporation illustrates this structure; its note points readers to the company’s regulatory ratios. That example shows where to look, not a universal description of every bank’s policy.
Investor materials and board announcements
Investor presentations, earnings releases, and board announcements often describe capital targets, the intended timing of distributions, and strategic uses of capital. Treat these as management’s stated plan and reconcile them with the 10-K, quarterly filings, and later disclosures.
Build the bank’s full CET1 requirement
For a large bank subject to the Federal Reserve framework, the relevant hurdle is not simply the 4.5% minimum. The Federal Reserve’s 2026 large-bank requirements page describes the CET1 requirement as a combination of the minimum, an institution-specific stress capital buffer (SCB), and, when applicable, a global systemically important bank (G-SIB) surcharge.
The Tool Desk
Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →| Component | What it means | Figure identified by the Federal Reserve for 2026 |
|---|---|---|
| CET1 minimum | Base minimum common-equity tier 1 ratio | 4.5% |
| Stress capital buffer (SCB) | Institution-specific buffer derived from supervisory stress testing and planned common dividends | At least 2.5%; the bank’s assigned value controls |
| G-SIB surcharge | Additional requirement for an applicable global systemically important bank | At least 1.0% when applicable; the assigned value controls |
| Full applicable requirement | The sum of the components that apply to that bank | Institution-specific; use the current Federal Reserve table |
These percentages are measured against RWA. They are not dollar thresholds and cannot be compared directly with a dividend yield. The actual requirement depends on the bank’s assigned SCB and, if relevant, its assigned G-SIB surcharge. The “at least” figures above describe the floor of those components, not the requirement for every institution.
Calculate headroom correctly
- Copy the reported CET1 ratio for the same entity and reporting date as the requirement you are using.
- Add 4.5%, the assigned SCB, and any assigned G-SIB surcharge to obtain the full applicable requirement.
- Subtract that requirement from the reported CET1 ratio. The result is percentage-point headroom.
- If you need a dollar approximation, multiply the percentage-point headroom by the relevant RWA, keeping the entity and date consistent.
- Compare the result with the bank’s own capital target, stress results, planned distributions, and strategic commitments. Regulatory headroom alone is not a distribution forecast.
Illustrative arithmetic
Suppose a hypothetical holding company reports a 12.0% CET1 ratio, has a 3.0% SCB, and has a 1.5% G-SIB surcharge. Its applicable requirement would be 9.0% (4.5% + 3.0% + 1.5%), leaving 3.0 percentage points of regulatory headroom. If its RWA were $100 billion, that arithmetic would represent $3 billion of capital above the stated requirement before considering the bank’s internal target, stress losses outside the regulatory scenario, growth plans, or other constraints. The example is an explanation of the calculation, not a forecast for any bank.
Understand the stress capital buffer
The Federal Reserve uses supervisory stress testing to assess whether a bank can absorb losses under stressful conditions. The results are publicly disclosed and feed into the SCB.

What the SCB calculation includes
The Federal Reserve’s CCAR questions and answers describe the SCB calculation as the decline from starting CET1 to the minimum projected CET1 under the severely adverse scenario, plus planned common dividends for quarters four through seven of the planning horizon, expressed as a share of RWA. In simplified form:
SCB = projected CET1 decline under the severely adverse scenario + planned common dividends (quarters 4–7), measured relative to RWA.
The planned-dividend component matters because the buffer is designed to reflect both modeled losses and distributions included in the capital plan. Read the bank-level stress result and the assigned SCB together; neither number should be treated as a universal industry rate.
What a favorable result does—and does not—say
- It is evidence of modeled resilience under the specified supervisory scenario and assumptions.
- It does not guarantee that the board will declare a dividend or use a repurchase authorization.
- It does not predict losses in an unmodeled event or a different economic environment.
- It does not replace the current reported ratio, the bank’s policy target, or the latest regulatory-capital note.
A stress result is therefore a forward-looking constraint, not a promise of a payout. Check whether the bank’s current capital remains comfortably above both the full requirement and its stated internal target after considering the distributions it proposes.
Read the policy for decision discipline
A useful policy disclosure tells you how decisions are made, not just what management hopes to return.
Metrics and targets
Record every metric the policy names: CET1, other capital ratios, leverage measures, liquidity measures, or internal thresholds. Note whether the target is a hard minimum, a management range, or a buffer above regulatory requirements. A policy that names the board’s review process and quantitative triggers is more informative than a statement that simply promises “disciplined capital management.”
Strategic uses of capital
Look for explicit priorities such as organic loan growth, technology or branch investment, acquisitions, securities purchases, or capital preservation. These priorities explain why a bank may choose a smaller repurchase even while its reported CET1 ratio is high.

Contingency actions
Federal Reserve guidance calls for contingency plans for potential capital shortfalls. The disclosure may describe reducing or suspending repurchases, limiting dividends, raising capital, selling assets, slowing growth, or changing the balance sheet. These are planning tools, not evidence that a shortfall is expected.
Timing and form
Determine whether the policy distinguishes regular dividends, special dividends, open-market repurchases, accelerated programs, or other forms of return. Timing can be conditional on board approval, earnings, regulatory non-objection, or the capital outlook. Do not treat a policy’s maximum amount as a scheduled payment.

Separate plan, authorization and execution
Use a four-column record for each distribution:
| Item | Question to answer | Where to verify | How to interpret it |
|---|---|---|---|
| Policy | What process and target does management describe? | Investor materials and capital-policy discussion | Framework, not a commitment |
| Board declaration | What dividend was approved, and for which payment date? | Board announcement, earnings release, or filing | Specific declared payment, subject to stated terms |
| Repurchase authorization | How many shares or how much value may be purchased? | Board announcement and Item 5 | Maximum permission, not proof of use |
| Execution | What was actually paid or repurchased? | Item 5, quarterly filings, and later reports | Historical activity that can be reconciled |
Compare the execution record with the plan and with the capital ratio at the time. If the bank authorized $X but repurchased only part of it, investigate the stated reason and the subsequent capital position rather than assuming the program failed or that the remaining amount will be used.
How to compare two banks
Use a side-by-side worksheet and keep entity and date consistent for every row.
| Comparison axis | What to collect | Why it matters |
|---|---|---|
| Headroom against the full requirement | Reported CET1 minus 4.5% minus assigned SCB minus applicable G-SIB surcharge | Shows regulatory room using the bank-specific hurdle rather than the base minimum alone |
| Stress resilience | Projected CET1 decline, minimum projected CET1, and resulting SCB | Shows how modeled losses and planned dividends affect the buffer |
| Policy discipline | Named metrics, targets, strategic priorities, decision makers, and contingency actions | Reveals whether the policy is operational or merely aspirational |
| Plan versus execution | Declared dividends, authorization, completed repurchases, and remaining authorization | Distinguishes intent from actual capital return |
| Entity and time consistency | Parent or subsidiary, reporting date, RWA denominator, and filing period | Prevents false comparisons caused by mixing different entities or periods |
Questions to ask when one bank looks “more generous”
- Is its CET1 ratio measured at the same entity and date?
- Does it have a larger SCB or G-SIB surcharge that reduces apparent headroom?
- Are you comparing a declared dividend with another bank’s completed payout?
- Does one bank have a higher internal target or a near-term acquisition?
- Did stress-test assumptions include different planned common dividends?
- Does the filing disclose a contingency that could reduce future distributions?
Common reading errors and how to correct them
Using 4.5% as the complete threshold
Error: treating the base CET1 minimum as the level at which distributions are unconstrained.
Correction: add the assigned SCB and any applicable G-SIB surcharge, then compare the result with the bank’s own target.
Mixing a parent and a subsidiary
Error: using the holding company’s ratio to judge the insured bank subsidiary, or vice versa.

Correction: label every figure with the entity name before calculating headroom.
Calling an authorization a repurchase
Error: reporting the authorized amount as if the bank had already spent it.
Correction: use Item 5 and subsequent filings to record completed purchases separately.

A repeatable review checklist
- Write down the bank name, legal entity, reporting date, and RWA denominator.
- Open the latest Form 10-K and read Item 5 for dividends, authorizations, and completed purchases.
- Read Item 7 for liquidity, capital resources, strategic needs, and material uncertainties.
- Open the regulatory-capital note and copy the reported CET1 ratio and any stated restrictions.
- Locate the bank’s capital-policy discussion and record targets, metrics, decision makers, and contingencies.
- Use the Federal Reserve’s current large-bank requirement table to identify the 4.5% minimum, assigned SCB, and any G-SIB surcharge.
- Calculate the full applicable requirement and percentage-point headroom.
- Read the Federal Reserve stress-test result and CCAR explanation of the SCB calculation.
- Separate declared dividends, authorized repurchases, and completed repurchases in your notes.
- Compare the proposed distribution with the bank’s internal target, stress resilience, strategic capital needs, and latest execution record.
What the evidence can support
This process can show whether a proposed return appears consistent with the bank’s disclosed capital position, applicable requirement, stress buffer, and policy framework. It cannot guarantee a future dividend, predict the exact amount of repurchases, or replace an individualized investment analysis. Requirements, stress-test results, capital plans, board decisions, and reporting rules can change, so refresh the Federal Reserve table and the bank’s latest SEC filings each time you perform the analysis.
