Protect confidential client data by allowing only approved AI tools and tasks, checking the provider’s binding terms and settings, submitting the minimum necessary information, and enforcing identity, logging, training, and incident-response controls. For sensitive work, an enterprise service with suitable contractual confidentiality, retention, training-use, deletion, access, and data-residency provisions is usually safer than an unapproved public tool. An “enterprise” label, an opt-out switch, anonymization, or a security certificate is not a guarantee by itself.

The practical workflow below adapts the Singapore Ministry of Law’s Guide for Using Generative AI in the Legal Sector (published March 6, 2026) for general technology teams. Lawyers and regulated organizations must also apply their own professional rules, client contracts, and local law.

Why a normal AI prompt can become a confidentiality incident

Generative AI services may process more than the text you see in a chat window. A provider can receive prompts, uploaded files, conversation history, generated outputs, diagnostic information, account identifiers, and system logs. Depending on the service and contract, some of that information may be retained, reviewed, transferred across borders, shared with service providers, or used to improve a model.

Confidentiality risk therefore includes more than an employee deliberately publishing a document. A prompt can disclose a client’s identity, a trade secret, privileged advice, a health condition, financial information, credentials, or a negotiation position. Generated text can also reproduce confidential details in a later response if the service retains or uses the material in ways the organization did not expect.

The Federal Trade Commission’s January 2024 guidance, AI Companies: Uphold Your Privacy and Confidentiality Commitments, makes a basic point: providers must honor their privacy and confidentiality promises, including promises about model training. Treat those promises as contractual and operational claims to verify, not as assumptions based on a product name.

Make a decision before opening an AI tool

Classify the information

Identify the most sensitive category present in the material:

  • Personally identifiable information, including names, contact details, account numbers, identifiers, or combinations of facts that can identify someone.
  • Health, financial, employment, education, or other specially protected information.
  • Trade secrets, source code, security architecture, credentials, unreleased product plans, or pricing.
  • Legal privilege, litigation strategy, investigation material, or information covered by a client confidentiality clause.
  • Information restricted by a government, regulator, customer, or data-residency requirement.

NIST’s Guide to Protecting the Confidentiality of Personally Identifiable Information (PII) (SP 800-122, published April 6, 2010 and updated February 19, 2017) recommends context-based safeguards against inappropriate access, use, and disclosure. The sensitivity of a data element depends on what it can reveal in combination with other elements, not just on whether it looks like a name or number.

Define the minimum task

Write down the result you need before deciding what to upload. “Suggest headings for this 400-word, de-identified excerpt” requires less information than “review the complete client file.” Remove facts that do not affect the answer. If the task can be completed with a hypothetical, a short excerpt, or a locally run model, do not send the full record to a hosted service.

Check duties that apply to the engagement

Review the client agreement, confidentiality provisions, privilege requirements, professional rules, employment policies, and applicable privacy law. A client may prohibit external processing even when a provider advertises strong security. Record who approved the use case and what data class it covers.

Choose an approved service, not just a convenient one

Use an organization-approved service for confidential work. The following comparison shows the questions that should be answered before use; it does not assume that one deployment model is automatically safe.

Option Potential advantages Questions that must be answered Typical restriction
Public or free consumer tool Easy access and low setup cost for non-sensitive drafting or brainstorming. Are prompts and files retained? Are they used for training or human review? Can settings change after an update? Where is data processed? Do not enter confidential or commercially sensitive client information. If use is necessary, use only transformed, hypothetical, isolated material and verify settings each time.
Enterprise hosted service May provide contractual confidentiality, administrative controls, SSO, MFA, audit logs, retention controls, and support for data-residency requirements. Do the contract and product configuration cover inputs, outputs, system data, deletion, training use, third-party sharing, transfers, incident response, and administrator access? Features differ by edition and region. “Enterprise” alone is not evidence that every required control is enabled.
Internally developed or self-hosted system More control over storage, network location, access, logging, and model configuration. How was the model developed? Is input data used for training? Who patches, monitors, and responds to incidents? Are backups and logs protected and deleted? Your organization assumes the operational, security, privacy, and compliance burden; isolation does not eliminate misuse or re-identification risk.

Compare every candidate on retention and deletion; model-training and secondary-use terms; third-party sharing; confidentiality and data-processing agreements; location and cross-border transfers; identity, access, encryption, and audit controls; monitoring and incident response; the ability to isolate material; and fit with the client’s instructions and professional duties.

Read the provider’s terms and verify the configuration

Obtain the current contract, privacy terms, security documentation, and product-specific settings. Ask the provider or procurement owner for a written answer where the public documentation is ambiguous.

Retention and deletion

Determine how long prompts, uploads, outputs, backups, abuse-monitoring records, and diagnostic data are kept. Check whether the organization can set a retention period, delete material on request, and obtain deletion at the end of an engagement. “Not used for training” does not necessarily mean “not retained.” Temporary retention may still occur for security or operations.

Training and secondary use

Identify whether inputs, outputs, feedback, or system-generated data can be used to train or improve a model. Confirm whether an opt-out applies by default, to every workspace, and to data already submitted. The FTC’s guidance says providers must honor their stated commitments; preserve the version of the terms and the approval record that supported your decision.

Sharing and administration

List subprocessors and other third parties that may receive data. Ask which provider employees or administrators can access content, under what approval and logging process, and whether support tickets can include prompts or files. Require contractual confidentiality obligations for those parties.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Location and transfers

Confirm where inputs, outputs, backups, and logs are processed and stored. Compare those locations with client instructions and legal requirements. A service that offers regional storage may still perform support, abuse monitoring, or model operations elsewhere.

Security evidence

Review encryption in transit and at rest, access controls, administrative-privilege restrictions, audit logs, monitoring, vulnerability management, incident notification, and independent assessments such as SOC 2 Type II or ISO/IEC 27001. A certification is evidence about a defined scope and period, not a promise that your configuration is correct.

Minimize and transform every prompt

Remove unnecessary fields

Before submission, delete names, addresses, account numbers, credentials, unique dates, internal identifiers, and attachments that do not affect the requested output. Keep only the smallest excerpt and the facts needed to answer the question. The UK Information Commissioner’s Office describes the UK GDPR principle as: “Personal data shall be adequate, relevant and limited to what is necessary in relation to the purposes for which they are processed (data minimisation).” Its AI guidance is under review following the Data (Use and Access) Act, so apply the current law and regulator guidance for your jurisdiction.

Use consistent placeholders

Replace identifying details with generic, stable labels so the model can follow relationships without seeing the original identity.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Original detail Safer transformation
“Maria Chen, CFO of Northwind Robotics, signed on 14 February 2026” “[Client Executive] at [Client Company] signed on [Date 1]”
“Account 4481-9920-1134” “[Account Number]”
“The only pediatric cardiology clinic in a town of 8,000” “[Specialist clinic in a small community]”
Exact contract price and unusual delivery date “[Amount X]” and “within [Time Period]” unless those values are essential to the task

Do not assume that replacing a name is enough. A rare job title, distinctive event, small location, exact timeline, or combination of ordinary facts can identify a person or organization. The Singapore guide cautions that context can make supposedly anonymized content identifiable. Test the transformed text by asking whether a colleague, competitor, or public source could reasonably infer the subject.

Prefer hypothetical and isolated questions

Ask, “What clauses usually address termination for convenience in a software agreement?” rather than pasting the client’s complete agreement. When an excerpt is necessary, remove surrounding pages, comments, tracked changes, metadata, and embedded files. Keep a private mapping of placeholders only in an approved system; never paste the mapping into the AI service.

Configure technical controls for approved use

Identity and least privilege

Use individual accounts, single sign-on, multi-factor authentication, role-based access, and automatic offboarding. Limit who can upload restricted data, create shared assistants, export conversations, or change retention and training settings. Review administrator privileges separately from ordinary user access.

A FIDO2 hardware security key can be an optional phishing-resistant MFA method where your identity system supports it. It protects account sign-in; it does not protect prompts after an authorized user submits them and does not replace vendor diligence, minimization, or policy controls.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Logging and monitoring

Enable logs for sign-ins, prompt or file submission where lawful, sharing, exports, administrator changes, and policy exceptions. Restrict log access because logs can themselves contain sensitive text. Establish alert thresholds for bulk uploads, use of unapproved connectors, public sharing, and attempts to submit credentials or regulated data.

Encryption, API, and isolation

Verify encryption in transit and at rest, key-management responsibilities, API authentication, rate limits, secret storage, network restrictions, and separation between your workspace and other tenants. For an internally developed system, document whether customer inputs can enter future training sets and how model, vector-store, cache, backup, and telemetry data are isolated.

Data-loss prevention and connectors

Apply endpoint or gateway controls that detect credentials, government identifiers, financial numbers, and other restricted patterns before submission. Review browser extensions, plug-ins, retrieval connectors, email integrations, and file-sync permissions; a safe chat setting cannot compensate for an overbroad connector.

A safe operating procedure for staff

  1. State the task. Record the business purpose and the expected output.
  2. Classify the data. Mark personal, health, financial, privileged, trade-secret, credential, or restricted content.
  3. Check approval. Confirm that both the service and the specific use case are on the approved list.
  4. Minimize. Remove unnecessary fields, attachments, metadata, and identifying context.
  5. Transform. Use consistent placeholders or a hypothetical scenario and test for re-identification.
  6. Verify settings. Confirm retention, training-use, sharing, workspace, and regional-processing settings before submission.
  7. Submit the smallest excerpt. Do not upload an entire client file when a paragraph or structured summary is sufficient.
  8. Review the output. Check for hallucinated facts, copied confidential details, unsupported legal or technical advice, and accidental disclosure before sharing.
  9. Store appropriately. Move any approved final output into the organization’s controlled repository; do not rely on the AI chat as the authoritative record.
  10. Record the use. Keep the tool, date, data class, purpose, reviewer, and any exception required by policy.
  11. Report concerns immediately. Escalate a wrong-recipient share, unexpected retention, exposed credential, policy violation, or suspected breach through the designated channel.

Write a policy that survives product changes

A usable policy names approved tools and versions or workspaces, permitted data classes, prohibited inputs, allowed tasks, required review, retention expectations, and escalation contacts. It should distinguish experimentation with public tools from production work involving client information.

Assign an owner for vendor review and a separate owner for security operations. Require a review when a provider changes terms, model behavior, connectors, storage regions, administrator features, or default privacy settings. The Singapore guide warns that free-tool privacy settings may be reset by updates and recommends regular verification.

Train staff with realistic examples: a redacted clause, a support ticket containing an API key, a spreadsheet with indirect identifiers, and a request to summarize a privileged investigation. Explain that copying a client document into a personal account, browser extension, or consumer plug-in can bypass the approved service even when the employee’s intent is legitimate.

Keep appropriate records without collecting unnecessary copies of prompts. The Singapore guide’s sample governance approach includes staff training, quarterly review of issues, and immediate reporting of misuse, errors, or breaches. Adapt the review interval to your risk and regulatory obligations.

What to do if confidential data was submitted

  1. Stop further disclosure. End the session, revoke shared links, disable exposed connectors, and rotate any credential that appeared in the prompt.
  2. Preserve evidence. Record the account, workspace, time, material submitted, recipients, settings, and relevant terms without circulating the sensitive content unnecessarily.
  3. Notify the incident owner. Follow the organization’s incident route immediately; do not conceal the event or negotiate directly with the provider outside the approved process.
  4. Ask the provider for containment. Request deletion, retention details, access records, subprocessor information, and confirmation of whether the material entered training, abuse-monitoring, backups, or exports.
  5. Assess obligations. Involve privacy, security, legal, and the client contact as required by contract, professional rules, and applicable breach-notification law.
  6. Correct the control. Update the policy, block the path that allowed the submission, retrain users, and verify the fix with a documented test.

Common mistakes and better alternatives

Mistake Why it fails Better practice
Choosing a tool because it says “enterprise.” The label does not prove a particular retention period, training restriction, region, or access model. Review the binding terms, configuration, security scope, and deletion process for the exact edition.
Turning on “do not train” and assuming the problem is solved. Retention, support access, backups, transfers, or settings reset by updates may still apply. Verify all data flows and recheck settings after changes.
Redacting only names. Rare facts and combinations of ordinary details can re-identify a subject. Minimize context, generalize unique facts, and test whether inference remains easy.
Uploading the whole file for convenience. It exposes more information and increases the impact of retention or misuse. Use a short excerpt, structured summary, or hypothetical.
Relying on a vendor certificate as a guarantee. Assessments cover a defined scope and period and do not validate your settings or staff behavior. Combine independent evidence with least privilege, logging, minimization, and contractual remedies.
Allowing shared accounts. You lose individual accountability and make offboarding and investigations harder. Use named accounts, SSO, MFA, role-based access, and auditable administration.

Jurisdiction and professional-duty limits

The Singapore Ministry of Law guide is written for Singapore law practices and in-house legal teams. Its recommendations on enterprise assurances, free-tool settings, contextual re-identification, MFA, vendor diligence, training, and incident reporting are useful more broadly, but they are not universal legal advice.

Final decision rule

Do not put confidential client data into a generative-AI service until you can explain, in writing, what is submitted, why it is necessary, who can access it, where it is processed, how long it is retained, whether it is used for training or shared, how it will be deleted, and what happens if something goes wrong. If any answer is unclear, use a less sensitive transformation, an approved isolated environment, or no external AI service for that task.
