Protecting client confidentiality with an AI legal tool requires more than selecting a product labeled “private” or “enterprise.” Treat every prompt, upload, connector and generated file as part of a data-processing system. Before using client material, identify the rules governing the representation, verify how the tool collects, stores, uses, shares and deletes data, minimize what you provide, obtain informed consent when the circumstances require it, restrict connected-system access, and keep a lawyer responsible for every action and output.
The ABA Model Rules provide a useful baseline, but your jurisdiction, engagement terms, court orders, client instructions and the tool’s live configuration control the answer for a particular matter. California’s 2025 practical guidance is especially explicit about material confidentiality risks, integrated agents and human review; it should not be treated as a universal rule for every state.
Start with the governing duty, not the software
AI does not replace a lawyer’s existing confidentiality obligations. ABA Model Rule 1.6(a) states: “A lawyer shall not reveal information relating to the representation of a client unless the client gives informed consent, the disclosure is impliedly authorized in order to carry out the representation or the disclosure is permitted by paragraph (b).” The rule also requires reasonable efforts to prevent inadvertent or unauthorized disclosure of, or unauthorized access to, information relating to a representation.

ABA Formal Opinion 512, issued July 29, 2024, places generative-AI use within the lawyer’s existing duties of competence, confidentiality, communication, supervision, candor to the tribunal, meritorious claims and reasonable fees.

Model rules are not automatically the controlling law. Before approving an AI workflow, check:
- The professional-conduct rules and ethics opinions in every jurisdiction involved in the representation.
- Protective orders, court rules, discovery agreements and outside-counsel guidelines.
- The engagement letter, client security addendum and any written client instruction restricting artificial intelligence.
- Whether the information is privileged, work product, personally identifiable, regulated, subject to a trade-secret restriction or covered by a contractual nondisclosure duty.
Record the basis for your decision in the matter’s normal compliance or technology-approval process. If the governing rule or client instruction is unclear, pause the proposed use and obtain jurisdiction-specific advice rather than assuming that an ordinary implied authorization covers a new data-processing service.
Map what the tool does with every input and output
A vendor’s general privacy statement or marketing assurance is not a substitute for understanding the actual product and configuration. Obtain current terms, privacy documentation, security documentation and administrator settings for the exact edition you plan to use. Ask the vendor to answer in writing where the public documentation is ambiguous.

| Control area | Question to answer | Why it matters |
|---|---|---|
| Collection | What prompt text, files, metadata, telemetry and account information are collected? | Information can be disclosed through fields that users do not regard as part of the “prompt,” including filenames, comments or document metadata. |
| Use | Are inputs used only to provide the requested service, or for analytics, product improvement, model refinement or another purpose? | A secondary use may be a disclosure or risk that requires a different client or jurisdictional analysis. |
| Retention and deletion | How long are prompts, uploads, logs, embeddings, backups and outputs retained, and how is deletion requested and verified? | Deleting a chat view may not delete copies held in logs, backups or connected indexes. |
| Disclosure | Which affiliates, subprocessors, support personnel or other customers can access data, and in what circumstances? | Third-party access must be included in the confidentiality and security assessment. |
| Security | What authentication, authorization, encryption, tenant separation, monitoring and incident-notification controls are actually enabled? | A security claim is useful only when it describes the service and configuration used for the matter. |
| Training or refinement | Can customer content be used to train, fine-tune or evaluate a model, and is the setting account-wide or workspace-specific? | A default or later configuration change can expose matter information beyond the intended task. |
| Connected access | Can the system read firm repositories, email, calendars, messaging, knowledge bases or client files? | Connectors expand the set of information an error or compromised account can reach. |
| Autonomy | Can the system send messages, edit records, file documents or take another external action without approval? | Autonomous transmission requires stronger safeguards and human review than a read-only drafting aid. |
Assess the product as configured, including administrator policies, plug-ins, browser extensions, mobile clients and integrations. A private workspace or an “enterprise” label does not, by itself, establish that the service meets a particular ethical, contractual or legal requirement. California guidance notes that reasonable efforts may include consulting qualified information-technology or cybersecurity professionals.
Use a matter-level approval workflow
Do not make a one-time, firm-wide decision and assume it covers every use. Approve a specific tool for a defined class of tasks, data and users, then reassess it when the product, configuration or task changes.

- Describe the task. State whether the system will summarize a public opinion, classify internal documents, draft a client communication, analyze discovery or perform another function. The task determines the necessary data and the consequences of an error.
- Classify the information. Separate public information from confidential client information, privileged material, personal data, trade secrets and information subject to a protective order. Apply the strictest applicable handling rule when categories overlap.
- Match the task to an approved configuration. Confirm the account, region, retention setting, connector permissions, model option and logging behavior. Capture screenshots or an administrator record when settings are material to the approval.
- Decide whether communication or consent is needed. Consider the jurisdiction, the risk created by the tool, the client’s instructions and the sophistication of the client. Document the reasoning and any consent in the matter file.
- Define the review gate. Identify who must inspect prompts, retrieved documents, generated text and proposed external actions before use or transmission.
- Set an expiration or review date. Recheck the approval when the vendor changes terms, introduces a connector, changes retention or adds autonomous features.
Minimize the information that enters the system
The safest sensitive data is data the tool never receives. Give the system only what is necessary for the approved task, and remove context that does not affect the answer.
Reduce direct identifiers
Where effective, replace names, account numbers, addresses and other identifiers with neutral labels. Use hypothetical or synthetic facts for prompt design and testing. Anonymization is not a guarantee: a distinctive timeline, unusual transaction, combination of locations or other remaining context may still identify a client or matter. Review the transformed text and files as a whole, not just the obvious names.
Inspect files and metadata
Before uploading, check document properties, tracked changes, comments, hidden sheets, embedded images, redactions, filenames and folder paths. A PDF that looks clean on screen can still contain author names, earlier versions or copied text. Remove unnecessary attachments and split a task into smaller inputs when the tool does not need the entire matter file.
Keep prompts operational
Describe the desired format and legal issue without pasting unrelated facts. For example, ask an approved system to identify headings in a redacted contract rather than supplying the client’s full transaction history. Keep a local reference to the authoritative source so the generated response can be checked without repeatedly sending the same confidential material.
Decide when informed consent or client communication is required
Consent is fact- and jurisdiction-dependent. California’s practical guidance states: “As a general matter, a lawyer must not input any confidential information of the client into a generative AI solution that may present material risks to confidentiality or security, absent informed client consent (see rule 1.0.1(e)) as to the underlying risks.” That is California guidance, not a universal declaration that every AI use in every jurisdiction requires consent.

Analyze at least four questions:
- Does the proposed use disclose confidential information to a service provider or another party?
- Are the risks material in light of the tool’s retention, training, security, access and autonomy features?
- Has the client given specific instructions, restrictions or approval in the engagement or a later communication?
- Would a reasonable client expect to be told about this technology, its benefits, limitations and risks for this representation?
Communication duties can arise throughout the representation, not only when the engagement begins. Explain the intended use, the type of information involved, the safeguards and the effect on the work when those facts are important to the client’s decision. Obtain informed consent in the form and manner required by the applicable rule; do not present a vague statement that “AI may be used” as consent to every future tool and data flow.

If a client prohibits AI use, follow that instruction even when the lawyer believes the tool is secure. If the tool presents a material confidentiality or security risk and consent is unavailable or declined, use a different workflow or do the work without that tool.
Treat integrated and agentic systems as higher-risk
An isolated drafting interface usually receives what a user deliberately submits. An integrated or agentic system may retrieve documents, observe communications, call other services and act on a user’s behalf. The larger the reachable data set and the greater the autonomy, the more severe a configuration error can be.
Limit permissions to the task
- Use a dedicated workspace or service identity rather than a personal account where the firm’s controls require it.
- Grant read access only to the repositories and matters needed for the approved task.
- Block cross-matter search and retrieval unless the task and client permissions expressly allow it.
- Separate development, testing and production data; never test a new connector with an unrestricted client repository.
- Require multifactor authentication, role-based access and prompt or file logging consistent with confidentiality obligations.
Put a human gate before external action
Require a named reviewer to approve emails, messages, filings, calendar changes, database edits, document sharing and other external transmissions. The reviewer should see the proposed action, the source material, the recipient or destination and the permissions used to create it. California guidance warns that a poorly configured agent can disclose information across matters and requires appropriate safeguards and human review for autonomous external transmission.
Monitor behavior
Review access logs, unusual retrievals, bulk downloads, failed authorization checks and unexpected outbound actions. Establish a stop or disable procedure that staff can use immediately. Monitoring is a control, not proof that an incident did not occur; investigate anomalies and preserve relevant records under the firm’s incident process.

Keep legal judgment and verification with the lawyer
AI-assisted text can be incomplete, inaccurate, outdated or based on a misunderstood prompt. California guidance emphasizes that use of AI must not diminish or abdicate professional judgment and that the lawyer remains fully responsible for AI-assisted outputs and work product.
Separate two review questions:
- Confidentiality review: Did the prompt, retrieval, output or transmission expose information beyond the approved people, matters and services?
- Substantive review: Is the result accurate, supported by the source documents and current law, appropriate for the client’s objective and compliant with court and professional requirements?
For substantive verification, trace propositions to the underlying authority, compare summaries with the original documents, check quotations and citations, test calculations, and confirm that jurisdiction and date assumptions are correct. Do not treat a clean confidentiality review as validation of legal accuracy, and do not send an AI-generated filing or client advice merely because it contains no obvious confidential information.
Reassess the tool when it is used for a new legal task, when its model or connectors change, or when the firm learns of a new failure mode. An approval for document classification does not automatically cover legal research, discovery responses or autonomous communications.

Assign responsibility
Name the owner for technology approval, information security, records retention, incident response and professional supervision. Require lawyers to supervise staff, contractors and software agents whose work contributes to a representation.
Train users on practical failure points
Training should cover prompt and file inspection, metadata, connectors, cross-matter retrieval, phishing and account compromise, output verification, client instructions and incident escalation. Use realistic exercises with synthetic facts rather than asking employees to practice on live matters.
Update controls
Review the policy and approved-tool register when a vendor changes terms, retention, model training, subprocessors, security controls or autonomous capabilities. California guidance recommends policies, training, supervision and updates as systems become more integrated or autonomous.

What to do if confidential data may have been exposed
- Stop the flow. Disable the connector, revoke tokens, suspend the account or switch off the agent before attempting extensive troubleshooting.
- Preserve evidence. Record the prompt or file, timestamps, account, recipients, settings, logs and actions taken. Avoid altering records that may be needed for investigation.
- Notify the responsible people. Escalate to the supervising lawyer, firm security or privacy lead, and any incident-response team identified in policy.
- Assess the scope. Determine which matters, data categories, users, services and external recipients were involved and whether retention or deletion is possible.
- Apply legal and contractual requirements. Evaluate duties to the client, court, insurer, regulator, opposing counsel or other party under the governing jurisdiction and agreements.
- Correct the workflow. Remove the unsafe permission or setting, update the approved configuration, retrain users and document the decision before resuming.
Do not promise a client that data was fully deleted or that no disclosure occurred until the relevant logs, vendor response and legal analysis support that conclusion.
A practical pre-use checklist
- Have you identified the controlling jurisdiction, court requirements, engagement terms and client instructions?
- Is the exact tool, account, model, region and configuration approved for this task?
- Do you know how prompts, files, metadata, outputs, logs and backups are collected, used, retained, deleted and disclosed?
- Is model training or refinement from customer content disabled or otherwise addressed?
- Have you removed unnecessary identifiers, attachments and metadata without assuming anonymization is perfect?
- Have you decided whether client communication or informed consent is required and documented the decision?
- Are connector permissions limited to the necessary matter and role?
- Is a human review required before any external transmission or consequential action?
- Will a lawyer verify the output against source documents and current law?
- Do users know how to stop the system and report a suspected exposure?
How to compare tools without relying on labels
When evaluating two legal-AI products or configurations, compare the data lifecycle and control evidence rather than names, marketing categories or a single security feature. Ask for current documentation and test the settings you will actually deploy.
| Comparison axis | Evidence to request | Decision question |
|---|---|---|
| Prompt and file handling | Data-flow description, field list and administrator controls | Can the service limit collection to what the task needs? |
| Model training or refinement | Contract language and an enforceable account or tenant setting | Can client content be excluded from training and product improvement? |
| Retention and deletion | Retention schedule, deletion process and backup treatment | Can the firm meet its matter, client and legal deletion obligations? |
| Third-party access | Subprocessor list, support-access rules and notification terms | Are all disclosures understood and acceptable for the representation? |
| Security and identity | Authentication, role controls, encryption, logging and incident notices | Can the firm restrict and investigate access? |
| Firm-system access | Connector scopes, indexing boundaries and cross-matter controls | Can retrieval be confined to the approved matter? |
| Autonomy | Action permissions, approval gates and audit records | Can a human review every consequential external action? |
| Change management | Notice of model, terms, subprocessor and feature changes | Will the firm know when its approval must be revisited? |
The available official guidance does not establish a universal certification threshold, vendor ranking or product that is automatically compliant. A tool is appropriate only for a defined use after the responsible lawyer and firm controls address the actual risks.
