The reliable way to stop pre-departure copying is a layered program: classify trade-secret repositories, limit access by need to know, monitor downloads and transfers, control removable media and external sharing, and execute a documented notice-to-separation checklist. No single alert or product proves intent. The combination of preventive controls, timely access decisions, and preserved logs gives you the best chance of preventing loss and establishing what happened.
Start the process before anyone resigns. When notice arrives, reassess the person’s access and device posture immediately, decide whether duties require continued access, document that decision, and coordinate HR, the manager, security and legal. Terminate digital and physical access at the approved time, recover company property, and preserve evidence before devices or accounts are wiped or reassigned.
Why a layered approach matters
Trade secrets can leave through ordinary business tools: a cloud download, an archive file, an email attachment, a personal-storage upload, a USB write, a photograph of a screen or a copy made while an employee still has legitimate access. Blocking one route while ignoring the others leaves a large gap.
Department of Justice best-practice material recommends exit procedures, compartmentalized access, real-time monitoring and auditing, and content-management, data-loss-prevention (DLP) and network-forensics tools. The same material says most employee intellectual-property theft occurs within one month of resignation; treat that as DOJ guidance for prioritizing controls, not as a prediction about every employee.

CISA describes the needed program this way: “A holistic insider threat mitigation program combines physical security, personnel awareness, and information-centric principles.” That means technical controls must be backed by clear policies, trained managers, consistent enforcement and a response plan.
Map and classify the information worth protecting
Inventory repositories and copies
List where sensitive information exists, not just the primary file server. Include source-control projects, engineering and design stores, customer and pricing databases, contract folders, product road maps, research environments, shared drives, collaboration sites, SaaS applications, email archives, backup systems and test environments. Record the business owner, system owner, administrators, normal users, external collaborators and retention period for each repository.
Map the ways data can be copied from each location. A repository may allow browser downloads, synchronization to a workstation, API export, report generation, email sharing or access through a mobile application. These paths determine which logs and controls you need.
Use a practical classification scheme
Define labels that employees can apply consistently, such as Public, Internal, Confidential and Trade Secret. For the highest tier, document why disclosure would harm the business, who may access it, whether downloading is necessary, which external sharing is allowed and how long records are retained. Classification is useful only when it changes permissions, handling instructions or monitoring; a label that has no control behind it creates false confidence.

NIST SP 1800-28 addresses identifying and protecting assets against data-confidentiality attacks. Use its asset-identification principle to connect each sensitive data set to an owner, a protection requirement and a recovery or investigation procedure.
Reduce the opportunity to copy data
Compartmentalize access
Grant access by role and project, with the smallest practical scope. Separate development, production, customer, finance and research environments. Keep highly sensitive repositories out of broad departmental shares. Review group membership and inherited permissions on a schedule, and require an approver for exceptions.
Use just-in-time or time-limited elevation for administrative tasks where your systems support it. Require multifactor authentication, especially for remote access, privileged accounts and applications that can export data. Disable dormant accounts and remove access when a project ends rather than waiting for an employment event.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
Control sharing, downloads and endpoints
- Require approval for external shares and set expiration dates where available.
- Block automatic forwarding from corporate mail to personal addresses, or alert and review exceptions.
- Restrict bulk downloads and exports for high-risk repositories; allow a documented business exception rather than an informal bypass.
- Use managed devices with encryption, screen lock, current security updates and a known security posture before granting sensitive access.
- Control synchronization folders so a sensitive repository is not silently mirrored to an unmanaged computer.
- Manage removable media: allow only company-issued, encrypted devices, record device identifiers and block USB storage on systems that do not need it.
These measures are preventive, but they also improve attribution. A small, named population with explicit approvals creates a clearer baseline than a shared account or an open network drive.

Compare control choices
| Control | Visibility | Prevention strength | Evidence quality | Deployment and privacy trade-off |
|---|---|---|---|---|
| Role-based and compartmentalized access | Identity, repository and permission use | High for unauthorized access; moderate for copying by an authorized user | Strong access and approval records | Moderate setup effort; requires accurate role design and periodic review |
| Cloud and file-service audit logs | Reads, edits, shares, downloads and deletions in covered services | Low to moderate unless paired with download or sharing restrictions | Strong when timestamps, user IDs, object names and source addresses are retained | Usually low user impact; retention and provider coverage must be checked |
| Endpoint monitoring | Local file access, archive creation, process activity and device transfers | Moderate; can block or alert on risky actions when configured | Strong for workstation activity if the agent is healthy and logs are protected | Higher deployment and privacy impact; disclose monitoring and limit collection |
| Email and external-sharing controls | Messages, attachments, forwarding and shared links | Moderate to high for common exfiltration routes | Strong message and policy-decision records, subject to retention rules | Moderate integration effort; false positives can interrupt legitimate work |
| DLP policies | Content-aware movement across endpoint, cloud, email or web channels | High when data is classified and rules are tuned | Useful event context, including matched policy and destination | High tuning burden; inspect only what is necessary and permitted |
| Managed USB and removable-media controls | Device connection and writes to removable storage | High for the USB route | Good device, user, file and time records when integrated with endpoints | Moderate hardware and support effort; exceptions need approval |
| Privileged-access management | Elevated sessions, commands and account use | High for administrator misuse | Strong session and approval trails | Higher cost and operational effort; emergency access needs a documented path |
| Physical controls and property custody | Badges, keys, laptops, phones and paper records | High for physical removal and unauthorized entry | Custody records and badge events support timelines | Moderate administrative burden; apply consistently to all comparable roles |
Monitor for behavior that merits review
Monitoring should identify unusual movement without treating a single event as proof of theft. Establish a normal baseline for each role, then alert on combinations such as a sudden bulk read, creation of a large archive, repeated downloads outside normal working patterns, a new external share, forwarding to a personal address, uploads to personal storage, or writes to removable media.
Capture, where lawful and technically available, the user identity, device, source address, repository, object or file name, action, timestamp, volume, destination and policy decision. Synchronize clocks across identity, endpoint, cloud, email and network systems so events can be ordered reliably. Protect logs from alteration and restrict who can view them.
Tune alerts and retention
Start with high-value repositories and a small set of high-confidence rules. Review false positives with data owners, document approved exceptions and adjust thresholds by role. A build engineer who creates large release archives may be normal; the same action followed by a personal-cloud upload may not be.
Set retention periods that cover your employment, incident-response and legal needs, while respecting privacy and labor requirements. Test that logs are actually retrievable, including from terminated accounts and former devices. An alert that exists only in a short-lived console is not a dependable evidence trail.

Run a notice-to-separation playbook
Before anyone gives notice
- Maintain the data map. Keep the inventory, classification labels, owners and approved access groups current.
- Prepare technical controls. Use role-based access, multifactor authentication, privileged-access review, DLP, download restrictions and managed removable media.
- Define alert coverage. Monitor bulk reads, archive creation, unusual cloud uploads, personal-email forwarding and USB writes. Record the retention period and the person responsible for reviewing alerts.
- Keep policies current. Confidentiality, acceptable-use, return-of-property and monitoring policies should explain permitted handling, company ownership, investigations and consequences. Apply them consistently rather than creating a special rule for one employee.
- Exercise the checklist. Confirm that HR can notify the right security contact, IT can disable every identity and facility system, managers know how business records will be transferred, and legal can be reached for a high-risk case.
When notice arrives
- Limit the need-to-know group. Include HR, the manager, IT or security and legal as appropriate. Do not broadcast the resignation or an allegation.
- Review access immediately. Reassess repository permissions, external shares, forwarding rules, recent downloads and the security posture of every device used for work. WIPO advises assessing the risk of allowing a departing employee access until the last day.
- Choose and document an access decision. Access may be maintained for continuity, reduced to selected systems, or supervised. Record the approver, effective time, business reason, systems affected and any compensating controls. Consider whether the person is moving to a competitor, has access to unusually valuable information, or is under a short notice period, but do not infer misconduct from a job change alone.
- Give a written reminder. Restate confidentiality, acceptable-use, return-of-property and non-disclosure obligations that apply to the employee. Ask the employee to identify business records stored locally or in personal locations so they can be returned through an approved process.
- Plan legitimate work transfer. Move records through approved repositories and assign a replacement owner. Do not ask the employee to make an ad-hoc personal copy merely to keep the business running.
On the final working day
- Disable access at the approved time. Terminate the identity-provider account, VPN, SaaS sessions, email, API tokens, privileged credentials and physical access. Revoke active sessions and refresh tokens where the service supports it; changing a password alone may leave sessions alive.
- Collect company property. Retrieve laptops, phones, badges, keys, removable media, paper records and other issued equipment. Record serial numbers, condition, date, collector and handoff so custody is clear.
- Confirm transfer and closure. Verify that business records are in approved repositories, external shares are removed or reassigned, forwarding rules are disabled and automated jobs or integrations owned by the employee have a new owner.
- Preserve before reuse. Preserve relevant logs and devices before wiping, reimaging or reassigning them. If an investigation is possible, isolate the device according to your legal and forensic plan rather than browsing it casually.
After separation
Complete an account and entitlement review across every system, including less visible SaaS applications, code repositories, service accounts, API keys, certificates, shared passwords and physical facilities. Verify that backups, mobile-device-management records and cloud audit data remain available for the retention period. Close the offboarding ticket only after an owner has confirmed each item.
How to determine whether files were copied
Build a cross-system timeline
Preserve endpoint, cloud, email, DLP, identity, network and access-control logs. Correlate the user, device, file or object, action, timestamp, source and destination. Look for a sequence rather than an isolated event: access to an unusual repository, creation of an archive, a download or synchronization, and a subsequent transfer to an external destination.
| Evidence source | Questions it can answer | Preservation notes |
|---|---|---|
| File and cloud audit logs | Which account read, changed, shared, downloaded or deleted an object? | Export in a tamper-evident format with the provider’s timezone and event identifiers. |
| Endpoint records | Was an archive created, a removable device attached, or a synchronization client used? | Preserve the device and agent logs before reimaging; record the custodian and hash forensic images when appropriate. |
| Email and collaboration logs | Were files attached, forwarded, or shared with a personal or external account? | Retain message headers, attachment metadata, recipient information and policy actions. |
| DLP and web-proxy events | Did classified content leave through a web upload, personal storage or another channel? | Keep the matched rule, content identifier, destination and analyst decision; avoid retaining more content than necessary. |
| Identity and physical-access systems | Was the account used and was the person present or a device connected at that time? | Synchronize clocks and preserve badge, VPN, MFA and session records with access controls. |
Separate indicators from proof
A large download can be a legitimate project handoff; a missing download log does not prove that no copy occurred. Document what the records establish, what remains unknown and which systems were not covered. Keep an evidence register with collection time, collector, source, file format, hash where applicable, storage location and every transfer of custody. Do not edit original exports while analyzing them; work from verified copies.
What to do when copying is suspected
- Preserve first. Stop routine log rotation where possible, retain relevant cloud and email data, and secure devices and accounts identified in the timeline.
- Do not confront the employee impulsively. An accusation can prompt deletion, alert a potential recipient or create employment and privacy risk. Coordinate communications through HR and legal.
- Obtain specialized advice. Trade-secret counsel can assess evidence, injunctions, civil remedies, criminal referral, employment restrictions and jurisdiction. Cross-border data, unionized workplaces and regulated information may require additional procedures.
- Use proportionate searches. Search company systems and devices only under an approved plan, with a defined scope, documented authority and appropriate privacy, labor and employment safeguards.
- Contain continuing access. Revoke tokens, rotate credentials and remove external shares while preserving the records showing what changed and when.
- Document decisions. Keep a chronology of alerts, approvals, collections, interviews, notifications and remedial actions. A defensible process is as important as a technical finding.
Make people and policy part of the control
Employees should know what the company considers confidential, where trade-secret material may be stored, which transfers are prohibited, how to request an exception and what must be returned at separation. Short, role-specific training is more useful than a generic annual acknowledgment. Managers need a simple route to report a resignation and a script that reminds the employee of obligations without making an unsupported accusation.

The Federal Trade Commission advises: “Have a procedure in place for making sure that workers who leave your employ or transfer to another part of the company no longer have access to sensitive information.” Put that procedure in a ticket or checklist with named owners and completion evidence. Apply the same baseline to employees, contractors and temporary staff when their access and duties are comparable.
Common failures and their fixes
- Open shared drives: Replace department-wide access with project groups, owners and periodic recertification.
- One generic offboarding email: Use a system-by-system checklist covering identity, SaaS, VPN, email, API tokens, devices and facilities.
- Logs that are never tested: Run retrieval exercises and confirm timestamps, identities and retention before an incident occurs.
- Alert overload: Prioritize high-value repositories, tune by role and require analysts to record dispositions.
- Uncontrolled exceptions: Time-limit downloads, external shares and removable-media access, with an approver and business reason.
- Wiping devices too soon: Preserve relevant devices and logs before reimaging or reassignment.
- Inconsistent monitoring: Publish the policy, limit collection to a legitimate purpose and apply the same standards to comparable workers.
- Assuming intent: Treat alerts as leads, validate with multiple records and let HR and legal guide interviews or restrictions.
Governance, review and legal limits
Assign an executive owner for the trade-secret program and operational owners for classification, access reviews, logging, DLP, property custody and incident response. Measure completion and quality rather than surveillance volume: percentage of high-risk repositories with owners, overdue access reviews, successful offboarding tests, log-retrieval time, alert false-positive rates and the number of unmanaged external shares.
Monitoring, searches, employee restrictions and trade-secret remedies vary by jurisdiction. Privacy, labor, employment, records-retention and cross-border rules may limit what you collect, how long you retain it and who may review it. Obtain legal advice before an investigative search, accusation, disciplinary action or litigation step. Use documented, proportionate controls and disclose monitoring as required.

A strong program makes copying difficult before notice, detects unusual movement while access is still legitimate, and preserves enough reliable evidence to explain events afterward. Maintain the data map, restrict access by need to know, monitor every practical transfer path, and treat notice as a controlled security event. Then disable access and recover property at the approved time, preserve records before reuse, and escalate suspected copying through a coordinated HR, security and legal process.
