Start preparing before a buyer sends a request list. Assign one internal owner, assemble a small cross-functional team, build a secure and indexed data room, reconcile your records, verify ownership of intellectual property and contractual rights, and run a mock diligence review with qualified advisers. Continue operating the company while requests are handled, disclose sensitive information in stages, and document every gap rather than hoping it stays hidden.

Acquisition diligence is not a one-time upload. It is a maintained system that lets a buyer verify what the company owns, earns, owes, operates, and can legally transfer. The exact scope depends on your jurisdiction, industry, stage, transaction structure, and buyer, so use this guide as an operating framework rather than jurisdiction-specific legal, tax, accounting, or valuation advice.

What acquisition due diligence examines

A buyer is testing whether the business, assets, revenue, people, technology, and obligations match the story presented in management meetings and forecasts. Findings can change price, transaction scope, required protections, closing conditions, or the buyer’s willingness to proceed.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Ownership: Does the company own its shares, code, brands, domains, data, equipment, and other assets, and can those assets be transferred?
  • Performance: Do statutory accounts, management reports, bank records, forecasts, and customer metrics reconcile?
  • Legal exposure: Are contracts, claims, employment arrangements, taxes, licenses, privacy practices, and regulatory obligations understood and manageable?
  • Continuity: Can the product, infrastructure, customer relationships, and key processes continue after a change of control?
  • Deal mechanics: Are consents, approvals, debt terms, options, warrants, liens, and other obligations identified early enough to address them?

Orrick’s technology-company M&A guidance and GOV.UK investment-readiness guidance both emphasize starting the room when an exit becomes realistic. Early preparation gives you time to correct records, obtain signatures, renegotiate problematic terms, and explain unusual results before a buyer treats them as surprises.

Set ownership, scope, and a working cadence

Appoint one accountable owner

Name a single point person—often the CFO, COO, or another senior operator—to control the index, permissions, document status, and response queue. This person does not answer every question personally. They route finance questions to finance, code and security questions to engineering, customer questions to sales, employment questions to HR, and legal interpretations to counsel.

Create a small project team that knows how the company actually works. Give each workstream a backup so a single departure or holiday does not stop responses. Maintain a weekly or biweekly readiness meeting, a list of open issues, and a date for the next refresh of recurring materials. The cadence should be light enough that product delivery and customer service continue normally.

Define the transaction and business perimeter

Clarify what may be sold: the whole company, a subsidiary, selected assets, a product line, or shares. Identify which entities, countries, products, data sets, employees, contracts, and intellectual-property rights belong inside that perimeter. A buyer’s diligence will be inefficient if records from excluded entities are mixed with the target or if a critical asset sits outside the proposed deal.

Tailor the scope to the sector. A software company may need source-code history, open-source compliance, cloud architecture, security controls, privacy records, and assignment agreements. A regulated or export-sensitive company may also need licenses, export-control records, security clearances, spectrum rights, or other sector evidence. Those examples are not universal requirements; they illustrate why a generic checklist is insufficient.

Build a secure, indexed data room

Use a secure online repository in which access can be granted, limited, revoked, and audited. Apply consistent numbering and descriptive filenames, retain an authoritative current version, and preserve prior versions when they explain a historical decision or amendment. An index should identify the document owner, period covered, last update, status, and any known limitation.

GOV.UK recommends software with permission management, version control, and detailed access logs. Orrick likewise recommends a logical structure and consistent naming and numbering. Test the room from a user account with the same permissions a buyer will receive; broken links and overbroad access are avoidable credibility problems.

Suggested top-level structure

Folder Typical contents Checks before release
01 Corporate and governance Formation and constitutional documents, statutory books, board and shareholder minutes, organization chart, capitalization table, financing agreements, shareholder agreements, options, equity incentives, debt, warrants, and approval or change-of-control provisions. Entity names and ownership agree across the cap table, filings, and financing documents; approvals are signed and dated.
02 Financial Statutory or audited accounts where available, current management accounts, budgets, forecasts, revenue and margin analysis, cash and debt schedules, leases, reconciliations, working-capital material, customer concentration, and one-off costs. Periods, definitions, totals, and explanations reconcile; unusual variances have supporting notes.
03 Tax Filed returns, assessments, audits, tax correspondence, payroll and indirect-tax records where relevant, and evidence supporting credits or incentives. Open audits, payment plans, uncertain positions, and incentive eligibility are identified.
04 Commercial Product and service descriptions, strategy, market material, pipeline, revenue detail, customer and supplier lists, concentration, churn or retention measures where used, and customer, vendor, reseller, and partnership agreements. Metrics have definitions and periods; lists tie to contracts and revenue records.
05 Legal and contracts Material executed agreements, licenses, leases, litigation and threatened claims, insurance and claims, permits, regulatory correspondence, employment and contractor agreements, and unusual obligations. Uploaded copies are complete, executed, current, and accompanied by amendments.
06 Intellectual property and technology Patents and applications, trademarks, copyrights, domains, trade-secret controls, invention and assignment agreements, software and open-source inventories, licenses, architecture, infrastructure, development records, security, incidents, and recovery plans. Ownership chains, license obligations, repositories, and security evidence are traceable to the relevant asset.
07 People and HR Employee and contractor roster, roles, compensation and benefits, equity grants, policies, key-person dependencies, retention needs, and material claims. Access to personal records is restricted; equity and employment terms match payroll and board approvals.
08 Privacy, cybersecurity, and compliance Data inventory, privacy notices and policies, security controls, incidents and breaches, vendor-processing arrangements, regulatory obligations, and compliance evidence. Personal and security-sensitive material is minimized or redacted until disclosure is justified.
09 Insurance and other assets Policies, claims, equipment and property lists, leases, liens, and relevant environmental or regulatory material. Coverage, exclusions, ownership, and liens are current and documented.

This is a practical index synthesized from GOV.UK, Orrick, and other transaction guidance, not a universal buyer checklist. Add or remove folders to match the company and transaction.

Reconcile records and explain the numbers

Accuracy matters as much as completeness. Compare management reporting with statutory accounts, tax filings, bank statements, debt schedules, and board materials. Reconcile revenue definitions, customer and product segments, cash, debt, deferred revenue, taxes, material expenses, and working capital as applicable to your business.

Mark one-time items—such as a settlement, unusual implementation cost, founder expense, restructuring charge, or exceptional customer credit—and attach a concise explanation with evidence. Separate verified facts from estimates and management judgments. If a metric changed definition, show the old and new definitions and the bridge between them rather than presenting an apparently continuous series.

Maintain an issue register with five fields: what happened, when, financial or operational effect, current status and mitigation, and substantiating documents. Known problems are easier to manage when disclosed with context than when discovered through an inconsistent spreadsheet or an unexplained contract.

Verify intellectual-property ownership and technology rights

Trace every material asset

For each product, codebase, brand, domain, dataset, design, and invention, record who created it, which entity owns it, what agreement transfers or licenses it, and what restrictions apply. Confirm employee and contractor invention-assignment documents, including for former workers and founders. Check whether grants, co-development arrangements, security interests, or third-party rights limit use or transfer.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Review software and open-source obligations

Maintain a current inventory of proprietary, third-party, and open-source components. Record license terms, required notices, source-disclosure obligations, attribution requirements, and any components whose licenses conflict with the product’s distribution model. Preserve repository history and development records that demonstrate how critical code was created and reviewed.

Document architecture and resilience

Provide an understandable architecture diagram, infrastructure ownership, deployment process, key dependencies, service-level commitments, backup design, recovery objectives, and material incidents. Include penetration tests or other security evidence only when accurate and current; do not imply a certification or test that the company does not have.

Orrick identifies uncertainty over IP ownership and licensing as a potential source of delay, valuation effects, or deal disruption in technology transactions. Have counsel assess gaps and the legal effect of each license or assignment under the governing law.

Map contracts and obligations that can affect closing

Collect fully executed, dated agreements and every amendment for important customers, suppliers, cloud providers, employees, contractors, lenders, partners, resellers, landlords, and licensors. Build a summary or obligation calendar for provisions that could require consent or change after acquisition.

  • Term, renewal, notice, termination, and automatic-extension dates.
  • Assignment and change-of-control consent requirements.
  • Exclusivity, minimum commitments, volume requirements, and pricing protections.
  • Service levels, warranties, indemnities, limitations of liability, and insurance obligations.
  • Data-processing, confidentiality, security, audit, and subcontracting terms.
  • Outstanding deliverables, credits, disputes, defaults, or threatened claims.

A contract summary is an organizing aid, not a substitute for legal interpretation. The effect of a clause depends on its wording, governing law, related agreements, and transaction structure, so ask counsel to identify provisions that could delay signing or closing.

Prepare financial, tax, and capitalization evidence

Financial workstream

Keep a consistent monthly package with management accounts, cash position, debt, bookings or billings definitions, revenue recognition policy, gross margin, operating expenses, headcount costs, deferred revenue, and forecast-versus-actual analysis. Explain customer concentration, churn, credits, refunds, seasonality, and material changes in margins.

Ensure the capitalization table includes every issued share, option, warrant, convertible instrument, vesting schedule, exercise price, holder, and board or shareholder approval. Reconcile it to financing documents and the statutory register. A small discrepancy can affect ownership percentages and the consideration allocated at closing.

Tax workstream

Organize returns, assessments, correspondence, audits, payroll taxes, indirect taxes, and evidence supporting research, investment, or other credits. Identify unpaid liabilities, uncertain positions, payment plans, elections, and jurisdictions in which the company may have filing or collection obligations. Do not label an incentive as transferable or available to a buyer without professional advice.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Make commercial and customer evidence verifiable

Describe the product, pricing, target market, sales process, implementation model, and support commitments in language that matches the contracts and financial records. Provide customer and supplier lists with concentration, contract status, renewal dates, and revenue or spend ranges appropriate to the disclosure stage.

Define every operating metric: the population, period, calculation, exclusions, and data source for annual recurring revenue, monthly recurring revenue, bookings, churn, retention, lifetime value, conversion, or gross margin. A buyer will ask why a dashboard metric differs from the general ledger or a board presentation; prepare the bridge before access is granted.

Identify dependencies on a founder, one salesperson, a single supplier, a cloud region, an integration partner, or a small number of customers. Explain mitigation, not just the existence of the dependency.

Prepare people, employment, and incentive records

Maintain a roster showing role, location, employing entity, start date, compensation, benefits, employment status, and equity. Include contractor arrangements and confirm that contractors who created product or content signed appropriate IP and confidentiality terms.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Provide policies and records for leave, benefits, workplace claims, disciplinary matters, immigration or work authorization where relevant, and key-person retention plans. Separate documents that contain sensitive personal information and apply need-to-know access. Confirm that compensation, equity grants, vesting, and approvals agree across HR systems, payroll, board minutes, and the cap table.

Handle privacy, cybersecurity, and regulatory material carefully

Prepare a data inventory showing what personal or sensitive data is collected, where it is stored, why it is processed, retention periods, subprocessors, cross-border transfers, and deletion procedures. Include privacy notices, internal policies, data-processing agreements, security controls, incident logs, breach notifications, and remediation evidence where applicable.

Do not assume that an NDA resolves privacy, employment, export-control, competition, or sector obligations. The lawful form and timing of disclosure depend on the data, location, participants, purpose, and transaction stage. Counsel should decide whether information is disclosed in aggregate, redacted, pseudonymized, through a clean room, or only after a later transaction milestone.

Use staged disclosure and controlled access

Begin with information necessary to establish fit and valuation, then expand access as the buyer demonstrates a legitimate need and the transaction progresses. Keep customer-level pricing, employee files, source code, security-sensitive details, and competitively sensitive information restricted until appropriate protections and approvals are in place.

  • Use role-based permissions and separate groups for management, advisers, technical reviewers, and the buyer.
  • Require appropriate confidentiality agreements and record who approved each access grant.
  • Enable download, watermarking, version, and access-log controls when the platform supports them.
  • Keep an immutable record of what was shared, when, with whom, and which version.
  • Revoke access promptly when a participant leaves the process or a phase ends.

For a strategic buyer that competes with the company, a clean room can allow analysis of sensitive information without exposing raw customer, employee, pricing, or source-code data. The design should be reviewed for privacy, competition, and sector compliance.

Run a mock diligence review before opening the room

Ask experienced advisers or board members to inspect the room as a buyer would. Give them the narrative deck, key metrics, and a sample request list, then require them to locate the supporting evidence. This exposes missing periods, conflicting definitions, stale contracts, and unsupported claims while there is still time to fix them.

  1. Freeze the baseline: Record the date, entity perimeter, capitalization, financial period, product version, and forecast used for the review.
  2. Test navigation: Check every index entry, link, permission group, file name, and document version from a non-owner account.
  3. Challenge the story: For each major claim about growth, margin, retention, IP, security, or customers, identify the underlying record and any qualification.
  4. Log gaps: Assign an owner, severity, due date, proposed disclosure, and legal or accounting review to every issue.
  5. Rehearse answers: Draft concise responses that distinguish fact, estimate, uncertainty, and remediation. Do not speculate where evidence is unavailable.
  6. Approve release: Have the appropriate executive and counsel review sensitive disclosures before the buyer receives access.

Manage buyer requests without losing control

Business Queensland describes requests for information as formal, specific questions supported by document review, advisers, and information-sharing systems. Create a request tracker with the request number, wording, owner, due date, status, response, room location, confidentiality level, and approval required.

Answer in the buyer’s numbering so the reviewer can reconcile the response quickly. If a requested document does not exist, say so and provide the closest reliable evidence, the reason it is unavailable, and any remediation. If an answer depends on a definition, state it in the response rather than forcing the buyer to infer it from spreadsheets.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Do not promise a fixed diligence duration. Business Queensland notes that timing varies with transaction scale and complexity, and a startup deal can accelerate or expand as new findings emerge.

A practical 90-day readiness plan

Period Priority work Output
Days 1–15 Appoint the owner and team; define entities, assets, and transaction perimeter; select the repository; inventory missing corporate, financial, IP, contract, people, privacy, and security records. Approved scope, folder map, permissions model, owner matrix, and issue register.
Days 16–30 Load formation, financing, cap table, accounts, tax, material contracts, IP assignments, employee and contractor records, and core technical documentation. Indexed first draft with document owners, periods, versions, and known gaps.
Days 31–60 Reconcile accounts and metrics; obtain signatures or amendments; review change-of-control terms; verify open-source and privacy evidence; document incidents, claims, and one-off items. Reconciled schedules, contract obligation calendar, ownership map, and remediation plan.
Days 61–75 Run a mock diligence review; test permissions and logs; resolve high-severity issues; prepare staged-disclosure rules and draft answers to predictable questions. Buyer-style request tracker, tested room, approved disclosure matrix, and response templates.
Days 76–90 and ongoing Refresh recurring metrics and contracts; monitor new hires, financings, incidents, claims, and customer changes; handle requests through the tracker and preserve every response. Current room, audit trail, and a repeatable process that survives a long or paused sale process.

The schedule is an operating example, not a promise that diligence will finish in 90 days. A financing, product launch, regulatory issue, or buyer change can alter the sequence.

Choose tools and advisers by fit, not branding

When comparing virtual data rooms, evaluate the controls that diligence actually requires:

  • Granular, revocable permissions and separate user groups.
  • Detailed access and download logs, watermarking, and export controls.
  • Version history, search, indexing, and straightforward bulk upload.
  • Support for staged disclosure, redaction, and clean-room workflows.
  • Reliability, encryption information, retention settings, and support responsiveness.
  • Cost and administrative complexity appropriate to the transaction’s scale.

When selecting advisers, compare relevant startup and M&A experience, jurisdiction and sector knowledge, conflicts procedures, scope of work, responsiveness, fee structure, and ability to coordinate legal, accounting, tax, technical, and commercial workstreams. The right team should identify problems early and help explain them accurately, not merely upload files.

Common failure modes and fixes

Starting after the request list arrives

Why it fails: The team rushes, uploads stale versions, and cannot explain gaps. Fix: Maintain a small recurring readiness process before a sale is certain.

One person holds all knowledge

Why it fails: Responses stop when that person is unavailable and answers become inconsistent. Fix: Assign owners and backups by workstream and keep the index understandable to someone outside the department.

Uploading everything without structure

Why it fails: Buyers cannot tell which document is authoritative and may interpret duplication as concealment or poor controls. Fix: Use numbered folders, descriptive names, an index, status fields, and a clear archive for superseded versions.

Hiding or minimizing known issues

Why it fails: A later discovery removes your ability to frame the facts and can damage credibility. Fix: Record the event, impact, mitigation, current status, and evidence; obtain advice on disclosure strategy.

Ignoring signatures and change-of-control clauses

Why it fails: An unsigned assignment or required consent can delay closing or reduce the value of a contract. Fix: Review execution, amendments, assignment, termination, consent, exclusivity, and liability provisions early.

Mixing personal and sensitive data into broad folders

Why it fails: Excess disclosure can create privacy, employment, security, or competition problems. Fix: Separate restricted material, minimize it, use redaction or aggregation, and obtain jurisdiction-specific advice.

How findings can change the deal

Diligence is part of the buyer’s decision, not a ceremonial audit. A question about slow-moving stock, for example, can lead to that stock being excluded from the sale agreement and to a lower price, as Business Queensland illustrates. The example shows a possible consequence, not a guaranteed formula.

Other findings may lead to a specific indemnity, escrow or holdback, price adjustment, deferred consideration, remediation covenant, narrower asset perimeter, employee-retention arrangement, or closing condition. Some issues are fixable before signing; others are better handled through precise disclosure and negotiated allocation of risk. Your advisers can help distinguish a documentation gap from a substantive business problem.
