An AI vendor exit strategy is a documented, tested plan for keeping a business process working if you need to leave an AI provider or change its hosting environment. Build it while selecting and designing the service—not when a contract ends or a provider problem becomes urgent. Identify what must continue, what depends on the provider, what you can retrieve, where the workload could go, and what the transition would cost. Then make those assumptions operational through contract terms, ownership, and rehearsal.
The goal is not maximum portability at any price. Australian Government Architecture guidance puts it plainly: “Maximum portability is not always the best outcome.” A provider-specific capability may be worth keeping if its value, dependency risks, fallback, and accepted trade-offs are understood and governed.
What an AI vendor exit strategy needs to achieve
An exit strategy answers a practical question: if this AI service is no longer available or acceptable, can the organization switch, retire the capability, or redesign the process without losing essential records or creating unacceptable disruption? It is more than a termination clause. It connects business continuity, technical architecture, data rights, procurement, security, privacy, staffing, and operational testing.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsStart by defining what a successful exit means for the workload. That may mean preserving a customer-facing service, maintaining a decision-support process, meeting a records obligation, or safely disabling an AI feature while a human process takes over. Avoid defining success as “move to another AI provider” by default: another hosted service, a different cloud environment, an internally operated model or service, or retiring the capability are all possible destinations.

The Australian Government Architecture (AGA) checklist offers a useful starting prompt: “Can agency data, metadata, logs, configuration, prompts, model artefacts and records be exported in usable formats?” It is written for Australian government agencies; organizations elsewhere can use the question as a planning check without assuming that public-sector requirements apply to them.
Make the plan proportional to the workload
Not every AI use case needs the same exit controls. A low-criticality experiment may need a simple inventory, named owner, and clear deletion and export terms. A system that supports a critical business process may warrant a defined alternate operating mode, a costed migration path, and a tested recovery or transition procedure. Base the effort on the consequences of losing the service, the sensitivity and importance of its data, and how difficult its provider-specific dependencies would be to replace.
Portability and diversification can reduce dependency, but they also add engineering, operational, and capability costs. Record why a dependency is accepted, what mitigation exists, who owns the decision, and what change would cause the decision to be revisited. Do not pursue multi-cloud or full portability as a universal objective.

Define exactly which AI workloads and business processes the plan covers. “AI” is too broad for an actionable plan: identify the service, its users, the process it supports, and any linked systems or teams that would be affected by a switch. Record the business purpose, criticality, data sensitivity, accountable owner, and the provider or hosting arrangement in use.
Describe continuity and success in observable terms
Specify what must keep working during a transition and what outcome the replacement or fallback must deliver. For example, name the workflow that must remain available, the records that must remain accessible, and the service or output requirements stakeholders will use to judge the destination. Do not rely on a general promise that the replacement will be “equivalent”: decide how relevant output quality and operational behavior will be evaluated for this use case.

Decide what could prompt an exit
List risk indicators and decision thresholds that could lead to a switch, suspension, or retirement. Possible triggers include an unacceptable service risk, a change in commercial objectives, or a change in the organization’s risk tolerance. Set thresholds for the workload and business context; there is no universal number or trigger that fits every organization. AWS exit-planning guidance likewise treats scope, objectives, success criteria, and key risk indicators or thresholds as plan elements, not one-size-fits-all values.
Also state who can recommend or authorize an exit and who decides whether the organization should use a fallback, continue with mitigations, or decommission the capability. That distinction helps avoid a plan that identifies a risk but leaves the organization without a decision path.
2. Map dependencies and AI-related artifacts
Build an inventory that follows the service path from the business workflow and application through the provider’s platform or API and any relevant hosting, data, software, or hardware dependencies. Record provider-specific features, proprietary interfaces or formats, custom integrations, identity and access arrangements, operational skills, and known supplier or subcontractor relationships. Include dependencies that are not owned by the AI provider if their availability or cooperation could affect an exit.
NIST’s AI Risk Management Framework Playbook recommends documenting third-party AI technologies and components, monitoring associated risks, and verifying contingency processes for mission-critical third-party systems. Its guidance notes that third-party AI relationships can involve data, software, hardware, personnel, and expertise, creating complexity and opacity. The Playbook is voluntary risk-management guidance, not a regulation; NIST states that the AI RMF is being revised.
Use an artifact register, not just a data inventory
For each material item, record what it is, where it resides, who controls or stewards it, whether it can be retrieved, what format it is in, and whether the intended destination can use it. Consider at least:

- Business data and associated metadata.
- Logs, records, and information needed to reconstruct or explain operations.
- Prompts, system instructions, configuration, and workflow definitions.
- Model artifacts or other AI-related artifacts relevant to the system.
- Integrations, identity and access settings, and custom work product.
- Third-party components, supplier relationships, and operational knowledge needed to run or replace the service.
Some artifacts may not be exportable, may be subject to contractual limits, or may not transfer cleanly to a different service. The register should make those limits visible rather than treating all items as ordinary files. For each dependency, note its business value, likely switching impact, mitigation, owner, and review trigger. AGA guidance recommends dependency registers and decision records alongside its exportability checklist.
Check usability, not just the existence of an export
An export is only useful if the organization can obtain it in time, interpret it, and use it in the chosen destination. AGA gives CSV, JSON, and Parquet as examples of standard formats, not a universal specification. Confirm formats and extraction methods against the actual records and systems in scope. Include the relationships, metadata, or configuration needed to make the contents meaningful, where relevant. The plan should identify who validates the export and what evidence will show that the files are complete and usable.
3. Make the contract work at termination
Bring procurement, technical owners, security, privacy, and legal reviewers together to confirm what the customer may retrieve and what the provider must do when the relationship ends. These are contract-planning checks, not legal requirements that automatically apply in every jurisdiction. The negotiated agreement and applicable law determine the organization’s actual rights and obligations.
Specify retrieval rights and mechanics
- Scope: List the data, metadata, logs, configuration, prompts, model-related artifacts, records, and other work product that may need to be returned or transferred. Clarify ownership or stewardship and any limits on reuse or migration.
- Format and method: Specify export formats and a delivery method that can be consumed by the intended destination. Identify extraction steps and any technical or operational constraints.
- Access window: State how long export access remains available after termination, when the window begins, and whether continued access is needed to complete retrieval.
- Fees: Identify applicable export, transition, or assistance fees and how they are calculated, rather than leaving an important transition cost unknown.
- Cooperation: Define transition assistance and cooperation with a replacement provider, including relevant responsibilities and any limits.
The Cloud Security Alliance’s AI customer guidance calls for terms addressing data ownership and control, export rights, deletion guarantees, control over processing locations and methods, and exit and transition. Its provider guidance recommends specifying export format, the duration of retention after termination, the scope of retrievable data, and deletion policy. These materials provide implementation guidance; they do not replace applicable law or the negotiated contract.
Agree on retention, deletion, and evidence
Define what happens to data and artifacts that the organization does not retrieve or that the provider retains temporarily. Contract terms should address deletion scope, timing, method, treatment of backups or transient data, and the evidence or confirmation the provider will supply. Establish how the organization can verify that the agreed process was followed, including any relevant audit rights. Do not treat a general statement that data will be deleted as a complete operational arrangement if it leaves scope, timing, backups, or confirmation unclear.

4. Choose a credible destination and cutover
Compare realistic exit paths for the particular workload: move to another hosted AI service, use a different cloud environment, operate a model or service internally, or retire the capability and redesign the workflow. The right path depends on the use case’s performance needs, security and privacy obligations, data residency, licensing and rights, compatibility, skills, and business-continuity requirements. A provider-specific service may require significant refactoring or workflow changes; do not assume that substituting one API for another will be seamless.
Compare options against the same decision criteria
Use a consistent comparison so that a familiar vendor or attractive technical feature does not obscure the transition burden. AGA, AWS, and UK Government cloud technical-lock-in guidance support considering the following dimensions. This is a set of comparison axes, not a universal weighted scoring formula; assign weights to match the workload’s importance and risk.
| Decision axis | Questions to answer |
|---|---|
| Continuity and performance | Will the destination meet the service and output requirements? How will the team assess output quality and operational behavior? |
| Portability and refactoring | Which data, prompts, configurations, integrations, or workflows need transformation or redesign? |
| Security, privacy, and residency | Can the proposed arrangement satisfy the organization’s obligations and data-location needs? |
| Rights and contract terms | Can the organization use, retain, export, or transfer the relevant data and artifacts? |
| Total transition effort | What work, cost, and time are involved in exit, migration, parallel operation, assurance, staffing, and training? |
| Operational capability | Are the people, skills, and processes available to run the destination and manage the change? |
| Reversibility and resilience | Does the option reduce a critical dependency, and what new complexity or concentration risk does it introduce? |
Record the assumptions behind each option, especially where actual costs, time, compatibility, or provider cooperation are not yet confirmed. Consider data residency and legal commitments as design constraints, not late-stage checks. AWS guidance specifically includes target environment, refactoring, staffing and skills, legal commitments, assumptions, and data residency in exit planning.
Choose a cutover pattern and rollback conditions
Select an approach suited to the service and its risks. A staged migration can move components or users in sequence; parallel operation can allow comparison before retiring the old route; fallback routing can direct work elsewhere under defined conditions; planned downtime may be acceptable where the business impact supports it. These are options, not a prescription to run every service twice.
Recommended Free Tools
For the chosen approach, define the sequence of work, dependencies, responsible teams, and how the organization will evaluate outputs and operations in the target environment. Set conditions for continuing, pausing, or rolling back the cutover. A rollback condition should be observable and connected to the continuity outcomes established for the workload, rather than relying on an undefined judgment that the new system “does not feel ready.”

5. Budget and test the transition before it is urgent
Estimate the direct and indirect costs of leaving, not just the replacement service’s operating cost. AGA’s checklist specifically calls out offboarding, workflow and data migration, dual-running, reconfiguration, testing, staff, assurance, and supplier-transition costs. For an AI workload, account for the work needed to transform data, refactor provider-specific integrations, retrain or reconfigure staff workflows, and assess the target’s security and privacy arrangements.
- Provider offboarding, export, and transition assistance.
- Data extraction, transformation, validation, and migration.
- Workflow migration, integration changes, and refactoring.
- Reconfiguration of access, logging, and operational processes.
- Parallel operation, test environments, and continuity arrangements.
- Security, privacy, assurance, and other necessary reviews.
- Staff time, skills development, training, and supplier coordination.
Document the assumptions behind estimated costs and timing, such as provider cooperation, export availability, staffing, and the complexity of the destination. The plan should make uncertainties visible so decision-makers can prioritize validation or negotiate protections while they still have options.
Test the export and recovery path end to end
Validate the arrangements while the service is operating and the organization can still revise its design or contract. A useful test checks that the export can be obtained, that its contents can be read and reconstructed as needed, and that the intended destination can authorize access and maintain appropriate logging. Record the test scope, results, issues, and corrective actions; do not describe a test as completed unless it actually happened.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
For a critical workload, rehearse more than file retrieval. A tabletop exercise can challenge roles, decisions, and communications; a game day or migration rehearsal can exercise technical and operational steps. AWS recommends tabletop exercises and game days for testing exit plans, while AGA guidance calls for export and recovery tests with recorded results. UK Government guidance discusses periodically rebuilding or testing critical components in another environment to reevaluate switching-cost assumptions. The appropriate exercise depends on the workload’s criticality and the cost and risk of testing.
6. Assign ownership and refresh the plan
Name the person accountable for maintaining the plan and assign responsibilities across business, architecture, operations, procurement, security, privacy, legal, and relevant vendors. The plan should make clear who maintains the dependency and artifact registers, who reviews contract terms, who validates exports, who can authorize a transition, and who coordinates the cutover.
Review the plan at contract renewal and after material changes to the provider, model or system, architecture, organization, business criticality, or risk tolerance. Update dependencies, owners, assumptions, cost estimates, target options, and test evidence as needed. Keep accepted dependencies and mitigations in a decision record so the organization can see both the reason for the choice and the conditions that would reopen it.
NIST’s Playbook recommends monitoring third-party AI risks, maintaining contingency processes for mission-critical third-party systems, and decommissioning systems that exceed organizational risk tolerance. These are useful governance principles, not a claim that every organization is subject to a NIST rule. AGA materials likewise have an Australian government context, and the UK cloud technical-lock-in guidance has its own government context. Treat each source as guidance for planning unless a particular obligation applies to your organization.

Common planning failures to avoid
- Starting at termination: By then, export rights, formats, access windows, and transition support may be difficult to resolve. Raise them during design and negotiation.
- Counting on a generic export: A downloadable file may omit important configuration, metadata, or records, or may not be useful in the destination. Test the actual contents and usability.
- Assuming the replacement is a drop-in substitute: Provider-specific features, interfaces, and workflows can require refactoring and operational change. Estimate that work explicitly.
- Planning only for the technology: Staff, supplier coordination, legal commitments, privacy and security review, and changed business processes can all affect whether the exit succeeds.
- Using an unowned plan: A document without accountable owners, review triggers, and test evidence can become stale before it is needed.
- Treating portability as an absolute: More portability may reduce one dependency while adding cost, complexity, or capability needs. Make trade-offs explicit and revisit them when risk or circumstances change.
