Do not sign a tech-layoff severance agreement until you know exactly what is being offered, what you already are owed, which claims you would release, and when your rights or benefits could expire. Ask for the complete agreement and every document it incorporates, note the response deadline, separate existing entitlements from genuinely additional consideration, and make specific requests that match your financial and legal priorities. A severance agreement is a contract, and the right decision depends on the wording, your state, the employer’s facts, and your circumstances—not on a universal technology-industry formula.

What a severance package actually trades

A severance proposal usually offers additional money, benefits, or services in exchange for promises from you. The most consequential promise is often a release of claims: you agree not to pursue specified legal claims against the employer and related parties. Other terms may address confidentiality, non-disparagement, cooperation, company property, references, benefit continuation, payment timing, and eligibility for other programs.

The U.S. Department of Labor describes severance pay as “a matter of agreement between an employer and an employee (or the employee’s representative).” That means there is no federally mandated number of weeks for every laid-off technology worker and no reliable, source-supported “tech standard” to use as a target. Compare the proposal you received with your actual rights and needs.

Existing entitlements versus additional consideration

Before negotiating, list what you would receive even if you refused the agreement. Depending on the facts, that can include earned wages, vested retirement benefits, accrued amounts governed by state law, already-earned bonuses under a plan, or other contractual payments. A waiver generally needs consideration—value beyond what you already have a right to receive. Label each line in the offer as either already owed or additional consideration.

Offer element Questions to answer
Cash severance Is it a lump sum or payroll continuation? When is it paid, and what deductions or conditions apply?
Health coverage How long does the employer pay or subsidize coverage? What happens when that period ends, and what COBRA notices or alternatives will you receive?
Equity and bonuses Do the plan documents control vesting, exercise, or forfeiture? Is any treatment genuinely extra?
Outplacement or training What service, dollar limit, expiration date, and local availability apply?
Release Which claims, time periods, entities, and conduct are covered? Are future claims excluded?
Other obligations What do confidentiality, non-disparagement, cooperation, invention-assignment, property-return, or non-solicitation clauses require?

First steps after receiving the offer

  1. Save the complete package. Download the agreement, exhibits, plan summaries, benefit notices, policies, and any termination-program materials. “Incorporated by reference” documents can change the practical deal.
  2. Record every date. Write down the delivery date, signing deadline, payment conditions, benefit end date, equity deadlines, and any deadline for disputing wages or filing an administrative charge. Do not assume a deadline printed in one document applies to another right.
  3. Confirm the separation facts. Note your work location, employer entities, job title, hire and termination dates, age, compensation, exempt status, collective-bargaining coverage, and whether this is an individual termination or part of a group program.
  4. Preserve relevant records lawfully. Keep your agreement, pay statements, benefit information, performance records, and communications you are entitled to retain. Do not copy trade secrets, customer data, source code, or other company property.
  5. Get independent review when the stakes are high. An employment attorney can identify release problems, wage issues, restrictive covenants, age-waiver defects, and possible WARN questions. The Equal Employment Opportunity Commission (EEOC) specifically includes considering attorney review in its employee checklist.

How to value the proposal before you counter

Build a simple decision sheet rather than negotiating from the headline dollar amount. Estimate the after-tax cash you will actually receive, the cost of replacing health coverage, the time until your next likely paycheck, and the value of benefits that would otherwise expire. Then assign a separate risk category to the claims you would release.

Cash and timing

A lump sum may provide immediate liquidity but can end payroll-linked benefits sooner. Salary continuation may preserve benefits or regular withholding, yet it can delay cash and may be conditioned on compliance with the agreement. Ask whether the payment is contingent on signing, when the agreement becomes effective, and whether the employer can delay or recoup it.

Benefits and services

Ask for the exact health-plan subsidy period, covered dependents, premiums after the subsidy, and the date coverage terminates. Request written information about COBRA and any conversion or marketplace options. Career counseling, resume help, job-search assistance, and training can have real value, but DOL notes that local availability varies. Confirm the provider, spending limit, eligible services, and expiration date rather than treating “outplacement” as a cash equivalent.

Release scope and obligations

Read defined terms closely. A release may name the employer, parent, subsidiaries, officers, benefit plans, and insurers; cover known and unknown claims; and apply through a stated date. Check carve-outs for claims that cannot legally be waived, rights to participate in agency processes, vested benefits, and enforcement of the agreement itself. A larger payment paired with a broader release is not automatically better.

What to request in a negotiation

Make a short, prioritized counterproposal. Tie each request to a concrete need and state what you are prepared to do in return, such as signing by a specified date after counsel review. Do not present a market rumor as a legal entitlement.

Common, fact-dependent requests

  • Additional weeks of salary or a larger lump-sum payment.
  • Employer-paid health premiums for a defined period or a larger COBRA subsidy.
  • Payment of an earned bonus, commission, or other amount under the governing plan.
  • More time to exercise vested options, if the equity plan permits amendment.
  • Mutual, neutral, or factual reference language and a designated reference contact.
  • A narrower confidentiality or non-disparagement clause with mutual obligations and clear permitted disclosures.
  • Removal or narrowing of a non-solicitation, cooperation, or future-employment restriction where legally and factually appropriate.
  • Written confirmation that the company will not contest unemployment eligibility, subject to applicable law.
  • Correction of inaccurate termination dates, titles, compensation figures, or benefit descriptions.
  • Payment of reasonable attorney fees for reviewing a complex agreement.

A practical counteroffer format

Use a written message that identifies the document and avoids unnecessary factual admissions:

Thank you for sending the separation agreement dated [date]. I am reviewing the complete package and request the following revisions before I can decide: (1) [specific payment or benefit request]; (2) [specific release or confidentiality clarification]; and (3) [reference, equity, or timing request]. Please confirm the response deadline, the documents incorporated by reference, and whether any material revision will restart an applicable consideration period. I reserve all rights while reviewing the proposal.

Replace bracketed text with your facts; do not send confidential company information in an unsecured channel.

“Is this legal? Should I sign it?”

Legality and advisability are separate questions. An agreement can be enforceable while still being a poor trade for you, and an overbroad or defective provision may be unenforceable without making the entire document harmless. The actual text and governing law control.

Ask an attorney to review the release if it covers discrimination, retaliation, wage, leave, whistleblower, trade-secret, or contract claims; imposes post-employment restrictions; requires a statement about disputes; or gives you little time to decide. Also ask about any pending charge, complaint, injury, unpaid compensation, or threatened litigation. Do not assume that accepting severance resolves every possible claim or that refusing it leaves every claim untouched: deadlines can run independently.

Age-claim waivers: the rules for workers 40 and older

The Older Workers Benefit Protection Act (OWBPA) imposes specific conditions when an agreement waives federal Age Discrimination in Employment Act (ADEA) claims. These rules are not a general timeline for every severance term or every type of claim.

Individual offer

For an individual ADEA waiver, the employee must generally receive at least 21 days to consider the offer and at least 7 days after signing to revoke it. The EEOC states that “the 21 or 45 day period runs from the date of the employer’s final offer.” If the employer makes a material change, the consideration period can restart; ask for the final version in writing. The agreement should explain the revocation method and when the waiver becomes effective.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Group termination or exit-incentive program

When the waiver is offered as part of an exit-incentive or other termination program to a group or class, the consideration period is generally at least 45 days and additional disclosures are required. Those disclosures typically identify the decisional unit and provide job-title and age information for selected and non-selected employees, along with eligibility factors and time limits. If you are 40 or older and the layoff is part of a group program, ask for the written disclosures and have counsel assess whether they are complete.

“What makes a waiver of age claims knowing and voluntary?”

OWBPA requirements include a clear written waiver, specific reference to ADEA rights, advice to consult an attorney, no waiver of rights arising after signing, consideration beyond what you already are owed, and compliance with the applicable consideration and revocation periods. The agreement must not mislead you about your rights. A clause saying you “waive everything” does not eliminate these statutory requirements.

“If I am 40 years old or older, am I entitled to more severance pay or benefits than a younger employee?”

No automatic increase follows from turning 40. The EEOC states that employers are not required to offer more consideration solely because a worker is 40 or older. The difference is that a valid ADEA waiver has additional procedural safeguards. Your package may differ for legitimate program or individual reasons, but age alone is not a universal severance multiplier.

WARN questions after a layoff

The federal Worker Adjustment and Retraining Notification (WARN) Act can require advance notice for certain plant closings and mass layoffs, but the criteria are complex. DOL baseline guidance identifies thresholds that can include 50 or more workers at a single site when that is at least one-third of the full-time workforce there, or 500 or more workers at a single site. Coverage also depends on the employer, site, employment status, event, and statutory exceptions. State “mini-WARN” laws may be broader.

“Can I waive my WARN rights?”

Do not assume a release automatically waives WARN rights. DOL’s WARN Advisor explains that a waiver may be effective under specified conditions and that certain voluntary, unconditional payments may offset liability. Whether a proposed clause or payment has that effect is fact-specific. Ask counsel to examine the layoff numbers, worksite, notice, payment characterization, release language, and any state law.

“Can my employer provide a severance package instead of notice?”

Sometimes a payment can satisfy or offset notice-related obligations, but severance is not automatically a substitute for WARN notice. Determine whether the payment is unconditional, whether it is tied to signing a release, and whether it is wages, benefits, or another form of consideration. A release that calls the payment “in lieu of notice” does not answer the legal question by itself.

Rights you should not casually sign away

EEOC guidance flags several rights that may be restricted by an agreement or cannot lawfully be waived in the way an employer proposes. Check the exact language and applicable law rather than relying on a checklist alone.

  • The right to file a charge with, communicate with, or cooperate with the EEOC or another government agency.
  • Claims based on conduct that occurs after the agreement is signed.
  • Unemployment compensation rights, which are governed by state rules.
  • Workers’ compensation rights.
  • Rights under the Fair Labor Standards Act (FLSA), which may require specific procedures.
  • COBRA health-benefit rights and required notices.
  • Vested benefits under an ERISA-covered retirement or welfare plan.
  • Rights to report suspected legal violations or participate in protected investigations, subject to lawful confidentiality protections.

An agreement may require you to notify the employer if you receive an agency inquiry while preserving your right to participate. Have counsel interpret any clause that appears to bar reporting, testimony, or a government filing.

State law, plans, and personal circumstances

This is a federal U.S. overview, not a state-by-state legal opinion. State law can affect whether severance is owed, when vacation or other accrued amounts must be paid, how contracts are interpreted, unemployment eligibility, restrictive covenants, and additional release requirements. DOL notes that state law and sometimes ERISA can govern separation benefits.

Your analysis may change based on your work state, the employer’s location and size, remote-work arrangements, collective-bargaining coverage, written offer letters, incentive plans, disability or family-leave status, immigration sponsorship, and whether the employer is in bankruptcy. Gather the governing plan documents instead of relying on a manager’s summary.

Benefits and transition help after signing or declining

Use public resources promptly because enrollment windows and local services can close. DOL directs laid-off workers to health-insurance information, unemployment information, career counseling, resume and job-search assistance, training, and state Rapid Response services. American Job Centers may provide no-cost employment assistance, and availability varies by state and situation.

  • Apply for unemployment through the appropriate state agency and answer separation questions accurately.
  • Review the COBRA election notice and compare its premium and coverage with other lawful options.
  • Ask the former employer for final pay, tax forms, benefit-plan contacts, and equity-plan deadlines.
  • Register with local Rapid Response or American Job Center programs while funding and appointments remain available.
  • Create a job-search budget using the payment date, coverage end date, and likely benefit-processing delays.

A decision checklist

  • Do I have the complete agreement and every incorporated document?
  • What is already owed, and what is genuinely additional consideration?
  • What is the after-tax value and payment date of each benefit?
  • Which claims, entities, time periods, and unknown claims does the release cover?
  • Does the agreement preserve agency communications, unemployment, workers’ compensation, FLSA, COBRA, and vested-plan rights where required?
  • Is this an individual offer or a group program triggering different ADEA disclosures and consideration periods?
  • Could federal or state WARN rules apply, and does the proposal mention a waiver or offset?
  • What confidentiality, non-disparagement, cooperation, property-return, or post-employment restrictions remain?
  • What specific change would most improve my financial security or legal position?
  • Have I obtained independent employment-law advice before an irreversible deadline?

When to stop negotiating

Negotiation has a cost. Stop and obtain advice when the employer threatens to withdraw the offer, changes material terms, provides incomplete group disclosures, imposes a short deadline, or refuses to clarify a release affecting a plausible claim. If the agreement is clear, the additional consideration meets your needs, and counsel confirms the trade is acceptable, signing may be rational. If the payment is small compared with the rights released or the agreement creates serious post-employment restrictions, declining may be the better choice.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The Bottom Line

Negotiate the deal you actually received, not an invented tech-sector benchmark: verify the extra consideration, understand the release and obligations, protect statutory and plan rights, check ADEA and WARN rules when they apply, and obtain independent legal review before signing a consequential agreement.
