To invest in Indian listed shares, you generally need three linked services: a demat account with a registered depository participant to hold securities electronically, a trading account with a registered broker to place buy and sell orders, and a bank account for payments and receipts. You can either buy individual shares yourself or choose an index mutual fund that pools money and follows an index such as the Nifty 50. Both are equity investments: a broad index can reduce the damage caused by one company’s problems, but neither route removes the possibility of losing money.
This guide explains the setup, the two approaches, the checks to perform before investing, and the risks a first-time investor should understand. It is general education, not a personal recommendation or a promise of returns.
Start with the decision that comes before an account
Investing should begin with the purpose for the money and the date on which you may need it. SEBI’s investor guidance says to consider your objective, risk appetite and time horizon. Money required in the near future should not be exposed to investments that can be volatile or difficult to sell at a fair price.
Define the goal and time horizon
Write down what the money is for and when it might be used. A long-term goal can tolerate more fluctuation than a bill due soon, but “long term” does not make an equity investment safe or guarantee a profit. If the date is uncertain, treat the earliest realistic need date as the relevant horizon.

Assess your ability to tolerate a fall
Ask how you would react if the value shown in your account dropped sharply while the underlying companies and index remained tradable. A plan that forces you to sell during a fall is not aligned with your risk tolerance. Risk tolerance is both emotional and financial: a person may be comfortable with volatility but still need the money shortly.
Keep emergency money separate
Do not use money needed for ordinary expenses or an imminent obligation simply because shares or funds are available to buy. Equity prices fluctuate, and a sale made under pressure can convert a temporary decline into a permanent loss.
The three accounts and what each one does
SEBI describes a basic structure of a demat account, a trading account and a bank account. They perform different jobs and are normally linked during onboarding.
| Account | Purpose | What you should verify |
|---|---|---|
| Demat account | Holds securities such as shares in electronic form after a purchase. | The depository participant is registered, the account documents are retained, and statements and charges are understandable. |
| Trading account | Routes buy and sell orders through a registered broker. | The broker’s registration, published account and transaction charges, order terms, available support and any service limitations. |
| Bank account | Supplies money for purchases and receives sale proceeds or other payments. | The bank details linked to the investment accounts are correct and transaction alerts reach you. |
A demat account is the electronic custody layer; it is not the same as the trading account that sends an order to an exchange. A bank transfer alone does not buy a share. Conversely, a trading account without the correct demat linkage cannot deliver purchased shares into your electronic holdings.
Do mutual-fund investors need demat?
AMFI states that holding mutual-fund units in dematerialised form is optional for most schemes. Exchange-traded funds are the important exception: an ETF is traded on an exchange and generally requires the demat-and-trading arrangement used for exchange transactions. If you buy a conventional index mutual fund directly through the fund’s stated channel or a mutual-fund platform, confirm whether units will be recorded in the fund account or in demat form.
Choose between individual shares and an index mutual fund
The central choice is whether you want to select companies yourself or obtain diversified exposure through a fund that follows a published index.

| Diversification | Depends on the number and types of companies you hold. | Comes from the index constituents, subject to the index’s own concentration and sector mix. |

What an index mutual fund actually tries to do
SEBI Investor describes index mutual funds this way: “Index mutual funds are a type of mutual fund that aim to replicate the performance of a specific stock market index, such as the Nifty 50.” The fund normally holds the index securities, or most of them, so that its result is close to the index result. Its objective is to match the index, not to outperform it.

Expenses, portfolio implementation, cash balances, corporate actions and other operational effects create a tracking difference or tracking error. A fund can therefore lag its benchmark even when it follows its mandate correctly.
Why diversification helps, and what it cannot do
Owning a broad basket means one company’s failure has less influence than it would in a portfolio made of that single company. Diversification reduces company-specific exposure; it does not remove equity-market risk. If the broad market falls, the fund’s value can fall with it, and the principal is not protected.
When direct shares may be a poor starting point
Picking a small number of companies requires time to understand financial statements, competitive position, governance, valuation and new information. It also creates a temptation to trade on rumours or recent price moves. If you cannot explain why a company belongs in your portfolio and what would change your view, an individual-share purchase is speculation rather than a documented investment decision.
A practical first-investment process
- Write the goal, horizon and loss limit. Record the purpose of the money, the earliest date it may be needed and the decline you could withstand without selling in panic.
- Select the route. Decide whether researching individual companies is realistic for you or whether a diversified index mutual fund better matches your knowledge and available time. This is a choice of method, not a guarantee of outcome.
- Verify the intermediary. Use a broker and depository participant registered with the relevant Indian regulator. Check the registration information through official sources before submitting documents or transferring money.
- Open and link the accounts. Complete the provider’s identity and account-opening process, link the correct bank account, and read the account agreement, tariff sheet and risk disclosures before accepting them.
- Understand the order or purchase screen. For a share, confirm the company identifier, quantity, order type, price conditions and validity before submitting. For a mutual fund, confirm the scheme name, benchmark, option, transaction instructions and the applicable costs shown in the current documents.
- Start at a size consistent with your plan. Do not let a first transaction become a test of courage. An amount that allows you to observe how statements, alerts and price changes work can reduce operational mistakes.
- Save confirmations. Keep contract notes, purchase confirmations, account statements and scheme documents. These records help you reconcile holdings and identify an unauthorised transaction.
- Review on a schedule. Check statements and alerts regularly, but avoid replacing a written plan with constant price watching. Review whether the investment still fits the goal, horizon and risk capacity.
How to evaluate an index mutual fund
Several funds can follow similar indexes, but “index fund” alone is not enough information. Read the current scheme documents and compare the following items.
Benchmark and portfolio design
Identify the exact index, its constituent universe and its rebalancing approach. Two broad-looking indexes can have different sector weights, company sizes and concentration. Confirm whether the fund uses full replication or another permitted approach and whether any portfolio limitations are disclosed.

Expense ratio and other costs
Expenses reduce the amount that remains invested. Compare the expense ratio shown in the current scheme information and check for any transaction, platform or other applicable charges. Costs are provider- and product-specific and can change, so do not rely on an old comparison or an average figure.
Tracking difference and tracking error
Look at how closely the fund has followed its benchmark over the periods disclosed in its documents. A small difference in one period does not prove that future tracking will be identical. Consider the consistency of the gap, the stated reasons for it and whether the fund has enough operating history for a meaningful comparison.
Diversification and stated risk level
Read the portfolio and risk-o-meter disclosures. A fund tracking a narrow sector or theme is not equivalent to a broad-market index fund, even if both use passive rules. Diversification is relative to the index selected.
Direct plan, regular plan and transaction channel
Where the scheme offers different plan structures, read the current documents to understand how distribution arrangements and costs differ. The relevant choice depends on the service you receive and the charges disclosed; do not assume one plan is universally better without checking the numbers and support available to you.
How to approach individual shares
A direct share purchase places company-specific responsibility on you. Before placing an order, create a short written checklist.
- Business: Can you describe how the company earns money and what could damage that model?
- Financial condition: Have you read recent official financial information rather than relying on a social-media summary?
- Valuation: What assumptions are embedded in the current price, and what evidence would show those assumptions are wrong?
- Governance and disclosures: Have you checked material announcements and the company’s stated risks?
- Position size: If this company suffers a permanent setback, would the loss threaten your goal?
- Exit conditions: What specific development would make you sell, and is that rule written before emotions take over?
Do not confuse a familiar brand, a rising chart or a frequently discussed stock with a completed analysis. A limit order can control the maximum price you are willing to pay, but it does not make the company less risky. An order that does not execute is not an investment decision that failed; it may simply have respected your price condition.

The risks every beginner should understand
SEBI identifies several overlapping risks. They cannot be eliminated, but exposure can be managed through research, diversification, asset allocation and matching investments to goals and time horizon.

Economic news, interest-rate changes, geopolitical events and broad shifts in investor expectations can move many securities together. An index fund is exposed to this risk by design, and a portfolio of individual shares can be exposed as well.
Inflation or purchasing-power risk
If prices rise faster than your investment grows, the money may buy less in the future. A nominal gain is not automatically an improvement in purchasing power.
Liquidity risk
Liquidity is the ability to sell at a price close to the prevailing market value. Less-liquid shares can have wider spreads or few buyers, especially when markets are stressed. A fund can diversify holdings, but it does not make every underlying security instantly liquid.
Business risk
A company can lose customers, face regulation, suffer operational failures, take on excessive debt or encounter governance problems. This risk is concentrated in direct shares and diluted, not erased, in a diversified fund.
Volatility risk
Prices can change rapidly without a matching change in your long-term thesis. Volatility is not the same as permanent loss, but selling during a sharp decline can make the loss permanent. Equity mutual-fund material from AMFI warns that equity can lose principal and that share prices fluctuate.

Tracking and implementation risk
An index fund may lag its index because of expenses, trading costs, cash holdings or portfolio implementation. The fund’s objective is to follow the benchmark, not to guarantee the benchmark’s return.
Fees, documents and account checks
Before funding an account, read the provider’s current tariff and terms. The official material available for this subject does not establish a universal broker fee, minimum investment, or current scheme cost; those figures must be verified with the specific provider and product at the time you invest.
- Check account-opening, annual, custody, brokerage and other transaction charges that apply to your chosen service.
- Read the risk disclosures, product notes, scheme information and benchmark description.
- Confirm how orders are authorised, how statements are delivered and how to update contact details.
- Understand whether the quoted amount is a one-time charge, a recurring charge or a charge triggered by a particular transaction.
- Retain copies of every document you accept; later screens may change while your original agreement remains relevant.
Protect the account from avoidable loss
SEBI’s investor charter advises using registered intermediaries, reading and retaining account documents, checking charges, protecting credentials and OTPs, reviewing transaction statements and avoiding assured-return promises.
Free tools Windows power users keep installed
One-click scans. No signup required.
Credential and OTP hygiene
Use a unique password, keep it private and never disclose an OTP to someone who calls, messages or claims to be from a broker, bank or regulator. A legitimate support request should not require you to read out a one-time code that authorises a transaction.
Statement reconciliation
Compare each transaction alert and periodic statement with your own records. Check the security name, quantity, price, date, charges and bank movement. Investigate an unfamiliar entry immediately through the intermediary’s official support channel.
Recognising false certainty
Promises of assured, fixed or guaranteed returns are a warning sign in an equity investment. Be especially cautious of messages urging immediate action, “sure-shot” tips, secret groups or payments to an unverified account. Herd behaviour can make a popular idea feel safe precisely when its risks are being ignored.
If something goes wrong
First preserve confirmations, screenshots, statements and correspondence, then contact the registered intermediary through details published in your account documents or its official website. If the issue is not resolved, use SEBI’s official investor grievance channels. Do not send additional money to an unknown person who claims a fee is required to release your funds.

Common beginner mistakes and better alternatives
| Mistake | Why it causes trouble | Better practice |
|---|---|---|
| Buying because friends or online groups are buying. | Herd behaviour replaces analysis and may expose you to a late entry or a concentrated position. | Write the objective, evidence and exit conditions before placing an order. |
| Treating an index fund as risk-free. | Diversification reduces company-specific risk but market declines can still reduce the fund’s value. | Match the fund to your horizon and accept that principal can fall. |
| Ignoring costs. | Recurring expenses and transaction charges reduce the amount compounding for you. | Read the current tariff and scheme documents and record the applicable charges. |
| Using near-term money for shares. | A forced sale during volatility can lock in a loss. | Keep near-term needs outside volatile or illiquid investments. |
| Sharing passwords or OTPs. | An attacker may authorise a transfer or trade. | Keep credentials private and contact support through an official channel. |
| Checking only the app’s portfolio value. | A displayed number does not prove that holdings, charges and bank entries are correct. | Reconcile contract notes, statements, alerts and bank records. |
When an index fund or direct share purchase may not fit
Pause before investing if you have not identified the goal, cannot tolerate a temporary loss, need the money soon, or are relying on a promise of a fixed return. Pause as well if the intermediary’s registration, charges or documentation are unclear, or if you cannot explain what you are buying.
Choosing an index mutual fund does not remove the need to select an appropriate index, read the fund documents and accept equity volatility. Choosing direct shares does not require you to trade frequently; a disciplined investor can hold fewer positions and review them against a written thesis. In either route, the method should serve the goal rather than the other way around.
Quick Recap
A repeatable review routine
- Check recent statements and alerts against your records.
- Confirm that the bank, demat and trading account details remain correct.
- Review fees and any updated product or account documents.
- For an index fund, compare disclosed tracking results with its benchmark and verify that the index still matches your intended exposure.
- For individual shares, revisit the business facts, disclosures and position size rather than reacting only to the latest price.
- Reassess the goal and time horizon when your circumstances change; do not wait for a market crisis to discover that the plan was unsuitable.
