There is no single “foreign investor” route to an Indian IPO. First establish whether you are an NRI, an overseas investor eligible to apply under India’s Foreign Portfolio Investor (FPI) framework, or another kind of foreign person. The applicable rules, account arrangements and application channels can differ. Then check the specific IPO’s current offer documents and confirm with your bank and a regulated intermediary that they accept your category and country of residence.
This guide reflects official material checked on October 13, 2026. Rules, issue instructions and provider acceptance can change; the current prospectus, applicable SEBI and FEMA requirements, your bank and your chosen intermediary should govern your decision.
Start by identifying your investor category
“Foreign investor” is a description, not a single Indian IPO application category. Do not assume that an overseas resident can use the same application flow as an Indian retail investor. Your legal status, the nature of your investment and the issue’s own terms all matter.
| Investor situation | What to establish before applying |
|---|---|
| Non-Resident Indian (NRI) | Check the current offer documents for NRI eligibility, any category-specific application form, and the account and repatriation treatment that applies to your bid. An NRI is handled separately from an FPI in offer-document disclosures. |
| Overseas portfolio investor or prospective FPI | Establish whether you qualify under the current FPI framework and what registration and intermediary arrangements are required. An overseas investor should not assume that an ordinary retail brokerage account is sufficient. |
| Another foreign individual or entity | Do not infer eligibility from the fact that an IPO accepts some overseas applicants. Confirm your status against the current law and the issuer’s documents with an authorized, regulated provider before transferring or blocking funds. |
SEBI’s FPI Regulations listing identifies the 2019 regulations as last amended on July 7, 2026. That framework is relevant to eligible portfolio investors; it does not mean every person living outside India can apply as an FPI. The practical requirements for an individual applicant depend on their circumstances and current rules, so ask an authorized provider to determine the correct route rather than relying on a generic onboarding checklist.

NRIs should also check applicable FEMA provisions and the IPO’s current documents. The offer document cited in this guide provides an example of NRI treatment, not a universal legal rule for every offer or account.
These categories are a starting point, not a complete eligibility test. A foreign citizen who is not an NRI should not assume that an NRI application form applies to them, and a person investing through an overseas entity should not assume the entity can use an individual retail route. The relevant provider should confirm how the applicant is classified for that particular issue before any bid is submitted.
Check that you and the issue are eligible
Before choosing an application channel, read the current IPO prospectus and application instructions. Confirm that your investor category is permitted to bid and identify any category-specific forms or conditions. A disclosure in one issuer’s document does not establish a rule for all Indian IPOs.
Review the issue-specific details that affect a valid application:
- Which investor categories may apply, and what application form applies to yours.
- Which submission channels are available to your category and account.
- The issue’s bid, lot-size and timeline instructions.
- Any ownership restrictions, including limits relevant to foreign investment.
- The correct way to verify application status and, if applicable, allocation.
For FPI-specific questions, use the current SEBI framework and ask an authorized intermediary to confirm how it applies to your situation. For NRI account and form treatment, rely on the current offer documents and your bank’s confirmation, not solely on an example from an earlier offering.
Do not treat the application window or instructions from a past IPO as a template. The live offer documents for the IPO you are considering should specify the relevant dates, category details and bid process. Check them again close to submission, particularly if you are coordinating with a bank or intermediary in another time zone. The key practical question is not merely whether you can access an application screen, but whether the full application path is valid for your investor category.
For a non-individual overseas portfolio investor, do not try to reconstruct registration requirements from a retail application guide. Confirm current FPI registration and intermediary arrangements with an authorized provider. The exact onboarding documents and process are not the same for every applicant and cannot be established from general IPO instructions alone.

Understand the two payment mechanisms: ASBA and UPI
ASBA and UPI describe ways to authorize and block application funds; neither determines by itself whether a foreign applicant is eligible. The issue and the applicant’s category must permit the route, and the bank and intermediary must support it.
ASBA: funds are blocked, not sent to the issuer up front
With Application Supported by Blocked Amount (ASBA), the application amount remains in the applicant’s bank account but is blocked while the IPO process is pending. If shares are allotted, the amount payable for those shares is debited. If there is no allotment, a refund is not needed because the funds were not transferred out of the account. SEBI explains this process in its ASBA guidance.
Before placing an ASBA bid, confirm that the account you intend to use is acceptable for your investor category and can block the required amount. A bank balance alone does not guarantee that an application will be accepted: the channel, account and application must meet the issue’s instructions.
It is useful to distinguish the application amount from the final amount payable. ASBA blocks funds while the issue is processed; the amount associated with allotted shares is debited if an allotment is made. If the application is not allotted, the blocked amount is released rather than returned as a payment refund. The funds are not available to use while blocked, so check the amount and timing with the bank before bidding.

UPI: a mandate authorizes the block
For an eligible UPI-based IPO application, the applicant submits the bid through a permitted channel and then responds to the mandate request to authorize blocking the funds. SEBI’s UPI IPO guidance describes the process and names syndicate members, registered stock brokers, registrars and transfer agents, and depository participants as possible submission channels. The chosen provider must accept your investor category and country of residence.
SEBI’s guidance states a limit of ₹5 lakh per transaction for UPI IPO applications by retail individual investors. It also says not to use a third party’s UPI ID or bank account. These are not grounds to assume that every foreign applicant may use UPI: confirm with your bank and intermediary that your account and the particular issue support it, and check the live official instructions before relying on the limit or process.
If a UPI mandate arrives, verify that it relates to your own application and is the valid request described by your bank and application channel. Do not accept an unrelated or unexpected request. Keep the application acknowledgement and mandate record so you can follow up if the status does not match what you submitted.

The ₹5 lakh figure is a ceiling identified for retail individual UPI applications in SEBI’s guidance, not a promise that every application below that amount is allowed through UPI. Eligibility, account linkage and the IPO’s instructions still control. Likewise, having a UPI ID does not establish that it can be used for an IPO application from your country of residence. Ask the provider and bank about the exact account and application combination.
SEBI’s June 2, 2021 circular addresses UPI in ASBA and investor grievance handling. If something goes wrong—such as an application record that does not match the mandate—retain the records and follow the current issue and intermediary grievance instructions. The circular is useful background, but it does not replace the live instructions for the particular IPO.
How NRI account and repatriation treatment can differ
Non-resident applicants may encounter different account instructions depending on whether a bid is made on a repatriation or non-repatriation basis. A SEBI-hosted 2023 offer document illustrates this distinction: it describes NRE or FCNR accounts for repatriation bids and NRO accounts for non-repatriation bids. It also advises checking UPI linkage with the bank. Those details describe that document’s instructions, not a blanket rule for every current IPO.
Use the current offer document to identify the form and account treatment for your bid, then confirm with your bank that the account is eligible and that the proposed payment route works. If the account, form or repatriation designation is unclear, resolve it before submitting; do not select an account type based on a general online description.
The example appears in a SEBI-hosted offer document from 2023. Its age and issuer-specific nature make it useful as an illustration, not as a substitute for the documents of the IPO you are considering.

In practice, confirm the account basis before you select an application form. A mismatch between the form, account and intended repatriation treatment can create avoidable uncertainty or an invalid application. The cited example is a prompt to check the relevant details, not an instruction to copy the same account selection into a different issuer’s offer.
Follow this application sequence
- Classify your status. Determine whether you are applying as an NRI, an eligible overseas portfolio investor under the FPI framework, or another foreign person. If you cannot establish the category, pause and ask a regulated provider to clarify it.
- Confirm eligibility and the route. Check applicable current FPI or FEMA rules and ask an authorized intermediary whether it accepts applicants with your status and country of residence. If you are a non-individual overseas portfolio investor, confirm current registration and intermediary requirements directly; the official material cited here does not establish a complete onboarding checklist.
- Read the live issue documents. Find the current prospectus and application instructions. Verify eligible categories, forms, available channels, bid and lot rules, deadlines, account treatment and any ownership restrictions.
- Match the bank account to the application. Ask the bank and intermediary whether the account is permitted for your category and bid basis. For ASBA, establish that it can block the required amount. For UPI, verify that the account and linkage are supported for this application.
- Submit only through an eligible channel. Follow the issuer’s current instructions and the intermediary’s process. Use your own bank account and UPI ID where UPI is allowed; do not use someone else’s credentials or payment account.
- Authorize and retain records. If the process generates a valid UPI mandate, check and authorize it through the expected flow. Save the application acknowledgement, bid details and mandate confirmation.
- Verify the outcome through official issue channels. Check the application and allocation status using the channels specified for the issue. If shares are allotted, the applicable amount is debited; funds not required for allotment are unblocked under the process.
Each step is a checkpoint. If a provider cannot confirm that it accepts your investor category and residence, do not infer acceptance from its general IPO service description. If the bank cannot confirm that it can process the relevant block or mandate, resolve that issue before bidding. Retaining the application details and any payment authorization gives you a record to use when checking status or raising a query.

Compare routes and providers before you commit
There is no single best route established for all foreign applicants. Compare the practical conditions that decide whether a route is usable for you, rather than assuming that a familiar online IPO process will work across borders.
| What to compare | Question to ask |
|---|---|
| Investor-category eligibility | Does the current issue permit your category, and can the provider process that category? |
| Account and repatriation treatment | Which account and application form does the current issue require for your bid basis? |
| Application channel | Does the issue offer ASBA or UPI to your category, and does your bank support the relevant block or mandate? |
| Provider and residence acceptance | Does the chosen intermediary accept applicants of your status who reside in your country? |
| Fees and funding arrangements | What fees, currency conversion, funding steps or account conditions apply? These are provider-specific and are not established as uniform by the official material cited here. |
| Issuer-specific ownership limits | Do the prospectus and current rules impose a limit that could affect your application or resulting ownership? |
SEBI’s UPI instructions list types of intermediaries that may accept an application; that listing is not a guarantee that each provider accepts every foreign category or residence. Confirm acceptance and all charges directly before making a commitment.

Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Foreign ownership restrictions require issuer-specific checking
Eligibility to submit a bid does not necessarily settle whether an allocation can be made without restriction. Foreign investment limits can apply, and their effect depends on the current rules and the particular issuer.
A SEBI-hosted 2023 offer document describes a threshold below 10% of post-issue equity on a fully diluted basis for a single FPI or investor group, subject to applicable FPI and FEMA rules. Treat that figure as a disclosure in that offering context, not as a complete statement of current FPI eligibility, sectoral caps or every issuer’s limits. Check the target IPO’s current prospectus and applicable rules before relying on it.
This distinction matters: a disclosed percentage in one issuer’s document is not a general guarantee that an application below that level is permitted, nor a complete account of all limits that could apply. Read the current offer document for the issuer and consult the provider about how applicable FPI and FEMA rules affect the proposed holding. Do not use the 2023 example as a substitute for checking the current issuer-specific terms.

Common mistakes to avoid
- Treating all foreign applicants alike. An NRI, an FPI and another foreign applicant are not interchangeable application categories.
- Assuming a retail account is enough. First verify the legal category and whether a regulated provider accepts it.
- Using a third-party UPI or bank account. SEBI’s UPI guidance disallows this for the described process.
- Relying on an old prospectus example. NRI account treatment and other requirements must be checked in the current issue documents.
- Assuming UPI is universally available to overseas applicants. Support depends on the applicant’s account, the issue and the channel.
- Ignoring ownership disclosures. Check issuer-specific and applicable regulatory limits rather than treating a single offer’s threshold as universal.
- Confusing a blocked amount with a payment already made. Under ASBA, funds remain blocked pending the outcome; the amount due on an allotment is debited.
- Assuming an intermediary list is a provider endorsement. The channels SEBI names for UPI applications do not establish that every listed type of provider serves every foreign applicant or country.
- Acting on a mandate without checking it. Use the valid request associated with your own application, and keep the record; do not accept an unrelated or unexpected mandate.
What the official sources establish—and what they do not
The SEBI material cited here explains the FPI regulatory framework and describes ASBA and UPI application mechanics. The cited 2023 offer document gives examples of how one issuer addressed NRI accounts and foreign ownership disclosures. Together these sources support a practical process for checking category, payment route and issue terms; they do not establish an individual reader’s eligibility, tax treatment, account-opening documents, current provider acceptance by residence or the exact requirements of a future IPO.
Those details depend on your facts, current law, the bank and intermediary you use, and the current documents for the specific issue. Confirm them before applying rather than treating this guide or one issuer’s disclosure as individualized legal, tax or investment advice.
No provider or application path can be assumed available solely because an IPO is open to some investors. Verify the current prospectus, current SEBI instructions, your bank and a regulated intermediary for your own category and residence. This is especially important where the application depends on an account type, repatriation designation or UPI linkage.

Frequently Asked Questions
Can a foreign investor apply for an Indian IPO through a regular retail brokerage account?
Not necessarily. First establish whether you are applying as an NRI, an eligible FPI or another foreign person, then confirm that the issue permits your category and that the intermediary accepts applicants with your status and country of residence. An ordinary retail account should not be assumed sufficient.
Can an overseas applicant use UPI to apply for an Indian IPO?
Only if the applicant’s category, account, bank, intermediary and the particular issue support that route. SEBI’s guidance describes UPI applications and names possible submission intermediaries, but it does not establish that every foreign resident can use UPI. Use your own bank account and UPI ID, and verify the live instructions.
What happens to my money if I do not receive an IPO allotment?
With ASBA, the application amount is blocked in your account rather than transferred up front. If shares are allotted, the amount payable is debited; if there is no allotment, a refund is not needed because the funds were blocked. For a UPI application, the mandate authorizes a block, so check the bank and issue process for the outcome.
Which bank account should an NRI use for an IPO application?
Check the current IPO documents and confirm the answer with your bank. A SEBI-hosted 2023 offer document described NRE or FCNR accounts for repatriation bids and NRO accounts for non-repatriation bids, but those were that offering’s instructions and are not a universal current rule.
Is the ₹5 lakh UPI limit available to all foreign applicants?
SEBI’s investor guidance states a ₹5 lakh-per-transaction limit for UPI IPO applications by retail individual investors. That does not mean every foreign applicant is eligible to use UPI, or that any application below the limit will be accepted. Check current official guidance and confirm route availability with your bank and intermediary.
Does the below-10% FPI ownership threshold apply to every Indian IPO?
Do not treat it as a universal limit. A SEBI-hosted 2023 offer document describes a below-10% threshold of post-issue equity on a fully diluted basis for a single FPI or investor group, subject to applicable FPI and FEMA rules. Check the target issuer’s current prospectus and current rules for applicable limits.
The Bottom Line
Start with your legal category, not an application screen. Confirm eligibility, account and repatriation treatment, payment route, provider acceptance and any ownership restrictions against the current IPO documents and with your bank and regulated intermediary. ASBA blocks funds; UPI has specific eligibility constraints, including the rule against using a third party’s account. Do not assume one issuer’s instructions apply to every applicant or future issue.
