Evaluate a deep-tech startup as a chain of claims, not as a single readiness score. The technology must work under relevant conditions, remain reliable and affordable when scaled, satisfy legal and quality requirements, and earn adoption from a specific buyer. A strong technical demonstration can coexist with weak economics, an unprotected invention, an impossible supply chain, or a sales process that never converts.

For each material assumption, document the evidence, uncertainty, owner, next decisive test, cost, timing, dependency, and decision gate. Keep observed results, management assumptions, and forecasts in separate columns. This makes it possible to see what is known, what is merely modeled, and what must be proved before the next major commitment of capital.

Define the decision before examining the technology

Diligence changes depending on whether you are investing in the company, financing a project, licensing intellectual property, forming a partnership, or procuring a product. State the decision, the business model, the intended customer, the product boundary, and the company’s stage. A laboratory investment and a deployment investment should not use the same proof standard.

  • Technical success: the performance, reliability, safety, integration, and operating conditions the technology must demonstrate.
  • Commercial success: the customer, price, delivery model, margin, regulatory status, and adoption event required to create a viable business.

Also identify the failure that would invalidate the case. For example, a small loss in conversion efficiency may be tolerable, while a requirement for a rare input, a prohibited chemical, or a process that cannot be maintained in the field may be fatal. This definition determines which tests deserve priority.

Assess the core technical claim

Separate scientific uncertainty from engineering uncertainty

Scientific risk asks whether the underlying mechanism works at all and whether the observed effect is real, repeatable, and explainable. Engineering risk asks whether a working effect can be built into a product, operated by normal users, integrated with surrounding systems, maintained, and manufactured or delivered at the required quality.

A founder may have reduced scientific risk while leaving substantial engineering risk. A controlled experiment with a small sample does not establish lifetime, tolerance to variation, field reliability, serviceability, or manufacturability. Request raw or traceable evidence wherever possible, including test conditions, controls, sample sizes, exclusions, failures, repeat runs, calibration records, and independent replication.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Classify the evidence by environment

Place every important claim in an evidence ladder:

  1. Modeled or simulated performance.
  2. Proof in a laboratory experiment.
  3. Validation with relevant materials, loads, users, or interfaces.
  4. Demonstration in a relevant operating environment.
  5. Qualification and successful operation in the intended environment.

Record what has not been tested. A favorable result in a narrow laboratory window can be useful evidence without being evidence of field readiness. Look for performance distributions and failure modes, not only the best run.

Use TRL as an evidence prompt, not a verdict

Technology Readiness Levels help organize technical evidence from early research through operational use. UK government guidance describes TRL 4–6 as validation or demonstration closer to intended conditions and TRL 7–9 as progression through operational demonstration, qualification, and successful use. The label is meaningful only when the underlying environment and test evidence are clear.

Question What to verify
What was demonstrated? The specific function, performance range, duration, and failure criteria.
Where was it demonstrated? Laboratory, relevant environment, pilot site, or operational deployment.
How representative was it? Real inputs, duty cycle, interfaces, climate, users, and maintenance conditions.
Who verified it? Internal team, customer, accredited laboratory, or independent evaluator.
What remains unproven? Scale, lifetime, yield, safety, interoperability, compliance, and cost drivers.

High TRL does not by itself establish market adoption, acceptable economics, regulatory clearance, delivery capacity, or customer willingness to buy. The U.S. Government Accountability Office describes readiness assessments as tools that illuminate concerns and support mitigation discussions; they do not eliminate technology risk.

Test scale-up and techno-economic risk

Follow performance through the full delivery system

Ask whether the result survives larger equipment, realistic feedstocks or inputs, normal operating variation, maintenance intervals, quality tolerances, and the interfaces around the product. Scale-up often introduces heat and mass-transfer limits, contamination, control problems, component wear, logistics constraints, or quality variation that are invisible in a bench experiment.

Map the path from input to delivered product or service. For each step, specify capacity, yield, cycle time, downtime, scrap, labor, energy, consumables, transport, inspection, rework, and disposal. If the company depends on a contract manufacturer or a specialized installation partner, include that party’s capacity and qualification work in the technical plan rather than treating it as an external detail.

Rebuild the economics from transparent assumptions

Do not accept a single optimistic base case. Recreate the unit economics or techno-economic assessment with formulas that connect technical variables to revenue, cost, and cash needs. Identify which variables drive gross margin and which are merely presentation metrics.

Assumption to stress-test Why it matters Evidence to request
Yield, conversion, or uptime Small changes can multiply cost per delivered unit. Runs across time, batches, operators, and realistic conditions.
Input and energy prices Volatile or location-specific inputs can erase margin. Supplier quotes, contracts, historical ranges, and substitution options.
Capital cost and deployment time Higher capex or longer installation delays revenue and increases financing needs. Vendor quotations, equipment lead times, installation scope, and contingency.
Maintenance and replacement Service labor, consumables, and component life affect lifetime economics. Reliability data, preventive-maintenance schedule, and warranty assumptions.
Selling price and utilization Premium pricing or high utilization may be required to reach break-even. Customer budgets, comparable alternatives, contracts, and conservative ramp cases.

Run downside cases for yield, utilization, input costs, capex, deployment time, and selling price. Tie each technical milestone to the economic outcome it is expected to unlock: for example, a durability test should change replacement cost, warranty exposure, or uptime—not merely add another slide to the technical presentation.

Check milestone order and capital exposure

Some risks must be retired in sequence. A company should not commit to an expensive production line before confirming that the chemistry, component life, or process control works at an intermediate scale. Conversely, a customer may require certification or integration work before funding a pilot. Identify these dependencies and estimate the cost and time to reach each gate. The most important question is not only whether the next milestone is achievable, but what additional capital becomes committed if it fails.

Validate customers and adoption

Name the economic buyer and the adoption path

Identify the daily user, technical evaluator, budget owner, procurement authority, compliance approver, and party that bears switching risk. A problem can be real while the person experiencing it has no budget or authority to buy. Document the current alternative, the budget it competes for, the buying trigger, deployment steps, integration work, training, and renewal or repeat-purchase mechanism.

Test urgency rather than collecting general enthusiasm. Ask what event would cause the buyer to act, what happens if the buyer does nothing, and which incumbent process or competing technology receives the budget instead. Quantify the operational change the product requires: downtime, data migration, facility modification, workflow change, or new certification can outweigh a favorable performance claim.

Interpret pilots and letters of interest carefully

A pilot, memorandum, or letter of interest is evidence, but its strength depends on who signed and what is committed. Establish whether it specifies a paid scope, a start date, acceptance criteria, data access, deployment resources, a purchase option, or only an intention to explore. Record the conditions that could prevent conversion to paid use and the steps required after a successful pilot.

Use the DOE adoption-risk structure

The U.S. Department of Energy’s Adoption Readiness Levels framework groups adoption risk into four buckets and 17 dimensions. It can be scored from 1 to 9 at the dimension level, but a single number should never replace the underlying findings.

Bucket Questions to answer
Value proposition Does the product solve a costly, urgent problem, and is its advantage measurable against alternatives?
Market acceptance Who buys, how do they procure, what objections arise, and what evidence shows repeatable demand?
Resource maturity Are manufacturing, service delivery, suppliers, talent, infrastructure, and financing available at the required scale?
License to operate Can the product meet legal, safety, environmental, quality, permitting, and social-acceptance requirements?

DOE’s central warning is direct: “Addressing technical challenges is necessary but not sufficient to successfully commercialize and scale a new technology.”

Review IP, freedom to operate, and defensibility

Confirm ownership and chain of title for patents, patent applications, know-how, software, data, designs, and institution-originated inventions. Review employment and consultant agreements, assignment documents, grants, sponsored-research terms, and licenses. A founder’s involvement in creating an invention does not by itself prove that the company owns it.

Examine license scope, field-of-use limits, territory, sublicensing rights, royalties, milestones, change-of-control clauses, and termination triggers. Request a freedom-to-operate analysis that identifies relevant third-party claims and explains its search scope, assumptions, and unresolved opinions. A patent portfolio can support defensibility while still failing to block a competitor’s implementation. Conversely, unpatented process know-how may be commercially important but difficult to protect if employees, manufacturers, or partners can reproduce it.

Assess whether a better or cheaper competing technology could bypass the company’s claims. The relevant question is not patent count; it is whether the company can preserve an advantage while the product is scaled and sold.

Check regulation, quality, and license to operate

Map requirements for the intended geography and use, including product classification, safety testing, environmental permits, cybersecurity or data obligations, quality systems, labeling, professional approvals, and procurement rules. Separate requirements that apply to a prototype from those that apply to commercial operation.

Build a regulatory path with the responsible authority, required evidence, sequence, cost, review time, and failure remedies. Ask which claims the company is legally allowed to make and whether a customer’s own approvals are needed. For industrial or infrastructure products, permitting, site acceptance, insurance, and environmental review can determine schedule even when the core technology is ready.

Evaluate team execution, resources, and supply chain

Match expertise to the risk-burndown plan

Assess whether the team has the specialist skills needed to retire its highest-impact uncertainties: experimental design, process engineering, quality, manufacturing, field service, regulatory affairs, enterprise sales, or project finance. Identify single-person dependencies and knowledge held by external partners. A prestigious scientific background does not substitute for the ability to deliver a repeatable product.

Map bottlenecks and replacement options

List critical suppliers, minimum order quantities, lead times, geographic concentration, qualification requirements, and substitutes. Include custom equipment, rare materials, specialized fabrication, cloud or data dependencies, installation crews, and testing laboratories. Ask what happens if a supplier exits, a component is discontinued, a shipment is delayed, or quality varies between lots.

Connect financing to technical and commercial gates

Estimate funding required to reach each proof point, including contingency for failed tests and redesign. Distinguish money needed for research from money needed for certification, tooling, inventory, deployment, receivables, and customer support. A technically sound company can still fail if its financing plan assumes revenue arrives before the next expensive milestone.

Build a decision-useful risk register

A risk register is useful only when it drives tests, ownership, and decisions. Prioritize uncertainties whose failure would invalidate the company or materially change required funding.

Field What to record
Claim or assumption The precise statement that must be true.
Evidence and quality Observed data, source, conditions, independence, repeatability, and known gaps.
Likelihood and impact What happens if the claim fails, including schedule, cost, safety, and customer effects.
Decisive test The least expensive experiment, customer action, legal review, or prototype that can change the decision.
Owner The person accountable for running the test and reporting an interpretable result.
Cost and timing Cash, people, equipment, external review, and elapsed time.
Dependency What must be true before the test or milestone can start.
Decision gate Proceed, redesign, pause, change market, seek a partner, or stop.

Order the register by risk-burndown value, not by how easy a task is to complete. A low-cost experiment that can disprove the central mechanism usually comes before a costly facility commitment. A customer conversation that identifies a non-negotiable certification can come before polishing a demonstration. Revisit likelihood and impact when new evidence arrives; a register is a living decision record, not a static appendix.

Use complementary readiness frameworks

Framework Useful for Limit
Technology Readiness Levels Technical maturity and the environment in which a technology has been validated or demonstrated. Does not establish adoption, economics, regulatory readiness, or delivery capability.
DOE Adoption Readiness Levels Adoption barriers across value proposition, market acceptance, resource maturity, and license to operate; 17 dimensions scored on a 1-to-9 scale. A single aggregate score can conceal a decisive barrier, so inspect each dimension.
NITI Aayog TCRM Matrix Joint consideration of technology, commercialization, and market readiness, with TRL, CRL, and MRL scales from 1 to 9. A structured framework rather than a universal predictor; external variables can change the rating.

Use the frameworks together without collapsing them. Technical, commercial, and market readiness can move at different rates. Report the gaps and dependencies between them instead of averaging scores into false precision.

Compare startups on the same evidence axes

When evaluating more than one company or technology, use an identical question set and evidence standard:

  • Evidence quality, operating environment, repeatability, and independent verification.
  • Remaining scientific and engineering uncertainty, including reliability and maintenance.
  • Scale-up route, manufacturing or service capacity, quality controls, and supply dependencies.
  • Unit economics, key sensitivities, capital intensity, and downside cases.
  • Named customer evidence, procurement path, integration burden, and adoption friction.
  • IP ownership, freedom to operate, defensibility, and exposure to third-party rights.
  • Regulatory, safety, permitting, resource, and financing dependencies.
  • Milestone cost, timing, responsible owner, and the consequence if a critical assumption fails.

Do not rank companies by readiness numbers alone. A lower technical score with a cheap, decisive test may be a better decision than a higher score supported by opaque data and an expensive unresolved scale-up.

Diligence traps that create false confidence

  • TRL as a sales score: technical maturity does not prove a buyer will adopt or pay.
  • Demo as scale evidence: a memorable demonstration may omit lifetime, variation, maintenance, and failure rates.
  • Patent count as defensibility: ownership, claim scope, licensing, and freedom to operate matter more than volume.
  • Interest as demand: enthusiasm without a buyer, budget, commitment, and conversion path is weak evidence.
  • One optimistic economic case: sensitive assumptions and downside scenarios reveal what must go right.
  • Unowned risks: a list without tests, owners, costs, milestones, and decisions does not reduce uncertainty.
  • False precision: a 1-to-9 rating is only as credible as the evidence and uncertainty behind it.
  • Ignoring dependencies: regulation, quality, suppliers, integration, financing, and talent can block a technically working product.

A practical evaluation sequence

  1. Frame the decision. Define the company stage, product boundary, customer, business model, and technical and commercial success criteria.
  2. Map the claims. Separate scientific, engineering, economic, adoption, IP, regulatory, resource, team, and financing assumptions.
  3. Collect traceable evidence. Request test records, raw data, controls, failure information, customer commitments, contracts, licenses, and regulatory correspondence.
  4. Test the highest-impact uncertainty. Choose the least expensive experiment, customer action, legal review, or engineering prototype that can change the investment case.
  5. Rebuild economics. Model realistic yields, utilization, inputs, capex, deployment time, maintenance, pricing, and financing needs, then run downside cases.
  6. Map adoption and delivery. Name buyers, procurement steps, integration work, suppliers, manufacturing or service partners, quality requirements, and permits.
  7. Assign and sequence risks. Put an owner, cost, timing, dependency, and gate on every material uncertainty.
  8. Make a conditional decision. State what must be demonstrated before the next capital commitment and what outcome would trigger redesign, pause, partnership, or stop.

This sequence reflects the limits of readiness assessments: they organize evidence and expose mitigation needs, but they cannot remove uncertainty or predict an investment outcome. Sector-specific technical, legal, financial, and regulatory review remains necessary for a real company.
