Evaluate an AI startup as a repayment problem, not as an AI story. The first question is whether operating cash flow or controlled collateral can repay the facility under a credible downside case. Only after that should a lender assess model, data, vendor, cybersecurity, customer, fundraising, and portfolio-concentration risks.

An attractive valuation, prominent investors, or an expected equity round does not create debt-service capacity. The Office of the Comptroller of the Currency (OCC) states in its December 5, 2025 venture-loan bulletin: “An uncommitted future equity raise is not a satisfactory primary source of repayment.” Use future financing only as a clearly qualified secondary source unless a binding commitment exists and its conditions are likely to be met.

What makes an AI startup loan different?

An AI startup can have exceptional technical talent and rapid customer growth while still being a weak credit. Many borrowers are pre-product, pre-revenue, pre-cash-flow, or pre-profit; they may have little collateral, high monthly burn, and a short operating history. Earlier-stage companies generally carry more uncertainty, and the distance from positive free cash flow sufficient to repay debt determines how important structural protections and credit enhancements become.

The AI label adds specific dependencies rather than a separate repayment rule. A borrower may rely on external foundation models, cloud compute, specialized data, or a small set of infrastructure providers. Model behavior can change after an update, inference costs can rise with usage, and customers may demand explanations, accuracy guarantees, privacy controls, or rapid incident response. These are underwriting questions, not proof that any particular company is unsafe.

For a U.S. lender, the practical decision is whether the proposed structure survives a realistic downside. Assess the primary repayment source, verify the operating and financial case, map AI and vendor dependencies, then set terms and monitoring that match the borrower’s stage and risk.

1. Identify the primary source of repayment

Write the repayment story in one sentence before reviewing the pitch deck: for example, “Recurring customer receipts will cover operating expenses, fixed charges, and scheduled principal by month X,” or “A specified pool of controlled cash and eligible receivables will repay the facility.” If that sentence cannot be supported with evidence, the loan is relying on hope.

Separate primary and secondary sources

  • Primary: sustainable operating cash flow after ordinary expenses, taxes, capital needs, and working-capital movements; or collateral that the lender can control, value, and liquidate within the proposed structure.
  • Secondary: a committed equity financing, refinancing, asset sale, acquisition, or sponsor support that is documented and realistically executable.
  • Not a repayment source by itself: a recent valuation, an investor’s reputation, a large total-addressable-market estimate, or an uncommitted plan to raise capital.

Ask what must happen for debt service to work and which assumptions are outside the borrower’s control. Risk ratings should reflect expected performance and the borrower’s ability to service obligations on reasonable terms, not the most optimistic fundraising narrative.

Check the evidence behind cash generation

Reconcile bookings to recognized revenue, invoices to collections, gross margin to delivery costs, and reported customer retention to actual renewal and expansion behavior. Distinguish a usage-based AI contract from a committed subscription: usage can grow quickly but may carry variable inference and support costs. Determine whether a few customers account for most receipts and whether any customer can terminate for model-quality, data, security, or service-level failures.

2. Test the financial case and liquidity

Obtain historical financial statements, bank statements, a current cap table, debt schedule, monthly operating model, and performance-versus-plan reports. Rebuild the debt-service model from source data rather than accepting management’s summary. Compare actual revenue, expenses, headcount, gross margin, collections, and cash balance with each prior forecast.

Use a base case and explicit downside cases

The base case should reflect the most supportable plan, not management’s ceiling. Add downside cases that alter several assumptions at once:

  • Customer adoption starts later or grows more slowly.
  • Price realization, retention, or expansion is lower than planned.
  • Cloud, model-inference, data-licensing, or support costs rise.
  • Hiring and product delivery take longer, delaying time to market.
  • Fundraising is delayed, smaller, more dilutive, or unavailable.
  • A refinancing or exit is not available when scheduled.

These are analytical scenarios, not forecasts of what will occur. Show monthly cash flow, interest and principal, minimum liquidity, covenant headroom, and the date on which additional capital would be required in each case. Be especially cautious when free cash flow remains negative for a prolonged period, positive cash flow is heavily back-loaded, or the lender cannot explain why the assumptions are credible.

Measure runway without confusing it with repayment

Track cash burn and remaining months of liquidity against the approved model. A simple measure is unrestricted cash divided by current monthly net burn, but the trend matters more than a single month: burn can accelerate with hiring, compute usage, or customer implementation. The OCC cautions that unrestricted liquidity and a remaining-months-of-liquidity covenant may not ensure full repayment. Cash that is pledged, controlled, or subject to an agreed account structure has a different credit role from cash the borrower can freely spend.

Questions that expose weak projections

  • Which assumptions are supported by signed contracts, purchase orders, usage logs, or historical conversion rates?
  • Does profitability require a scale of customers, utilization, or gross margin the company has never demonstrated?
  • What happens if the largest customer pauses deployment for one quarter?
  • How much cash is restricted, held at other institutions, or needed for committed operating obligations?
  • What financing must close before the company reaches positive free cash flow, and are its terms and conditions documented?

3. Understand the product and its economic moat

Determine exactly what the borrower sells and where AI creates customer value. A model feature embedded in a broader workflow has different switching risk from a stand-alone model API. Identify the buyer, the business outcome being purchased, implementation time, renewal trigger, and evidence that customers would continue paying if the underlying model changed.

Test unit economics under real usage

Calculate contribution margin per customer or transaction after model calls, GPU or cloud consumption, data licenses, storage, human review, support, security, and implementation. Separate gross margin at current utilization from margin at the usage levels promised in the sales plan. Ask whether a customer can route demand to a cheaper provider, limit usage, or build an internal substitute. Review contractual rights to change prices when provider costs or model terms change.

Validate adoption and differentiation

Separate pilots, paid proofs of concept, annual contracts, and collected revenue. Examine cohort retention, expansion, implementation failure rates, sales-cycle length, backlog conversion, and customer concentration. A technical benchmark is not evidence of durable demand unless it translates into paid use and repeatable economics. Review intellectual-property ownership, training-data rights, open-source obligations, and restrictions imposed by upstream model or data licenses.

4. Map AI model, data, and security risks

The Government Accountability Office’s May 19, 2025 report on AI in financial services highlights potential biased decisions, data-quality problems, privacy concerns, and new cyber threats. Apply those categories to the borrower’s actual product and customers; do not assume that a general AI policy answers them.

Model performance and explainability

  • What tasks does the model perform, and what error rate is acceptable for each?
  • How are outputs tested before release and monitored in production?
  • Can the company identify drift, hallucination, prompt injection, data poisoning, or abnormal usage?
  • For consequential decisions, can it explain material outputs to the customer and correct an erroneous result?
  • What service credits, indemnities, refund rights, or regulatory obligations arise when output quality fails?

For lending, employment, healthcare, insurance, or other high-impact uses, ask management and qualified counsel to identify applicable obligations in each operating and customer jurisdiction. The risk review should cover validation, human oversight, appeals or correction, record retention, and incident notification; the specific legal checklist depends on the use case and jurisdiction.

Data integrity and privacy

Inventory data sources, consent and license terms, retention periods, residency requirements, and deletion procedures. Identify whether customer data is used for training, shared with an upstream provider, or commingled across tenants. Test access controls, encryption, secrets management, privileged access, backup restoration, and the ability to isolate a compromised environment. A material privacy or security incident can cause refunds, lost contracts, investigation costs, and an unexpected cash drain even when the model itself remains available.

5. Assess external-provider and infrastructure dependency

Create a dependency map covering model providers, cloud and compute, vector databases, data suppliers, deployment tools, observability, identity, and critical contractors. For every dependency, record the service used, spend, contract term, termination rights, data-portability provisions, service-level commitments, geographic location, and practical substitute.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Measure substitution risk

Ask management to demonstrate, not merely describe, how it would migrate a critical workload. Estimate engineering hours, revalidation, customer notification, retraining, new hardware or capacity, and the revenue at risk during migration. Review whether a provider can change pricing, usage limits, model behavior, acceptable-use rules, or access to customer data. A nominal second provider is not true redundancy if the application is tightly coupled to one model’s format or if the alternative lacks capacity.

The Bank of England’s April 2025 Financial Policy Committee report warns that growing concentration in AI-service supply could increase financial-system risk. It also describes operational risk when rapid migration is not feasible and the possibility that common model weaknesses cause firms to misestimate risk. Apply that insight at borrower and portfolio level: several borrowers may appear independent while sharing the same model family, cloud region, data vendor, or deployment dependency.

Use the vendor’s financial and operational facts

  • Review uptime history, incident notices, recovery-time and recovery-point objectives, and support escalation.
  • Check whether the startup has prepaid credits or minimum-spend commitments that become liabilities if demand falls.
  • Identify termination assistance, export formats, model-version pinning, and rights to retain logs needed for customer disputes.
  • Determine whether a provider outage would stop revenue, breach a customer contract, or merely degrade a noncritical feature.

6. Evaluate cyber and operational resilience

Request the borrower’s security architecture, recent penetration-test or independent-assessment results, material incident history, business-continuity plan, and evidence that backups have been restored successfully. Confirm who can deploy model or prompt changes, alter production data, approve refunds, or access customer secrets. Small teams often concentrate these powers in a few people; that is a control risk requiring compensating procedures.

7. Structure the facility for the actual risk

Loan terms should reflect stage, collateral quality, time to positive cash flow, and the reliability of the primary repayment source. A short, controlled working-capital facility is not interchangeable with long-dated growth debt funding years of negative free cash flow.

Key structural choices

Element Questions for underwriting Possible protection
Tenor and amortization When does cash flow turn positive, and how much of the principal is back-loaded? Amortization aligned to demonstrated cash generation; avoid a maturity that depends entirely on refinancing.
Collateral What assets are eligible, perfected, current, and recoverable? First-priority security, borrowing-base controls, account control, or pledged cash where appropriate.
Liquidity Which cash is unrestricted, and which is controlled by the lender? Minimum liquidity calibrated to burn and obligations; controlled accounts for specified proceeds.
Covenants Which metric will deteriorate first in a downside? Cash, revenue, collections, leverage, fixed-charge coverage, borrowing-base, or milestone tests with cure mechanics.
Reporting How quickly can the lender detect a miss? Monthly or more frequent reporting for volatile borrowers; variance explanations and updated forecasts.
Credit enhancements What support is real and enforceable? Guarantees, equity funding conditions, reserves, or other enhancements documented and tested for enforceability.

Do not add a runway covenant merely because it is easy to calculate. Define the cash included, burn period, permitted uses, cure rights, and consequences of breach. A covenant that permits unrestricted spending can give the lender a comforting number without control over repayment resources.

Set information and change-notification rights

Require prompt notice of material customer loss, missed revenue or collection targets, new debt, liens, litigation, regulatory inquiry, security incident, model or provider change, loss of a critical license, and a material change in fundraising. Require a current cap table and debt schedule after each financing or option-pool change. Reporting frequency should increase when headroom narrows or the borrower is dependent on a near-term capital raise.

Financial and operating indicators

  • Cash balance, monthly gross and net burn, and remaining months of liquidity.
  • Revenue, collections, deferred revenue, gross margin, customer retention, and concentration.
  • Bookings-to-revenue conversion, implementation backlog, sales-cycle length, and usage-based cost per customer.
  • Debt service, covenant headroom, borrowing-base availability, and upcoming maturities.
  • Fundraising status, committed versus uncommitted capital, and conditions precedent to any financing.

AI and dependency indicators

  • Material model-quality or bias incidents, customer complaints, refunds, and service credits.
  • Changes in model, cloud, data, or deployment providers, pricing, usage limits, or contract terms.
  • Provider concentration, outage minutes, migration tests, and unresolved security findings.
  • Changes in data rights, privacy obligations, customer-required certifications, or regulatory inquiries.

Define escalation thresholds before a breach occurs. For example, a missed forecast can trigger a variance report; repeated misses can require a revised operating plan; a loss of a critical provider or customer can trigger a borrowing freeze, additional collateral, or a consent process. The exact thresholds should reflect the facility’s risk and documentation.

9. Compare AI-startup lending opportunities consistently

When choosing between borrowers, score each opportunity on the same decision axes rather than allowing technical novelty to dominate the discussion.

Axis Evidence to compare Decision question
Repayment capacity Historical cash generation, debt service, collections, and quality of contracted revenue Can ordinary operations repay principal and interest?
Downside liquidity Burn, controlled cash, runway, funding needs, and covenant headroom How long can the company operate after a realistic shock?
Product economics Adoption, retention, differentiation, gross margin, and variable AI costs Does growth improve repayment capacity or merely increase expensive usage?
Dependency resilience Model, data, cloud, and infrastructure concentration; portability and substitutes Can revenue continue through a provider failure or price change?
Structure and collateral Perfection, control, tenor, amortization, covenants, and reporting What can the lender control if the plan misses?
Portfolio correlation Shared providers, investors, customers, sectors, and funding channels Could several credits deteriorate together?

Document why a weaker cash-flow profile is being accepted and what compensates for it. If the only answer is a higher valuation or the prospect of a future round, the comparison has not reached a credit conclusion.

10. Manage concentration across the portfolio

Assess exposure beyond the individual legal entity. Correlation can arise from shared AI providers, common investors, the same customer segment, semiconductor or energy constraints, data-center financing, or a general reversal in AI spending. A provider outage or model weakness can affect several borrowers at once even when their products compete.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The Federal Reserve Bank of Chicago reported in 2026 that large-bank commitments to selected AI-adjacent industries were around 13% of total commitments, approximately $450 billion, in late 2025, versus around 9%, approximately $250 billion, in 2015. Those figures describe a selected industry grouping at large banks; they are not default or recovery rates for AI startups and are not measures of venture-debt performance. Use them as context for why concentration limits and scenario analysis matter, not as evidence that any borrower will fail.

Portfolio questions

  • How much exposure shares a model family, cloud region, data supplier, or critical infrastructure provider?
  • How much lending depends on the same venture funds, strategic investors, or refinancing market?
  • Would a decline in enterprise AI budgets affect several borrowers’ renewals simultaneously?
  • Are indirect exposures to AI-linked software, infrastructure, semiconductors, energy, or data centers captured in concentration reporting?
  • Do limits cover commitments, funded balances, unfunded availability, and contingent obligations?

Set concentration limits that reflect correlation, not only industry codes, and stress simultaneous provider, funding, and demand shocks.

Practical approval checklist

  1. State the primary repayment source and identify every assumption supporting it.
  2. Verify historical performance against prior plans and reconcile revenue to collections.
  3. Run base and downside cases covering adoption, margins, costs, fundraising, refinancing, and exit constraints.
  4. Calculate unrestricted and controlled liquidity separately; show burn, runway, debt service, and covenant headroom.
  5. Map model, data, cloud, infrastructure, and contractor dependencies, including migration time and cost.
  6. Review model validation, data rights, privacy, cybersecurity, incident response, and customer obligations.
  7. Evaluate customer concentration, contract termination rights, retention, usage economics, and substitution risk.
  8. Choose tenor, amortization, collateral, covenants, reporting, and enhancements that fit the downside case.
  9. Define post-close metrics, escalation triggers, and remedies before signing.
  10. Aggregate direct and correlated portfolio exposure and apply appropriate limits.

What the evidence does—and does not—establish

The OCC bulletin provides general U.S. venture-lending guidance, not a default database for AI startups. The GAO report and Bank of England analysis identify AI-related model, data, vendor, cyber, and operational risk categories; they do not establish that a particular borrower has a defect or that AI companies are inherently more or less creditworthy than other startups. The Chicago Fed figures concern selected AI-adjacent industries at large banks, not venture loans.

Apply current law, supervisory guidance, and contract requirements for the lender’s jurisdiction, the borrower’s sector, and the product’s use case. Credit quality still turns on demonstrated cash generation, committed liquidity, collateral control, customer economics, dependency resilience, and enforceable structure.
