Start with the legal claim, not the ticker symbol. A token called after a public company might be an issuer-sponsored security, a custodial entitlement backed by shares held by an intermediary, or a synthetic instrument that only tracks a reference price. Those structures can differ in voting, dividends, insolvency protection, transfer, redemption and total cost. Evaluate the product documents for your jurisdiction and date, then compare the complete cost of buying and selling—not just a stated commission.
This guide gives you a repeatable process for answering “What do I actually own?”, mapping the custody chain, testing exit conditions and calculating an all-in round-trip cost. Platform examples below describe disclosed terms in the United States as of their stated dates; they are illustrations, not endorsements.
1. Identify what the token legally represents
“Tokenized stock” is a product label, not a legal description. The U.S. Securities and Exchange Commission (SEC) staff statement of January 28, 2026, separates issuer-sponsored and third-party-sponsored models. Third-party products may be custodial interests or synthetic exposure, and the rights can be materially different.
| Structure | What is generally issued | Questions that determine your risk |
|---|---|---|
| Issuer-sponsored | The company or an authorized issuer creates a blockchain-based security representing a specified share class. | Does the token carry the same voting, dividend, information and corporate-action rights as the conventional security? Is the token recorded on the issuer’s register or another legally recognized record? |
| Custodial entitlement | An intermediary or token issuer holds underlying shares with a custodian and records a token holder’s contractual or securities entitlement. | Who owns the shares on the custodian’s books? Is your interest a direct security entitlement, a contractual claim against the issuer, or something else? What happens if the intermediary or custodian fails? |
| Synthetic exposure | A token issuer promises a return linked to a reference stock without delivering ownership of that company’s shares. | Is there collateral, and who controls it? Is the claim against the reference company or only against the token issuer? How are price, dividends and corporate actions calculated? |
Investor.gov explains the practical distinction: an issuer-sponsored token may carry rights of the relevant share class; a custodial token can represent an indirect interest through a securities intermediary; and a synthetic token may track the reference price without giving you a claim against the referenced issuer. The offering documents, not the name or marketing language, control the analysis.
Read the instrument definition
Locate the terms, prospectus, token specification and any product schedule. Look for an explicit statement identifying the token as a security, security entitlement, contractual claim or derivative-like exposure. If the documents never state what legal interest is being delivered, treat that silence as a material risk and ask the provider for a written explanation.
2. Test the rights attached to the token
Build a rights checklist and answer each item from the current documents. Do not infer shareholder rights from a stock ticker, a “one token equals one share” display or the word “backed.”
- Voting: Does the holder vote directly, instruct a custodian, receive a pass-through vote, or have no vote?
- Dividends and distributions: Are cash dividends passed through, converted to another token, retained, netted for taxes or replaced by a price adjustment? Find the payment timing and any fee.
- Corporate actions: What happens during splits, mergers, tender offers, spin-offs, symbol changes or delistings? Identify who makes the election and how fractional interests are handled.
- Information: Do you receive issuer reports and notices, or only platform statements?
- Legal claim: Can you sue or make a claim against the underlying company, or only against the token issuer, platform or custodian?
- Transfer: Can the token move to a self-hosted wallet or another venue? Check whitelists, approved addresses, minimums, network support and country restrictions.
- Suspension and modification: Can the issuer pause trading, cancel tokens, change the reference price, force a conversion or terminate the product?
- Redemption: Can you receive underlying shares, cash, another token or nothing beyond a sale on the platform? Note minimum size, notice period, settlement time and conditions.
For example, the U.S. Unified Tokenized Stock Trading Terms published by OKX on July 15, 2026, describe the balance as a contractual right against the applicable OKX entity. Those terms state that the balance itself is not ownership of, or a direct legal claim against, the underlying equity, while separately describing backing shares held by a third-party custodian. That wording illustrates why “backed” does not automatically mean that you are a shareholder.

3. Map custody and counterparty exposure
Draw the chain of entities before depositing money. A typical arrangement can involve the company named by the token, a token issuer, a trading platform, a securities custodian, a wallet or blockchain operator, a market maker or liquidity pool, and a settlement or redemption agent. Each link adds a possible failure point.
- Underlying issuer: Confirm whether any shares actually exist and which share class they are.
- Token issuer: Identify the legal entity that creates, burns or promises the token and the law governing its terms.
- Custodian: Find where shares or collateral are held, whether assets are segregated and whose name appears on the account.
- Platform: Determine whether it is an execution venue, principal counterparty, broker, wallet provider or several of these at once.
- Liquidity provider: Identify the market maker, automated market maker or pool that supplies quotes and what happens if liquidity disappears.
- Settlement and redemption agent: Establish who processes withdrawals, corporate actions and conversions.
For every entity, ask what happens after insolvency, loss of access, a regulatory order, a cyber incident or a dispute over records. The SEC staff statement of January 28, 2026, specifically notes that holders of third-party tokenized securities may face the third party’s bankruptcy risk. A claim described as “backed” can still leave you dependent on the issuer’s and custodian’s ability to perform and on the legal treatment of customer assets in the relevant jurisdiction.
Separate custody from ownership
A custodian holding shares does not necessarily put those shares in your name. Read how the platform records your interest, whether it is reconciled to a specific number of shares, and whether the documents grant a proprietary claim or only a promise to pay. Check whether assets are segregated from operating funds and whether any investor-compensation or deposit-protection regime actually applies; do not assume that a familiar brokerage protection follows a token to a crypto wallet.

Look for operational discretion
Terms often reserve the ability to halt trading, widen spreads, restrict order types or reject, cancel, suspend or delay a transaction. The U.S. OKX terms are an example of this type of language. Record the trigger events, notice requirements and complaint process. A right to exit that can be suspended when markets are stressed may be very different from ordinary exchange-traded liquidity.

Evaluate the path out before you enter. A product can show a live price yet offer no reliable way to transfer or redeem it.
- Trading hours: Are quotes available only during the underlying exchange’s session, around the clock, or on a provider-defined schedule?
- Quote quality: Is a quote firm or indicative, and how long does it remain valid?
- Liquidity: Can you see order-book depth or only a single quote? Can an order fill partially?
- Order controls: Are limit orders, stop orders and cancel/replace supported, or are you accepting a principal quote?
- Minimums and fractions: What is the smallest purchase, sale, transfer or redemption, and how are fractional amounts rounded?
- Settlement: When do cash and tokens become available, and can you withdraw during weekends, holidays, network congestion or maintenance?
- Transferability: Are destination wallets whitelisted, and can another platform recognize the token?
The U.S. OKX terms state that RFQ quotes are indicative, generally valid for a short window and include an embedded spread separate from trading fees. They also warn that when U.S. equity markets are closed, prices may rely on prior-session prices and market-maker estimates, deviate from the last traded share price and carry wider spreads. Treat an overnight or weekend quote as a separate execution risk, not as a guaranteed continuation of the stock market price.

5. Calculate the complete round-trip cost
Compare the same notional amount, order type, route and time on every platform. Capture executable buy and sell quotes rather than relying on a fee page. Your minimum calculation is:
Round-trip cost = purchase price + buy fees + funding/conversion costs + transfer or network costs + sale fees + sell-side spread and price impact − sale proceeds.
Express the result in currency and as a percentage of the initial amount. If you cannot obtain a realistic sell quote, mark the comparison incomplete rather than treating the advertised commission as the cost.

Use this fee worksheet
| Cost line | What to record | Why it matters |
|---|---|---|
| Buy fee | Commission, maker/taker tier or principal markup for the intended order. | A “free” purchase can still include a spread. |
| Sell fee | Charge applied when closing the position. | Round-trip costs require both directions. |
| Bid-ask or RFQ spread | Difference between executable buy and sell prices at the same time and size. | It may exceed the explicit commission and widen in thin or closed markets. |
| Price impact | Difference between the displayed quote and the fill for your actual size. | A small quoted spread is not useful if depth cannot absorb your order. |
| Network cost | Blockchain gas or withdrawal fee for the exact network. | Transfers can cost more than trading, especially for small balances. |
| Funding and conversion | Fiat on-ramp, stablecoin conversion, card, bank-transfer or foreign-exchange charge. | The trading screen may exclude the cost of getting money in or out. |
| Custody, account or issuer charge | Recurring or one-time fee disclosed for holding or creating tokens. | A zero-commission trade can still have an account-level charge. |
| Redemption or corporate-action cost | Fee, minimum, forced-conversion haircut or administrative charge. | Exit and corporate-action economics may differ from ordinary sales. |
| Funding, borrow or leverage | Interest or periodic funding if shorting or leverage is available. | Holding costs can dominate a low trading fee. |
Record whether each amount is fixed, percentage-based, tiered, embedded in the quote, recurring or subject to change. Save the timestamp, currency, order size and applicable terms so another person can reproduce the comparison.
Why headline “zero fees” can mislead
Gemini’s tokenized-stock product page advertises zero trading fees while stating that buy and sell prices include a spread and that purchases and sales are subject to fees and conditions set by Dinari. This is an example of why “zero trading fee” must not be restated as “zero cost.” Verify the live disclosure for the exact product and region.
Moonshot’s Tokenized Equities Agreement, last updated July 22, 2026, identifies separate Moonshot fees, Jupiter Exchange fees and blockchain network fees, and says Moonshot may change its fee structure. An interface and its underlying venue can therefore contribute separate charges. Include both when calculating the round trip.

6. Apply the U.S. regulatory context correctly
Regulatory status depends on product structure, venue, activity, jurisdiction and conditions. It is not a blanket approval of every tokenized-stock offering.
| Date | Official action or statement | How to use it in your evaluation |
|---|---|---|
| July 9, 2025 | SEC Commissioner Hester M. Peirce stated that tokenized securities remain securities and that market participants must consider federal securities laws. She wrote: “As powerful as blockchain technology is, it does not have magical abilities to transform the nature of the underlying asset. Tokenized securities are still securities.” | Do not treat blockchain issuance as removing securities-law obligations or counterparty risk. |
| January 28, 2026 | SEC divisions published a staff statement describing issuer-sponsored and third-party-sponsored models, including custodial and synthetic structures. | Use the categories to identify the product, but read the specific contract; a staff statement is not a statute or a platform approval. |
| September 17, 2026 | The SEC issued temporary conditional exemptive relief for certain tokenized NMS-stock venues and liquidity providers using permissioned automated market makers and liquidity pools, alongside a request for comment. | Check whether the exact venue, activity, participants and conditions fit. Do not generalize the relief to unrelated products or countries. |
For non-U.S. users, substitute the securities, derivatives, custody and consumer-protection rules of your own jurisdiction. A U.S. disclosure may not describe your legal rights, tax treatment or ability to recover assets elsewhere.
7. A practical evaluation workflow
- Define the scenario. Write down your country, account type, intended amount, holding period, need for dividends or voting, and whether you require self-custody or redemption.
- Collect primary documents. Download the current terms, prospectus or product sheet, fee schedule, privacy and custody disclosures, transfer rules and corporate-action policy. Note publication and revision dates.
- Classify the legal structure. Label the product issuer-sponsored, custodial or synthetic only after matching the documents to the definitions above.
- Build the rights table. Fill in voting, distributions, information, transfer, suspension, redemption and termination terms. Use “not stated” where the document is silent, then request clarification.
- Map the entities. Record the issuer, token creator, custodian, platform, liquidity provider and redemption agent. For each, write the consequence of insolvency or a freeze.
- Test a small quote. Capture executable buy and sell prices for the same size. Repeat during normal hours and, if relevant, outside the underlying market session.
- Calculate the round trip. Add both explicit fees, spreads, price impact, network, conversion, custody and redemption costs. Separate one-time and recurring amounts.
- Test the exit path. Confirm sale, withdrawal, wallet transfer and redemption requirements with a small amount. Record settlement time and any whitelist or minimum.
- Check regulatory fit. Confirm that the provider accepts residents of your jurisdiction and identify the licensed or exempt entity actually serving your account.
- Set a stop condition. Do not fund the account if the legal claim, insolvency treatment, sell price, redemption mechanics or total cost remains unclear.
8. Risk signals that warrant extra caution
| Signal | Why it matters | Action |
|---|---|---|
| Marketing says “real shares” but the contract says “contractual right.” | The economic exposure may not include shareholder rights. | Use the contract’s definition and identify the direct counterparty. |
| No named custodian or unclear asset segregation. | You cannot assess recovery if the platform fails. | Request the custody arrangement and insolvency treatment in writing. |
| Only an indicative quote is shown. | The executable price may be materially worse. | Obtain a firm quote or test a small order and record the fill. |
| Transfer or redemption is discretionary. | You may be unable to move or liquidate during stress. | Check triggers, notice, minimums and alternative exit routes. |
| “Zero fees” appears without a spread example. | Compensation may be embedded in buy and sell prices. | Measure the executable spread at your order size. |
| Relief or registration is cited without scope. | A venue-specific condition may not cover your product or location. | Match the legal entity, activity, geography and date to the official order. |
9. Questions to resolve before depositing
- What exact legal interest does one token create, and who is obligated to me?
- Are underlying shares held, by whom, and how are my units recorded?
- What rights apply to dividends, votes, splits, mergers and delistings?
- What happens to my claim if the token issuer, platform or custodian becomes insolvent?
- Can I transfer to a wallet I control or another venue, and what restrictions apply?
- Can I redeem for shares or cash, what are the minimums and timing, and can redemption be suspended?
- What is the executable buy price, sell price and all-in round-trip cost for my order size?
- Which charges are embedded, recurring, variable or subject to change?
- Which entity serves my jurisdiction, under which law, and what complaint or recovery process exists?
A tokenized stock can be useful for a specific access or settlement need, but the label alone cannot tell you whether you own a share, an intermediary entitlement or a price-linked promise. Make the legal claim and failure scenario explicit first; only then compare liquidity and fees using executable, round-trip numbers.
