Evaluate a specific Strategy preferred-stock series—not “Strategy preferred stock” as if it were one security—by reading its current certificate of designations and prospectus supplement, then checking dividend mechanics, market price, ranking, conversion and redemption rights, and Strategy’s ability to pay. A high stated rate is neither a guaranteed payment nor your realized yield. Strategy says these securities are not collateralized by its Bitcoin holdings, so recovery depends on the company’s residual assets and the priority established in the governing documents.

The figures below include issuer and SEC-filed information available in 2026. Rates, notices, prices and capital-structure terms can change. Verify the latest filing, dividend notice and a same-time market quote before placing an order.

The correct way to evaluate a Strategy preferred share

Start by naming the exact ticker and series, such as STRC or STRK. For that series, record the contractual dividend, whether it is cumulative, payment and record-date rules, liquidation preference, ranking, conversion terms, redemption rights, maturity, voting protections and treatment of missed payments. Then compare the share’s market price with its stated amount and calculate a yield based on the price you would actually pay.

Finally, assess Strategy as the issuer. Preferred holders have a claim on Strategy, not on a segregated pool of Bitcoin. Debt, subsidiary liabilities and senior preferred securities may absorb value before a junior preferred holder receives anything. Your decision therefore combines security terms, market price and issuer credit risk.

1. Identify the exact series and read the controlling documents

Use the ticker and series name

Different Strategy preferred series can have different rates, payment schedules, seniority and equity rights. Record the complete security name and ticker from your brokerage quote screen. Do not apply STRC’s terms to STRK, or one series’ ranking to another, without checking the applicable documents.

Find the current legal terms

Use Strategy’s investor-relations filing archive to locate the base prospectus, the series-specific prospectus supplement and the latest certificate of designations. Read the SEC filing itself when possible. Issuer briefing pages and plain-English summaries are useful starting points, but the certificate and prospectus control if a summary differs from the legal text.

Check for amendments, new offerings, changes to payment cadence, revised conversion adjustments and new senior or parity securities. A capital stack that was accurate when a series launched can change after another financing.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Build a one-page term sheet

Before comparing investments, copy these fields into your own worksheet:

  • Exact ticker, series name and issue date.
  • Stated amount or liquidation preference and the date on which that figure was reported.
  • Dividend rate, calculation base, fixed or variable formula, reset dates and any caps or floors.
  • Record-date and payment-date rules, including whether payment is in arrears.
  • Cumulative or non-cumulative status and the treatment of unpaid distributions.
  • Ranking against debt, subsidiary liabilities, other preferred series and common stock.
  • Conversion ratio, adjustment provisions and who controls conversion.
  • Issuer call or redemption rights, holder put rights, maturity and any sinking fund.
  • Voting and protective provisions triggered by missed payments or other events.

2. Separate a dividend accrual from a dividend payment

What the stated rate tells you

The stated rate is a contractual calculation applied to the security’s stated base. It is not the same as a yield on your purchase price, and it does not by itself guarantee that cash will be paid. Confirm whether the rate is fixed or variable, how often it can change, and whether a reset uses a reference rate, a board-approved formula or another method.

Also determine whether the dividend is cumulative. With a cumulative security, an unpaid distribution generally remains an arrearage that must be addressed under the governing terms before common-stock dividends can resume; the exact priority and compounding treatment must be read in the series documents. A non-cumulative security can have materially different consequences after a skipped payment.

STRC’s published rate history is evidence of change

Strategy’s STRC dividend-history page displayed an annual rate of 12.00% for periods shown in July through September 2026, after multiple periods earlier in 2026 displayed 11.50%. Those are issuer-published historical/current-page figures, not a forecast. The same page says expected record and payout dates are subject to board declaration.

An August 23, 2026 SEC-filed STRC briefing describes STRC as cumulative and paying semi-monthly in arrears. Confirm that description against the newest certificate and supplement before relying on it, especially if a later amendment or offering has been filed.

Ask what happens after a missed payment

Read the arrears clause, not just the word “cumulative.” Determine whether unpaid dividends accrue without interest, whether they must be paid before any common dividend, whether voting rights arise after a specified number of missed periods, and whether those rights end when arrears are cured. These provisions can affect both the economic value of a delay and the issuer’s governance pressure.

3. Convert the stated rate into the yield you could actually earn

Use purchase price, not the headline rate

A simple current-yield calculation is:

current yield = annual dividend per share ÷ market purchase price per share

If a hypothetical preferred share pays $12 a year and trades at $90, the indicated current yield is 13.33% ($12 ÷ $90). If the same share trades at $110, the indicated yield is 10.91%. The illustration is arithmetic, not a Strategy quote; actual Strategy calculations must use the applicable rate and the live price at your order time.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Price also determines capital gain or loss. Buying below the stated amount can increase the income yield but does not ensure that the price will return to that amount. Buying above it can reduce current yield and expose you to loss if the issuer redeems at a lower contractual amount or the market price falls.

Date every quote and calculation

Capture the market price, bid, ask, volume and quote time from one consistent market-data source. Do not combine a rate from one date with a price from another and present the result as a live comparison. The available information does not establish a complete, same-time price and effective-yield set for every Strategy preferred series, so a cross-series live table should be built afresh when you invest.

For a variable-rate security, show both the rate used and the date it was observed. State whether your calculation is current yield, yield to a possible call, or an estimate of total return. These measures answer different questions.

4. Understand ranking, collateral and recovery

Strategy’s Bitcoin is not pledged collateral

Strategy says its preferred securities are not collateralized by its Bitcoin holdings. Do not describe STRC, STRK or another series as Bitcoin-backed collateral or as a claim on a specified number of coins. The shares represent an equity claim on Strategy subject to the company’s liabilities and the applicable corporate and securities-law terms.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Map the priority waterfall

List the claims that sit ahead of your series: secured and unsecured debt, obligations at subsidiaries, senior preferred stock and any other prior-ranking claims. Then list parity preferred series, junior preferred series and common equity. A preferred designation gives priority over specified junior claims; it does not place the holder ahead of debt or liabilities located at subsidiaries.

The August 2026 SEC-filed STRC briefing summarizes STRC as junior to debt, subsidiary liabilities and STRF, and senior to current STRE, STRK, STRD and common equity. Treat that as a dated issuer summary and verify the latest stack in the operative filings. A later offering could change the relative position.

Liquidation preference is a priority amount, not a recovery guarantee

A liquidation preference describes the amount used in the distribution rules. It does not promise that the company will have enough value to pay it. Recovery depends on assets remaining after higher-ranking claims, the legal form of the liquidation and the exact certificate provisions. Do not turn Strategy’s Bitcoin holdings, a market capitalization figure or any quoted Bitcoin-related rating into an estimate of guaranteed dividend coverage or liquidation proceeds.

5. Compare conversion, redemption and expected holding period

STRC and STRK illustrate why series-level analysis matters

Feature STRC information identified in 2026 filings STRK information identified in 2026 filings
Dividend Issuer page showed 12.00% annual periods in July–September 2026 and 11.50% periods earlier in 2026; the rate can change. SEC-filed materials describe an 8.00% annual regular dividend rate; confirm current terms and amendments.
Cumulative status August 23, 2026 SEC-filed briefing describes dividends as cumulative. SEC-filed materials describe cumulative dividends.
Payment cadence Semi-monthly in arrears in the August 2026 briefing; issuer notices remain subject to board declaration. Use the current STRK supplement for its record and payment schedule.
Maturity and sinking fund Perpetual, with no scheduled maturity or sinking fund in the August 2026 briefing. Check the current STRK documents; do not infer STRC’s term.
Conversion No conversion rights in the August 2026 briefing. SEC-filed STRK materials describe a conversion feature; review the ratio and adjustments.
Liquidation preference Use the current certificate rather than assuming a stated amount from another series. $100 per share as of December 31, 2025, according to Strategy’s 2025 Annual Report filed in 2026; this is a dated reporting fact, not a current trading price.

Understand what conversion changes

A conversion feature can let the preferred holder participate in common-stock appreciation, but it also links the investment to common equity volatility and dilution mechanics. Read the initial conversion ratio, adjustment events, treatment of stock splits and distributions, and whether conversion is at the holder’s option, the issuer’s option or automatic after a trigger.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Check call, put and maturity provisions

An issuer call can limit your upside if a high-coupon share is redeemed at its contractual amount. A holder put can provide an exit right, but only if the legal conditions and issuer obligations support it. A perpetual share has no scheduled date when Strategy must return principal; your exit may depend on market liquidity, an optional redemption or a sale to another investor.

6. Assess Strategy-specific payment and market risks

Preferred securities combine equity, credit and market-price risk. Strategy’s own risk disclosures identify factors that can affect its ability to meet obligations or the market value of its securities:

  • Bitcoin-price volatility: Strategy’s business and asset values can be affected by large Bitcoin price movements, but that exposure does not create collateral for preferred holders.
  • Financing and debt service: New financing, refinancing costs and required debt payments can reduce cash available for preferred distributions or increase the claims ahead of them.
  • Liquidity: A listed security can still have wide bid-ask spreads, limited trading volume or a price that moves sharply when investors exit.
  • Regulation and legal developments: Changes affecting digital assets, corporations, securities markets or taxation can influence Strategy and its securities.
  • Rate and valuation risk: Higher market rates can make a fixed-rate preferred less attractive, while a variable rate can reset downward.
  • Issuer discretion and legally available funds: Payment depends on the governing terms, board action and applicable corporate-law limits; it is not equivalent to a bank deposit, Treasury security or money-market fund.

7. Use a consistent comparison grid

When comparing STRC, STRK or another Strategy series, record the following items side by side. “Not stated” is preferable to an assumption when the current document does not provide a value.

Comparison axis What to verify Why it changes the decision
Dividend type and rate Fixed or variable status, calculation base, reset rules, caps and floors A variable or adjustable rate is not a durable income promise.
Payment and declaration Record dates, payment cadence, arrears and conditions for declaration A calendar schedule does not eliminate payment risk.
Cumulative status Accrual of unpaid distributions, compounding and priority of arrears Missed payments can have different economic and governance effects.
Price and yield Same-time market price, stated amount and disclosed yield formula Your purchase price determines current income yield and price risk.
Ranking and recovery Seniority to debt, subsidiaries, other preferred series and common equity Priority helps only to the extent assets remain after prior claims.
Conversion and redemption Conversion ratio, adjustments, issuer call, holder put and maturity These provisions set equity participation and potential holding period.
Issuer and market risk Debt load, financing access, Bitcoin volatility, liquidity and legal risks The investment depends on Strategy’s capacity to meet the terms.

8. A practical due-diligence procedure before you buy

  1. Confirm the instrument. Copy the ticker, series designation and exchange listing from the latest issuer filing and your brokerage quote.
  2. Download the controlling terms. Save the current base prospectus, series supplement and certificate of designations. Note filing dates and amendments.
  3. Calculate the contractual income. Write the rate, base amount, reset formula, payment cadence and cumulative status. Mark every item that is variable or subject to declaration.
  4. Build the priority map. Identify debt, subsidiary liabilities, senior preferred series, parity claims, junior preferred series and common equity.
  5. Check exit rights. Record conversion mechanics, call dates or windows, redemption price, holder puts, maturity and sinking-fund provisions.
  6. Capture a synchronized quote. Record bid, ask, last trade, volume and timestamp. Calculate current yield from the price you could realistically pay, not from the last trade alone.
  7. Stress-test the position. Consider a lower market price, a lower reset rate, a delayed distribution and a wider spread. Estimate how much loss you could tolerate without needing to sell.
  8. Review issuer disclosures. Read the latest annual and quarterly reports for debt, financing needs, liquidity, Bitcoin exposure, legal matters and risk factors.
  9. Decide on position size and exit rules. Set a maximum allocation, the price or spread at which you would stop adding, and the conditions that would prompt a sale or document review.
  10. Record your evidence. Keep the filing version, quote timestamp, calculation and assumptions with your investment records so you can identify what changed.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Support on Ko-Fi

9. Monitor the investment after purchase

Ownership does not end the analysis. Recheck the issuer’s filings and notices when a board announces a dividend, a new preferred offering, a debt transaction, a redemption, a conversion adjustment or a change in payment cadence. Compare the market price with your original yield calculation and note whether trading liquidity has deteriorated.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

For STRC specifically, a displayed rate change from 11.50% to 12.00% in 2026 demonstrates why an old rate should not be treated as permanent. A future notice may change the rate or dates again. Keep the rate’s effective period beside every income projection.

10. Common evaluation mistakes

  • Calling the shares Bitcoin-backed. The issuer says its preferred securities are not collateralized by Bitcoin.
  • Calling the stated rate a guaranteed yield. Rate, declaration, purchase price and market movement are separate issues.
  • Using one series’ ranking for another. Seniority must be established from the current series documents.
  • Treating liquidation preference as guaranteed principal. Prior claims can consume assets before a preferred distribution.
  • Ignoring price. A high coupon can still produce a poor purchase if the share is overpriced or later falls.
  • Assuming a perpetual share will repay itself. Without maturity or a holder put, exit depends on redemption or the market.
  • Combining stale figures. A historic rate, an old liquidation preference and a current quote do not form a current return estimate.
  • Assuming a listed security is liquid. Check volume and bid-ask spreads before planning an exit.
  • Relying on generic tax labels. Tax treatment can depend on your circumstances and the issuer’s reporting; obtain professional advice.

11. Decide whether the risk fits your objective

Income objective

If your priority is predictable cash flow, focus on cumulative status, rate-reset risk, declaration conditions, issuer liquidity and the price at which you buy. A high displayed rate does not remove credit or market risk.

Capital-preservation objective

Examine ranking, debt ahead of the series, recovery scenarios and price volatility before considering the dividend. Preferred equity does not have the same principal protections as a deposit or a government obligation.

Equity-participation objective

If you want upside linked to Strategy’s common stock, a convertible series may be relevant, but quantify dilution, conversion adjustments and the possibility that the preferred trades independently of the common shares.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Liquidity objective

Compare ordinary trading volume, spreads and your ability to sell in stressed markets. A semi-monthly payment schedule may affect reinvestment timing, but it does not guarantee a liquid secondary market.

12. Dated facts to verify before publication or purchase

Fact Context
12.00% annual STRC rate Shown for periods in July–September 2026 on Strategy’s dividend-history page; payment dates remain subject to board declaration.
11.50% annual STRC rate Shown for multiple earlier-2026 periods on the issuer page; demonstrates that the displayed rate changed.
8.00% annual STRK regular dividend Described in SEC-filed STRK materials in 2026; confirm the latest governing terms.
$100 STRK liquidation preference Reported as of December 31, 2025 in Strategy’s 2025 Annual Report filed in 2026; not a current market price.

These figures should be refreshed against the latest filing, dividend notice and quote feed. They are not substitutes for a current investment calculation.

13. Put issuer statements in the right context

When Strategy announced approval for STRC’s semi-monthly cadence on June 8, 2026, President and Chief Executive Officer Phong Le said: “Paying dividends on STRC twice a month is designed to stabilize price, dampen cyclicality, drive liquidity, and grow demand for STRC, while giving STRC holders faster reinvestment opportunity.” This is the issuer’s stated design rationale. It is not independent evidence that the cadence achieved those outcomes or that future payments will be made.

14. Brokerage access and tax considerations

Strategy describes its preferred securities as exchange-listed and available through brokerage platforms. Confirm that your broker supports the specific listing, displays the correct corporate-action information and discloses all commissions, spread costs and order restrictions. A listing does not assure continuous liquidity.

Do not assume that a dividend, return of capital, conversion or sale will receive a particular tax treatment. Strategy’s tax materials caution that they are not tax advice. Keep transaction records and consult a qualified tax professional about your jurisdiction and circumstances.

15. Final pre-order checklist

  • I have identified the exact series and ticker.
  • I have read the latest certificate, base prospectus and series supplement.
  • I know whether the dividend is fixed or variable, cumulative or non-cumulative, and how arrears work.
  • I have recorded the payment and record-date rules and the board-declaration condition where applicable.
  • I calculated yield from a timestamped purchase price rather than repeating the stated rate.
  • I mapped debt, subsidiary liabilities and other preferred claims ahead of my series.
  • I understand that Strategy’s Bitcoin holdings are not pledged collateral.
  • I know the conversion, call, put, maturity and sinking-fund provisions.
  • I checked volume, spreads and a realistic exit price.
  • I reviewed current issuer risks and decided the position size fits my tolerance for loss.
  • I documented the date and source of every rate, price and preference figure.
