Evaluate senior housing as two businesses at once: a real-estate asset and a regulated care operation. Start by identifying the care model and local market, then connect occupancy and rates to payer collections, staffing, compliance, capital requirements, debt capacity and valuation. A national occupancy statistic or a generic multifamily pro forma cannot establish whether one community will produce dependable cash flow.

Why the care model comes first

“Senior housing” covers operating models with different residents, licenses, staffing patterns, revenue sources and risk. The same occupancy percentage can mean very different economics in independent living and skilled nursing because the service intensity, length of stay and payment system differ.

Care model What to identify before underwriting Why it changes the analysis
Independent living Apartment inventory, hospitality services, resident profile and private-pay pricing Revenue is usually driven by unit occupancy, monthly rates and ancillary services rather than intensive clinical staffing.
Assisted living Licensed units, resident acuity, care packages, staffing plan and private-pay mix Care needs and staffing hours can increase faster than base rent as residents require more support.
Memory care Dedicated capacity, dementia-care services, security requirements, staffing and pricing Specialized operations and higher care intensity affect labor, training, licensing and capital needs.
Skilled nursing Licensed beds, patient days, clinical staffing, payer contracts and survey history Utilization is measured in patient days, and reimbursement, staffing rules and quality outcomes can materially affect revenue and cost.
Life plan or continuing-care community Entrance-fee contract, refund obligation, service tiers, health-care capacity and reserve policy Real-estate cash flow is connected to contractual obligations and the financial condition of multiple care components.
Active adult Age restrictions, amenities, homeowner or rental structure and service scope The model may resemble residential real estate more closely than licensed care, but demand and amenity costs still require a local analysis.

For each opportunity, document the resident acuity and services, licensed capacity, unit or bed count, service mix, payer sources and historical operator relationship. Record who owns the real estate, who operates the community, who holds each license and whether the arrangement is a lease, mortgage, third-party management contract or operating investment. Do not transfer a margin, occupancy assumption or expense ratio from one care type to another without evidence.

Build a local demand and supply case

Demographics are a starting point, not a demand forecast. A credible market study explains who the target residents are, who makes the decision, what alternatives they have and how quickly available units or beds can be absorbed.

Define the competitive set

  • Map competing communities by care model, acuity, unit or bed count, age, condition, service package and price.
  • Identify announced, entitled and under-construction supply, not only properties operating today.
  • Compare achievable rates and service fees with what residents actually pay, including concessions.
  • Document referral relationships with hospitals, physicians, home-care providers, senior organizations and adult children who influence placement decisions.
  • Estimate realistic lease-up or census growth by month rather than applying a single annual occupancy assumption.

Demand reflects more than the number of older adults. Residents and their families may value social interaction, culture, hospitality, care, support and relief from household responsibilities. Adult children often participate in decisions and should be included in the market analysis, especially where they pay or arrange care.

Use current submarket evidence

Rents and occupancy can change quickly as new supply opens, operators adjust concessions or local employers compete for caregivers. Current local data is therefore more useful than a national demographic narrative. Refresh the competitive set and achievable-rate assumptions immediately before closing and whenever a project’s opening or repositioning is delayed.

Measure occupancy and revenue consistently

Use the correct occupancy denominator

For independent living, assisted living and memory care, occupancy is occupied units divided by total inventory for the stated period. Show the numerator, denominator and period; do not mix a month-end snapshot with an annual average.

For skilled nursing, use patient days divided by available bed days. Residents turn over more frequently, so a census taken on one date can misstate utilization for the month or year.

Reconcile asking rates to collected revenue

Start with the rate card, then reconcile it to realized revenue. Separate base rent, care or service fees, ancillary services, one-time charges, concessions, bad debt and actual collections. A community can report high occupancy while discounting heavily or carrying receivables that will not be collected.

NIC describes historical annual rent and revenue growth of 2% to 4% over the last several decades. The same source notes that more recent increases were modest amid competitive pressure. Treat the historical range as sector context, not a current forecast or a property-specific escalation assumption.

Test the lease-up math

For a new or repositioned property, model move-ins, move-outs, turnover, unit downtime, sales conversion and the cost of concessions. Tie staffing and marketing expenses to the ramp. A pro forma that reaches stabilized occupancy without showing the time, incentives and working capital required to get there is incomplete.

Map payer and collection risk

Revenue quality depends on who pays, how much they pay and how durable that payment source is.

  • Private pay: Residents may deplete savings, fall behind or require a higher care level than their resources can support. Underwrite collections and bad debt rather than assuming every occupied unit pays the published rate.
  • Entrance fees: A refund or repayment obligation can create unsecured credit exposure. Review contract terms, refund timing, reserve funding and the issuer’s ability to meet obligations.
  • Medicaid and veterans’ benefits: Reimbursement may not cover the full cost of required services. State rules can also limit discharge based on a resident’s care needs.
  • Medicare, managed care and other nursing reimbursement: Government or plan decisions can reduce rates or change authorization and utilization patterns. Model a payment reduction and slower collections rather than relying on a static payer mix.

Break out revenue by payer, service and resident cohort. Examine aging receivables, write-offs, denied claims, authorization delays and historical rate changes. A high government-reimbursement share generally warrants a different valuation and debt cushion from a predominantly private-pay community.

Model labor, care delivery and compliance

Separate the expense lines

Build a property-level operating statement that distinguishes clinical or direct-care labor from nonclinical labor. Also show food, utilities, insurance, maintenance, management fees, marketing, technology and other operating expenses. Compare budgeted hours and wages with local labor availability, not merely with a national benchmark.

Stress test wage growth, vacancies, overtime, agency usage, benefits, turnover and recruitment costs. A property can have attractive occupancy and still miss its cash-flow plan if compliant staffing cannot be hired or if agency labor fills persistent gaps.

Apply the CMS staffing rule only where it applies

For Medicare- and Medicaid-certified long-term-care facilities covered by the CMS 2024 final rule, the April 22, 2024 fact sheet describes minimum direct-care staffing of 3.48 total nursing hours per resident day, including 0.55 RN hours and 2.45 nurse-aide hours per resident day. It also describes an RN onsite 24 hours a day, seven days a week.

Those figures are not a blanket requirement for every senior housing property. Confirm whether the asset is a covered facility, identify its geographic phase-in schedule, check possible exemptions for qualifying facilities and verify current legal developments before putting the rule into a model. Then calculate the cost of meeting the applicable standard at projected census, including relief coverage, payroll taxes, benefits and recruitment.

Connect staffing to resident needs

Do not model labor as a flat percentage of revenue. Tie hours to licensed capacity, occupancy, acuity, shifts, medication administration, dining, activities, transportation, therapy and required supervision. Review whether the operator’s scheduling system can produce the coverage assumed in the underwriting and whether the local workforce can sustain it.

Review quality and operator execution

Operating history is a leading indicator of whether projected NOI is achievable. Examine occupancy and rate trends beside staffing levels, turnover, agency dependence, complaints, survey findings, hospital transfers and resident outcomes. Ask which improvements came from sustainable process changes and which came from temporary discounts or unusually favorable circumstances.

Skilled-nursing quality measures

CMS’s FY 2027 Skilled Nursing Facility Value-Based Purchasing Program lists eight measures:

  1. 30-day all-cause hospital readmissions.
  2. Healthcare-associated infections requiring hospitalization.
  3. Discharge to community.
  4. Long-stay hospitalizations.
  5. Nursing staff turnover.
  6. Nursing hours per resident day.
  7. Discharge function.
  8. Falls with major injury.

Use these as diligence dimensions, not as a substitute for current facility-level records. Review Care Compare information, survey and enforcement history, corrective-action plans, litigation, complaints and the underlying clinical and staffing data. For non-skilled models, use the applicable state inspection, licensing and incident records.

Test the operator’s plan

Request a written plan for sales, staffing, care delivery, quality improvement and capital projects. Identify the people responsible, the milestones and the evidence that each target can be met. A projected occupancy increase without a sales pipeline, referral strategy and retention plan is not an operating plan.

Underwrite reserves and capital needs

Inspect deferred maintenance and future capital before accepting the seller’s NOI. Scope life-safety work, roofs, mechanical systems, elevators, accessibility, kitchens, resident rooms, common areas, equipment, technology and security. Memory-care and skilled-nursing projects may require specialized upgrades that a conventional apartment inspection would miss.

Include replacement reserves and recurring capital expenditures in the cash-flow model. Distinguish maintenance capital needed to preserve current operations from growth capital intended to add services or capacity. Obtain current bids for major work; construction costs vary by market, resident target, common-area intensity, build quality and code requirements.

NIC reported historical January 2019–April 2020 construction-cost deciles of $158–$452 per square foot for seniors housing and $232–$538 per square foot for skilled nursing, based on JLL Valuation Advisory research. These dated figures are context only and should not be used as a current project estimate.

Match financing to the operating risk

Underwrite debt against realistic occupancy and NOI cases, not the seller’s stabilized projection alone. Review loan-to-value, debt-service coverage, amortization, interest-rate and refinance exposure, covenants, guarantees, reserves and whether the lender finances the specific care model.

HUD, banks and tax-exempt financing are among the capital sources discussed by NIC, but lender standards and terms vary. Obtain current term sheets and test the loan under lower occupancy, higher labor costs, delayed lease-up, reimbursement pressure and required capital spending. Determine whether a covenant breach could force a capital contribution or restrict distributions before the asset reaches stabilization.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Value the risk profile, not just the building

Choose relevant comparables

Compare transactions on care type, geography, occupancy stage, operator quality, payer mix, physical condition and near-term capital needs. A nursing facility with reimbursement exposure and survey risk is not directly comparable to a private-pay independent-living community simply because both have beds or units.

NIC observes that independent and assisted living generally trade at lower cap rates than nursing care, attributing the difference partly to nursing care’s greater government-reimbursement exposure and related budget risk. This is a directional sector explanation, not a current cap-rate quote. Select a cap rate from current, relevant transactions and adjust it for the asset’s operating and regulatory risks.

Run three cash-flow cases

At minimum, build base, downside and severe-but-plausible cases. Vary the assumptions that can move both revenue and expenses:

  • Occupancy, lease-up speed, move-outs and unit downtime.
  • Achievable rent, care fees, concessions, ancillary revenue and bad debt.
  • Labor wages, vacancies, turnover, overtime and agency reliance.
  • Payer reimbursement, authorization delays and collection rates.
  • Insurance, utilities, maintenance and regulatory compliance costs.
  • Required capital expenditures and replacement reserves.
  • Interest rates, refinancing terms, exit cap rate and debt-service coverage.

Report the effect of each case on NOI, cash yield, debt coverage, equity requirements and investor returns. A single headline cap rate conceals how quickly value can change when occupancy, labor or reimbursement assumptions move together.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Compare two opportunities on the same axes

Axis Diligence questions
Care mix and acuity Which services and resident needs drive revenue and staffing? Are the communities genuinely comparable?
Local demand and supply What are the competitive set, new supply, absorption pace, referral channels and achievable rates?
Occupancy and rate quality Are occupancy definitions consistent? Are rates realized or only advertised? What concessions, bad debt and collections are included?
Payer and collection risk What share is private pay, entrance fee, Medicaid, Medicare, managed care or another reimbursement source? How exposed is revenue to asset depletion or rate changes?
Operator and workforce What are the operator’s results, staff turnover, agency dependence, wage burden and local recruiting prospects?
Compliance and quality Which licenses and requirements apply? What do staffing, turnover, readmission, infection, survey and resident-outcome records show?
Capital and financing What deferred maintenance, reserves, renovation needs, loan terms, debt coverage, leverage and refinancing risks exist?
Risk-adjusted valuation Does the cap rate reflect operating and reimbursement risk, lease-up, asset condition and the reliability of projected NOI?

A practical diligence checklist

  1. Classify the asset: Confirm care model, licenses, capacity, acuity, services, ownership and operating structure.
  2. Validate the market: Refresh the competitive set, pipeline, referral sources, achievable rates and absorption assumptions.
  3. Rebuild revenue: Recalculate occupancy with the correct denominator and reconcile rates to collections by payer and service.
  4. Rebuild expenses: Separate labor categories, verify local wages and model staffing at the projected acuity and census.
  5. Check regulation: Determine applicable federal and state requirements, phase-in dates, exemptions, surveys and corrective actions.
  6. Audit quality: Review operator history, turnover, complaints, outcomes, hospital transfers and quality measures.
  7. Scope capital: Commission a physical-condition review, price major work and fund realistic reserves.
  8. Stress debt: Test coverage and liquidity under lower revenue, higher labor costs, delayed lease-up and refinancing pressure.
  9. Set valuation: Use care-specific comparables and document why the selected cap rate and exit assumptions fit the risk.
  10. Approve only with evidence: Tie every major projection to a contract, operating record, local market source, inspection or executable plan.

Common underwriting errors

  • Applying one national occupancy figure to every care segment and market.
  • Using a multifamily model that omits clinical labor, acuity, licensing and quality costs.
  • Counting occupied units without testing concessions, bad debt and collections.
  • Assuming historical 2%–4% rent growth will continue despite current competitive pressure.
  • Applying CMS staffing numbers to an asset that is not covered, or ignoring them when the facility is covered.
  • Using dated construction-cost ranges as if they were current bids.
  • Selecting a cap rate before understanding payer, operator, compliance and capital risk.
  • Underwriting stabilized NOI without funding lease-up losses, working capital and the time required to recruit staff.

Bottom line

A defensible senior housing investment case shows how a specific care model in a specific submarket converts residents into collected revenue, delivers required care with available labor, maintains compliance and quality, funds capital needs and services debt. Verify current local market data, facility-level quality records, lender terms and the regulatory status of the individual asset before relying on any benchmark. Senior housing value follows the durability of the operating cash flow, not the building’s appearance or a single cap-rate statistic.
