The right way to evaluate a private credit fund is to underwrite three things separately: your all-in investor cost, the fund’s contractual liquidity, and the credit and valuation risk of its loan portfolio. A low management fee does not guarantee a low net cost, “quarterly liquidity” does not mean on-demand withdrawals, and a high distribution yield does not show how much capital could be lost. Use the current prospectus, statement of additional information, subscription documents and share-class schedule for the specific fund and channel you are considering.
What you are actually evaluating
Private credit funds lend to companies through privately negotiated loans, notes or other debt investments. Depending on the vehicle, investors may buy an evergreen fund, an interval fund, a non-traded business development company, or a drawdown private fund. The structure determines how capital is called, how portfolio values are reported and when an investor can request cash.
The title “private credit fund” is not a uniform product category. Two funds can hold similar loans yet give investors very different fee schedules, leverage, repurchase rights, valuation methods and tax documents. Treat every comparison as fund-specific. Exact eligibility, tax treatment, governing-law rights and investor protections must be verified in the current offering documents for your jurisdiction and share class.
Begin with the fund’s legal structure and documents
Before comparing yields, identify the vehicle and collect the documents that control your rights. Marketing summaries are useful for orientation, but they are not a substitute for the contractual terms.

Calculate the total cost, not the headline management fee
Build a fee inventory before deciding whether a fund is inexpensive. Your calculation should include recurring charges, conditional charges and costs that sit outside an advertised expense cap.
| Cost category | What to verify | Why it matters |
|---|---|---|
| Management fee | Rate, calculation base (gross assets, net assets or another measure), payment frequency and whether leverage increases the base. | A percentage applied to gross assets can produce a higher dollar charge than the same rate applied to net assets. |
| Incentive or performance fee | Hurdle rate, catch-up, crystallization schedule, treatment of realized and unrealized gains, and loss carryforwards. | The fee can reduce distributions and may create incentives that differ from a simple management-fee arrangement. |
| Fund operating expenses | Administration, custody, legal, audit, filing, insurance, interest and other recurring costs. | These expenses reduce NAV even when portfolio performance is flat. |
| Underlying-vehicle expenses | Acquired-fund fees, special-purpose vehicles, warehouses or other entities through which the fund invests. | Look-through costs can be material and may be excluded from a stated cap. |
| Intermediary charges | Placement, distribution, servicing, transaction or platform fees, and whether they vary by class. | The amount paid through your brokerage, adviser or retirement platform may not appear in the fund-level headline fee. |
| Borrowing and leverage costs | Interest rates, commitment fees, unused-line fees, hedging costs and maturity or refinancing terms. | Borrowing costs can rise with rates and may sit outside an expense limitation. |
| Waivers and caps | Effective dates, excluded expenses, termination date and whether waived amounts can be recouped. | A temporary cap is not a permanent ceiling on your cost. |
| Exit costs | Early-repurchase deductions, transfer charges, repurchase fees or other deductions from proceeds. | An investor who needs cash early may receive less than the stated NAV. |
Read expense caps for exclusions and recoupment
The First Trust Private Credit Fund 2026 prospectus illustrates why an expense cap cannot be treated as an all-in ceiling. It lists expense limits of 2.40% for Class A and 1.65% for Class I through April 29, 2027. The limits exclude specified items, including taxes, leverage interest, brokerage commissions, acquired-fund expenses, certain transaction costs and extraordinary expenses. The prospectus says actual total annual expenses are expected to exceed the stated limits because of those exclusions, and it describes possible recoupment of waived amounts subject to its conditions.

Those figures are terms of that fund and period, not an industry benchmark. In your worksheet, place the cap, every exclusion, the expiration date and recoupment language in separate columns. If an excluded cost is volatile, model a range rather than assuming the cap is your maximum annual expense.
Compare the class you can actually buy
Share classes can change the result more than a small difference in the stated management fee. An August 2026 Fidelity Private Credit Fund fact sheet filed with the SEC reports different minimum investments, possible upfront placement fees, class-level service or distribution fees and different total annual expenses:
| Share class | Total annual expenses | After expense limitation | Other terms to confirm |
|---|---|---|---|
| Class I | 7.92% | 7.75% | Minimum investment and channel-specific charges apply according to the fact sheet and current prospectus. |
| Class S | 8.78% | 8.61% | May include servicing or distribution charges and a different minimum. |
| Class D | 8.17% | 8.00% | Confirm placement, servicing and eligibility terms for your intermediary. |
The percentages are the fund’s reported figures in that dated fact sheet, not representative market averages. Check the current prospectus, the account platform’s schedule and the class you will own. A waiver that lowers the displayed figure may expire or permit later recoupment.

Translate “liquidity” into a contract you can test
Private credit assets are often restricted or difficult to sell quickly. An investor-facing fund may nevertheless offer periodic repurchase opportunities. That is periodic liquidity, not a promise that you can withdraw whenever you choose.
| Question | What the answer tells you |
|---|---|
| What type of vehicle is it? | Drawdown funds, evergreen funds, interval funds and non-traded BDCs have different subscription and exit mechanics. |
| When can a request be submitted? | Look for request windows, valuation dates and the notice deadline. A missed deadline can move your request to the next offer. |
| How often are offers made? | Monthly, quarterly or less frequent offers determine how long cash may remain invested. |
| What is the maximum percentage? | A 5% quarterly cap, for example, limits the amount the fund intends or is required to repurchase in that offer. |
| Is the amount guaranteed? | Check whether the board must approve the offer, whether requests are discretionary, and how pro-ration works when demand exceeds the cap. |
| Can the program change? | Read suspension, modification and termination provisions, including what happens during market stress. |
| What deductions or restrictions apply? | Check early-repurchase deductions, transfer limits, lockups and any minimum holding period. |
| What supports the promise? | Review cash reserves, borrowing capacity and the liquidity of the underlying loans. A repurchase right does not make the loans liquid. |
Examples show why “quarterly” is not enough
The First Trust prospectus describes a closed-end interval fund with quarterly repurchase offers and no daily redemption. The August 2026 Fidelity fact sheet says the fund intends quarterly repurchases of up to 5% of shares at NAV. It also states that the program is subject to board approval and may be modified, suspended or terminated. Neither example promises immediate access to all of an investor’s money.
For each candidate fund, rewrite the repurchase section in plain language: “I can submit by [date], the offer occurs [frequency], the stated maximum is [percentage], the amount is [guaranteed or discretionary], excess requests are [pro-rated or otherwise handled], and the board may [specific action].” If you cannot complete that sentence from the governing documents, you do not yet understand the liquidity.

Stress-test your own cash need
- List the date and amount of every withdrawal you might need, including taxes, tuition, a property purchase or an emergency reserve.
- Compare those dates with the fund’s notice deadline, repurchase date and settlement period.
- Assume the fund accepts only part of your request because of a cap or pro-ration.
- Assume the program is suspended during a period when private-loan values are falling.
- Keep money needed on a shorter timetable outside the fund rather than relying on an uncertain repurchase.
Underwrite credit risk beneath the yield
A distribution rate is an outcome of current income, leverage, fees and portfolio marks; it is not a measure of the probability or severity of loss. Read the portfolio schedule and risk disclosures for loan-level protections and concentration.
- Borrower leverage: Total debt relative to earnings or cash flow indicates how much downside a borrower can absorb before debt service becomes difficult.
- Debt seniority: Senior secured claims generally rank ahead of subordinated or unsecured claims, but the documents must show the actual capital structure and intercreditor rights.
- Cash-flow resilience: Examine recurring revenue, margins, free cash flow, interest coverage and sensitivity to a slowdown or refinancing shock.
- Collateral quality and coverage: Identify the assets securing each loan, how they are valued and whether coverage remains adequate after a haircut.
- Borrower size and sponsor support: Smaller companies can have less diversified revenue and fewer financing alternatives; sponsor commitments and covenants need verification rather than assumption.
- Interest-rate exposure: Floating-rate loans can increase income when rates rise but also increase borrowers’ debt-service burden. Check floors, caps, hedges and repricing terms.
- Concentration: Review exposure by borrower, sponsor, sector, geography, vintage and industry cycle. A diversified loan count can still conceal heavy exposure to one sector or sponsor.
- Covenants and remedies: Determine whether maintenance covenants, reporting requirements, collateral tests and default remedies are strong enough to provide an early warning.
A 2026 SEC-filed private-credit risk disclosure identifies total borrower leverage, senior debt, cash-flow variability, borrower size, asset quality and collateral coverage as security-specific credit-quality factors. Use those factors alongside concentration data; no single ratio describes portfolio safety.
Examine valuation and the liquidity mismatch
Private loans do not always have observable market prices. Ask how often each position is marked, which valuation techniques and inputs are used, who approves marks, how independent the process is, and how conflicts are managed. Read whether the fund uses third-party valuation agents, comparable transactions, discounted cash-flow models or broker indications, and what happens when market data disappear.

Periodic repurchases can create a mismatch between the investor promise and the assets. During heavy requests, the fund may need to hold extra cash, draw on borrowing facilities or sell holdings that are difficult to trade. A forced sale can occur at an unfavorable price and reduce NAV for investors who remain. The First Trust prospectus discusses constraints associated with less-liquid underlying vehicles and fund-level repurchases; use its disclosure as a reminder to inspect the equivalent section in every candidate fund rather than as a general rule for all funds.
- Compare the percentage of assets that can be converted to cash within the repurchase timetable.
- Check borrowing capacity, covenants and maturity dates on credit facilities.
- Review how stale prices, defaults, restructurings and non-accruals affect NAV.
- Ask whether valuation adjustments are applied promptly when a borrower misses a payment or collateral deteriorates.
- Look for conflicts where the adviser values an asset, earns fees on it and decides whether to repurchase shares.
Compare candidate funds on the same axes
Use one worksheet and fill every cell from current documents. Write “not stated” when a term is genuinely absent; do not infer a favorable answer.
| Comparison axis | Evidence to record | Decision question |
|---|---|---|
| Net investor cost | Management and incentive fees; operating and acquired-fund expenses; class and intermediary charges; leverage costs; waivers, exclusions and recoupment; exit deductions. | What could this investor pay in a normal year and in a high-leverage or high-turnover year? |
| Investor liquidity | Request windows, notice periods, offer frequency, percentage cap, pro-ration, board discretion, suspension rights and deductions. | Can the investor meet a known cash need if requests are oversubscribed or the program is paused? |
| Portfolio credit quality | Leverage, seniority, interest coverage, collateral, covenants, non-accruals and concentration by borrower, sponsor and sector. | What could cause permanent loss, and how much of the portfolio could be affected at once? |
| Valuation and transparency | Marking frequency, methods, independent review, NAV controls, portfolio reporting and treatment of restructurings. | How quickly would NAV reflect deteriorating credit and how much can an investor verify? |
| Structure and alignment | Use of leverage or underlying vehicles, incentive-fee mechanics, expense recoupment, affiliated transactions and differing investor terms. | Do the adviser’s economics reward long-term credit performance or activity that increases costs and risk? |
A practical due-diligence workflow
- Define your constraint first. Write the maximum loss, minimum holding period and latest date on which you may need the money. Reject any structure that cannot meet those constraints before comparing returns.
- Identify the exact share class. Record eligibility, minimum investment, placement charges, service fees and the platform through which you will invest.
- Freeze the document set. Download the current prospectus, statement of additional information, subscription materials, fee schedule, latest report and repurchase notice. Note each document’s date.
- Build the fee inventory. Enter every recurring, conditional and excluded cost. Separate temporary waivers from permanent terms and mark recoupment rights.
- Rewrite the repurchase terms. Capture the request deadline, pricing date, cap, pro-ration, deductions and suspension or termination rights in one paragraph.
- Map the portfolio. Record borrower, industry, geography, sponsor, seniority, collateral, maturity, rate type, leverage and non-accrual status where disclosed.
- Challenge the valuation process. Ask who marks positions, how often, which inputs are observable and how defaults or restructurings are handled.
- Run downside cases. Consider higher borrowing costs, weaker borrower cash flow, collateral haircuts, delayed repayments and an oversubscribed repurchase offer. Observe the effect on income, NAV and available liquidity.
- Reconcile marketing with filings. Investigate any difference between a presentation’s yield or liquidity language and the contractual disclosure.
- Obtain written answers. Keep responses from the adviser, distributor or platform with your records. If a material term cannot be explained in writing, treat it as unresolved rather than assuming it is favorable.
Red flags that deserve a pause
- A headline expense ratio that omits acquired-fund fees, leverage interest or intermediary charges.
- An expense waiver with a near-term end date or broad recoupment provision that is not reflected in projected costs.
- “Quarterly liquidity” without a stated cap, notice deadline, pro-ration rule or suspension language.
- A stated NAV repurchase price that is subject to board approval or an early-repurchase deduction not shown in the summary.
- Portfolio reporting that gives a yield but little information about borrower leverage, seniority, collateral, non-accruals or concentration.
- Valuation language that does not explain who approves marks or how stale prices and restructurings are treated.
- Borrowing that materially increases gross assets while the fee is calculated on gross assets, without a clear explanation of alignment.
- Pressure to invest before you have received the current prospectus, subscription agreement and class schedule.
Preferential liquidity and investor fairness
Some private-fund arrangements may offer different investors different redemption or liquidity terms. The SEC’s 2023 final rule release states: “In general, we believe that granting preferential liquidity rights on terms that the adviser reasonably expects to have a material, negative effect on other investors in the private fund or in a similar pool of assets is a sales practice that is harmful to the fund and its investors.” That is the Commission’s explanation in that release; it does not answer every legal question or mean that every preferential term is prohibited. Ask whether side letters, feeder vehicles or investor classes can alter the timing or priority of withdrawals, and have counsel interpret the terms that apply to your investment.

The cited examples demonstrate how widely terms can differ, but they are not market averages. The First Trust expense limits and the Fidelity expense figures are fund-specific disclosures from 2026. The sources do not establish a representative industry statistic for private-credit fees, liquidity or default rates. Use the figures to learn what to look for, then replace them with the current numbers for each fund under consideration.
Final decision checklist
- I know the exact vehicle, share class, intermediary and governing jurisdiction.
- I have calculated a realistic all-in cost, including excluded expenses, leverage, incentive fees and exit deductions.
- I know the repurchase deadline, frequency, cap, pro-ration, settlement timing and suspension rights.
- I can explain the portfolio’s borrower leverage, seniority, collateral coverage, cash-flow sensitivity and concentration.
- I understand how private holdings are valued and how quickly defaults or market shocks reach NAV.
- I have enough liquid assets elsewhere to meet my obligations if a repurchase is delayed, reduced or suspended.
- I have read the current documents and obtained written answers to unresolved material questions.
A private credit fund is worth further consideration only after those answers are documented. Compare net cost, contractual exit mechanics and downside credit exposure side by side; treat the distribution yield as one output of that analysis, not the starting point.
