Do not start with the quoted price. First establish exactly what you would own, who legally owns it now, what rights and fees attach to it, whether the issuer must approve a transfer, and which resale rule could apply. Then test the price against the limited information available and decide whether you can tolerate a long period with no sale and a total loss. A private-company offer can be direct stock, an interest in a fund or special-purpose vehicle (SPV), a note, or another contract; those are not interchangeable investments.

The framework below is based on U.S. securities-law and investor-education guidance. State securities requirements, tax treatment, the offering documents, and the facts of the transaction can change the result. It is due-diligence information, not individualized investment or legal advice.

What a private-company or secondary-market offer actually is

A private secondary transaction is a sale of securities in a privately held company from one investor to another. The U.S. Securities and Exchange Commission (SEC) notes that securities of private companies may be illiquid, restricted, and not freely tradable. An offering may rely on an exemption from SEC registration, but that exemption does not automatically make the securities freely resellable. State registration or an exemption can matter as well. See the SEC’s explanation of private secondary markets.

  • Shares issued directly by the company.
  • An interest in a fund that intends to buy, or has bought, company shares.
  • An interest in an SPV that holds the shares.
  • A note, warrant, option, or other contractual claim rather than stock.

FINRA warns that an investor can be several ownership layers away from the underlying company. Each layer may add its own fees, approval requirements, reporting limits, and counterparty risk. Read the subscription or purchase agreement, offering memorandum, capitalization and share-class description, and every fund or SPV document before treating a per-share quote as comparable to a company’s last financing price. FINRA’s investor warning is available at Know the Risks of Pre-IPO Funds and Potential Fraud.

Questions that identify the instrument

  • What is the legal name of the issuer whose security you would own?
  • Does the contract issue shares to you, or does it issue an interest in a vehicle that owns (or hopes to own) shares?
  • What share class is involved, and what are its voting, information, dividend, conversion, liquidation, and anti-dilution rights?
  • Are you buying an existing holder’s position, newly issued securities, or a right to acquire securities later?
  • Who is the record holder, transfer agent, custodian, and counterparty to your agreement?

If the seller or intermediary cannot answer these questions in documents you can inspect, stop the process rather than relying on a presentation or a marketplace label.

Why a quoted price does not prove fair value

Private securities are difficult to value because information is limited, transactions are infrequent, and different share classes can have very different rights. The SEC cautions that private placements may provide less disclosure than registered offerings, while FINRA warns that private securities can be hard to value. Neither source establishes a universal formula for a fair private-company price. A platform quote, a claimed “last round” valuation, or a fund’s net asset value (NAV) is evidence to analyze, not proof of what your interest is worth.

Keep four numbers separate

Number What it describes Why it can mislead
Company valuation An implied value for the issuer at a financing or other event. It may reflect a different date, financing terms, share class, liquidation preference, dilution outlook, or investor rights than your purchase.
Quoted price per share The amount requested for a specified security or interest. It may omit platform, placement, custody, legal, management, performance, or other fees and may not represent an executable resale price.
Fund or SPV NAV An intermediary’s estimate of the vehicle’s underlying assets minus liabilities. You may own the vehicle, not the company’s shares; valuation timing, expenses, and redemption restrictions affect what you can recover.
Your all-in acquisition cost Purchase price plus every required or expected charge. A low headline price can still require substantial company growth before you break even.

Evidence to request for a price assessment

  • The date, size, and terms of the financing or transaction used as the valuation reference.
  • The fully diluted capitalization table, including options, warrants, and other securities that could dilute your position.
  • Financial statements, operating metrics, debt, cash needs, and material risk disclosures that the issuer is willing to provide.
  • The exact share class or vehicle interest being sold and a rights comparison with the reference security.
  • A complete schedule of one-time and recurring fees, including who receives each payment.

Write down what is missing. “Not disclosed” is itself a decision-relevant fact; do not fill gaps with assumptions about growth, an imminent IPO, or a future buyer.

A step-by-step diligence process

1. Read the governing documents before sending money

Obtain the subscription or purchase agreement, offering memorandum, capitalization table or share-class description, fund or SPV agreement, management-fee schedule, custody terms, and any transfer or investor-rights agreement. Check that the legal entity names, security description, quantity, price, and payment instructions match across documents. Identify governing law, dispute provisions, minimum investment, closing conditions, and what happens if the transaction fails.

2. Draw the ownership chain

Create a simple diagram from you to the operating company: you → fund or SPV (if any) → record holder or custodian → company. For every link, record whether you receive voting rights, information rights, distributions, liquidation proceeds, and a direct claim against the issuer. Ask what happens if the vehicle cannot acquire the promised shares, becomes insolvent, or a manager stops operating. A vehicle interest can leave you dependent on the manager’s decisions and on the vehicle’s creditors even when the underlying company performs well.

3. Verify the issuer and the offering

Confirm the company’s legal name, jurisdiction, business, capitalization, and the people authorized to sign. For an offering that has made prior sales under Regulation D, the SEC says investors can search EDGAR for a Form D. The bulletin describes a Form D as due no later than 15 days after the first sale; a missing required filing is a warning sign, not conclusive proof of fraud. Review the issuer’s own documents and independently contact the company through a known channel rather than using only contact details supplied by a promoter. See the SEC’s Private Placements Under Regulation D bulletin.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

4. Test the valuation, dilution, and rights

Compare the offered security with the valuation reference on an equivalent basis. Adjust your analysis for senior liquidation preferences, conversion rights, voting control, protective provisions, information rights, and the possibility of future dilution. Ask how much of the company’s fully diluted equity the interest represents, not merely how many nominal shares it contains. If the issuer will not provide enough information to make that comparison, record the uncertainty and decide whether the investment is unsuitable rather than treating the missing information as neutral.

5. Map every fee and conflict

List each platform, placement, fund-management, performance, custody, legal, administration, wire, conversion, and exit fee. Mark whether it is paid once, annually, on a gain, or when assets are sold. Identify the recipient and whether the intermediary, fund manager, seller, or adviser benefits from closing the transaction or setting the quoted price. FINRA cautions that acquisition costs can require material company growth before an investor earns a gain. Ask whether the intermediary receives compensation from both sides and whether it has a duty to obtain the best available price.

6. Confirm transfer approval before committing

Ask the issuer or its transfer agent, in writing, whether the proposed transfer requires company, board, investor, or fund-manager consent. Obtain the procedure, required forms, timing, fees, legal-opinion requirements, and consequences of a rejected transfer. A transfer made without required approval may be void and can leave the buyer or fund without the expected ownership, according to FINRA. A marketplace listing is not evidence that the issuer has consented.

7. Identify a realistic resale route

Determine which exemption, if any, is expected to support a later resale and whether federal and state conditions are satisfied. The SEC identifies Section 4(a)(1), Rule 144, and Section 4(a)(7) among possible routes, but their requirements differ. Depending on the issuer’s reporting status and the seller’s affiliate status, one commonly used Rule 144 route may involve a holding period of at least one year for a company that does not file periodic reports or six months for one that does; other conditions can include sale-method, volume, and current-information requirements. These are fact-specific rules, not a guaranteed exit plan.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

8. Verify the seller, intermediary, and custody

Independently confirm that the seller owns the interest being offered and that the fund or SPV actually holds the claimed shares. Check securities professionals and firms through FINRA BrokerCheck and investment advisers through the SEC’s Investment Adviser Public Disclosure (IAPD) database. Confirm where subscription funds will be held, whose name appears on the account, and what controls prevent an individual from diverting the money. FINRA specifically advises investors not to send money directly to an individual. Use independently obtained contact information for confirmations.

9. Check your eligibility and ability to absorb a loss

The exemption used for the offering determines who may invest. The SEC’s bulletin updated September 21, 2026, describes Rule 506(b) as allowing an unlimited number of accredited investors and no more than 35 non-accredited investors in any 90-calendar-day period, subject to the rule’s requirements. Rule 506(c) permits general solicitation, but every purchaser must be accredited and the issuer must take reasonable steps to verify that status.

Individual accredited-investor category described by the SEC Threshold or condition
Income More than $200,000 individually or more than $300,000 jointly with a spouse or spousal equivalent in each of the prior two years, with a reasonable expectation of reaching the same level in the current year.
Net worth More than $1 million alone or with a spouse or spousal equivalent, excluding the primary residence under the stated rules.
Professional credentials Specified professional credentials can qualify under the SEC’s current categories; verify the credential and the offering’s verification process.

These thresholds describe eligibility, not safety, quality, liquidity, or fair pricing. The SEC separately warns that a private placement can involve limited disclosure and total loss. Only proceed with capital you can leave committed for an uncertain period and lose entirely without jeopardizing essential goals.

Transferability: can you sell the shares later?

There may be no active secondary market when you want to exit. The SEC states: “Unlike securities of publicly traded companies, securities of privately held companies may not be freely traded by investors.” Read the exact restrictions in the charter, bylaws, investor-rights agreement, purchase agreement, and any fund documents.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Potential route What it may address Questions that remain
Section 4(a)(1) A statutory resale framework for transactions not involving an issuer, under facts that satisfy the exemption. Does your transaction meet the conditions, and are state requirements satisfied?
Rule 144 A safe harbor with conditions that can include holding period, current information, sale method, volume, and affiliate requirements. Is the issuer a reporting company? Are you or the seller an affiliate? Which conditions apply on the intended sale date?
Section 4(a)(7) A private-resale exemption with its own purchaser, information, and transaction conditions. Does the buyer qualify, can the required information be supplied, and do state laws permit the sale?
Issuer-approved private transfer A transfer accepted under the company’s contractual procedures. Will the issuer consent, exercise a right of first refusal, or impose a fee or delay?

The SEC’s private-secondary-markets guidance explains that an exemption from registration and the ability to transfer are separate questions. Ask a securities lawyer to review a complicated resale or a legal opinion requirement; do not assume that “secondary” means immediately sellable.

How to compare two or more offers

Use the same questions and documents for every candidate. A lower quoted price can be worse if it buys a junior class, an indirect vehicle interest, or a position with heavier fees and no practical exit.

Comparison axis Evidence to place side by side Decision question
Ownership Direct share certificate or ledger entry versus fund, SPV, note, or other contract. Do I have a direct claim on the company?
Share class and rights Voting, information, conversion, liquidation, dividend, and anti-dilution terms. What happens in a financing, sale, liquidation, or failure?
Information Financial statements, operating data, capitalization, debt, and risk disclosures. Can I test the valuation or is material information missing?
Price basis Date and terms of the reference financing, quote, or NAV calculation. Is the comparison made on the same class and fully diluted basis?
Total fees One-time, recurring, performance, custody, legal, and exit charges. What must the investment earn before I break even?
Transfer process Consent rights, forms, fees, timing, refusal rights, and legal opinions. Can I transfer at all, and who can block it?
Resale pathway Expected exemption, holding period, affiliate status, and state-law analysis. What specific buyer and process could provide an exit?
Intermediary and custody Registration checks, ownership evidence, escrow or custody arrangements, and conflicts. Where is my money and who is accountable for it?
Personal fit Eligibility, concentration, liquidity needs, and loss capacity. Can I withstand a total loss and an indefinite holding period?

Red flags that should pause or end the transaction

  • Guaranteed returns, a guaranteed IPO date, or claims that an IPO is certain. FINRA staff state: “You can’t be certain the private company will actually complete an IPO or otherwise become public.” Read the warning, dated August 18, 2026 (with an August 11, 2026 core date), at FINRA’s pre-IPO warning.
  • Pressure to wire money immediately, especially to a person’s personal account.
  • Refusal to identify the issuer, share class, fund manager, record holder, or custody account.
  • A price justified only by a headline valuation, a social-media claim, or an “exclusive access” story.
  • No written explanation of fees, conflicts, transfer consent, or the expected resale exemption.
  • Inconsistent legal names, payment instructions, capitalization figures, or signatures across documents.
  • Claims that accredited-investor status makes the investment safe or that registration exemption guarantees liquidity.
  • A seller who cannot prove ownership or a fund that cannot document its underlying shares.
  • A required Form D appears missing, late, or inconsistent with the offering description; treat that as a warning requiring clarification, not as a standalone fraud finding.

A practical decision worksheet

Before investing, keep one dated file containing the documents, your calculations, and the answers below. If an answer is “unknown,” write the person responsible for resolving it and a deadline; unresolved material questions are a reason not to close.

  1. Instrument: Record the legal security, issuer, share class, quantity, and whether ownership is direct or through a vehicle.
  2. Rights: Summarize voting, information, conversion, distributions, liquidation priority, and dilution exposure.
  3. Price: State the valuation reference date, comparable share class, per-unit price, and all-in cost.
  4. Information: List financial, operating, capitalization, debt, and risk information supplied and missing.
  5. Fees and conflicts: Identify each charge, recipient, timing, and incentive.
  6. Transfer: Obtain written consent requirements, forms, fees, refusal rights, and expected processing time.
  7. Resale: Name the proposed exemption, holding period, affiliate analysis, purchaser requirements, and state-law checks.
  8. Verification: Confirm the seller, intermediary registration, underlying ownership, custody, and payment destination independently.
  9. Personal limit: Set the maximum amount and holding period you can tolerate without relying on an IPO or a future buyer.

Do not sign until the documents agree with the worksheet. Keep copies of the executed agreement, wire instructions, confirmations, ownership records, and every subsequent company notice.

When professional help is worth the cost

Consider an independent securities lawyer for transfer restrictions, Rule 144 or other resale questions, legal-opinion requirements, state-law issues, or unusual fund and SPV structures. A registered financial professional can help assess concentration, liquidity, and whether the position fits your broader plan. Use professionals who are independent of the seller and who disclose compensation and conflicts. Their review cannot make an uncertain investment liquid or guarantee value; it can help you understand the rights and obligations you would otherwise be accepting.

A defensible decision rule

Proceed only when you can identify the instrument and ownership chain, reconcile the price with the available evidence, quantify the fees, confirm the transfer and resale constraints, independently verify the people and custody arrangements, satisfy the offering’s eligibility rules, and absorb a total loss with no dependable IPO or resale date. If any one of those conditions remains materially unresolved, preserving your capital and declining the offer is the more defensible decision.
