Evaluate a midstream MLP by rebuilding its distributable cash flow (DCF), checking how much cash remains after distributions and capital spending, testing debt and liquidity under stress, and reading the contracts behind “fee-based” revenue. A high yield or a reported coverage ratio is only a starting point; the quality and durability of the cash flow determine whether a distribution can withstand weaker volumes, refinancing, customer problems and required maintenance work.

The method below is designed for issuer filings and comparable periods. It is an analytical framework, not a universal buy-or-sell rule. Each partnership defines non-GAAP measures differently, so ratios should be reconciled before they are compared.

What you are actually trying to establish

A midstream MLP generally owns or operates pipelines, gathering systems, storage, processing plants, terminals or related infrastructure. Its cash generation depends on volumes, tariffs, contract terms, operating costs, capital requirements, financing and the financial health of customers and sponsors. The investor’s central question is not simply “What is the yield?” It is whether recurring cash generation can support distributions while the partnership maintains its assets, funds worthwhile growth, services debt and retains access to capital during a downturn.

Work through four linked questions:

  • Cash: How does the issuer define DCF, and can you reconcile it to GAAP results?
  • Distribution: After the partnership pays holders and other claimants, how much cash is retained and what is it used for?
  • Balance sheet: Can debt, interest and maturities be managed if earnings fall or capital markets tighten?
  • Contracts and counterparties: Are revenues protected by durable demand charges and minimums, or are they exposed to volumes, commodity prices and customer credit?

These questions must be answered together. Contracted revenue can still be impaired by a weak counterparty; strong coverage can be temporary if maintenance capital is understated; and modest leverage can become restrictive when large maturities arrive.

Start with the DCF bridge, not the headline yield

Find the issuer’s definition and period

Open the latest 10-K, 10-Q or earnings release and locate the exact definition of DCF and its reconciliation to GAAP financial statements. Record the period covered, whether the number is quarterly, year-to-date or full-year, and whether it is attributable to common unitholders or to the partnership before other claims. Do not substitute a website’s “cash flow” figure for the issuer’s own reconciliation.

Western Midstream Partners’ Form 10-Q for the quarter ended June 30, 2026, illustrates why this matters. Its DCF starts with adjusted EBITDA and makes specified adjustments for billing differences, cash interest, maintenance capital expenditures, taxes and applicable noncontrolling interests. Another partnership may use different labels, exclusions or treatment of equity-method investments. The same acronym therefore does not guarantee the same economics.

The filing itself cautions that its non-GAAP measures:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

“Our non-GAAP financial measures (i) should not be considered as alternatives to the comparable GAAP measures or any other measure of financial performance presented in accordance with GAAP, (ii) have important limitations as analytical tools because they exclude some, but not all, items that affect the comparable GAAP measures, (iii) should not be considered in isolation or as a substitute for analysis of our results as reported under GAAP, and (iv) may not be comparable to similarly titled measures of other companies in our industry, thereby diminishing their utility as comparative measures.”

Attribute that language to Western Midstream Partners’ filing, not to an individual executive. It is a practical instruction: use DCF to understand the issuer’s distribution framework, but keep the GAAP statements, cash-flow statement and notes in view.

Rebuild the bridge line by line

Copy every adjustment into a worksheet and classify it as recurring, timing-related, financing-related or discretionary. A useful review sequence is:

  1. Adjusted EBITDA: identify which operating items were removed from GAAP earnings and whether the exclusions recur.
  2. Billing and timing adjustments: determine whether differences reflect ordinary invoice timing or a persistent collection problem.
  3. Cash interest: use cash interest actually paid where the issuer does so, then compare it with the interest expense shown in GAAP results.
  4. Maintenance capital: verify the issuer’s definition and test whether spending classified as “growth” is necessary to keep existing assets safe and operable.
  5. Cash taxes: check whether the period includes taxes that could recur at a different level.
  6. Equity-method distributions: understand whether cash received from joint ventures is included and whether the joint venture itself must retain cash for debt or capital projects.
  7. Noncontrolling interests and other claims: confirm that the portion attributable to common unitholders is not overstated.

Then compare the resulting DCF with the partnership’s GAAP operating cash flow. A wide and persistent gap needs an explanation, not an automatic rejection: it may reflect growth spending, working-capital timing, joint-venture cash, noncash accounting or issuer-specific adjustments.

Measure distribution coverage and cash that is actually retained

Use a consistent coverage formula

The basic calculation is:

Distribution coverage = DCF ÷ cash distributions for the same period.

Use the denominator specified by the issuer and disclose what it includes. Some partnerships include preferred distributions, general-partner interests, incentive distributions or noncontrolling interests; others present coverage attributable only to common units. A ratio calculated with the wrong denominator can look stronger without any economic improvement.

Calculate coverage for several quarters and full-year periods. Mark unusually strong or weak operating conditions, major acquisitions, asset sales, hedging settlements and changes in the unit count. A single quarter can be distorted by billing timing or seasonal volumes.

Separate accounting coverage from retained cash

A partnership can report coverage above 1.0 times and still retain little cash after growth capital, acquisitions, buybacks, debt repayments and working-capital changes. Build a second bridge from DCF to cash left after distributions:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • DCF
  • less cash distributions to all relevant classes
  • less maintenance capital not already deducted in the issuer’s DCF
  • less growth capital and required project equity
  • less acquisitions, repurchases and debt principal payments
  • plus or minus material working-capital movements
  • equals cash retained or cash that must be funded externally.

Western Midstream Partners states that free cash flow is available in aggregate for distributions, debt repayments and other partnership purposes. That wording does not mean every dollar of free cash flow is earmarked for distributions. Read the partnership’s capital-allocation policy and observe what management actually did with retained cash.

Interpret the trend, not a magic number

No reviewed source establishes a cross-industry “safe” distribution-coverage ratio. A declining ratio, even if still above one, can be more informative than a high ratio produced by a one-time payment. Investigate whether the trend reflects lower volumes, higher interest, maintenance spending deferred into a later period, a contract expiration or a distribution policy that has not yet adjusted.

Coverage question What to examine
What is in DCF? Issuer reconciliation, adjustments, period and attribution.
What is in distributions? Common, preferred, general-partner, incentive and noncontrolling interests.
Is cash retained? Growth capital, acquisitions, buybacks, debt repayment and working capital.
Is the result durable? Several periods, weaker volumes, customer changes and recurring versus one-time items.

Put leverage, interest and liquidity in context

Collect the complete debt picture

Record total debt, cash, net debt, the company’s debt-to-EBITDA or leverage definition, interest expense, fixed- and floating-rate exposure, maturity dates, secured versus unsecured borrowing and covenant tests. Include revolver availability and any restrictions on moving cash from subsidiaries or joint ventures.

Track leverage over time rather than applying a universal ceiling. The reviewed materials do not establish an appropriate sector-wide leverage ratio. MPLX reported a 3.7x leverage ratio at June 30, 2026, together with specified available liquidity in its second-quarter 2026 earnings release. That is a dated, issuer-specific disclosure—not a safety threshold for every MLP.

Read the maturity ladder

List maturities by year and identify whether the partnership expects to refinance, repay with operating cash, issue equity or sell assets. A partnership with modest net leverage can still face material risk if several large notes mature during a period of weak earnings or expensive credit. Conversely, a higher reported ratio may be manageable when maturities are staggered, liquidity is committed and interest is largely fixed.

Run simple downside tests

Use the issuer’s latest figures as the starting point and model at least three cases:

  • Lower EBITDA: reduce earnings for lower throughput, contract losses or weaker margins while leaving debt unchanged.
  • Higher interest: increase the cost of floating-rate debt and newly refinanced maturities.
  • Less cash available for debt service: subtract higher maintenance capital, taxes or working-capital needs.

Recalculate leverage, interest coverage, distribution coverage and liquidity in each case. The objective is not a precise forecast; it is to see whether a moderate shock forces a distribution cut, asset sale, equity issuance or covenant negotiation.

Check covenant headroom and liquidity quality

“Available liquidity” may include a revolving facility, cash, commercial-paper capacity or other sources with conditions. Read borrowing-base limits, springing covenants, collateral requirements, subsidiary guarantees and financial-maintenance tests. Distinguish committed capacity from an undrawn facility that could become unavailable when a covenant is breached or collateral values fall.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Determine what “fee-based” means in the contracts

Fee-based revenue reduces direct commodity-price exposure, but it is not synonymous with fixed, guaranteed or risk-free cash flow. Read contract descriptions in the annual report and separate the economic protections rather than treating all fees as equivalent.

Contract feature Protection it may provide Risks to test
Fixed demand or reservation charge Payment for reserved capacity, often independent of daily throughput. Customer credit, renewal, regulatory changes and unused or stranded capacity.
Minimum-volume commitment Customer pays for a specified minimum even if actual volumes are lower. Deficiency-payment terms, make-up rights, bankruptcy and production decline.
Ship-or-pay or take-or-pay Contractual payment obligation when capacity or supply is not used. Counterparty ability to pay, force-majeure clauses and contract termination rights.
Per-unit fee Revenue grows with throughput without direct commodity ownership. Volume decline, competing infrastructure and tariff pressure.
Commodity-linked margin or keep-whole arrangement Potential upside when prices or processing spreads are favorable. Direct or indirect commodity-price, basis and margin volatility.

DT Midstream describes firm-service contracts that typically use long-term fixed demand charges or minimum-volume commitments. That issuer-described structure can support revenue independently of actual throughput, but it is not a guarantee for every MLP or every contract in a portfolio.

Ask five contract questions

  1. How long remains on the contract, and what happens at renewal?
  2. What percentage of revenue depends on minimums, demand charges or deficiency payments?
  3. Can the customer terminate, renegotiate or invoke force majeure if production changes?
  4. How expensive would it be for the customer to connect to an alternative pipeline, processor or terminal?
  5. Does the contract protect revenue, margin or only access to capacity?

Also examine basin economics and gathering dedications. A long contract tied to a declining field may offer less practical protection than its legal term suggests. A reservation payment from a financially weak customer may be less durable than a shorter contract with a strong counterparty.

Examine customers, sponsors and control rights

Identify the largest customers and calculate their share of revenue or cash flow where the filing provides it. Review credit ratings, payment history, bankruptcy exposure, related-party agreements and whether a single producer, refiner or utility controls most throughput.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Sponsor concentration deserves separate treatment. A sponsor may own the general partner, a large portion of common units, operating assets that feed the MLP, or both. This can align interests, but it can also make nominally fee-based cash flow dependent on the sponsor’s operating health and capital-allocation decisions.

MPLX’s Form 10-K for the year ended December 31, 2025, reported that MPC accounted for 48 percent of MPLX’s total revenues and other income in 2025. The same filing said MPC owned MPLX’s general partner and approximately 64 percent of outstanding common units as of December 31, 2025. Those figures illustrate issuer-specific sponsor concentration; they are not sector-wide statistics.

Read governance provisions, conflicts committees, dropdown or asset-transfer arrangements, incentive distribution rights if applicable, and restrictions on issuing units. For joint ventures, determine who controls distributions, whether cash can be trapped for capital projects, and whether the MLP can fund its share of a required project without relying on the sponsor.

Include capital needs and operational downside

Separate maintenance from growth capital carefully

Maintenance capital keeps existing assets safe, compliant and operable. Growth capital adds capacity or connects new supply and demand. The distinction affects DCF and coverage, but the issuer’s classification may not match an outside investor’s economic judgment. Review asset age, integrity programs, inspection cycles, compressor replacement, environmental remediation and regulatory requirements before accepting a low maintenance-capital figure.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

For growth projects, examine committed spending, expected in-service dates, customer contracts, permitting, cost-sharing, return assumptions and completion risk. A project can increase future EBITDA while consuming cash for years or requiring additional borrowing before it contributes.

Map the principal downside risks

  • Customer default, bankruptcy or contract rejection.
  • Lower production and throughput in a basin.
  • Competing pipelines, storage, processing or export capacity.
  • Tariff, permitting and other regulatory changes.
  • Weather, outages, cyber incidents and operating disruption.
  • Environmental liabilities and remediation costs.
  • Construction delays, cost overruns or weak project returns.
  • Joint-venture funding calls or distributions that are reduced or withheld.
  • Refinancing risk when interest rates or credit spreads rise.

MPLX lists material risks involving debt, customer nonperformance, aging assets, sponsor relationships, regulation, project execution and operating disruption. Fee-based revenue reduces some price exposure, but it does not remove these risks.

Compare multiple MLPs on consistent axes

Side-by-side analysis is useful only after you reconcile definitions and time periods. Use the same quarter or trailing period, the same debt boundary and the same treatment of preferred and noncontrolling interests.

Comparison axis Evidence to collect Why it matters
DCF quality Bridge to GAAP, maintenance-capital treatment, recurring adjustments and equity-method cash. Shows whether reported distributable cash reflects recurring economics.
Distribution resilience Coverage trend, retained cash and uses of cash after distributions. Distinguishes accounting coverage from financial flexibility.
Leverage and liquidity Net debt, leverage trajectory, interest burden, maturities, covenants and committed facilities. Reveals refinancing and downturn capacity.
Contract mix Demand charges, minimums, ship-or-pay, per-unit fees, commodity exposure and renewal dates. Tests how revenue behaves when volumes or prices change.
Counterparties Top customers, sponsor share, related parties and credit quality. Measures concentration and payment dependence.
Assets and reinvestment Basin outlook, competing capacity, integrity needs, growth backlog and project returns. Shows whether cash generation can persist without excessive spending.

An apparent difference in coverage or leverage may reflect definitions rather than economics. Reconcile each non-GAAP measure before ranking partnerships.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

A repeatable 10-step evaluation process

  1. Set the comparison date. Use the latest common reporting period and note any subsequent financing, acquisition or distribution change.
  2. Download primary filings. Start with the 10-K, 10-Q, earnings release, debt footnote and contract discussion.
  3. Copy the DCF reconciliation. Preserve every line item and the issuer’s definition.
  4. Reconcile to GAAP cash flow. Explain material differences and flag recurring versus one-time adjustments.
  5. Calculate coverage. Match DCF and distributions to the same period and denominator.
  6. Build the retained-cash bridge. Include maintenance and growth capital, acquisitions, buybacks, debt repayment and working capital.
  7. Map debt. Record net debt, interest rates, maturities, covenants, liquidity and refinancing needs.
  8. Classify revenue contracts. Quantify demand charges, minimums, per-unit fees, commodity-linked earnings and renewal exposure.
  9. Stress the model. Test lower EBITDA, higher interest and higher capital or working-capital needs.
  10. Write the risk conclusion. State which assumptions support the distribution, what could break them and what filing disclosure would confirm or challenge your view.

Illustrative calculation (with hypothetical figures)

The following arithmetic is an example of the method, not a forecast or an issuer’s reported result. Suppose a partnership reports $900 million of DCF for a year and pays $720 million of distributions. Coverage is $900 million ÷ $720 million, or 1.25 times. If it then spends $140 million on growth capital, repays $80 million of debt and experiences a $30 million working-capital use, only $30 million remains before other financing or investment actions. The 1.25-times figure describes distribution coverage; it does not mean $180 million is freely available for discretionary use.

If a 15 percent EBITDA decline reduces DCF to $765 million while distributions remain $720 million, coverage falls to 1.06 times before any increase in interest or maintenance spending. That simple stress shows why the starting ratio, contract durability and debt schedule must be read together.

Common analytical mistakes

  • Equating yield with safety: yield rises when the unit price falls, which can signal higher perceived risk rather than a bargain.
  • Treating DCF or adjusted EBITDA as GAAP: both are issuer-defined non-GAAP measures requiring reconciliation.
  • Assuming fee-based means fixed: volumes, renewals, customer credit, force-majeure provisions and competing assets still matter.
  • Using one quarter: timing, seasonality and one-time settlements can distort coverage.
  • Ignoring all claims on cash: preferred units, general-partner interests, noncontrolling interests and joint-venture needs can reduce common-unit cash.
  • Accepting maintenance-capital labels uncritically: required integrity and compliance work may be economically unavoidable even when classified as growth.
  • Applying a universal leverage rule: debt capacity depends on contracts, maturities, liquidity, rates and asset quality; MPLX’s 3.7x disclosure is not a sector benchmark.
  • Overlooking sponsor concentration: a sponsor can provide strategic support while also representing a large customer and controlling governance.
  • Counting undrawn capacity as cash: facilities have covenants, expiration dates, borrowing conditions and lender risk.

Tax and reporting considerations for MLP investors

Partnership interests can generate partnership-specific tax reporting, including a Schedule K-1 and allocations that do not match the cash distribution received. State filing, unrelated business taxable income, basis adjustments and sales-tax consequences can vary by investor and account type. The financial analysis above cannot determine your personal tax result. Obtain qualified tax advice for your circumstances and keep the partnership’s tax package with your investment records.

Conclusion: what a defensible assessment looks like

A defensible MLP assessment shows the DCF bridge, the distribution denominator, the cash retained after capital needs, the debt and maturity schedule, and the contract protections behind revenue. It identifies who pays, who controls the partnership and which risks could reduce cash flow. It also states what is not known: issuer definitions may not be comparable, contract protections may fail with a weak counterparty, and no reviewed source establishes a universal safe yield, coverage ratio or leverage ceiling.

The result should be a scenario-based judgment about distribution durability and financial flexibility—not a conclusion drawn from a single yield, a single quarter or a single non-GAAP ratio.
