Evaluate an international stock as both a business and a cross-border transaction. That means verifying the company’s financial evidence, country and market conditions, currency effects, ownership structure, trading costs, intermediary protections, and tax obligations before you decide whether the exposure belongs in your portfolio. International diversification can broaden access to companies and economies outside your home market, but it does not guarantee higher returns and it adds risks that a domestic-only purchase may not have.
What international-stock due diligence must answer
Before buying, you should be able to answer six practical questions:
- What does the company sell, where does it earn and spend money, and how durable is its competitive position?
- Can you obtain timely, understandable financial information, and what accounting and audit framework produced it?
- How could politics, regulation, liquidity, foreign-ownership rules, currency controls, or capital restrictions affect the shares?
- What will the investment return be in your home currency after conversion costs, commissions, taxes, and withholding?
- Which holding route—direct foreign-market shares, a U.S.-traded foreign stock, an American depositary receipt (ADR), or a U.S.-registered fund—matches your need for diversification, access, and protection?
- Is your broker or adviser properly registered, and where could you enforce your rights if something goes wrong?
The U.S. Securities and Exchange Commission (SEC) describes diversification and access to growth as reasons investors consider international investing, while warning that foreign markets can have different disclosure, trading, legal, and currency conditions. Readers outside the United States should substitute their own securities regulator, exchange rules, and tax authority for the U.S.-specific references below.

Map the business before looking at the ticker
Write a short operating description in your own words. Identify the products or services, the customers who pay for them, the countries where revenue is generated, the currencies of major costs, and the company’s main competitors. Then examine how the business makes cash rather than relying only on reported earnings.

Build a source-and-date log
For every number you use, record the document title, publication date, reporting period, language, accounting basis, and auditor. Start with the issuer’s annual report, interim reports, exchange announcements, and investor-relations materials. Add regulator or exchange filings where available. A presentation without a corresponding financial statement should not be your only evidence for a material claim.
Foreign-company disclosure can be less extensive, less frequent, harder to access, or published in a language you do not read. Accounting standards and audit oversight may differ from U.S. practice. A company that is not publicly listed in the United States may not be subject to analogous U.S. audit oversight. Compare periods on a consistent basis and note whether figures are consolidated, restated, nominal, inflation-adjusted, or presented in a different currency.
The absence of SEC filings is not proof of fraud. It is a signal that you may have to obtain information from another regulator or exchange, translate it, verify it independently, and accept greater uncertainty about what is missing.

Random freezes, missing sound and display glitches usually trace back to one bad driver. Find and replace yours safely.Free scan · under a minuteCheck the auditor and governance context
Identify the audit firm, the opinion issued, any qualification or emphasis paragraph, and whether the auditor is overseen by a body you can assess. Read related-party transactions, executive pay, share pledges, dual-class voting rights, changes in auditors, and the treatment of minority shareholders. A clean opinion does not eliminate business risk; it tells you only what the auditor concluded within the applicable reporting framework.
2. Assess the country and the market where the shares trade
Country conditions
Separate company-specific risk from the environment in which the company operates. Review political stability, elections, sanctions, trade policy, inflation, interest rates, recession risk, capital controls, and the reliability of utilities and payment systems. Social or regulatory changes can alter demand, licensing, labor costs, data access, or the ability to repatriate money.
Market mechanics
Confirm the exchange’s trading hours, settlement cycle, holiday calendar, minimum order rules, short-selling restrictions, price limits, and typical volume. Thin trading can make a quoted price stale and can turn a modest order into a large price move. Ask whether the market uses a central counterparty, how assets are held in custody, and what happens if a broker or local custodian fails.

Check foreign-investment limits by investor type and industry. Some markets cap foreign ownership, require approvals, impose special registration, or restrict voting rights. Determine whether dividends and sale proceeds can legally leave the country and whether currency conversion is freely available. The SEC identifies differing liquidity, foreign-investment restrictions, currency controls, political and economic events, and limited legal remedies as material international-investing risks.

Find the governing law, the location of the issuer and its assets, the forum for shareholder disputes, and the practical process for bringing a claim. A judgment in your home country may be difficult to enforce abroad. Examine voting procedures, notice periods, language requirements, and whether minority shareholders can inspect records or call meetings.
3. Translate local performance into your home currency
Always calculate two returns: the share’s performance in its listing currency and the return after conversion into your home currency. The SEC’s Investor.gov guidance states: “When the exchange rate between the U.S. dollar and the currency of an international investment changes, it can increase or reduce your investment return.”
For a U.S. investor, a simplified translation is:
U.S.-dollar value = local share price × shares held ÷ (local-currency units per U.S. dollar)
If the local share price rises 10% but the local currency loses 15% against the dollar, the dollar result is negative before costs. The reverse can also happen: a flat local share can gain in dollars if its currency strengthens.

Include every cash-flow effect
- Conversion spreads or foreign-exchange commissions when buying, selling, or receiving dividends.
- Brokerage commissions, exchange fees, custody charges, and transaction taxes.
- Dividend withholding by the issuer’s country and any additional tax when the dividend reaches your account.
- Different settlement dates, which can leave cash exposed to exchange-rate movement.
- Restrictions or delays on converting and repatriating proceeds.
For a realistic estimate, model at least three currency scenarios—stronger, unchanged, and weaker home currency—and show whether the investment still meets your objective after all stated costs. Do not treat currency movement as a predictable source of extra return.

4. Choose the holding structure deliberately
The instrument you buy determines what information you receive, how you trade, what fees apply, and which parties hold the underlying shares.
| Route | What you own or access | Advantages | Questions and trade-offs |
|---|---|---|---|
| Direct foreign-market share | Shares listed on the company’s home exchange | Direct exposure and access to the local listing | You may need a foreign-market account, local disclosures, currency conversion, and local custody; the issuer may not file reports with the SEC. |
| U.S.-traded foreign stock | A foreign issuer’s shares that trade on a U.S. venue | U.S.-market trading hours and familiar settlement infrastructure | Confirm the issuer’s reporting status, liquidity, spread, and whether the U.S. quotation is a full listing or another form of access. |
| ADR | A U.S.-traded receipt representing foreign shares or a fraction of a share | U.S.-dollar trading and simpler access to a foreign issuer | Check the receipt-to-share ratio, depositary arrangements, cancellation or conversion terms, and depositary fees. |
| U.S.-registered mutual fund | A portfolio of international securities priced under the fund’s dealing rules | Diversification and professional portfolio administration | Review the expense ratio, portfolio concentration, dealing time, currency policy, turnover, and redemption terms. |
| U.S.-registered ETF | A portfolio that trades intraday on an exchange | Diversification with intraday trading and a visible market price | Compare expense ratio, bid-ask spread, tracking difference, premiums or discounts to net asset value, holdings, and trading liquidity. |
The SEC distinguishes single-country, regional, global, international, and index-fund approaches. Decide first whether you want one issuer, a country or region, or broad international exposure; then choose the instrument that delivers that exposure without unacceptable costs or access constraints.
ADR-specific checks
Ask your broker for the ADR receipt-to-share ratio and every recurring or event-based depositary charge. Read the relevant Form F-6 filing and the depositary’s fee schedule. A ratio of one receipt to a fraction or multiple of an ordinary share changes how the quoted price should be interpreted. Depositary fees can be deducted from dividends or charged for services such as issuance and cancellation, so include them in your return estimate.
5. Compare the full cost of ownership
| Cost category | What to verify | Why it matters |
|---|---|---|
| Trading commission | Per-order or percentage charge, minimums, and whether it differs by market | A small order can be uneconomic when a minimum commission applies. |
| Bid-ask spread | Typical spread at the time and size you expect to trade | Entering and exiting a thin market can cost more than the headline commission. |
| Foreign-exchange conversion | Quoted exchange rate, spread, and separate conversion fee | The rate used by the broker may differ materially from a mid-market quote. |
| Fund expenses | Expense ratio, acquired-fund fees where disclosed, and tracking difference | Recurring expenses reduce returns even when the market is flat. |
| ADR depositary fee | Per-receipt charge, timing, and whether it is withheld from dividends | It is an additional cost specific to the receipt structure. |
| Taxes and withholding | Dividend withholding, transaction taxes, and capital-gains rules in each jurisdiction | Tax treatment depends on residence, account type, treaty status, and current law. |
| Custody and transfer | Safekeeping, corporate-action, transfer, and dormant-account charges | These can arise even when you do not trade frequently. |
Request a written fee schedule from the broker and read the fund prospectus or ADR documentation. A “commission-free” label does not mean the transaction is cost-free if spreads, conversion markups, taxes, or custody fees remain.
6. Verify the broker, adviser, and custody chain
For U.S. readers, verify a broker’s registration with the SEC or the appropriate state authority and check its record through FINRA BrokerCheck. Check investment advisers in the SEC’s Investment Adviser Public Disclosure database. Confirm the legal entity that will hold your account, the country in which it is regulated, the applicable investor-compensation scheme, and the procedure for complaints.
The SEC warns that a U.S. investor who deals directly with an unregistered foreign broker may not receive the same protections available through an SEC-registered broker. Ask who holds the underlying foreign shares, whether assets are segregated, how corporate actions are communicated, and what happens if a local custodian or depositary becomes insolvent.

Questions to ask before funding the account
- Which legal entity is my counterparty, and which regulator supervises it?
- Where are my cash and securities held, and in whose name?
- What compensation or insurance applies, and what exclusions exist?
- Can I transfer positions out, or must I sell before closing the account?
- How are dividends, splits, tenders, voting materials, and tax forms delivered?
- Which court, arbitration forum, and language govern a dispute?
7. Check taxes and reporting for your own circumstances
Do not assume that dividend withholding, foreign-tax credits, capital-gains treatment, or foreign-asset reporting works the same way across countries or account types. The issuer’s country may withhold tax before a dividend reaches you; your home country may tax the dividend again, potentially with a credit subject to local limits.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteFor U.S. readers, the IRS Form 8938 frequently asked questions explain that certain stock or securities issued by a non-U.S. person and held for investment outside a financial account may be reportable. Whether a filing is required depends on filing status, residence, asset location, account structure, and the applicable thresholds for the tax year. Keep purchase confirmations, sale records, exchange rates, dividend statements, withholding certificates, and fund tax documents. Use current IRS materials or a qualified tax professional for a personal conclusion; rules and forms can change.
Readers in other countries should consult their tax authority about foreign-asset declarations, controlled-foreign-company rules, treaty relief, estate or inheritance taxes, and the treatment of accumulating funds.
8. Use a written decision scorecard
A scorecard prevents an attractive story from hiding an unresolved operational risk. Record the evidence and your confidence level rather than assigning false precision.
| Category | Evidence to record | Decision question |
|---|---|---|
| Business | Products, customers, revenue geography, margins, cash flow, debt, competitors | Can I explain how this company earns cash and what could impair it? |
| Disclosure | Latest reports, dates, language, accounting basis, auditor, qualifications | Is the information timely and reliable enough for my decision? |
| Country | Political, economic, regulatory, social, and capital-control conditions | What events could change ownership, cash flows, or market access? |
| Market | Volume, spreads, hours, settlement, foreign-ownership limits, repatriation | Can I enter, exit, and move money under realistic conditions? |
| Currency | Listing currency, dividend currency, scenarios, conversion costs | What is my plausible home-currency outcome? |
| Structure | Direct share, ADR, fund, ratio, custody, depositary terms | Does the instrument deliver the exposure I intend? |
| Intermediary | Registration, legal entity, custody, compensation, dispute forum | Who protects my assets and where would I seek relief? |
| Tax | Withholding, reporting, credits, account treatment, records required | What must I file and what net return remains after tax? |
Set a “stop” condition for missing evidence—for example, an unavailable annual report, an unexplained qualified audit opinion, an unresolved ownership restriction, or an inability to verify the intermediary. Waiting is a valid decision when a material question cannot be answered.
9. Common mistakes and how to correct them
Using a local-market chart as your personal return
Problem: The chart excludes currency movement, fees, and withholding.
Correction: Recalculate every cash flow in your home currency, using the actual trade and dividend dates.

Assuming a familiar accounting label means identical reporting
Problem: Similar terms can conceal different recognition, measurement, inflation, or consolidation rules.
Correction: Identify the accounting framework and reconcile definitions before comparing ratios with domestic companies.
Equating a U.S. trading venue with U.S. investor protection
Problem: A receipt or quotation may still depend on a foreign issuer, depositary, custodian, and foreign legal system.
Correction: Read the instrument documents, verify the ratio and fees, and map each party’s legal responsibility.
Ignoring liquidity until the sell order
Problem: A displayed price may not be available for your order size, especially around local holidays or political news.
Correction: Review volume and spreads, use limit orders where appropriate, and decide in advance how much slippage you can tolerate.
What’s actually slowing this PC down?
Pick the symptom - the matching free tool is one click away.
Treating diversification as a guarantee
Problem: International exposure can reduce reliance on one home market, but countries and currencies can fall together and a single foreign company can still fail.
Correction: Decide how much issuer, country, regional, currency, and sector concentration you can accept.
Relying on a promotional or translated summary
Problem: Summaries may omit liabilities, related-party transactions, restrictions, or unfavorable periods.
Correction: Trace every material claim to a dated primary filing or official exchange or regulator document and preserve the original-language version when possible.
10. A practical pre-trade workflow
- Define the exposure. State whether your objective is one company, a country, a region, or broad international diversification, and set a maximum position size.
- Collect primary documents. Obtain the latest annual and interim reports, exchange notices, prospectus or ADR filing, and the broker or fund fee schedule.
- Write the business case. Summarize revenue drivers, competitive advantages, cash generation, debt, and the specific reasons the investment could fail.
- Test disclosure quality. Record dates, language, accounting framework, auditor, qualifications, and missing information.
- Map country and market constraints. Check ownership limits, trading and settlement rules, liquidity, currency controls, repatriation, and legal forum.
- Model net returns. Convert purchase, dividends, and sale proceeds into your home currency under multiple exchange-rate scenarios, then subtract all stated costs and taxes.
- Compare structures. Price the direct share, ADR, or diversified fund route that gives comparable exposure; include ratio, spread, expense, custody, and depositary differences.
- Verify the intermediary. Confirm registration, custody, compensation, transferability, and complaint procedures before sending money.
- Confirm reporting duties. Determine which tax forms and records your residence and account type require.
- Document the decision. Save your assumptions, evidence dates, currency scenarios, and stop conditions so you can revisit them when the next report arrives.
When the evidence is not strong enough
Do not force a purchase because the company is famous, the valuation looks low, or the home market has recently disappointed you. Pause when disclosures are stale or untranslated, the auditor’s role is unclear, ownership or repatriation rules are unresolved, the market cannot absorb your order, the intermediary cannot be verified, or the after-tax, after-currency return depends on an untestable assumption. You can revisit the security when reliable information or a safer access route becomes available.
