Do not begin with the token’s price chart or blockchain network. Begin by identifying the legal claim you would own. A tokenized stock may be an issuer-recorded share, an indirect entitlement to shares held by a custodian, or a synthetic instrument issued by a third party. Those structures can have very different rights, redemption outcomes, and failure risks.
Before buying, name the entity that owes you performance, trace where the referenced shares are recorded and held, read the redemption clause word for word, and compare your voting, distribution, information, transfer, and insolvency rights with those of the referenced share. Onchain transferability or a claim that a token is “backed 1:1” does not, by itself, establish share ownership, segregated custody, or a right to receive the underlying stock.
Start with the legal claim, not the blockchain
“Tokenized stock” is an umbrella term rather than a single legal form. The U.S. Securities and Exchange Commission’s January 28, 2026 staff statement describes issuer-sponsored and third-party-sponsored models, while Investor.gov explains that synthetic tokens can provide price exposure without giving the holder rights against the company whose stock is referenced. The documents for the particular offering control your position; a ticker symbol, app display, or marketing label does not.

Then answer one question: if the token platform stopped operating tomorrow, what legal right would remain, and against whom?
Issuer-sponsored security integrated with the master securityholder file
In one issuer-sponsored model, the company or its agent integrates distributed-ledger records with the company’s master securityholder file. A transfer recorded on the ledger can therefore transfer the security in the issuer’s official ownership records. The critical verification is documentary: confirm that the token itself represents the same class of security and that the issuer’s records, not merely a platform database, recognize the holder.
Issuer-issued security whose token is not the master record
An issuer can also issue a security represented by a token that is not directly integrated into the master file. In that arrangement, a token transfer may notify the issuer or its agent to update offchain records. The blockchain is then part of the transfer process, but it is not necessarily the authoritative ownership register. Ask when the offchain update becomes effective, who can reject it, and what happens if the notification or reconciliation fails.

Custodial security-entitlement token
A third party may issue a token that represents an indirect interest in an underlying security through a securities intermediary. The intermediary or custodian holds the shares, while the token holder has an entitlement recorded in the intermediary’s books. Your claim may depend on the custody agreement, account records, segregation rules, and the intermediary’s solvency rather than on a direct relationship with the company whose stock is referenced.

A synthetic token is a security, linked instrument, or security-based swap issued by a third party whose return references another security. It can follow the share price without representing the share or creating a claim against the referenced company. Investor.gov warns that holders of such tokens may receive materially different rights from shareholders and may have no claim against the stock issuer. The practical question is what the token issuer promises to pay or deliver, and what assets or counterparties support that promise.
SEC Commissioner Hester M. Peirce summarized the principle in a July 9, 2025 statement: “As powerful as blockchain technology is, it does not have magical abilities to transform the nature of the underlying asset.” She also wrote, “Tokenized securities are still securities.” Those statements do not approve any particular product; they reinforce the need to analyze the instrument’s legal substance.
Compare the three structures before you commit funds
| Question | Issuer-sponsored share | Custodial entitlement token | Synthetic token |
|---|---|---|---|
| Who records or issues the claim? | The referenced company or its agent; verify whether the token appears in the master securityholder file. | A third party or intermediary records an indirect entitlement while a custodian holds the underlying security. | A third party issues its own linked security or derivative. |
| Connection to the referenced share | It may itself be the share, depending on the issuance and records. | It is an indirect interest through the intermediary’s entitlement records. | It is economic exposure to a reference asset, not necessarily ownership or a claim against that asset’s issuer. |
| Primary custody question | Which ownership register controls, and how do ledger transfers change that register? | Who holds the shares, how are customer positions recorded and segregated, and what happens if the intermediary fails? | What, if anything, supports the issuer’s promise, and what claim does the holder have in a default? |
| Rights question | Does the token carry the same class and shareholder rights as conventional shares? | Which shareholder benefits pass through, and who exercises them? | Which rights are contractual, and which shareholder rights are absent? |
| Redemption question | How can the token be converted to the share or cash, and who processes the conversion? | Can the entitlement be delivered or transferred out, under what conditions? | What payment or delivery does the issuer promise, and can it perform if a counterparty or market is unavailable? |
These categories are a due-diligence framework, not a guarantee that every offering fits neatly into one box. The SEC staff notes that structures and holder rights vary, so read the instrument’s governing documents.

Trace custody and find the authoritative record
Custody is not established by seeing a wallet balance. You need a chain of records linking your token to the referenced security or to a clearly defined contractual obligation.
Map every entity in the chain
- Record the token issuer’s exact legal name, incorporation jurisdiction, and role.
- Identify the referenced company and the exact share class or security.
- List any special-purpose entity, broker, platform operator, transfer agent, clearing intermediary, and custodian.
- State which entity owes you stock, cash, a distribution, or only an account entry.
- Note which entity can suspend transfers, change the terms, or terminate the product.
Do not infer a claim against the referenced company from its ticker, logo, or a price feed. The obligor is the entity identified in the offering document and contractual terms.
Determine which record controls ownership
Ask for a plain-language description of the authoritative record. It may be the issuer’s master securityholder file, an intermediary’s entitlement ledger, or the token issuer’s contract and account system. For an issuer-sponsored arrangement, confirm whether a ledger transfer immediately changes the master file or merely triggers a later offchain update. Obtain the cut-off time, reconciliation process, and procedure for correcting a disputed balance.
Verify how the underlying shares are held
For a custodial structure, identify the account in which the shares sit, the legal owner shown on that account, and the governing custody agreement. Ask whether customer positions are segregated from the custodian’s proprietary assets under the applicable law, how often positions are reconciled, and whether an independent auditor, administrator, or other party reports the holdings. A statement that assets are held “1:1” describes a quantity only; it does not establish segregation, priority, or recovery rights in insolvency.
Test the transfer process
Find out whether transfers require platform approval, whitelisting, identity checks, trading-hour windows, or an offchain bookkeeping action. Ask what happens when a token is sent to an unsupported wallet, when a transfer is reversed, or when the issuer’s ledger and the blockchain disagree. A technically successful transaction can still fail to change the legally relevant record.

Read redemption as an operational promise
Redemption is meaningful only if the contract gives you a defined right and the issuer has a workable process to honor it. The general SEC and Investor.gov materials do not establish a universal redemption right for tokenized stocks. Product-specific terms are essential.
Extract the terms into a checklist
| Term to locate | What to establish |
|---|---|
| Eligible redeemer | Whether every holder may redeem or only verified customers, approved jurisdictions, or accounts meeting additional conditions. |
| Deliverable | Whether you receive the underlying share, cash, a different security, or an amount calculated by reference to a price. |
| Minimum and increments | Minimum token quantity, whole-share requirements, and treatment of fractional amounts. |
| Fees and conversion costs | Redemption fees, spreads, broker charges, network fees, taxes, and any costs deducted from the delivered amount. |
| Settlement | Required broker or wallet, settlement timetable, cut-off times, and the point at which the conversion becomes final. |
| Geography and trading hours | Eligible countries, sanctions restrictions, market holidays, and whether requests are accepted only while a reference market is open. |
| Suspension or rejection | Events allowing delay, cash substitution, suspension, forced conversion, or refusal of a request. |
| Change power | Whether the issuer can amend the redemption process, fees, or deliverable unilaterally and how notice is provided. |
Distinguish a right from a feature
A button labeled “Redeem” is not proof of a contractual entitlement. Locate the clause that creates the obligation, the conditions that limit it, and the remedy if the issuer does not perform. If redemption is described as being available “at the issuer’s discretion,” it is an operational feature rather than a holder-controlled right. If the terms permit cash substitution or suspension during market disruption, your expected asset may not be the asset you receive.
Check practical delivery
Ask which broker or account can receive a delivered share, whether the recipient must pass additional compliance checks, and how fractional interests are handled. For cash settlement, identify the valuation time, price source, currency, and deductions. A theoretical right that cannot be used from your jurisdiction or account type may have little practical value.
Compare the token’s rights with the referenced share
Price tracking is only one attribute. Build a side-by-side rights schedule before buying.

| Right or benefit | Questions for the token | Why the difference matters |
|---|---|---|
| Voting | Are votes passed through, exercised by a custodian, delegated, or unavailable? What deadlines and instructions apply? | You may have economic exposure without a shareholder vote or the ability to direct it. |
| Dividends and distributions | Are cash dividends, stock dividends, and other distributions delivered automatically, net of fees, or merely reflected in the token price? | A price adjustment is not the same as receiving the distribution. |
| Corporate actions | How are splits, mergers, tender offers, rights issues, and delistings handled, and who makes the election? | The token may be converted, suspended, or settled under terms different from the share. |
| Information | Do holders receive issuer reports, notices, and meeting materials, and through which channel? | Information access can affect the ability to evaluate and exercise rights. |
| Transfer | Are transfers unrestricted, limited to approved wallets, or dependent on offchain approval? | Liquidity and control can differ sharply from an ordinary listed share. |
| Liquidation and insolvency | What claim ranks behind or ahead of other creditors, and is the holder claiming assets or only the issuer’s promise? | Recovery can depend on an intermediary or issuer’s solvency rather than the referenced company’s assets. |
Investor.gov specifically cautions that synthetic-token investors may have no claim or rights against the issuer of the referenced stock. Treat each missing or conditional right as a separate economic difference, not as a footnote.
Stress-test issuer, custodian, and platform failure
Make a failure map. List every entity whose bankruptcy, license loss, frozen account, cyber incident, or contract termination could interrupt your ability to transfer or redeem.
Ask what survives an issuer failure
- Does the token holder own identified shares, an entitlement recorded by an intermediary, or an unsecured contractual claim?
- Are the underlying assets legally separate from the token issuer’s own property under the governing regime?
- Who can return or transfer the assets if the issuer is placed in administration or liquidation?
- Does the contract give you a property claim, a trust claim, a priority claim, or only a general creditor claim?
- Which court and governing law decide disputes, and where would a claim have to be filed?
Analyze intermediary failure
In a custodial model, the custodian’s records and legal arrangements determine whether the token holder can recover the underlying position. Review account titling, segregation language, rehypothecation permissions, liens, set-off rights, and the process for reconciling customer entitlements. If another broker or clearing system sits between the custodian and the market, include that entity in the failure map.
Separate reference-company risk from token-issuer risk
Owning the company’s conventional share exposes you to that company’s business and market risks. A third-party token can add issuer, custodian, counterparty, technology, and legal-enforcement risks. A synthetic token may leave you exposed to the token issuer even when the referenced company remains solvent and its shares continue trading.

Do not confuse regulatory language with product approval
The SEC staff statement of January 28, 2026 groups common tokenization models and discusses possible rights. It is staff guidance, not a rule, binding legal opinion, or approval of a named offering. It assumes that described activities comply with applicable law and the parties’ governing documents. Investor.gov’s explanation is educational material from the SEC’s investor-education office and likewise does not verify a product’s current operations.
For a U.S. purchase, check the legal classification of the instrument, the status of the issuer and venue, and any registration, exemption, broker-dealer, investment-company, or derivatives implications that apply to the specific offer. Confirm that the protections you expect actually cover this instrument and account type; do not rely on a generic “regulated” label.
European Union Regulation (EU) 2023/1114, commonly known as MiCA, contains reserve, custody, and redemption provisions for asset-referenced tokens. Those provisions should not be treated as establishing redemption rights for tokenized stocks. Rights and insolvency treatment depend on the instrument, offering documents, intermediary, governing law, and your jurisdiction.
Use this pre-purchase due-diligence workflow
- Collect the primary documents. Obtain the offering memorandum, token terms, custody agreement or summary, fee schedule, redemption procedure, privacy and platform terms, and any risk disclosures. Save the version and date you reviewed.
- Write a one-sentence claim description. For example: “This token is a contractual claim against [issuer] for cash linked to [reference share],” or “This token records an entitlement to shares held by [custodian].” If you cannot write the sentence without marketing language, stop.
- Identify the obligor and jurisdiction. Record the legal entity, registered address, governing law, dispute forum, and any guarantor or special-purpose entity. Distinguish the referenced company from the token issuer.
- Draw the custody and records chain. Show the path from your account to the token ledger, intermediary records, custodian account, and issuer’s master file if one exists. Mark which record is legally authoritative at each transfer.
- Reconcile one unit. Determine what one token represents, whether fractional holdings are permitted, how corporate actions alter the ratio, and how the issuer proves the corresponding position. Look for dated reconciliation or independent reporting, not just an undated reserve statement.
- Simulate redemption. Follow the documented process as far as possible without sending funds. Calculate minimum quantity, fees, settlement time, required account, geographic limits, and the result if the market is closed or disrupted.
- Build the rights schedule. Mark voting, distributions, corporate actions, information, transfer, and liquidation rights as automatic, conditional, delegated, or absent. Compare each item with the referenced share class.
- Run the failure scenarios. Read default, suspension, termination, insolvency, force-majeure, and amendment clauses. Identify your claim if the token issuer, custodian, platform, or reference market fails separately.
- Verify regulatory status for your location. Check official registers and disclosures relevant to the issuer and venue, then confirm which investor protections apply to this exact instrument. A registration of one entity does not automatically cover every token it distributes.
- Set a written decision rule. Buy only if you can state the claim, custody path, redemption outcome, rights differences, and worst-case recovery in plain language. Otherwise classify the product as unverified rather than filling gaps with assumptions.
Red flags that should pause a purchase
- The issuer will not provide a complete legal name, governing law, or current terms.
- Marketing says “backed 1:1” but does not identify the custodian, account structure, reconciliation method, or insolvency treatment.
- The token uses a company ticker while the documents describe only a cash-settled derivative or linked security.
- Redemption is advertised prominently but the contract makes it discretionary, subject to unlimited suspension, or available only to an undisclosed class of customers.
- The platform’s balance is authoritative only according to platform terms, with no explanation of how it relates to issuer or custodian records.
- Voting, dividends, and corporate actions are described as “economically reflected” without stating whether holders receive or can exercise them.
- Fees, valuation time, settlement venue, or jurisdictional restrictions are missing from the redemption process.
- The issuer can amend the deliverable, suspend conversions, or terminate the token without a clear notice and wind-down procedure.
- Claims of regulatory approval are not tied to a named registration, exemption, or jurisdiction.
Apply the framework to three hypothetical offers
Offer A: issuer-recorded token
The company’s transfer agent confirms that the token ledger is integrated with the master securityholder file. The terms identify the same share class, explain how transfers update the file, and provide a procedure for receiving corporate-action notices. Your remaining questions concern operational outages, transfer restrictions, and the exact conversion process. The key risk is record and process failure, not an assumed direct claim that has never been documented.
Offer B: custodial entitlement
A platform issues tokens while a named intermediary holds the shares. The documents show customer entitlements, segregation terms, reconciliation, and a process for transferring or delivering the position. Your exposure includes the intermediary and the legal effectiveness of those segregation arrangements. A platform outage should not erase the entitlement if the records and custody structure support it, but the documents must establish that outcome.
Offer C: synthetic exposure
The issuer promises cash based on the reference share’s price and reserves discretion to suspend settlement during market disruption. No clause gives you voting or dividend rights, and no document grants a claim against the referenced company. This is a third-party credit and performance claim with market exposure, not conventional share ownership. Evaluate it on the issuer’s ability and obligation to pay, not on the reference company’s balance sheet alone.
The decision standard
A tokenized stock is understandable enough to consider only when you can identify the legal claim, the authoritative ownership record, the custody and segregation arrangements, the exact redemption deliverable and conditions, the rights you will not receive, and the entities whose failure could impair recovery. If any of those answers depends on a slogan such as “onchain,” “backed,” or “regulated,” treat the gap as unresolved. The SEC materials describe possible structures; they do not establish that a particular offering is safe, solvent, redeemable, or approved.
