The safest way to evaluate a tokenized asset is to trace the legal right behind the token, identify the party that must perform, verify where the underlying assets or reserves are held and segregated, and then walk through the actual redemption process—including what happens during insolvency, a custodian failure or a market freeze. An on-chain balance or a claim that a token is “backed” does not by itself prove ownership, priority in bankruptcy or practical access to cash.
This framework applies across tokenized securities, asset-referenced tokens and other structures, but the answer always depends on the instrument’s documents, issuer, custodians and governing jurisdiction. MiCA rules, SEC statements and Basel standards cited below apply only within their stated scope.
Start by identifying what the token legally represents
“Tokenized asset” describes a delivery technology, not a single legal form. The same economic exposure can be issued as a direct interest in an asset, a security entitlement, a claim on a special-purpose vehicle, a contractual promise from an intermediary or only synthetic price exposure.
The SEC’s Divisions of Corporation Finance, Investment Management, and Trading and Markets said on January 28, 2026: “There are a variety of models used to tokenize securities and they vary in terms of structure and the rights afforded to holders.” That statement describes legal considerations; it is not a ruling that any particular token gives its holder ownership of an underlying security.

Commissioner Hester M. Peirce made the related securities-law point in a July 9, 2025 statement: “Tokenized securities are still securities.” A blockchain record does not change the legal nature of the underlying instrument.
Classify the claim before assessing the technology
| Possible structure | What the holder may have | Main custody or redemption question |
|---|---|---|
| Token issued by the underlying issuer | A direct ownership interest or the same legal rights as the non-tokenized instrument, if the documents establish that result | Are the assets registered or held for holders, and are those rights enforceable in the relevant jurisdiction? |
| Token issued by an unaffiliated third party | A contractual claim against the third party, an interest in a vehicle, or another arrangement that may not be ownership of the underlying asset | Does the third party’s insolvency add an intermediary bankruptcy risk? |
| Token backed by a special-purpose vehicle | A beneficial interest or claim against the vehicle, subject to its constitutional documents and creditors | Are the vehicle’s assets ring-fenced, and who controls them if the vehicle fails? |
| Intermediary or synthetic exposure | A promise to pay a value linked to an asset rather than a property interest in that asset | What is the counterparty’s obligation, collateral package and insolvency priority? |
Do not infer the category from labels such as “backed,” “wrapped,” “depositary” or “fully collateralized.” Read the issuance terms, trust or custody agreement, offering document, account-control agreement and applicable law. Record whether the token gives a property right, a security entitlement, a claim against an issuer or vehicle, a claim against an intermediary, or only a price reference.
Confirm the governing law and forum
Write down the governing law, dispute forum, transfer restrictions and any eligibility rules. A holder may have a strong contractual promise but still face a lengthy insolvency proceeding in another country. Conversely, a token that appears to be held in a segregated account may not give a proprietary claim if the governing law treats the arrangement as an unsecured debt.
The SEC’s January 2026 statement notes that a third-party-sponsored token may expose holders to the sponsor’s bankruptcy in addition to risks of the underlying issuer. That additional layer must appear in your risk map.
Map every obligor and every asset holder
Two names are essential: the entity legally required to deliver the asset or cash, and the entity that actually holds the asset or reserve. They may be different. A token ledger identifies balances, not legal responsibility.
Build an obligation map
- Token issuer: Identify the legal entity that minted the token and the exact promise it makes on redemption, transfer or payment.
- Underlying issuer: If the token references a bond, fund interest, share, commodity or deposit, determine whether that issuer owes anything directly to tokenholders.
- Vehicle or trustee: If a special-purpose company, trust or nominee owns the assets, record its legal capacity and the documents governing distributions.
- Custodian and sub-custodians: List each party holding securities, cash, commodities or other reserves, including the account location and applicable law.
- Redemption agent or intermediary: Identify who accepts a request, verifies eligibility, converts assets and sends the settlement asset.
For each party, ask: What document creates the obligation? Can the holder enforce it directly, or only through another entity? Which court would hear a dispute? What happens if that party becomes insolvent before settlement?

Separate on-chain key custody from off-chain asset custody
A wallet provider or blockchain custodian may control private keys without holding the securities, cash or commodities that supposedly support the token. Conversely, an investment custodian may hold the reserve while a separate technology provider controls the token contract. Analyze both arrangements independently:
The Tool Desk
Outbyte PC Repair FREEClear out junk files and repair common Windows errorsFree Scan →Outbyte Driver Updater FREEScan for outdated or missing drivers - takes under a minuteDriver Scan →- Key custody: Who can sign transfers, pause the contract, change administrators or recover keys?
- Reserve custody: Which legal entity holds the off-chain assets, in what account capacity and under what jurisdiction?
- Authority: Can the issuer move reserves unilaterally, or are withdrawals subject to dual control, trustee consent or documented redemption instructions?
- Failure response: Can a replacement technology operator or custodian continue servicing holders without creating a new legal claim?
Verify legal and operational segregation
Segregation has two dimensions. Legal segregation determines whether a holder can claim assets separately from an issuer’s creditors. Operational segregation concerns how accounts, records, controls and reconciliations prevent assets from being mixed or misdirected. A dashboard showing separate token balances does not establish either one.
Questions for the custody agreement
- Is the reserve account titled in the issuer’s name, a trustee’s name or a customer-benefit capacity?
- Are assets separated from the custodian’s proprietary assets and from other customer pools?
- May the custodian lend, pledge, rehypothecate or otherwise encumber them?
- Are there liens, security interests, set-off rights or other competing claims?
- How often are holdings reconciled to tokens in circulation, and who reviews the reconciliation?
- Can the issuer obtain assets promptly for a valid redemption, or must it seek third-party consent?
- What legal remedy does a holder have if the custodian fails or records are wrong?
MiCA-specific requirements
For asset-referenced tokens within MiCA’s scope, Article 36 requires reserves to be legally and operationally segregated and to address liquidity risk created by redemption rights. Article 37 addresses unencumbered reserve assets, issuer access for redemption and custody by specified custodians that are legal persons distinct from the issuer. These are jurisdiction- and product-specific rules, not universal protections for every tokenized asset.
When relying on a MiCA representation, confirm that the product is actually an asset-referenced token covered by those provisions, that the issuer is the regulated entity named in the documents and that the reserve accounts satisfy the applicable custody requirements. A token outside MiCA’s scope cannot be assumed to receive the same treatment.
Test reserve sufficiency, quality and availability
“Proof of reserves” can demonstrate only what its stated scope covers. It may show that an account contained assets at a particular time while saying nothing about legal ownership, competing claims, encumbrances, valuation, liabilities or the ability to sell assets during a run.

Calculate the coverage relationship
Obtain the number of tokens in circulation and the value of all holder claims. Compare that liability with the value of reserve assets using the valuation method and timestamp in the documents. Then test the relationship under adverse assumptions:
- Market prices fall or become volatile.
- A concentrated issuer, bank or custodian becomes impaired.
- Some assets cannot be sold immediately or are subject to market-hour limits.
- Other creditors have recourse to the same pool.
- Fees, haircuts, taxes or settlement costs reduce proceeds.
- Redemptions arrive faster than the reserve can be converted to cash.
MiCA Article 36 requires the aggregate reserve value for covered asset-referenced tokens to be at least the aggregate value of holder claims in circulation. It also calls for assessment of credit, market, concentration and liquidity risks. That requirement does not remove the need to inspect the assets, legal claims and conversion process supporting the calculation.
Inspect composition and concentration
Request a schedule showing asset type, issuer, maturity, currency, custodian, location, valuation source and encumbrance status. Look for concentration by:
- single bank, securities issuer or custodian;
- asset class, currency or maturity;
- related parties of the token issuer;
- jurisdiction and insolvency regime; and
- assets that require a thin or closed market to sell.
Ask whether the reserve contains assets with credit risk, market risk or liquidity risk inconsistent with the promised redemption asset. A token redeemable for cash may be supported by securities that take several days to sell, creating a timing mismatch even if their market value is sufficient.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Clear out junk files and repair common Windows errors3Scan for outdated or missing drivers - takes under a minuteMatch assurance to the claim
Read the scope of any audit, attestation or independent review. Does it establish existence, valuation, legal ownership, absence of liens, segregation, token liabilities, or only one of those facts? Check the reporting date, frequency and exceptions. The Basel Framework’s redemption-risk test for arrangements within its banking prudential scope considers stressed sufficiency, disclosure, operational resilience, regular review and independent external audit. It is a prudential classification test, not a guarantee to investors.

Walk through redemption as an operating procedure
Redemption is a process, not a slogan. Treat the product terms as an operations manual and document every handoff from request to settlement.
Use this redemption checklist
- Eligibility: Determine whether every tokenholder can redeem or whether redemption is restricted to approved institutions, verified customers or a named intermediary.
- Submission channel: Record the portal, API, email instruction or other channel, required identity checks and cut-off times.
- Minimums and fees: Note minimum token amounts, fixed or percentage fees, network charges and any early-exit or conversion costs.
- Accepting party: Identify the entity legally accepting the request and the entity actually selling reserves or delivering the referenced asset.
- Valuation: Confirm the pricing source, valuation time, applicable spread, foreign-exchange method and treatment of illiquid assets.
- Settlement asset: Establish whether the holder receives cash, a cash equivalent or the referenced asset itself, and which bank, network or account receives it.
- Timing: Record ordinary completion time, weekends and market holidays, blockchain confirmation requirements and any right to delay.
- Completion evidence: Specify what transaction receipt, account statement or custody record proves that the obligation was fulfilled.
- Stress provisions: Identify suspension triggers, gates, pro-rata treatment, queue priority, force-majeure clauses and communications duties.
MiCA Article 39 provides a redemption right against issuers for asset-referenced tokens within its scope. It describes payment of an amount in funds equivalent to the market value of referenced assets or delivery of those assets, according to the issuer’s policy, and requires that policy to describe conditions and mechanisms, including stressed-market circumstances. This is not a universal rule for all tokenized assets.
The Basel Framework uses a separate definition for its own redemption-risk test: to qualify as fully redeemable, a cryptoasset arrangement must allow redemption to be completed within five calendar days of a request at all times. Treat that five-day threshold as a Basel prudential criterion, not as a universal tokenholder entitlement.

Do not confuse secondary-market liquidity with redemption
A holder may be able to sell a token to another trader while lacking any right to demand cash or the underlying asset from the issuer. Secondary-market price, trading volume and exchange availability therefore answer a different question from issuer redemption. Analyze both, but do not substitute one for the other.

| Scenario | Questions to answer | Evidence to request |
|---|---|---|
| Issuer distress or insolvency | Are reserves outside the issuer’s estate? What is the holder’s priority? Who can continue redemption? | Segregation language, trust or custody documents, insolvency analysis and wind-down plan |
| Custodian failure | Can assets be transferred to a replacement custodian? Are there liens or set-off rights? | Custody agreement, account-control terms, insurance or indemnity terms and substitution procedure |
| Loss or withdrawal of authorization | Are new issuances stopped? How are outstanding tokens redeemed, and who communicates with holders? | Regulatory conditions, suspension policy and orderly-redemption procedures |
| Reserve-market freeze | Can the issuer meet cash requests while assets are illiquid? Are redemptions queued, gated or valued differently? | Liquidity policy, stress assumptions, valuation policy and funding arrangements |
| Blockchain or key-management outage | Can a holder submit a claim off-chain? Can transfers or redemptions continue on another system? | Business-continuity plan, administrator controls and manual-processing procedure |
MiCA Article 47 requires an operational plan for orderly redemption when a covered asset-referenced-token issuer is unable, or likely to be unable, to meet its obligations, including insolvency or withdrawal of authorization. Ask to see how that plan handles outstanding tokens, reserve realization, communications, replacement custodians and claim distribution.
Keep operational continuity separate from legal priority. A smart contract that continues running does not decide whether a reserve belongs to tokenholders or an insolvency estate. Likewise, a paused chain does not automatically extinguish a contractual redemption right; the documents determine the remedy and procedure.
Compare two tokenized assets on the same axes
When evaluating alternatives, complete the same worksheet for each asset. Differences that look minor in marketing material can change the holder’s insolvency position or ability to obtain the underlying asset.
| Axis | What to document |
|---|---|
| Nature of claim | Direct ownership, security entitlement, claim against issuer or vehicle, intermediary obligation or synthetic exposure |
| Obligor and governing law | Named performer, governing documents, dispute forum and applicable insolvency regime |
| Custody structure | Custodian identity and independence, account title, legal and operational segregation, encumbrance permissions and access rights |
| Reserve quality | Composition, valuation, credit and market risks, concentration, liquidity, competing claims and assurance scope |
| Redemption access | Eligible holder, minimums, fees, valuation, settlement asset, timing, operating steps and stress provisions |
| Failure handling | Recovery or wind-down plan, custodian substitution, insolvency claim and treatment of tokens if the issuer cannot perform |
Documents to collect before relying on a token
A practical review should produce a file that another person can audit. Collect the following current versions and record their dates:
- token terms, offering memorandum or equivalent disclosure;
- smart-contract documentation, administrator powers and pause or upgrade controls;
- custody, trust, nominee and account-control agreements;
- reserve composition, valuation methodology and reconciliation reports;
- redemption policy, fee schedule, eligibility rules and service-level commitments;
- legal opinions or memoranda identifying the holder’s property or contractual rights;
- audit or attestation reports, including scope, exceptions and reporting date;
- business-continuity, incident-response and orderly-wind-down plans;
- regulatory authorization and the precise product category to which it applies; and
- records identifying every custodian, sub-custodian, bank, trustee and redemption agent.
Ask the issuer to explain any discrepancy between the number of tokens outstanding and reserve balances, including pending mints, burns, locked tokens, collateral posted elsewhere and customer assets held through intermediaries.
Red flags that require a documented answer
- The issuer uses “backed” language but will not identify the asset holder or account capacity.
- Reserve figures are published without a reporting date, valuation method or liability total.
- An attestation confirms asset existence but does not address ownership, liens or tokenholder priority.
- Redemption is described as “instant” while the reserve consists of assets that settle only during market hours.
- Only a third party can redeem, and the tokenholder has no direct claim or clear pass-through right.
- The issuer can pledge, lend or rehypothecate reserves without explaining the holder’s resulting risk.
- Terms allow unilateral changes to fees, eligibility, valuation or suspension conditions.
- No procedure covers custodian replacement, issuer insolvency or withdrawal of authorization.
- The token trades actively, but the documents contain no issuer redemption right.
- Key custody and reserve custody are described as if they were the same control.
A concise decision rule
Do not approve a tokenized asset until you can answer, in writing, six questions: What exact legal right does one token confer? Which named party must perform? Where are the assets or reserves held, and are they legally and operationally segregated? Are the reserves sufficient, unencumbered and liquid under stress? Who can redeem, through what steps, at what value and by when? What happens to the token and the reserve if the issuer, custodian, blockchain or authorization fails?
