Start with the issuer’s latest SEC prospectus, not a headline or social-media summary. Confirm which shares are being sold, what the company will do with the money, how the proposed price relates to the business, who controls the votes, and when additional shares may reach the market. Then compare the uncertainty of requesting an allocation with the alternative of waiting until public trading begins.

This checklist is an educational framework for U.S. retail investors, not individualized investment advice. IPO terms, eligibility, allocation practices and financial disclosures vary by issuer and offering, so use the current filing and your broker’s terms for the specific deal.

1. Confirm that you are reading the current offering

Before evaluating the business, make sure you have the right document and the right version. An IPO can change while its registration statement is under SEC review. Promotional decks, news stories and an earlier draft may omit revised pricing, risks, share counts or ownership information.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Find the latest SEC filing

  1. Search the issuer in the SEC’s EDGAR database and open the most recent registration statement and amendments. IPOs commonly use Form S-1, although another registration form may apply in a particular transaction.
  2. After the registration statement becomes effective, look for the final prospectus, typically filed on Form 424B3 or Form 424B4. The final prospectus generally includes the final offering price and final share numbers.
  3. Check the filing date and amendment number on every document you read. Use the newest effective version when figures conflict.
  4. Save the prospectus and its exhibits. Underwriting agreements, charter documents, lockup agreements and other exhibits can contain terms that are summarized only briefly in the main text.

The SEC reviews registration statements for compliance with disclosure requirements and can request revisions. Effectiveness allows the issuer to proceed; it is not a seal of approval. The SEC’s Office of Investor Education and Advocacy states: “However, the review process is not a guarantee that a company’s disclosure is complete or accurate, and the staff does not evaluate the merits of any IPO or determine whether an investment is appropriate for any investor.” The company and other parties involved in preparing the filing remain responsible for the disclosure. The principal bulletin explaining this process is the SEC Investor Bulletin dated October 14, 2022.

Identify the offering stage

Stage What you can usually know What remains uncertain
Registration statement under review Business description, preliminary financial statements, proposed share structure and a preliminary price range, if supplied Final price, final share count, effectiveness, allocation and whether the transaction will close
Effective registration statement and final prospectus Final offering terms, price, shares offered, use of proceeds and updated risks Your allocation, first public-market price and future trading conditions
Trading has begun Observed market price, volume, spread and public trading history Whether the price is sustainable, how lockup expirations will affect supply and how the business will perform

2. Understand what the company actually does

Read the Business section before reading commentary about the deal. Write a one-sentence description in your own words that identifies the product or service, the customer and how the company is paid. If you cannot do that after reading the prospectus, you do not yet understand the investment.

Map the operating model

  • Revenue driver: Determine whether revenue comes from subscriptions, transactions, advertising, hardware, licensing, services or another source. Look for definitions of bookings, billings, annual recurring revenue or other non-GAAP measures and reconcile them to reported revenue.
  • Customer concentration: Check whether a small number of customers account for a material percentage of revenue or accounts receivable. A large customer loss can matter more than a headline growth rate.
  • Supplier and platform dependence: Identify critical manufacturers, distributors, cloud providers, app stores, payment networks, data sources or other counterparties. The prospectus should describe material dependencies and the risk of losing access or facing higher costs.
  • Market and competition: Note the markets in which the company operates, its stated competitors and the basis on which management claims to compete. Treat management’s competitive descriptions as claims to test against the financial record and risks.
  • Legal and regulatory exposure: Review material legal proceedings, investigations, intellectual-property disputes and industry-specific regulation.

Read the financial statements and notes

Read the audited balance sheets, statements of operations, cash flows and stockholders’ equity, together with the notes and the independent auditor’s opinion. Then read Management’s Discussion and Analysis (MD&A). MD&A explains management’s view of changes in financial condition, results, liquidity and known trends; compare that explanation with the reported numbers rather than accepting it as a conclusion.

Ask the following questions while building a simple three-column worksheet: what changed, what management says caused it, and whether the notes support that explanation.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Is revenue growth accelerating, slowing or concentrated in one product or geography?
  • Are gross margins stable, improving or declining, and what costs explain the movement?
  • How much cash does the company use in operations, capital spending and acquisitions?
  • How much cash remains after the offering, and what assumptions are needed to reach profitability?
  • Are there unusual related-party transactions, material weaknesses in internal controls, significant debt or restrictive covenants?

Disclosure periods are not identical for every issuer. The SEC bulletin notes that emerging growth companies and smaller reporting companies may present two years of audited financial statements, while other IPO companies generally present three years. Do not treat a shorter history as proof of weakness or a longer history as proof of quality; use the period actually disclosed and note what cannot be assessed because it is not provided.

3. Read the risk factors and trace the money

Use Risk Factors as a prioritization list

The Risk Factors section covers risks management believes could significantly affect the business, its performance or the securities. It is not a ranking of likely outcomes. Separate risks you can observe in the financial statements from risks that depend on future events.

  • Mark risks that could affect revenue immediately, such as losing a major customer, supplier or license.
  • Mark risks that could affect cash, such as debt maturities, capital requirements, refund obligations or continuing losses.
  • Mark risks specific to the offering, including limited trading history, concentrated voting control, dilution, selling-shareholder sales and the possibility of substantial future share issuance.
  • Look for dependencies that appear in more than one section. A customer concentration described in the Business section and again in Risk Factors deserves particular attention.

Follow Use of Proceeds

The Use of Proceeds section says how the issuer expects to use money raised from newly issued shares. Compare those planned uses with the company’s disclosed needs: working capital, research and development, capital expenditures, debt repayment, acquisitions or general corporate purposes.

Make a strict distinction between new shares sold by the company and shares sold by existing holders. Proceeds from a selling shareholder’s shares go to that holder, not to the company. An offering can therefore have a large headline value while providing less new capital for the business than the total number suggests.

Question Why it matters
How many shares are primary shares issued by the company? These shares provide gross proceeds to the issuer before expenses and may fund the stated corporate purposes.
How many shares are secondary shares sold by existing holders? Those proceeds generally go to the selling holders and do not increase the company’s cash.
Are expenses, debt repayment or other deductions described? The amount available for operations can be lower than gross proceeds.
Is the use broad, such as “general corporate purposes”? Broad language gives management flexibility but makes it harder to connect the offering to a specific project or funding gap.

4. Evaluate the offer price, valuation and dilution

The company and its underwriters negotiate the offering price. They consider reported and projected business results, customers, growth, market conditions and other metrics, and they collect indications of interest in an order book showing requested quantities and prices. That process produces a negotiated estimate, not a promise about the first trading price.

Build a valuation bridge

  1. Start with the final offer price and the fully diluted share count disclosed in the prospectus. Confirm which options, restricted stock units, warrants, convertible securities and earn-outs are included.
  2. Calculate the implied equity value and compare it with the company’s reported revenue, earnings or cash flow, using a metric that fits the business.
  3. Check whether the comparison uses historical results, a forecast, a non-GAAP measure or an annualized period. Label the assumption instead of mixing unlike figures.
  4. Compare the company with genuinely similar businesses only when their size, growth, margins, leverage, geography and accounting measures are comparable.
  5. Stress-test the conclusion. Ask how the valuation changes if growth slows, margins remain below management’s target or additional shares are issued.

The prospectus may disclose a difference between the IPO price, the company’s pro forma book value and prices paid by earlier holders. That difference can indicate dilution to new investors: the new investor may pay more per share than earlier holders paid, while owning a smaller percentage after new shares are issued. Read the capitalization table and dilution section together.

Do not overread the first trading session

A share can trade materially above or below the offer price as soon as public trading starts. A sharp rise does not prove that the IPO was underpriced, and a fall does not by itself prove that the business is unsound. Early supply can be limited, while demand is concentrated and volatile. Treat the offer price and the market price as different observations made under different conditions.

5. Check ownership, voting power and insider sales

Read the cover page, the capitalization table and the Principal and Selling Shareholders section. Record how many shares each major holder owns before and after the offering, how many shares are being sold, and any material relationship with the company.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Separate economic ownership from voting control

Look for multiple classes of common stock. In a dual-class structure, the class sold to the public may carry fewer votes per share than a founder’s or family’s class. A holder can therefore retain voting control with less economic ownership. Note director-election rights, conversion provisions, sunset clauses and any transactions that could change control.

Identify insider and selling-holder supply

Determine whether existing holders are selling for liquidity, diversification or another stated reason, and whether the prospectus identifies them as officers, directors, venture investors or other affiliated parties. A sale by an existing holder is not automatically negative, but it changes how much of the offering funds the company and how many shares may be available to the market.

6. Map lockups and future share supply

Find the section titled Shares Eligible for Future Sale or a similar heading. It should explain which shares are restricted, when restrictions expire, and whether the underwriters or company can waive them.

SEC guidance says most lockups prevent insiders from selling for 180 days, but that is a typical term, not a universal rule. The SEC lockup guidance page was modified September 6, 2011; the issuer’s current prospectus and lockup agreement control. Check the actual date, not an assumed six-month calendar.

Build a supply calendar

  1. Record the number of shares sold in the IPO and the estimated public float at the start of trading.
  2. List restricted shares held by founders, employees and early investors.
  3. Record each lockup expiration, any staggered release and any early-release trigger.
  4. Include option exercises, warrants, convertible securities and registration rights that could add shares.
  5. Note scheduled resale registrations or prospectus supplements that could make a large block tradable.

When a large block becomes eligible for sale, the market can face overhang and the price may decline. Eligibility does not mean insiders will sell, and a lockup expiration does not predict a price move. It is a potential supply event that belongs in your risk assessment and holding-period plan.

7. Decide whether to request an allocation or wait

There are two broad routes: request shares through a broker participating in the IPO, or buy shares in the public market after trading begins. The issuer and underwriters control allocation. In a popular offering, demand can exceed available shares by a wide margin, so a retail request may receive a small allocation or none at all.

Choice What you receive Main uncertainty Questions to ask
Request an IPO allocation If allocated, shares at the final offering price under the broker’s terms Whether you receive shares, how many, and whether the market price changes before trading Is the account eligible? What is the indication deadline? Can the order be canceled or reduced? When can you sell?
Buy after trading begins Shares at the prevailing market price, with observable quotes and trading volume The market price may be far above or below the offer price and can be volatile What price and order type will you use? Is the spread acceptable? Can you tolerate a rapid loss?
Wait and keep researching No immediate position, but more filings and trading history to review You may miss an early price move while reducing uncertainty about allocation and initial supply What new information would change your decision? Which filing date or operating milestone will you revisit?

IPO access, eligibility, minimum account requirements and allocation practices vary by broker and offering. An account does not guarantee shares. Read the broker’s disclosure and the issuer’s prospectus for deadlines, payment rules, selling restrictions and any limits on indications of interest.

Waiting is a valid decision. You can observe public trading, subsequent quarterly reports and the way the market absorbs additional supply. Secondary-market prices remain volatile, so waiting does not remove risk; it changes which uncertainty you accept.

8. Keep a registered IPO separate from a pre-IPO pitch

A registered IPO with a current prospectus is not the same as a promoter offering supposed pre-IPO shares. The SEC’s June 7, 2024 investor alert warns that a pre-IPO investment may never become publicly traded, may leave you without a resale market and can result in the loss of the entire investment.

Warning signs of a questionable solicitation

  • The seller is unregistered or unlicensed, or refuses to identify the legal entity and offering documents.
  • The pitch arrives through social media, an unsolicited message or an aggressive phone call.
  • The seller claims an IPO is imminent, guarantees a listing or promises a specific return.
  • The presentation uses misleading comparisons with a famous public company or pressures you to send money immediately.
  • You cannot independently verify the issuer, the security, the transfer restrictions, the custody arrangement or how you could resell the shares.

Verify the seller and offering before sending funds. A claim that a company intends to go public is not evidence that it will complete an offering or that a market will exist for the shares.

9. Use a one-page IPO worksheet

Complete this worksheet from the latest prospectus before submitting an indication of interest. Write “not stated” where the filing does not provide a figure; do not fill gaps with estimates from a news article.

Final or preliminary price range Label whether the range is preliminary or final.

Correction: Compare valuation with disclosed operating results and risks, and remember that limited initial supply can affect early trading.

Ignoring control and future supply

Problem: You count only the shares trading on day one.

Correction: Review voting classes, dilution, lockups, option exercises, warrants, registration rights and release dates.

Treating an allocation as guaranteed

Problem: You commit cash as though a broker must fill the request.

Correction: Plan for a partial or zero allocation and understand when funds are reserved or returned under the broker’s terms.

Sending money to a pre-IPO promoter

Problem: You treat an informal pitch as equivalent to a registered offering.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Correction: Verify registration, licensing, the legal issuer, transfer restrictions and the existence of a current prospectus before investing.

11. A practical decision rule

After completing the worksheet, write two separate conclusions: one about the company and one about the transaction. A company can have an attractive operating story while the offer price, voting structure, dilution or future supply makes the particular IPO unattractive for your circumstances. Conversely, a reasonable price cannot eliminate business, market or execution risk.

Request an allocation only if you understand that allocation is uncertain, can meet the broker’s conditions, and would be comfortable with the disclosed risks at the final price. If you cannot explain the business, the primary-versus-secondary share split, the dilution, the voting control or the lockup calendar, waiting for public trading or for additional disclosure is the more transparent choice. Neither route guarantees a profit or removes the possibility of losing money.
