Evaluate the legal claim first, then custody, regulatory coverage, and the real path to an exit. A token moving between wallets proves only that a network recorded a transaction; it does not prove that you own the underlying security, that the issuer recognizes the transfer, that the platform is compliant, or that a buyer will be available. A sound review connects the token to an authoritative ownership record, identifies every party controlling assets and keys, maps the laws that apply to each activity, and tests whether you can transfer, sell, or redeem under normal and stressed conditions.
This framework is general information, not legal advice or a platform-specific review. The applicable result depends on the instrument, contracts, jurisdictions, investor status, and service providers.
1. Start with the legal claim, not the blockchain
Ask what the token legally represents and who owes obligations to the holder. The same user interface and network can support materially different claims. The U.S. Securities and Exchange Commission staff defined a tokenized security on January 28, 2026, as "a financial instrument enumerated in the definition of “security” under the federal securities laws that is formatted as or represented by a crypto asset, where the record of ownership is maintained in whole or in part on or through one or more crypto networks." The definition describes a financial instrument and an ownership record; it does not by itself establish a particular holder’s rights.

Issuer-sponsored security
The company that issued the security, or its appointed agent, issues it directly on a blockchain. The token may carry voting, dividend, repayment, or other rights attached to the relevant class of security. In the SEC’s issuer-sponsored example, a token transfer is reflected in the issuer’s master securityholder file, while on-chain records are associated with off-chain identity information. Request the instrument’s terms and evidence that this two-way process actually operates.
Custodial interest
A token can represent an indirect interest in an underlying security through a securities intermediary. Your rights may resemble a security entitlement rather than direct ownership in the issuer’s register. The intermediary’s account agreement, segregation arrangements, and insolvency treatment become central. Find out whether you can instruct the intermediary, whether voting or distributions pass through, and which record controls if the blockchain and intermediary books disagree.
Synthetic exposure
A third party may issue a linked security or derivative whose value tracks a referenced security. The token holder may have no claim against the issuer of that reference security and may instead rely on the synthetic issuer’s promise, collateral, or settlement mechanism. A price feed or tracking statement is not evidence of ownership, voting rights, dividends, or a claim in the reference issuer’s insolvency.
| Structure | Primary obligor | Questions that decide the claim |
|---|---|---|
| Issuer-sponsored | The issuer or its authorized agent | Is the token recorded in the issuer’s authoritative register? Which class of rights applies? How are identity and transfers linked? |
| Custodial | The securities intermediary and contractual chain | What entitlement does the account create? Are assets and claims segregated? How are distributions, voting, and insolvency handled? |
| Synthetic | The third-party issuer or counterparty | What contract tracks the reference asset? Is there collateral, redemption, or termination protection? Does the holder have any claim on the reference issuer? |
Do not accept a label such as tokenized stock, on-chain share, or backed token as a legal description. Obtain the offering document, terms of the token, custody agreement, redemption rules, and any transfer-agent or register documentation. Rights are instrument- and jurisdiction-specific.
2. Prove that the token connects to the ownership record
For each transfer path, draw the record flow from seller to buyer. Identify the wallet address, the verified identity attached to it, the platform ledger, the transfer agent or intermediary book, and the issuer’s master file. Then ask which record legally establishes ownership and how discrepancies are corrected.

Questions for the record chain
- When a token changes hands, what event changes the legally recognized holder?
- Is transfer automatic, or must an agent approve and enter it in an off-chain register?
- What identity information is linked to an address, who can update it, and how is privacy protected?
- Are transfers restricted to allowlisted wallets, eligible investors, or approved jurisdictions?
- Can a token be frozen, burned, reissued, or reversed after a mistaken or unauthorized transfer?
- What happens when the chain is unavailable or its finality is disputed?
- If on-chain and off-chain records conflict, which contract and record prevail, and how long does reconciliation take?
Request a sample transfer timeline with each approval, ledger update, settlement step, and fee. A block explorer entry is useful evidence that a transaction occurred, but it is not conclusive evidence of legal title.
3. Map the regulatory perimeter
U.S. securities rules
SEC staff state that the format of a security and the method used to record holders—on-chain or off-chain—do not change application of federal securities laws. Offers and sales generally require registration unless an exemption is available. Determine the legal classification of the instrument, the registration statement or exemption, resale restrictions, and the entities performing broker, dealer, venue, transfer-agent, custody, and clearing functions.
Recommended Free Tools
That conclusion is specific to U.S. federal law. A platform serving another country may face different licensing, prospectus, financial-promotion, market-abuse, settlement, or investor-protection rules. A U.S. exemption does not automatically authorize an overseas offer, and a foreign license does not establish U.S. compliance.
Alternative trading systems and venues
If an alternative trading system is involved, review its disclosures about subscriber access and onboarding, securities traded, trading operations, clearance and settlement, service providers, and affiliated trading or confidentiality practices. An ATS broker-dealer operator may also perform brokerage, custody, or clearing functions, but it must meet the federal requirements applicable to each activity. Treat staff FAQs as guidance within their stated scope, not as a universal license checklist.

AML, sanctions, and virtual-asset obligations
Where activities make an entity a virtual asset service provider, the Financial Action Task Force framework calls for licensing or registration and supervision. Relevant controls include customer due diligence, records retention, suspicious-transaction reporting, and originator and beneficiary information accompanying transfers. National implementation determines which entity is covered and what threshold or travel-information rules apply.
A FATF update dated July 9, 2024, reported that 75% of jurisdictions were partially or not compliant with Recommendation 15 and its Interpretative Note, based on 130 mutual-evaluation and follow-up reports. That statistic measures assessed jurisdictional implementation at that date; it is not a 2026 estimate and says nothing by itself about a particular platform.
Build a jurisdiction matrix
| Activity | Entity performing it | Evidence to request |
|---|---|---|
| Issuance | Issuer or issuing agent | Offering terms, registration or exemption, governing law, investor restrictions |
| Brokerage or dealing | Broker-dealer or equivalent | License, permitted products, order-handling and conflict disclosures |
| Trading venue | Exchange, ATS, or other venue | Venue authorization, access rules, matching, settlement, surveillance |
| Custody | Bank, broker, trust company, or wallet operator | Custody agreement, segregation, control persons, reconciliation, insolvency terms |
| Transfer agency | Issuer agent or registrar | Authoritative register, transfer procedures, error correction |
| Virtual-asset services | VASP or comparable provider | Registration, AML program, sanctions controls, transfer-information process |
4. Trace custody and control to a failure scenario
Make a custody map that names every custodian, broker-dealer, transfer agent, wallet or key operator, administrator, and technology provider between issuer and investor. A platform that says assets are held with a regulated provider has not answered who controls the keys, who controls the legal record, or what happens when one provider fails.
Evidence for each custody participant
- Legal name, role, governing contract, regulatory status, and jurisdiction.
- Whether client assets and cash are segregated from house assets, and whether segregation is legal, operational, or both.
- The reconciliation schedule between blockchain balances, internal books, and the authoritative ownership record.
- Who can initiate, approve, pause, or block a transfer; whether dual control or quorum approval is used; and how emergency changes are logged.
- Key-generation, backup, recovery, compromise, and loss procedures, including any use of multisignature or offline controls.
- Rights of customers and other creditors if the platform, custodian, or issuer becomes insolvent.
- Independent control reports, audits, incident records, insurance terms, and business-continuity and disaster-recovery tests.
Ask what happens in specific failures
Use scenarios rather than broad assurances. Ask who can release assets if the platform stops operating, whether a custodian can transfer them without the platform, how an identity database is restored after corruption, and whether an unauthorized transaction can be stopped before settlement. Ask how long reconciliation and customer claims would take after a chain halt, smart-contract bug, bridge failure, key compromise, or insolvency. The answer should identify a contract, decision-maker, record, and timetable for each event.

The Basel Framework is a prudential standard for banks, not a universal customer-protection guarantee. It treats tokenized traditional assets as dematerialized securities issued through distributed-ledger technology and includes custody involving segregated client cryptoassets in relevant operational-risk and supervisory material. Use it to understand a bank’s control expectations, not to infer that every platform or customer is protected.
SEC staff FAQs dated May 15, 2025, describe the 2020 special-purpose broker-dealer statement as a temporary staff position or safe harbor that did not amend Rule 15c3-3 or another rule. This history is relevant when a platform invokes that statement, but it does not prove that a particular custodian is safe or that one custody model applies to every tokenized security.
5. Test liquidity as an exit chain
Separate technical transferability from a practical exit. A token may move between approved wallets while no eligible buyer is available, the venue may not admit you, redemption may be limited to a narrow window, or settlement cash may be scarce. Evaluate every link:
- Eligibility: can your identity, jurisdiction, account type, and wallet pass the transfer rules?
- Wallet controls: must the receiving address be allowlisted, and how long does approval take?
- Venue access: which specific venue accepts this asset, and who may trade there?
- Order execution: is there continuous matching, periodic dealing, a request-for-quote process, or only bilateral negotiation?
- Settlement: which cash or settlement asset is accepted, when is delivery-versus-payment final, and what can delay it?
- Redemption: can you return the token to the issuer or custodian for cash or the underlying asset, at what price, and on what timetable?
- Costs: what are trading, transfer, custody, conversion, redemption, and failed-settlement fees?
Demand evidence of market depth
Request historical volume, quoted spreads, executed prices, number and type of active counterparties, and order-book depth for the exact asset and venue. Ask how those measures changed during a market disruption or sharp price decline. A headline daily volume can be misleading if it comes from one related party, includes internal transfers, or cannot be accessed by your investor class.

Basel guidance notes that tokenized assets can have different market-liquidity characteristics from their traditional equivalents. For collateral analysis, it directs attention to liquidation period and depth during downturns and to whether volatility and holding periods in distressed conditions are materially worse. Tokenized form alone does not make an asset liquid or eligible as a high-quality liquid asset.
Check structural bottlenecks
IOSCO’s 2025 report summary identifies interoperability between blockchains and access to high-quality settlement assets as structural challenges to scaling tokenization. It also says the economic substance of risks remains similar to conventional financial assets—especially legal, operational, and technology risks, with credit and liquidity risks still relevant—although a tokenized structure can change how those risks appear. Determine whether the platform depends on a bridge, a proprietary settlement token, a single chain, or one critical service provider.
6. Compare platforms with a documented scorecard
Use the same evidence standard for every candidate. Mark an item as unresolved when the platform supplies marketing language but not a contract, record, license, control description, or operating data.
| Axis | What a strong file contains | Decision warning |
|---|---|---|
| Legal claim and issuer | Instrument terms, issuer and obligor, rights, governing law, and authoritative ownership record | The token is described only as exposure, access, or a digital representation |
| Custody and control | Named providers, segregation, key authority, reconciliations, recovery, and insolvency treatment | No answer on who can move assets or which record prevails |
| Regulatory perimeter | Classification, registration or exemption, licenses, jurisdictions, and role-by-role coverage | One license is presented as covering issuance, trading, custody, and AML everywhere |
| Access and compliance | Eligibility, KYC, sanctions, allowlisting, geographic limits, conflicts, and service-provider disclosures | Onboarding rules appear only after funding or are inconsistent across documents |
| Exit and liquidity | Permitted venues, counterparties, redemption, settlement, fees, depth, and stress evidence | Transferability is cited without buyers, redemption terms, or volume data |
| Technical and market structure | Network, smart-contract controls, interoperability, settlement asset, monitoring, and outage plan | A chain or bridge is treated as a substitute for legal or operational safeguards |
7. A practical due-diligence procedure
- Collect primary documents. Obtain offering terms, risk factors, custody and account agreements, venue rules, privacy and AML notices, fee schedules, and business-continuity disclosures.
- Identify the claim. Classify the token as issuer-sponsored, custodial, synthetic, or another structure described in the documents. Name the obligor and list every holder right and restriction.
- Reconstruct ownership. Follow a hypothetical transfer from one verified investor to another and record every on-chain and off-chain update, approval, identity check, and settlement event.
- Verify roles and jurisdictions. For each participant, record its legal entity, location, function, license or registration, and the rule that permits the activity.
- Map control. Document key holders, transfer permissions, reconciliation, segregation, recovery, incident escalation, and insolvency claims.
- Run an exit test on paper. Calculate the time, eligibility checks, venue access, fees, settlement assets, and redemption steps for a normal sale and a stressed sale.
- Challenge the evidence. Ask for dated operating statistics, independent assurance, sample reports, and explanations for exceptions. Distinguish a one-time allowance, promotional condition, or internal transfer from recurring public liquidity.
- Set a stop rule. Do not proceed while a missing document could change the legal claim, ownership record, custody priority, regulatory permission, or ability to exit.
8. Red flags that should stop or narrow a review
- The issuer or obligor cannot be identified, or the platform refuses to provide governing terms.
- Marketing says backed, fully collateralized, or one-to-one without naming the asset holder, account structure, valuation, and redemption process.
- A synthetic token is described as owning the reference security, even though its terms provide only a counterparty claim.
- The platform cannot say whether assets are segregated, who controls keys, or what customers recover after insolvency.
- Compliance language names a jurisdiction but not the licensed entity or activity covered.
- Trading claims rely on blockchain transfer counts rather than executable bids, counterparties, settlement records, and stressed depth.
- Transfers require allowlisting or issuer approval, but the approval time and refusal criteria are undisclosed.
- A bridge, oracle, settlement token, or single provider is critical and has no documented outage or replacement plan.
- Fees, redemption windows, suspension powers, or unilateral contract changes are difficult to locate.
9. Making the decision
Approve a platform only when four independent questions have documented answers: What legal right do I hold? Which record and entity recognize it? Who controls assets and can protect or recover them? What exact route lets me sell, redeem, or transfer, including during stress? If any answer depends on an unverified promise, treat the exposure as unresolved rather than assuming the blockchain fills the gap.
For a prospective investment committee, preserve the evidence with a date, document version, jurisdiction, and named reviewer. Recheck the file after changes to the token contract, custody provider, venue, chain, settlement asset, or applicable law. Tokenization can improve automation or settlement, but those benefits do not substitute for enforceable rights, controlled custody, regulatory coverage, or demonstrable liquidity.
