Before investing through a tokenized-asset platform, establish what legal claim the token gives you, who holds or owes the underlying asset, what happens if an intermediary fails, and how you can exit. A token that tracks an asset’s price may not give you ownership of that asset or the same rights as its direct holder. Evaluate the specific offering and your jurisdiction—not just the platform’s technology or marketing.
Start with the claim the token actually represents
“Tokenized asset” describes a way of representing or tracking an asset using a token; it does not, by itself, tell you what you legally own. The arrangement might record an issuer’s security on a blockchain, represent a claim through a custodian, or provide exposure through an instrument issued by a third party. Those structures can differ in their rights, counterparties, and failure risks.
The SEC staff’s January 28, 2026 statement on tokenized securities describes three broad arrangements. Treat these as a starting classification, not a substitute for reading the offering documents: actual terms and legal effects depend on the specific structure.
The Tool Desk
Outbyte PC Repair FREEClear out junk files and repair common Windows errorsFree Scan →Outbyte Driver Updater FREEFix the driver behind crashes, sound loss and screen glitchesFind Drivers →| Structure | What the token may represent | Key question for an investor |
|---|---|---|
| Issuer-sponsored | The issuer records its security on a blockchain or incorporates distributed ledger technology into its ownership records. | Does the issuer recognize you as a holder, and which record determines ownership if blockchain and issuer records conflict? |
| Custodial | A third party holds an underlying security and issues a token representing an ownership interest or security entitlement. | What is your claim against the custodian or other intermediary, and what happens to it if that party becomes insolvent? |
| Synthetic or linked | A third party issues its own instrument whose value references another asset. The token may not grant a claim against the issuer of that referenced asset. | Who owes you performance or payment, and what contractual remedy do you have if the token’s value or promised payout diverges from the reference asset? |
The SEC staff statement explains that third-party token structures vary in whether they convey rights in, or obligations of, the underlying issuer. Do not infer those rights from a token’s name, ticker, price tracking, or marketing description. Find the operative terms that identify the issuer and the legal obligation, if any, owed to you.

Read the offering documents for rights—not resemblance
A token may refer to a share, bond, fund interest, or other asset without carrying every right attached to direct ownership of it. Review the offering documents, issuer disclosures, terms of service, and any custody, trust, or special-purpose-vehicle agreement. Look for terms that address each of the following:
- Ownership: Are you the legal owner, a beneficial owner, a security-entitlement holder, a creditor, or simply the holder of a contract with the token issuer? Identify the party that recognizes that status.
- Voting: Can you vote on matters affecting the underlying asset? If votes are passed through, who collects them, by what process, and are there limitations?
- Distributions and corporate actions: Do dividends, interest, or other payments pass through to you? How are splits, conversions, tender offers, or other corporate actions handled?
- Redemption: Is there a contractual right to exchange the token for the underlying asset or cash? Identify who must honor it, eligibility conditions, timing, fees, and any suspension or gate provisions.
- Transfers: Can you transfer the token to any compatible wallet, or only to approved addresses or eligible investors? Read any lockups, whitelisting requirements, or venue restrictions.
- Insolvency priority and remedies: If an issuer or intermediary fails, is your claim against segregated assets, a trust, a company, or an unsecured debtor? Which agreement governs disputes, and where must they be resolved?
- Authoritative ownership record: If the on-chain balance conflicts with an issuer’s, custodian’s, or transfer agent’s books, which record controls? Do not assume the blockchain entry is legally decisive.
The SEC Investor Advisory Committee’s 2026 recommendation on equity tokenization highlights the importance of the legal arrangement, parties, infrastructure, transferability, and redemption limitations. IOSCO’s 2025 report also identifies uncertainty about the authoritative ownership record as an investor-protection concern. A token display in an app is not enough to answer who legally recognizes your claim.
Map every party between you and the asset
Draw the custody and contractual chain from your account to the underlying asset. Depending on the offering, that chain may include the issuer, platform operator, broker or dealer, custodian, wallet provider, and a special-purpose vehicle. For each entity, record what it controls, what contract binds it, and whether your rights are direct or depend on another party’s promise.

- Name each entity. Use the offering documents and account terms, not only the platform’s brand name. Distinguish the token issuer from the operator of the website or app.
- Identify what each entity controls. Determine who holds the underlying asset, who maintains the ownership records, who controls the token contract or administrative keys, and who can authorize transfers or freezes.
- Locate the agreement that governs your claim. For each link in the chain, identify the applicable issuer, custody, trust, brokerage, or platform agreement and the party that owes you a duty.
- Consider a failure one party at a time. Ask what happens to the underlying asset, token, and your claim if the issuer, custodian, platform, or wallet provider becomes insolvent, loses access, or stops operating.
- Check separation and recovery arrangements. Find out whether assets are segregated, how records can be reconciled, and who can restore access or process a transfer if the usual operator is unavailable.
SEC staff warns that a holder of a third-party token can face counterparty risks that a direct holder of the underlying security may not face. A chain with several entities can also make it harder to identify who is responsible when records disagree or a service stops. A platform’s description of an asset as “backed” does not, on its own, establish how assets are held or what claim you have if an intermediary fails.
Check the legal and regulatory status of this offering
Tokenization does not, on its own, remove a security from securities laws. SEC Commissioner Hester M. Peirce stated on July 9, 2025, “Tokenized securities are still securities.” That is a commissioner’s statement, not a complete account of every offering or jurisdiction. The relevant analysis depends on the asset, structure, offering, intermediaries, and applicable law.
For a U.S. offering, establish what the asset is legally classified as, how it is being offered, what disclosures apply, and what status or role relevant intermediaries have. Do not treat a public blockchain, a platform’s compliance language, or a token label as proof that a specific offering or intermediary has the status you need to verify. Review the documents for the particular offering and confirm claims through appropriate official records or qualified legal advice where necessary.

The SEC Investor.gov page on tokenized securities references a March 17, 2026 interpretive release, but the page says it reflects staff views and has no legal force or effect. Educational staff materials can help frame questions; they are not a substitute for the underlying law, the specific offering documents, or advice about your circumstances. Investors outside the United States should check the rules and official sources for their own jurisdiction rather than assuming the U.S. discussion applies to them.
Test how you can get out before you invest
Being able to send a token on-chain is not the same as having a ready buyer, a right to redeem, or a reliable way to receive the underlying asset. Separate the possible exit routes and verify the conditions for each in the offering documents.
- Transfer to another person: Are transfers restricted by investor eligibility, whitelisting, geography, lockups, or approved-wallet rules? Is a receiving buyer required to meet conditions?
- Sell through a venue: Is there a named venue that accepts this specific token and offering? Who may trade there, and what settlement dependencies or fees apply? A listing or theoretical ability to transfer does not establish that a buyer will be available.
- Redeem with an issuer or intermediary: Is redemption a contractual right or only a process that may be available under specified conditions? Confirm the party responsible, minimums or eligibility rules, timing, fees, and any gates or suspension rights.
- Receive cash or the underlying asset: What will you actually receive, through what process, and on what timetable? Identify any steps that depend on a custodian, bank, broker, or other service provider.
- Handle a pause or shutdown: What do the documents say if trading, transfers, redemptions, a platform, or a blockchain-related service is paused? Determine whether you can still exercise a claim or access assets through another process.
The SEC Investor Bulletin on initial coin offerings advises investors to ask how and when they can get their money back and whether resale is limited. Those questions apply directly to evaluating exit assumptions here. If documents do not establish a redemption right, do not describe selling to another buyer as equivalent to redemption.

Inspect technology and operating controls
Technology can affect whether you can hold, transfer, recover, or redeem a token. Ask for documentation about the smart contract and operating procedures, then assess what those controls do—and do not—guarantee.
- Smart-contract scope: Is code available for review, and does the documented contract match the token and offering you are considering? The SEC Investor Bulletin recommends asking whether code has been published and whether an independent cybersecurity audit exists.
- Audit scope and limits: Find out what components, versions, and dates an audit covers, who performed it, and whether findings were resolved. An audit is evidence about the work and scope described, not a guarantee that code or operations are safe.
- Administrative powers: Identify who can upgrade a contract, pause activity, freeze or block addresses, or otherwise change token behavior. Establish whether those powers are governed by disclosed procedures and who controls the relevant keys.
- Dependencies: Check whether transfers, custody, or redemption rely on bridges, external services, or other infrastructure. IOSCO’s 2025 report describes interoperability challenges among risks that tokenization can introduce or amplify.
- Recovery and incidents: Ask how wallet access can be restored, what happens after a security incident, how affected holders are notified, and whether transactions can be reversed or corrected. Verify which party is responsible for each process.
A wallet stores private keys used to access or authorize transactions; that does not mean every investor needs to buy a particular wallet or that a wallet alone secures the underlying asset or contractual claim. The SEC’s Crypto Assets page provides general educational context on wallets. Base any wallet decision on the specific platform’s supported custody and access arrangements, rather than assuming a self-custody setup is universally required.

Compare platforms using the same offering and jurisdiction
A meaningful comparison requires the same kind of asset, offering structure, and investor jurisdiction. Otherwise, a difference may come from the legal or regulatory setup rather than the platform. Compare the actual documents for each offering, and keep unverified fields open rather than filling them with market-wide assumptions.

| Comparison axis | What to record for each platform | Evidence to look for |

| Holder rights | Voting, distributions, corporate actions, redemption, transfer, and dispute process. | Specific provisions in the governing documents; note any right that is absent or conditional. |

No platform-specific fees, yields, trading volumes, or liquidity metrics are established here. Request current offering-specific information and record its date and scope; do not substitute estimates or general market claims. IOSCO characterizes financial-asset tokenization as nascent in its November 11, 2025 report release, but that description does not establish the liquidity or safety of an individual platform or token.
Use a stop/go checklist before committing funds
For the specific offering—not just the platform—make sure you can answer the questions below from documents or verifiable information. A missing answer is not proof of wrongdoing, but it is a reason not to treat an assumption as established.
- Claim: Can you state in plain language who owes you what, and whether the token creates a claim on the underlying asset or only on an intermediary?
- Rights: Have you checked ownership status, voting, distributions, corporate actions, redemption, transfer restrictions, and dispute terms?
- Records: Do you know which ownership record controls if systems disagree?
- Failure: Have you traced the issuer, platform, custodian, wallet provider, and any vehicle, and considered what happens if each fails?
- Regulation: Have you checked the legal classification, offering terms, intermediary roles, and investor eligibility for your jurisdiction?
- Exit: Do you know whether your route is redemption or resale, what conditions apply, and what happens during a pause?
- Operations: Have you examined contract and audit scope, administrative powers, infrastructure dependencies, and recovery procedures?
If a central point—such as the identity of the obligor, the controlling ownership record, or the existence of an exit right—cannot be established, do not replace the missing evidence with an assumption based on the token’s label or an on-chain balance. Reassess the offering only when you can evaluate the actual claim and its dependencies.
