Evaluate both layers of the investment: the fund manager and the startups the fund owns. As an LP, you buy an interest in a pooled fund; the manager, not you, selects and manages the portfolio companies. A “growth-stage” label is only a strategy claim. Confirm the fund’s actual stages, sectors, geographies, check sizes, ownership targets, concentration limits and follow-on policy in its governing documents and investment records before committing capital.

The practical test is evidence, not a pitch deck: who made past decisions, what cash was actually returned, how each company is performing, how private valuations are set, what fees and conflicts exist, and whether you can meet capital calls for an illiquid, multi-year commitment.

Start with the investment you are actually buying

A private fund pools commitments from investors and has an adviser invest that pooled capital on their behalf. Your subscription gives you a fund interest, not a separate share certificate in every startup. The fund’s limited partnership agreement (LPA), offering memorandum and subscription agreement determine your rights, obligations and economics.

Private-fund interests are generally illiquid. The fund may call your committed capital in installments, invest in assets that cannot be sold quickly, and restrict withdrawals or transfers. Plan for calls arriving when public markets or your own cash needs are unfavorable. The fund term may include extension periods, so a “five-year” investment period does not necessarily mean cash is returned in five years.

Traditional venture funds can invest across several company stages, sometimes through an initial public offering. Therefore, “growth-stage” does not by itself establish revenue maturity, profitability, ownership percentage or risk. Treat the label as a hypothesis to verify against the fund’s documents, portfolio schedule and deal-level history.

1. Verify what “growth-stage” means for this fund

Map the stated mandate

Ask the manager to define its target company stage using observable criteria: annual revenue or other operating milestones, financing round, years since founding, product maturity, or a combination. Record the definition used for the current fund and compare it with prior funds. A mandate that says “late-stage technology” can still encompass very different businesses from one fund to another.

Capture the fund’s target sectors, geography, initial and follow-on check ranges, ownership goal, board or observer expectations, number of planned investments, reserve percentage and expected investment period. Ask whether these are binding limits in the LPA or merely targets in marketing material.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Compare the claim with actual investments

Request a complete portfolio schedule, including realized and unrealized positions, entry date, entry stage, initial and subsequent checks, ownership at entry and current ownership where available. Build a simple comparison for every holding:

Axis What to compare Question to resolve
Stage Revenue, financing round, operating maturity at entry Do actual investments fit the promised growth-stage definition?
Sector Industry and business model Is the portfolio concentrated in a sector different from the stated focus?
Geography Headquarters, operating markets and legal entities Are cross-border risks and local expertise consistent with the mandate?
Check size Initial, follow-on and total invested amounts Can the fund deploy its size without stretching into unsuitable deals?
Ownership Entry and current percentage, dilution and rights Does the fund obtain the influence assumed in its thesis?
Reserves Capital held for follow-ons Will later rounds be funded, and under what decision rules?

Investigate every material exception. A fund can legitimately make occasional investments outside a target, but repeated exceptions may show that the actual strategy differs from the label.

2. Test the manager, team and decision process

Identify who decides and who did the work

Obtain the investment committee structure, voting or approval process, and partner responsibilities. For each historical investment, ask who sourced the opportunity, led diligence, negotiated terms, approved the deal, monitored the company and decided follow-on investments. Distinguish a partner’s genuine attribution from a firm-wide claim that every partner “worked on” a successful deal.

Ask how the team finds and wins deals: founder referrals, existing portfolio relationships, intermediaries, thematic outreach or another channel. Determine whether the fund can access the opportunities it targets and whether the people who built that access will remain available during your fund’s life.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Separate realized outcomes from paper marks

Request a deal-by-deal record that shows invested cost, distributions, realized proceeds, remaining value, dates and the method used for unrealized values. A large reported multiple supported only by an estimated value is not the same evidence as cash returned to investors. Ask how results change when the strongest outlier is removed; a strategy dependent on one exceptional investment has different risk from one with broad success.

Check references, including difficult ones

With appropriate confidentiality protections, speak with current and former founders, co-investors, service providers and prior LP references. Ask how the manager behaved during missed targets, down rounds, bridge financings and leadership changes—not only during successful exits. Confirm whether the partner presented as responsible for a deal was actually engaged after closing.

Use structured questionnaires as a starting point

The Principles for Responsible Investment venture-capital limited-partner questionnaire covers governance, fundraising, pre-investment, post-investment and reporting. It is useful for creating a consistent question list, but it cannot replace direct dialogue with the manager. Ask follow-up questions when answers are vague, inconsistent with documents or unsupported by examples.

3. Understand portfolio construction and capital calls

Model the number of companies and concentration

Ask how many companies the fund expects to own, the maximum position size, the target ownership at entry and the range of reserves for follow-on rounds. Then model outcomes if one, two or three large positions account for most gains. Planned diversification does not prevent loss, especially when companies share customers, funding sources, technology dependencies or macroeconomic exposure.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Examine reserve and follow-on rules

Find out who can approve a follow-on investment, what performance hurdles apply, and whether reserves are allocated pro rata, selectively or opportunistically. Ask what happens when a company misses milestones but needs capital to avoid failure. A fund that cannot reserve enough capital may be diluted; one that reserves too much may leave committed capital idle or concentrate risk in existing holdings.

Map the call schedule and liquidity burden

Review the commitment amount, expected drawdown pattern, notice period, payment method and consequences of a late payment. Create a cash-flow schedule that includes the full commitment, management fees charged outside invested capital if applicable, taxes, and a contingency for calls arriving earlier or later than the manager’s forecast. Do not treat an unfunded commitment as optional cash.

Check scale against opportunity and capacity

Compare fund size and deployment pace with the number of suitable companies in the stated strategy. Ask how many active boards or monitoring relationships each investment professional can support. A larger fund can diversify more, but it may also require larger checks, faster deployment or investments outside the manager’s strongest edge.

4. Underwrite every material startup

For each significant current or expected holding, request evidence supporting the investment thesis. Tailor the depth to the company, sector and security; there is no single universally complete growth-stage checklist. The following workstreams cover the questions most likely to change your view of risk.

Customer problem and product use

  • Which named customer types have an urgent problem, and what budget pays for the solution?
  • What product is built, deployed and used today rather than merely demonstrated?
  • Can the company provide customer references, renewal data or repeat-use evidence?
  • How long does implementation take, who must approve it, and what integration or service burden remains?
  • What is genuinely differentiated, and how easily could a customer substitute an incumbent or internal tool?

Ask to see evidence in a form that protects customer confidentiality, such as anonymized cohorts, contract summaries or reference calls. A long customer list is less informative if contracts are pilots, heavily discounted or not renewed.

Reachable market and competition

Define the market from identifiable customers, use cases, buying processes and realistic pricing. Separate the reachable segment from a top-down industry figure. Include substitutes, internal builds, incumbent responses, regulatory constraints and channel dependencies. Ask what must be true for the company to expand from its initial niche and which competitors could copy the feature or underprice the product.

Growth quality

Reconcile reported growth with durable demand. Review customer concentration, gross and net retention, expansion, churn, sales-cycle length, backlog aging and cancellation rights. Examine whether growth depends on discounts, one-off contracts, channel partners or a small number of accounts. For usage businesses, distinguish contracted capacity from active usage; for recurring revenue, distinguish booked, billed and collected amounts.

Economics and future capital needs

Review revenue recognition, gross margin and contribution margin with the company’s business model in mind. Test customer-acquisition cost, payback period, implementation cost and support burden where those measures are relevant. Analyze cash burn, runway, working capital, debt covenants and the timing and amount of likely future financing.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Request a base case, downside case and financing plan. Ask what milestone the next round must fund, how much dilution is expected, and what happens if the round is delayed or priced below the current valuation. A profitable-looking growth rate can still require substantial capital if working capital expands faster than collections.

People, incentives and governance

Assess founder and executive capability against the company’s next stage, not only its past achievements. Identify hiring gaps in sales, finance, security, regulatory affairs or operations. Review option-pool assumptions, vesting, retention risk and key-person dependencies. Examine board composition, meeting cadence, reporting quality and whether directors receive timely bad news.

Legal, technical and regulatory exposure

  • Verify corporate formation, capitalization, option grants and the chain of title for intellectual property.
  • Review material customer, supplier, employment, licensing and distribution contracts, including change-of-control terms.
  • Check pending or threatened litigation, sanctions exposure and compliance obligations.
  • Assess privacy, cybersecurity, incident history, data rights, access controls and business-continuity arrangements.
  • Identify sector-specific licensing, safety, financial, health, export or artificial-intelligence rules.

Use qualified legal, tax, technical or regulatory specialists when the fund team lacks the necessary expertise. Their role is to test assumptions and identify deal-breaking conditions, not merely to confirm the manager’s summary.

Security terms and exit assumptions

Review the exact security purchased and its rights: liquidation preference, participation, conversion, anti-dilution protection, voting, information, pro-rata and pre-emption rights. Map debt seniority and other claims ahead of the fund’s position. Model dilution through future rounds and compare plausible exit routes, including strategic sale, secondary transaction or public offering.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

A company headline valuation does not tell you what the fund’s position is worth or when cash will be returned. The security’s preferences, the company’s capital structure and transaction conditions determine the outcome.

5. Scrutinize valuation and performance reporting

Understand how private marks are produced

Private-company values are not continuously established by public trading. Request the written valuation policy and ask who prepares, reviews and challenges each mark. Determine which financing rounds, comparable companies, transactions or cash-flow assumptions are used; how stale positions are identified; and when write-downs are recorded.

A new financing price may not be comparable with the fund’s position if the round has superior liquidation rights, a different seniority, unusual investor protections or materially changed market conditions. Adjust for dilution, preferences and transaction terms before using a later round as an external check.

Separate NAV, unrealized returns and cash

Ask reports to show invested cost, realized distributions and remaining unrealized value separately. Reported net asset value and unrealized returns are estimates, not cash in the bank. Compare the manager’s marks with subsequent financing or exit evidence only after accounting for the security differences above.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The National Venture Capital Association operating principles call for periodic fair-value determinations under the standards in the LPA, along with reasonable diligence and legal review before investments and divestments. Use that principle to ask for the policy, review trail and exceptions rather than assuming a mark is objective.

Treat valuation risk as a decision variable

SEC risk language for startup issuers notes that valuations can be difficult to assess and may lead investors to overpay, and that other equity classes may carry superior rights. This is a risk illustration, not a universal finding about every fund. Apply it by stress-testing the fund’s position under lower exit values, additional dilution and preference waterfalls.

6. Review operations, conflicts and reporting

Request operational evidence

Ask for manager and fund financial statements, audit arrangements, administrator and custodian details where applicable, cash controls, expense-allocation policies, compliance procedures, cybersecurity controls, business-continuity plans and examples of investor reporting. Check who reconciles cash, approves wires, maintains the ownership ledger and responds to valuation questions.

Investigate conflicts and allocation

Ask how the manager allocates opportunities among this fund, earlier or later funds, co-investors and affiliated vehicles. Clarify policies for affiliated transactions, broken-deal costs, shared employees, portfolio-company transactions and situations in which one fund can buy an asset another fund owns. Obtain the conflict policy and examples of how conflicts were disclosed and mitigated.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The National Venture Capital Association principles emphasize identifying and disclosing conflicts and seeking to mitigate inherent conflicts. Look for specific controls, not a general statement that conflicts are handled fairly.

Test governance and key-person protections

Review key-person triggers, suspension of the investment period, succession plans, removal rights and the role of any advisory committee. Ask what happens if the partner responsible for the strategy leaves, loses capacity or moves to another vehicle. Confirm which amendments require LP consent and which can be made by the manager or a majority of investors.

Interpret regulatory guidance in context

SEC staff guidance issued for registered closed-end funds that invest in private funds discusses disclosure of costs, strategies, risks and investment-process diligence, including operational, legal and, where applicable, tax considerations. That guidance is specific to those structures; it should not be presented as a rule applying identically to every private fund. Use the categories as questions, then rely on the offering documents and legal advice for the actual vehicle.

7. Read the contracts before deciding

Documents to obtain

  1. Read the limited partnership agreement, including definitions, investment restrictions, allocation provisions and amendment powers.
  2. Read the subscription agreement and investor representations.
  3. Read the offering memorandum and all supplements, risk factors and conflicts disclosures.
  4. Obtain fee, expense and reporting schedules, side-letter policies and any advisory-committee materials available to you.
  5. Have legal and tax advisers review provisions that affect your jurisdiction, entity structure and ability to transfer or hold the interest.

Economic and control terms to record

Term What to document Why it matters
Management fee Rate, base, payment timing and step-downs Determines cash cost before and after the investment period.
Carried interest Percentage, hurdle, catch-up and clawback Changes how distributions are divided.
Fund expenses Organizational, broken-deal, monitoring and legal costs Reveals costs that may reduce net returns.
GP commitment Amount, funding source and treatment Shows economic alignment and who bears losses.
Distribution waterfall Preferred return, tiers, timing and in-kind distributions Determines when and how you receive value.
Term and extensions Base term, extension rights and consent thresholds Sets the potential holding period.
Investment period Start, end, suspension and recycling rules Controls when new commitments can be called.
Capital-call default Interest, forfeiture, dilution and remedies Defines the cost of a missed payment.
Key person and removal Triggers, cure periods, votes and consequences Protects against a material team departure.
Transfers and reporting Consent requirements, statements, audits and data access Affects liquidity and your ability to monitor the investment.

8. Confirm eligibility and practical suitability

U.S. offering eligibility

For a U.S. offering, eligibility depends on the exemption used and your circumstances. SEC materials describe different accredited-investor routes and different verification standards for Rule 506(b) and Rule 506(c). Self-certification alone is not sufficient where the applicable rule requires verification. Confirm the current rule, the offering’s exemption and the documents the manager will accept; these requirements are time-sensitive and jurisdiction-specific.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Personal liquidity and concentration

Before signing, stress-test the commitment against an adverse personal scenario: reduced income, a public-market drawdown, a delayed exit and several capital calls in the same year. Include taxes, currency exposure and other private investments. A fund can be attractive on paper and still unsuitable if meeting calls would force you to sell liquid assets at a loss.

How to compare two growth-stage funds

Use identical definitions and periods for every fund. Do not compare a young fund’s projected multiple with a mature fund’s realized distributions, or compare gross returns for one fund with net returns for another.

Comparison axis Evidence to align Common mistake
Strategy Stage, sector, geography, check size and ownership target Assuming the same label means the same mandate.
Team Tenure, decision rights, sourcing and deal attribution Crediting the whole firm for one partner’s result.
Portfolio Company count, concentration, reserves and follow-on rules Treating planned diversification as protection against loss.
Performance Vintage, fund age, realized proceeds and unrealized values Ranking headline multiples without cash-flow timing.
Valuation Policy, review process, stale-mark treatment and security rights Accepting financing prices as interchangeable evidence.
Economics Fees, expenses, carry, hurdle, GP commitment and waterfall Comparing gross returns while ignoring net costs.
Liquidity Call pacing, term, extensions and transfer restrictions Assuming an estimated exit date is guaranteed.
Governance Key-person, removal, conflicts and amendment provisions Relying on a verbal assurance instead of the LPA.
Operations Audits, administration, controls, cybersecurity and reporting Assuming a strong investing team guarantees strong operations.
Fit Eligibility, liquidity needs, tax and concentration Choosing the fund with the highest projected return regardless of suitability.

A practical diligence workflow

Phase 1: Build a document index

Create a dated index of every version of the LPA, offering memorandum, portfolio schedule, performance report, valuation policy, financial statement and side letter. Record unanswered questions beside the document that should resolve them. Version control prevents a revised term or valuation explanation from disappearing in email.

Phase 2: Reconcile the story

Compare the pitch, portfolio schedule, capital-call history and audited statements. Reconcile company names, entry dates, invested cost, ownership and reported values. Flag inconsistencies for written explanation. Ask the manager to identify any investment that falls outside the stated mandate.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Phase 3: Interview the team and references

Send questions in advance, then ask the same core questions to multiple people. Test who knows the details of difficult investments, how bad news travels and whether the stated process is followed in practice. Conduct reference calls independently where possible.

Phase 4: Underwrite the largest risks first

Prioritize the assumptions that can change the decision: customer retention, concentration, cash runway, financing dependence, regulatory exposure, security seniority, valuation methodology and key-person risk. Do not spend equal time on immaterial details while a major assumption remains unverified.

Phase 5: Write an investment memo with conditions

State the strategy fit, manager edge, portfolio construction, expected cash-flow burden, valuation confidence, legal and operational findings, conflicts and unresolved questions. Add explicit conditions for commitment, such as receipt of a corrected capitalization table, a side-letter right, specialist diligence or clarification of a reserve limit. If a condition cannot be met, record whether it is a deal breaker or an accepted risk.

Red flags that warrant a pause

  • The manager cannot explain who sourced, approved and monitored a supposedly successful investment.
  • Performance is presented only as gross multiples or unrealized net asset value, with no realized cash schedule.
  • Portfolio companies repeatedly fall outside the stated stage, sector or geography without a documented rationale.
  • Valuation marks remain unchanged despite a missed financing, deteriorating metrics or a materially weaker market.
  • Customer growth depends on a few contracts, large discounts or unrenewed pilots.
  • The fund’s size requires deployment into opportunities that do not match its stated edge.
  • Reserve policy, capital-call timing or default remedies are unclear.
  • Conflicts, allocation policies or broken-deal expenses are described generally rather than in enforceable terms.
  • Key-person, succession or removal provisions provide no meaningful response to a team departure.
  • The manager pressures you to rely on self-certification or a summary instead of the current offering documents.

Decision standard

Commit only when you can explain, in writing, why this manager can execute this specific strategy, how the portfolio is constructed, what evidence supports each material startup thesis, how marks are produced, what the contracts require and how you will fund calls through a long illiquid period. If a critical answer remains unavailable, treat the uncertainty as an investment risk rather than filling the gap with optimism.
