Do not treat a founder’s departure or a new managing-partner title as proof that a private-equity firm is either safe or impaired. Treat it as a continuity-and-governance diligence event. Before investing or re-upping, verify who makes decisions now, whether key-person protections apply, whether successors have been tested at scale, how economics and ownership changed, whether LP relationships and portfolio coverage are institutionalized, and whether compliance, valuation and conflict controls still work. Convert that evidence into a documented response: maintain the allocation, monitor more closely, commit only on conditions, change pacing, or decline.

Start by defining exactly what changed

A “senior leadership change” can describe very different risks. A planned retirement with a documented transfer of authority is not the same event as a dismissal, death, sudden founder step-back or several departures at once. A title change may also conceal a more important fact: the departing executive may still control investments informally, or the named successor may not yet have decision rights.

Create a written event record before drawing conclusions. Include:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • the type of change: planned succession, retirement, dismissal, death, founder step-back, title change without authority transfer, or multiple departures;
  • the announcement and effective dates, and whether the change was disclosed to all LPs and the LP advisory committee (LPAC);
  • each affected fund, its investment-period end date, harvest period and remaining unfunded commitment;
  • the departing person’s formal role, actual responsibilities and relationships with portfolio companies, lenders and LPs;
  • the stated reason for the change and any transition, retention or succession agreement; and
  • any changes to the general partner, management company, investment committee or key-person schedule.

This chronology prevents a common error: evaluating the firm as if every fund is exposed in the same way. A person may be immaterial to a new strategy but essential to an older fund’s remaining exits, or vice versa.

Titles are clues, not evidence of control

Investment authority is an observed behavior, not a job-title claim. Harvard’s 2026 Corporate Governance Forum succession framework states that titles carry limited weight and that LPs should look for evidence of real authority in investment committees and portfolio decisions. Ask for records that show who actually approves, leads and owns decisions.

Documents that reveal decision rights

  • Current and prior investment-committee membership, voting rules, quorum requirements and recusal procedures.
  • Delegation and approval matrices showing thresholds for new investments, follow-ons, restructurings, write-downs and exits.
  • A deal-lead history for investments made during the past several years, including who originated the opportunity, led underwriting, presented to the committee and signed the approval.
  • Portfolio-company board assignments, operating-partner coverage and examples of successors leading difficult board or lender discussions.
  • Exit approvals, refinancing decisions and material impairment or valuation judgments made after the leadership announcement.
  • LP meeting agendas, quarterly letters and capital-call or distribution communications identifying who is accountable for the relationship.

How to test formal versus practical authority

Compare the official organization chart with at least three completed decisions. For each, record the decision owner, committee presenter, voters, dissent or recusal, and person accountable for implementation. Then ask the successor to explain a live portfolio decision without the departing leader present. A successor who has a title but cannot explain the rationale, risk limits or follow-through may not yet have operational control.

Request a before-and-after responsibility map rather than accepting a generic statement that “the team remains unchanged.” The useful comparison is who had authority before, who has it now, and what approvals still require the former leader’s consent.

Read the key-person provisions before discussing a re-up

A material team change can activate contractual protections. ILPA Principles 3.0 describes the investment team as critical to a commitment and says significant personnel changes should allow LPs to reconsider that commitment. The relevant answer is in the limited partnership agreement (LPA), side letters and any subscription documents, not in the press release.

Clauses to locate

  • Named key persons: identify every person, role or team combination listed for each fund.
  • Time-and-attention standard: determine whether the person must devote substantially all business time, a specified percentage, or only reasonable attention.
  • Trigger threshold: check whether one departure, a percentage of the team, a change in control or inability to perform is enough to trigger protection.
  • Notice duty: identify the deadline and form for notifying LPs and the LPAC.
  • Suspension mechanics: determine whether the investment period pauses automatically, after LPAC action, or only after a vote.
  • LP approval: record the required majority, whether approval is fund-wide or by affected LPs, and the voting deadline.
  • Cure period: note how long the GP has to replace or restore a key person and what evidence makes the cure effective.
  • Post-investment-period treatment: verify whether protections continue during harvesting, follow-ons and exits.
  • Remedies: identify limits on new investments, follow-ons, recycling, extensions and other activities while a trigger remains unresolved.

ILPA also says LPs should receive timely notice of personnel changes that could affect performance and immediate notice when key-person provisions are tripped. Confirm the date notice was sent, the recipients, the information supplied and whether the GP made a formal determination that a trigger occurred. If the firm says a provision does not apply, ask it to identify the exact LPA language and the factual basis for that conclusion.

Build a key-person decision table

Question Evidence to request Why it matters
Who is named? Current LPA schedule and side letters A founder may not be the only person whose departure matters.
Was a trigger reached? GP analysis, notice and LPAC minutes Determines whether the investment period or new commitments are restricted.
What happens automatically? Suspension and cure language Prevents relying on an informal promise while rights are paused or uncertain.
Who votes? Consent threshold and voting procedure Shows whether your LP can approve, reject or condition a remedy.
When does protection end? Reinstatement and harvest-period provisions A cure that covers acquisitions but not exits may leave residual risk.

Test whether the successor has been tested at scale

A credible successor should demonstrate more than tenure, a strong résumé or a favorable reference. Harvard’s succession framework asks whether the successor has been tested at scale. Evaluate the person’s judgment through the full investment cycle: underwriting, ownership, exits, restructurings and adverse portfolio conditions.

Evidence of operating capability

  • Transactions where the successor led underwriting and committee approval, including an investment that underperformed and the corrective actions taken.
  • Examples of negotiating a financing, covenant amendment, add-on acquisition, management change or distressed situation.
  • Exits the successor led from preparation through buyer negotiations, including a case where the original plan changed.
  • References from portfolio-company executives, independent directors, co-investors and lenders who worked directly with the successor.
  • Demonstrated judgment across the fund’s actual sectors, geographies, leverage profile and ownership model, rather than only adjacent experience.
  • Capacity evidence: number of active boards, direct reports, deals in diligence and other commitments that could compete for attention.

Questions for management meetings

  1. Which investment decisions can you approve without the departing leader, and which still require that person’s consent?
  2. Describe a deal you rejected, the evidence that changed your view and how the committee handled disagreement.
  3. Which portfolio company currently presents the greatest downside risk, and what is the documented response plan?
  4. Who would lead an unexpected refinancing, executive departure or sale process tomorrow?
  5. What decision did you make during the transition that would previously have been made by the founder?

Ask the same questions of the chief operating officer, chief financial officer, chief compliance officer and a portfolio-company reference. Consistent answers show institutional knowledge; materially different answers may indicate that authority is still personal and informal.

Examine economics, ownership and succession incentives

Succession is more durable when successors have transparent authority and an economic reason to protect the entire fund life, including harvesting. Review the carry plan, general-partner ownership, vesting, leaver provisions and any succession agreement. Determine whether the departing leader retains influence or economics that could complicate the transition.

Economic questions to document

  • What percentage of carry and management-company ownership is held by the successor group, and is the allocation documented?
  • Do vesting and forfeiture rules reward continued work through exits, not only fundraising or acquisitions?
  • What happens to carry if a leader retires, is dismissed, dies or becomes a non-executive chair?
  • Can the departing leader veto investments, portfolio actions, hires or succession decisions through ownership rights?
  • Does the successor have a credible path to ownership, governance seats and future fund economics?
  • Are economics aligned across older funds, current funds and the next fund being raised?

Founder-concentrated economics and an ambiguous path to ownership are high-risk indicators in Harvard’s framework. They can leave successors responsible for performance without the authority or reward needed to retain them. Request an anonymized cap table or ownership summary if individual compensation cannot be disclosed, and ask counsel to confirm that the summary matches governing agreements.

Check whether LP relationships are institutionalized

LP confidence often deteriorates when communication depends on one individual. Identify who owns each major relationship, who leads fundraising and reporting, and who can answer questions about performance, valuation, risk and operations without routing everything through the former leader.

Evidence of continuity

  • A transition communication plan naming relationship owners, escalation contacts and meeting dates.
  • Consistent quarterly reporting, capital-call notices, valuation explanations and responses to LP questions before and after the change.
  • LP and LPAC meeting minutes showing that the successor team presents material decisions and answers follow-up questions.
  • A documented coverage plan for smaller LPs, co-investors and consultants, not only the largest relationships.
  • Clear disclosure of what changed, what did not change and which matters remain subject to approval or cure.

Surprises and limited transparency commonly unsettle investors and erode confidence. Compare the timing and substance of communications across LPs where possible. A polished announcement followed by delayed answers on key-person status, valuation or ownership is a governance warning, even if performance is currently strong.

Test governance, compliance and risk controls

Leadership continuity is not established if the firm’s controls depend on the same individual. Test whether responsibilities, escalation paths and independent challenge survive the transition.

Compliance and conflicts

SEC private-equity enforcement guidance emphasizes that chief operating, financial and compliance officers should participate in important decisions and act as investor advocates. Ask how those officers identify and escalate conflicts involving allocations, related parties, continuation vehicles, fees, valuations and transactions between affiliated funds. Review recent compliance-risk assessments, testing summaries, exception logs and remediation ownership, subject to confidentiality limits.

Confirm who can stop or escalate a transaction, whether the compliance officer has direct access to the governing body and whether the departing leader’s influence creates any unresolved conflict. A policy that exists on paper but is bypassed in practice is not an effective control.

Valuation and reporting

  • Identify who approves valuation methodologies, assumptions and overrides.
  • Review independent valuation, audit and LPAC involvement for material or hard-to-value assets.
  • Ask how a change in deal leadership affects impairment judgments, fair-value marks and performance reporting.
  • Confirm that the person preparing a valuation can escalate disagreement without reporting solely to the deal leader.

Risk governance and jurisdiction

FCA MIFIDPRU 7 requires clear responsibility lines, management-body oversight of material risks and risk functions able to report independently. That framework applies to firms within the relevant UK prudential regime; it is not a universal rule for every private-equity manager. For an FCA-regulated entity, request the responsibility map, management-body risk minutes, risk-function reporting line and evidence of challenge after the leadership change. For a manager in another jurisdiction, map the equivalent local requirements with counsel rather than assuming the FCA rule applies.

Across jurisdictions, the practical test is the same: can an independent control function identify a problem, reach the governing body and require remediation without approval from the person whose conduct is under review?

Validate continuity asset by asset

Firm-level assurances do not replace portfolio-level coverage. For every material asset, create a continuity sheet containing:

  • the responsible deal partner and backup partner;
  • portfolio-company board seats and meeting attendance;
  • operating-partner and functional resources assigned;
  • current financing, covenant and lender relationships;
  • base-case, downside and exit plans, including timing dependencies;
  • key management relationships and succession plans at the portfolio company; and
  • the person authorized to approve follow-ons, restructurings, write-downs and exits.

Give extra scrutiny to assets where the thesis, lender relationship or exit timing depended on the departing leader. Request evidence of a warm handoff: joint meetings, documented relationship transfer, updated board materials and a named backup who has already participated. If no one else knows a lender, executive team or buyer, the risk is operational even when the investment committee appears institutional.

Use a staged allocation decision

Do not reduce the decision to “stay” or “leave.” Match the allocation response to evidence and contractual rights. Record the rationale, conditions, owner and review date in the investment file.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
Risk assessment Evidence pattern Possible LP response
Lower Authority transferred in practice; successors have led deals and difficult portfolio situations; economics are aligned; communications are clear; independent controls function. Maintain allocation with standard reporting and ordinary re-up diligence.
Medium Transition is credible but successor authority, ownership or portfolio coverage is incomplete. Request milestones, quarterly governance updates, successor deal evidence and enhanced LPAC reporting. Consider pacing or a conditional commitment.
Higher Founder dependence persists; key-person mechanics are unclear or triggered; successors lack authority or tested experience; economics or controls remain unresolved. Consider suspension rights, conditional allocation, reduced pacing, limits on co-investments or declining the re-up.

Conditions worth putting in writing

  • LPAC or LP approval of a named successor and any replacement key person.
  • Delivery of updated investment-committee, delegation and conflict-escalation matrices.
  • Quarterly reporting on successor deal leadership, departures, hiring and portfolio coverage.
  • Specific deadlines for resolving ownership, carry or vesting arrangements.
  • Enhanced valuation, compliance or risk reporting for a defined period.
  • Limits on new commitments, follow-ons or co-investments until a stated milestone is met.
  • A right to revisit pacing or future commitments if the successor leaves or the cure fails.

Conditions should be measurable. “The transition will be monitored” is weaker than “the GP will provide quarterly evidence of successor-led committee approvals and backup coverage for each top-ten asset.” Ensure any side-letter term is enforceable and does not conflict with the LPA.

A practical diligence workflow

  1. Assemble the file. Collect the announcement, organizational charts, LP communications, LPA, side letters, key-person schedules, succession agreements and latest LPAC minutes.
  2. Map authority. Compare committee membership, approval thresholds and recent deal, portfolio and exit decisions before and after the change.
  3. Determine contractual status. Have counsel analyze notice, trigger, suspension, vote, cure and harvest-period provisions for every affected fund.
  4. Interview the successor team. Use the same questions with investment, operating, finance, compliance and investor-relations personnel.
  5. Verify capability independently. Obtain references from portfolio executives, directors, lenders and other parties who observed the successor under pressure.
  6. Review economics and retention. Confirm ownership, carry, vesting, leaver treatment and the successor’s path to durable authority.
  7. Test controls. Examine conflict escalation, valuation review, risk reporting, LPAC oversight and independent access to the governing body.
  8. Run the asset-level review. Identify responsible and backup coverage, financing dependencies, exit plans and relationship-transfer evidence for material holdings.
  9. Write the allocation memo. State the risk rating, evidence, unresolved items, contractual rights, proposed conditions, pacing and review date.
  10. Set monitoring triggers. Define events that reopen the decision, such as another key departure, missed communication deadline, failed cure, control deficiency or loss of portfolio coverage.

Common failure modes and how to correct them

Accepting the announcement as proof of succession

Problem: The firm names a new managing partner but supplies no decision records or delegation map.
Correction: Request committee votes, deal-lead history, portfolio assignments and a live example of successor authority.

Focusing only on the founder

Problem: The review ignores other key persons who determine outcomes.
Correction: Read the fund’s named-person schedule and assess the whole investment team. ILPA expressly cautions that key persons should be those who determine investment outcomes, not solely founders.

Assuming a trigger is either obvious or irrelevant

Problem: LPs rely on a verbal interpretation of the LPA.
Correction: Obtain the GP’s written analysis, compare it with the exact clause and have independent counsel review notice, suspension, voting and cure mechanics.

Correction: Review board coverage, lender relationships, valuation and exit authority for every remaining asset, and confirm whether key-person protections continue after the investment period.

Comparison axis What to compare
Decision rights Documented committee authority, voting records and successor-led approvals.
Successor capability Deals, restructurings, exits, adverse situations and independent references at relevant scale.
Key-person protection Named persons, triggers, suspension, cure, votes and harvesting treatment.
Economics Founder versus successor ownership, carry, vesting and retention pathway.
LP communication Timing, consistency, relationship ownership and escalation access.
Governance independence Conflict escalation, valuation review, risk-function access and LPAC activity.
Portfolio coverage Primary and backup coverage, board assignments, financing and exit readiness.
Remedies Clarity of monitoring, approval, pacing, suspension and conditional-commitment rights.

Use “not established” where a manager will not provide comparable evidence. Do not convert a disclosure gap into a favorable assumption.

Questions LPs should resolve before a re-up

  • Who can approve a new investment, follow-on, restructuring, valuation change and exit today?
  • Which key-person provisions apply to this fund, and has any trigger occurred?
  • What evidence shows that the successor has led decisions through underwriting, ownership, exits and difficult conditions?
  • What ownership, carry and vesting arrangements make the succession durable through harvesting?
  • Who owns each major LP relationship, and what is the escalation path if communication breaks down?
  • Can compliance, finance and risk personnel challenge a deal or valuation independently?
  • Who covers each material portfolio asset if the successor is unavailable?
  • Which milestones must be met before an unconditional commitment or normal pacing resumes?
  • What event would cause the LP to revisit, reduce or decline the allocation?

Answer these questions with documents, observed decisions and references. A confident presentation is useful context, but it is not a substitute for authority, contractual analysis or control evidence.

Regulatory and legal limits

ILPA principles are market guidance, SEC materials describe expectations and enforcement themes for US advisers, and FCA MIFIDPRU 7 applies to firms within the relevant UK prudential framework. None automatically governs every fund, manager or LP. The LPA controls the fund relationship, while local securities, fiduciary, partnership, employment and regulatory law may affect interpretation. Obtain advice from counsel qualified in the fund’s jurisdiction before exercising a vote, declaring a suspension, conditioning a commitment or relying on a side letter.

Frequently Asked Questions

Should an LP automatically stop investing when a founder leaves?

No. First determine whether the departure triggers the fund’s key-person provisions and whether authority, successor capability, economics, communication and controls are demonstrably sound. The appropriate response may range from normal monitoring to a conditional commitment, pacing change or decline.

What proves that a successor has actually taken control?

Evidence includes successor-led investment-committee approvals, deal and exit leadership, portfolio-company board work, authority under the approval matrix, independent references and decisions made without the departing leader’s consent.

Do key-person protections end when the investment period closes?

Not necessarily. The LPA may extend notice, suspension, approval or replacement mechanics into the harvesting period. Review the fund’s exact language.
