Before investing in a midstream energy company, find out what assets it owns or operates, how contracts and customer volumes generate cash, whether cash flow can support capital spending and debt, and what risks could interrupt that cash flow. Then examine governance, the security’s structure and valuation. A “pipeline company” may also gather, process, store or handle energy products, so start with the issuer’s actual business rather than the label.

Use the company’s latest annual and quarterly reports, earnings releases, debt disclosures and governance documents. The steps below offer a repeatable way to evaluate a company; they are not a recommendation to buy any particular security.

1. What does the company actually own and do?

Start with the business description and segment disclosures in the latest annual report. Midstream companies can connect production to processing plants, refineries, export outlets and other markets through a range of services. Map the company’s assets, what each segment does and how each earns revenue.

  • Gathering and processing: Collects gas or other production from wells and may separate or process it.
  • Transportation: Moves crude oil, natural gas or refined products through pipelines or other logistics networks.
  • Storage and terminals: Holds or transfers energy products at storage facilities, terminals or docks.
  • Fractionation and NGL services: Separates natural gas liquids (NGLs) into component products or provides related handling and transportation.
  • Marine logistics and joint ventures: May provide waterborne transport or deliver a share of earnings through an investment in assets it does not wholly own.

Distinguish assets the company owns from those it operates for another party and from assets held through joint ventures. Note the basins, customers and end markets they serve, as well as connections to alternative routes or outlets. MPLX LP’s 2025 reporting, for example, describes both crude-oil and products logistics and natural-gas and NGL services. That mix is specific to MPLX, not a template for every midstream issuer.

2. How dependable are the contracts and volumes?

Read the contract descriptions alongside throughput—the volume of product transported, processed or otherwise handled over a period. Sort revenue by how it is earned, and then check whether actual volumes support the contractual economics.

Identify the revenue mechanism

  • Fee-based: The company earns a fee for a service or volume. A fee can reduce direct exposure to commodity prices, but it does not guarantee that customers will produce, deliver or pay for expected volumes.
  • Commodity-linked: Contracts such as percentage-of-proceeds or keep-whole arrangements can make revenue more sensitive to commodity prices or product values.
  • Other contract terms: Look for tariffs, cost-of-service terms, take-or-pay or capacity commitments where applicable, price escalators, contract duration, renewals, termination rights and exceptions.

A minimum-volume commitment requires a customer to pay for an agreed minimum volume or make a deficiency payment if it falls short, subject to the contract’s terms. Check the length of the commitment, how shortfalls are settled and whether the customer can carry forward or otherwise offset a deficiency payment.

Compare commitments with operating reality

Compare contracted or committed capacity with actual throughput, customer production and drilling plans, and available competing capacity. Consider whether a customer could reduce production, redirect volumes or struggle to meet its obligations. Outages, contract renegotiations and customer distress can affect realized cash flow even when a contract is described as fee-based.

For a dated issuer-specific example, Western Midstream Partners LP reported in its 2025 Form 10-K that, excluding equity investments, fee-based contracts served 97% of wellhead natural-gas volume and 100% of crude-oil and produced-water throughput in 2025. Those percentages use Western Midstream’s stated scope and definitions; they are not sector benchmarks.

3. How concentrated are customers, assets and markets?

Read customer and segment concentration disclosures, then identify which customers, sponsors, refineries, joint ventures or basins contribute the largest share of revenue or cash flow. Assess the financial capacity and incentive of major counterparties to meet commitments. Ask whether alternative customers, routes or end markets exist if a large customer cuts production or changes where it sends volumes.

Also consider basin economics, interconnections and competing pipeline or processing capacity. A large asset footprint does not by itself show that revenue is diversified. In its 2025 reporting, MPLX LP said MPC accounted for 48% of MPLX’s total revenues and other income. This is a company-specific concentration measure tied to MPLX’s relationship with MPC, not a typical midstream-company figure.

4. Does cash generation support spending and distributions?

Begin with the audited financial statements and reconcile management’s non-GAAP measures to the closest reported financial statements. A non-GAAP measure is a company-defined calculation that adjusts reported results; its label alone does not make it comparable with another issuer’s measure.

Distributable cash flow (DCF) is a non-GAAP measure some midstream issuers use to describe cash available for distributions after specified adjustments. Check each issuer’s definition and reconciliation: companies may treat interest, maintenance capital, growth spending or other items differently. Do not assume that two companies’ DCF figures or distribution-coverage ratios are calculated on the same basis.

Follow cash through the capital budget

Trace operating cash flow and issuer-defined adjusted EBITDA or DCF through the costs and choices competing for it:

  • Maintenance capital: Spending intended to sustain asset integrity and existing operations. Test whether the reported amount appears consistent with the company’s asset needs and operating disclosures.
  • Growth capital and acquisitions: Spending intended to add capacity or expand the business. Review project costs, expected returns and timing rather than treating all spending as interchangeable.
  • Interest and debt service: Cash required to service borrowings before it can be returned to investors.
  • Distributions or dividends: Cash paid to unitholders or shareholders. A coverage ratio compares a company-defined cash-flow measure with its payout; verify both parts of the calculation and the period used.

Ask whether the payout is supported after required capital spending and debt service across a range of operating conditions, not just whether it is covered by one reported period. A payout can be changed by the issuer, and growth spending should not be confused with the spending needed to sustain existing assets.

5. Can the company service and refinance its debt?

Review leverage together with the company’s capacity to pay interest, maintain liquidity and refinance maturing debt. Leverage commonly compares debt with a cash-flow measure such as EBITDA or funds from operations (FFO); confirm whether the reported figure uses total or net debt and how the issuer defines its denominator.

Fitch Ratings’ December 5, 2014, Midstream, Pipelines and MLPs Ratings Navigator Companion identifies cash-flow leverage, coverage, liquidity and debt maturities as credit-analysis factors. Its framework is historical context for what to examine, not a source of current universal investment thresholds.

Build a debt and liquidity picture

  • Compare total and net debt, debt to EBITDA or FFO, and interest or fixed-charge coverage over consistent periods.
  • Check liquidity available under credit facilities, covenant requirements and headroom, and whether secured or unsecured borrowings have different constraints.
  • Review the maturity schedule, fixed- versus floating-rate exposure, credit-rating outlooks and any refinancing needs.
  • Read issuer updates for current leverage, coverage, liquidity and covenant disclosures rather than relying on an old snapshot.

Positive operating cash flow does not by itself establish that a company can refinance on acceptable terms or avoid covenant restrictions. Fitch’s published rating-category figures are dated and should not be applied as current cutoffs.

6. What do the entity structure and governance mean for an investor?

Establish whether the security is common stock in a corporation or units in a master limited partnership (MLP), a partnership whose publicly traded units represent interests in the partnership. Structure can affect governance, distribution policy, tax reporting and an investor’s experience. Do not assume that every midstream company is an MLP or that every MLP has identical terms.

Read the corporate governance disclosures or partnership agreement. Check voting rights, who controls the board or general partner, how conflicts are handled, sponsor influence, related-party contracts and who has authority to set or change distributions. Review the issuer’s current tax materials and seek qualified tax guidance about the implications for your circumstances and account.

Invesco’s 2026 SteelPath fund material describes MLP governance structures as more flexible than corporate governance and characterizes MLP investments generally as interest-rate sensitive. Treat these as broad observations from fund material, not predictions about a particular security. Consider the issuer’s own financing, rate exposure and valuation rather than assuming interest rates will affect all midstream securities alike.

7. What operating, environmental and regulatory risks could disrupt cash flow?

Read current risk factors and operating disclosures for how particular events could reduce throughput, raise costs, delay projects or constrain distributions. Prioritize risks connected to the company’s assets, locations and customers rather than treating a long risk-factor list as equally important in every case.

  • Asset integrity and safety: Pipeline incidents, equipment failures, unscheduled shutdowns or other operating interruptions.
  • Environmental and regulatory obligations: Environmental liabilities, permits, tariff regulation, compliance costs and changes in rules.
  • Project delivery: Construction approvals, cost overruns, delays, contractor or labor constraints and the risk that expected new cash flow arrives late or not at all.
  • Market and customer conditions: Changes in production, demand or competing capacity, or a customer’s ability to perform.
  • Other disclosed exposures: Weather, litigation and cybersecurity where relevant to the issuer’s operations and filings.

MPLX’s 2025 filing, for example, identifies risks including producer drilling and throughput changes, competitor capacity, unscheduled shutdowns, regulation, and project approval and execution. That list illustrates risks to investigate; it does not establish that every risk applies in the same way to another issuer.

8. How should you compare two midstream companies?

Use the same reporting periods and definitions wherever possible. If one issuer’s measure cannot be reconciled with another’s, mark the comparison as limited rather than treating similar labels as equivalent.

Debt capacity Leverage, interest or fixed-charge coverage, liquidity, covenant headroom and maturities.
Investor structure Distribution or dividend policy, payout coverage, governance rights and entity or tax structure.
Execution and external risk Operational, environmental, regulatory, customer and project exposures disclosed by each issuer.

Only after this operating, financial and structural comparison should you assess the security’s valuation using current market data. The company examples and filings described here do not establish a current valuation, yield or expected return for any named issuer.
