Evaluate a corporate bond as a specific debt contract, not merely as a bet on the issuing company. Before placing an order, verify the issue’s maturity, coupon, price, yield, call terms, security, seniority and covenants; read the offering documents; test whether the issuer can meet interest and principal payments; and check liquidity, taxes, costs and portfolio fit. A credit rating, coupon or quoted yield can inform that process, but none guarantees repayment.
The workflow below is designed for a U.S. individual investor comparing a particular bond on a particular date. It is general education, not personalized investment, tax or legal advice.
What a corporate bond actually promises
A corporate bond is a debt obligation. You lend money to a company, and the company promises scheduled interest and, generally, repayment of principal at maturity. If the issuer defaults, interest or principal can be delayed, reduced or lost. Your legal rights come from the bond’s offering documents and indenture, not from the coupon printed in a brokerage quote.
Evaluate the exact issue. Two bonds from the same company can have different maturities, collateral, creditor priority, call schedules and recovery prospects. A company-wide credit opinion cannot substitute for reading the terms of the bond you might buy.

Step 1: Identify the exact obligation
Start a worksheet for the bond and fill in every field from the broker’s quote, the official offering documents and FINRA bond data. Record the date and time because price, yield, rating and trading activity change.
- Issuer and legal entity: record the company that is legally obligated, including any subsidiary or finance arm.
- Issue identifier: capture the nine-digit CUSIP when available so searches return the correct security.
- Maturity date: note the date on which the scheduled principal is due, subject to any call or other early-redemption provisions.
- Coupon type and rate: identify fixed, floating, step-up or other structure, and the stated annual rate.
- Payment schedule: record payment frequency, first payment date and any odd first or last period.
- Face value and minimum trade: note the denomination and the amount you would actually purchase.
- Current price: determine whether the quote is a percentage of par or a dollar amount, and whether it is a clean price or includes accrued interest.
- Yield fields: save the quoted yield to maturity, yield to call, yield to worst or other measure, and ask the broker which one is displayed.
- Rating and rating date: capture the agency, rating category and date, then check for later changes.
- Call status: record the first call date, call price and complete call schedule.
FINRA’s Bond Facts resource identifies issuer, maturity, coupon, yield, rating and call status as core facts to inspect. Treat a missing field as an information gap to resolve, not as evidence that the term does not exist.
Step 2: Read the documents that control repayment
Prospectus and offering materials
For a registered U.S. offering, the prospectus describes the offering terms, significant risks, the issuer’s financial condition and intended use of proceeds. Read the sections for the exact series rather than relying on a summary screen. A preliminary prospectus can change before the final document, so confirm the final terms before buying.
Indenture and supplemental terms
The indenture sets the promises and remedies that apply after issuance. Look for definitions of default, notice and cure periods, interest-payment provisions, redemption mechanics, sinking-fund requirements, amendment thresholds and what happens after a merger or asset sale. A covenant may restrict additional debt, liens, dividends, asset sales or transactions that could weaken creditors’ position. Covenants vary widely; do not assume a bond has a protection merely because another bond from the same issuer does.
Security and creditor priority
Secured debt is backed by specified collateral. The documents should identify that collateral and explain how it can be enforced. Unsecured debt relies on the issuer’s general ability to pay. Among unsecured claims, senior debt generally has priority over subordinated debentures, but the actual order depends on the capital structure and legal terms. In bankruptcy, recovery depends on collateral value, competing claims, administrative expenses, guarantees and the negotiated or court-approved resolution. A senior label does not guarantee full recovery.

Issuer filings on EDGAR
For a public U.S. issuer, read the latest annual and quarterly reports and any material-current-event filings on the SEC’s EDGAR system. Compare the balance sheet, income statement, cash-flow statement, debt schedule, notes on maturities and disclosures about defaults, refinancing, guarantees, litigation and restricted cash. Use filings that predate your decision only as historical context; obtain the newest available information before trading.
Step 3: Test whether the issuer can pay
Translate the financial information into a plain-language repayment story. Ask whether the business is generating enough recurring cash to cover interest, mandatory debt repayments and near-term maturities, and whether that capacity would survive a weaker economy or a sector-specific shock.
Quick wins for a faster PC:
Scan for outdated or missing drivers - takes under a minuteDriver Scan →Clear out junk files and repair common Windows errorsFree Scan →Fix the driver behind crashes, sound loss and screen glitchesFind Drivers →Cash generation and upcoming maturities
- Review operating cash flow over several periods rather than one unusually strong quarter.
- Compare cash generation with interest expense and scheduled principal maturities.
- Map maturities by year and identify large refinancing needs.
- Check available cash, committed credit lines and restrictions on moving cash between subsidiaries.
- Separate recurring operating cash from asset sales, temporary working-capital releases or other one-time sources.
Debt ratios, interest coverage and leverage can organize the review, but no universal cutoff was established for every industry or bond structure. A ratio is a warning signal, not a pass-or-fail rule. Interpret it alongside business stability, asset quality, covenant headroom and the timing of maturities.
Business and sector pressure
Identify what could reduce revenue or margins: customer concentration, commodity prices, regulation, competition, refinancing costs, foreign-exchange exposure or a cyclical downturn. Consider whether the company can raise prices, cut costs or sell assets without damaging its ability to operate. A bond with a long maturity gives more time for adverse changes to matter.
How much should you trust a credit rating?
Ratings are estimates of relative credit risk. Use them to establish a starting point and to compare broadly similar issues, then perform your own review. The SEC’s Investor.gov guidance states: “Credit ratings address credit risk only.” Ratings do not measure liquidity, interest-rate or market risk, prepayment risk, tax effects, concentration risk or whether a particular price is attractive.

Check the rating for the specific issue, not just the issuer. A secured or senior issue can have a different rating from subordinated debt. Read the agency’s definitions and rationale, note the date, and look for watch or outlook changes. A high rating lowers neither the possibility of price loss before maturity nor the risk that an unexpected event changes the issuer’s condition.
Coupon, price and yield: compare the numbers correctly
Coupon is a cash-payment rate
The coupon is calculated from face value. A bond with a $1,000 face value and a 4% annual coupon generally pays $40 per year, subject to its payment schedule. The coupon does not tell you the return you will earn when you buy at a discount or premium.
Yield to maturity uses your purchase price
Yield to maturity (YTM) incorporates the purchase price, coupon payments, time to maturity and repayment of principal, under its stated assumptions. It is usually more useful than coupon alone when comparing bonds with different prices. YTM assumes scheduled payments occur and that interim cash flows can be reinvested at the calculated rate; it does not predict the market price you will receive if you sell early and does not remove default risk.
The SEC’s illustrative example uses a $1,000 face value, a 10-year maturity and a 4% coupon. At a price producing a par-like result, the example shows a 4.00% yield to maturity. A discount-priced version shows 5.31%, while a premium-priced version shows 2.84%. These are worked-example figures, not current market quotes or promised returns.
| Illustrative position | Face value | Maturity | Coupon | Illustrative YTM | What changes |
|---|---|---|---|---|---|
| At or near par | $1,000 | 10 years | 4% | 4.00% | Price is close to face value. |
| Discount price | $1,000 | 10 years | 4% | 5.31% | The discount adds a potential gain toward face value if payments and maturity repayment occur. |
| Premium price | $1,000 | 10 years | 4% | 2.84% | The premium reduces the return toward face value if held to maturity. |
Accrued interest and transaction costs
A bond bought between coupon dates generally includes accrued interest paid to the seller, then returned to you in the next coupon payment. Ask whether the displayed price is clean or dirty and what you will pay in total. Include the broker’s markup or markdown, commissions if any, and other transaction charges when comparing expected returns.

Check call provisions and reinvestment risk
A callable bond lets the issuer redeem the debt before maturity under specified conditions. The issuer is more likely to call when market rates fall or its refinancing options improve, which can end your higher coupon just when comparable new bonds offer less income.
Terms to record
- First call date: the earliest date the issuer may redeem.
- Call price: the amount paid, which may be above, at or below par depending on the schedule.
- Call schedule: later dates and prices, including any make-whole or extraordinary-redemption clauses.
- Protection period: the time before ordinary calls are allowed.
Compare yield to call for each plausible call date and yield to worst, where available. Yield to worst is a comparison tool under stated redemption assumptions, not a guarantee that the issuer will call or that it will not default. Ask the broker exactly which yield is shown on the order screen. If the bond is called, your replacement investment may earn a lower rate, creating reinvestment risk.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Map the bond’s risks to your holding plan
Credit and default risk
The issuer may miss interest, delay principal or enter a restructuring. Higher-yield bonds generally offer more yield because investors perceive more risk; the extra yield is compensation, not a free increase in return. Read default definitions and remedies in the indenture and consider how recovery would differ by seniority and collateral.
Interest-rate and duration risk
Bond prices generally move inversely to market interest rates. When rates rise, an existing bond’s price typically falls; when rates decline, its price typically rises, all else equal. Longer maturities generally have greater sensitivity than shorter bonds of similar credit quality. Duration is a measure of that sensitivity. A plan to hold to maturity does not prevent a paper loss or force you to receive face value if you must sell early.

A thinly traded bond may be difficult to sell quickly at a fair price. Review recent trade activity, number of trades and sizes in FINRA Fixed Income Data. A lack of recent trades can mean a wide bid-ask spread or a quote that is stale. Past trading does not guarantee future liquidity, especially during market stress.

Call and prepayment risk
Early redemption can remove the income stream you selected and leave you reinvesting when rates are lower. Treat a high current yield with caution if the bond can be called soon at a price that limits your gain.
Tax risk
Tax treatment varies by bond structure and your circumstances. Compare after-tax income and gains, including the treatment of premium amortization, market discount, original-issue discount and state taxes where relevant. Obtain individual tax advice when the consequences are material.
Concentration and suitability risk
Consider your time horizon, need for access to cash, income and net worth, objectives, risk tolerance and other holdings. Concentrating in one issuer, sector or maturity can magnify a bond-specific problem. Diversification can reduce concentration exposure but cannot eliminate default, price, liquidity or call risk.

Verify market data before you place an order
- Search the CUSIP in FINRA Bond Facts. Confirm issuer, maturity, coupon, rating and call status against the offering documents.
- Review FINRA Fixed Income Data and TRACE information. Eligible transaction records can show time, price, yield and size. Use the history to judge activity and potential liquidity, not to assume a future execution price.
- Check the latest SEC filings. Look for new debt, tender offers, defaults, covenant changes, acquisitions, asset sales and revised guidance.
- Ask the broker for an all-in quote. Request bid, offer, accrued interest, markup or markdown, commission and settlement date.
- Confirm the yield convention. Ask whether the figure is YTM, yield to call, yield to worst, current yield or another calculation, and what assumptions drive it.
- Save the documents and quote. Keep the prospectus, indenture, trade confirmation and calculations that supported your decision.
FINRA’s investor guidance emphasizes assessing maturity, security provisions, yield, call status, tax treatment and credit rating before buying a bond. Those checks should be completed for the specific issue and date, not copied from an older quote.
Red flags that should pause a purchase
- The CUSIP, maturity or coupon in the quote does not match the official documents.
- The broker shows one yield but cannot explain whether it is to maturity or an early call.
- A large yield premium is presented without a clear explanation of credit, call, liquidity or structural risk.
- Recent filings reveal a near-term maturity wall, covenant breach, going-concern warning or rapidly weakening cash flow.
- The bond has little recent trading activity and you may need the money before maturity.
- The issue is subordinated or structurally junior to debt at operating subsidiaries, but the quote highlights only the issuer’s general rating.
- You cannot obtain the prospectus, indenture or complete call schedule.
- The purchase would create a concentration that conflicts with your time horizon, liquidity needs or risk tolerance.
A repeatable pre-investment checklist
- Write down the issuer, legal entity, CUSIP, maturity, coupon, payment dates, price and face amount.
- Read the prospectus, indenture and supplemental terms for security, seniority, covenants, defaults and calls.
- Review current EDGAR filings, debt maturities, cash generation and material business risks.
- Use the rating as one input; record its date and remember that ratings address credit risk only.
- Calculate or verify YTM and relevant call-related yields using the actual purchase price and all costs.
- Inspect TRACE or other FINRA trade information for activity, spreads and recent transaction sizes.
- Estimate after-tax income and decide whether the bond fits your time horizon, liquidity needs and other holdings.
- Ask the broker for a final all-in quote and document the assumptions before submitting an order.
- Set a monitoring plan for filings, rating changes, call notices, covenant events and your own need for liquidity.
If you cannot explain how the bond gets repaid, what could interrupt payment, what you would receive in an early call and how you would exit, you have not finished evaluating it.
