Evaluate a construction-equipment supplier by matching its financial capacity to your actual exposure: contract value and duration, equipment and parts criticality, switching time, and the cost of a disruption. A profitable income statement alone is not enough. Check liquidity, debt terms, cash conversion, inventory funding, rental-fleet demands, payment behavior, ownership structure, and the supplier’s ability to keep operating through a downside scenario.

The most useful process combines financial statements and credit data with contract, operational, and commercial evidence. The result should be a documented risk decision with proportionate protections and a monitoring schedule—not a pass/fail verdict based on one ratio.

What financial health means for an equipment buyer

Financial health is the supplier’s practical ability to pay employees and vendors, fund inventory and service operations, refinance or repay debt, and deliver your contract for its full term. The same weak metric can require different action depending on the exposure. A dealer supplying non-critical attachments that can be replaced in days presents a different risk from a dealer providing specialized machines, proprietary parts, or field service that would stop a project if interrupted.

Start by defining the risk you are trying to control. Record the contract’s total value, duration, payment timing, advance payments, retention, warranty obligations, service-level requirements, critical equipment and parts, and realistic replacement options. Include the time and cost to qualify another supplier, transport replacement equipment, obtain parts, and preserve manufacturer support. The UK Government Commercial Function’s supplier-standing guidance, updated 30 September 2026, frames assessment around a supplier’s capacity to perform a specific contract. It is written for UK central-government departments and related public bodies, so use its methods as a documented framework rather than as a universal legal test or an equipment-dealer scorecard.

Criticality changes the response

  • Low criticality: A readily substitutable supplier may be managed with normal credit terms and periodic checks.
  • Medium criticality: Consider exposure limits, current financial information, backup sourcing, and tighter payment controls.
  • High criticality: Require deeper diligence, contractual notification of material changes, contingency stock or service arrangements, and more frequent monitoring.

Do not confuse a supplier’s size with resilience. A large group may have substantial resources but still leave the contracting subsidiary short of cash; a smaller specialist may have strong cash generation and low leverage. Assess the legal entity that owes you performance and the support that entity can actually access.

Step 1: Identify the contracting entity and your exposure

Before reading a credit report, confirm exactly who will invoice you, own or lease the equipment, employ service technicians, hold inventory, and carry warranty obligations. Match every financial document to that legal entity. Similar names within a corporate group can conceal different debt, assets, and guarantees.

Build an entity map

  1. Confirm the counterparty: Record the full legal name, registration number, jurisdiction, trading names, and registered address shown in the proposed contract.
  2. Map ownership: Identify the immediate parent, ultimate parent, subsidiaries involved in delivery, and any guarantor. Note which entity owns rental assets, inventory, premises, and service staff.
  3. Check support: Determine whether a parent guarantee, keep-well, shared facility, cash-pooling arrangement, or intercompany loan exists. Ask whether support is legally committed, subject to conditions, or merely customary.
  4. Map obligations: Identify key subcontractors, original-equipment-manufacturer relationships, and third parties whose failure could prevent delivery.

Government guidance says monitoring may include the supplier, key subcontractors, guarantors, and relevant ultimate parent, while considering whether entities are ring-fenced and independently viable. A group relationship is not proof that cash will be available when the operating company needs it.

Quantify the exposure

List committed spend, unreturned deposits, equipment on rent, outstanding service work, parts orders, warranty claims, and potential delay costs. Distinguish amounts already paid from future payments. Note whether your payment terms create a supplier-financing effect—for example, a large advance or long period between delivery and payment. This exposure determines how much evidence and protection are proportionate.

Step 2: Obtain and normalize the evidence

Request the latest audited or reviewed financial statements when available, prior years for trend analysis, current interim figures, and a clear reporting date. Add a debt and facility schedule, covenant certificate, aged receivables and payables, inventory detail, and cash-flow information. Ask for the accounting basis, fiscal year-end, currency, and any changes in consolidation or accounting policy.

Core information request

  • Audited or reviewed statements for at least the latest year and preceding comparative periods.
  • Current management accounts or interim statements, with year-to-date and prior-year comparisons.
  • Cash-flow statement and a bridge from operating profit to operating cash flow.
  • Debt schedule showing lender, facility type, drawn and undrawn amounts, interest rate, maturity, amortization, security, and covenants.
  • Receivables aging by customer and payables aging by vendor, including overdue balances and disputed items.
  • Inventory listing by new equipment, used equipment, parts, rental fleet, age, and estimated realizable value.
  • Capital-expenditure commitments, lease liabilities, guarantees, litigation, tax arrears, and contingent obligations.
  • Material post-balance-sheet events, acquisitions, closures, refinancing, covenant waivers, or changes in ownership.

Compare management figures with public filings and credit information, then test whether the numbers fit observed payment, delivery, and service performance. The government framework recommends checking bidder-submitted figures against underlying statements or supporting documents.

Handle missing information explicitly

Private suppliers may not disclose facility headroom, covenant calculations, or detailed borrowing terms. Ask proportionately for information needed to understand your exposure, record what was unavailable, and reduce confidence in conclusions where evidence is thin. Do not turn an undisclosed covenant into an assumption that no covenant exists.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Step 3: Read operating performance and cash conversion

Analyze revenue, gross margin, operating profit, and operating cash flow across several periods. Look for deteriorating margins, recurring operating losses, shrinking cash generation, or a widening gap between reported earnings and cash. A single profitable year can be misleading if it includes a disposal gain, acquisition accounting, one-time insurance proceeds, or temporary inventory release.

Questions to ask about the trend

  • Are sales growing because of sustainable unit demand, or because prices, acquisitions, or one-off deliveries changed?
  • Is gross margin stable across new equipment, used equipment, parts, service, rentals, and rental-equipment sales?
  • Does operating cash flow broadly track operating profit over time?
  • Are receivables growing faster than revenue, suggesting slower customer collection?
  • Is inventory increasing faster than sales, and is older stock being discounted?
  • Did acquisitions, closures, restructuring, or unusual charges distort the latest period?
  • What happened after the reporting date—profitable trading, losses, refinancing, or a major customer departure?

The UK guidance discusses adjusting interpretation for one-off costs and subsequent profitable or loss-making activity. Make each adjustment visible in your memo rather than silently replacing reported results.

Understand the dealer’s revenue mix

Construction-equipment dealers commonly combine new and used equipment sales, parts, repair and maintenance, rentals, and sales of rental equipment. Alta Equipment Group’s 2025 Form 10-K describes those activities for that issuer; it is an example of a dealership model, not evidence of an industry-wide ideal mix. A decline in a high-margin service or parts line may matter differently from a temporary fall in new-equipment deliveries. Ask which lines generate recurring cash and which consume working capital.

Step 4: Test liquidity, debt service, and refinancing risk

Liquidity is the ability to meet obligations when they fall due, using cash and funding that is genuinely available. The UK guidance states: “In terms of immediate risk, lack of access to liquidity is the typical cause of financial failure.” Therefore, examine cash access—not just accounting profit or net assets.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Liquidity checklist

  • Unrestricted cash and cash equivalents, separated from trapped, pledged, or customer-restricted cash.
  • Quick assets and short-term liabilities, with working-capital needs by month if seasonality is material.
  • Committed facilities, undrawn headroom, current drawdown, and whether the lender can cancel or reduce availability.
  • Covenant tests, current cushion, testing dates, waivers, and consequences of breach.
  • Debt maturities, amortization schedule, bullet repayments, interest-rate resets, and refinancing dependencies.
  • Security granted over inventory, receivables, rental equipment, property, or other assets.
  • Reliance on a parent or another group company for cash, guarantees, or centralized treasury.

Ask whether a facility is committed or merely an uncommitted line that can disappear in stress. A heavily drawn facility with little covenant headroom leaves less room for a seasonal inventory build or a delayed customer payment. A near-term maturity can create refinancing risk even when current ratios look comfortable. The 2026 government guidance says funding lines are typically considered for replacement 12–18 months before maturity; treat that as guidance in its procurement context, not as a universal contractual deadline.

Working-capital profile

Answer the exact question, “What is the working capital profile of the supplier?” Examine how long cash is tied up in equipment and parts, how quickly customers pay, and how much supplier credit is available. A dealer can report positive working capital while still facing a cash squeeze if inventory is slow-moving or receivables are concentrated in distressed customers. Separate normal seasonal borrowing from a persistent increase in borrowing required to maintain the same sales level.

Step 5: Calculate ratios as a connected set

Use consistent definitions and compare each measure over time. Ratios are signals, not automatic pass/fail thresholds. The GOV.UK guidance publishes example bands for sectors including construction, engineering, and facilities management, but it does not label them as construction-equipment-dealer standards. Tailor any threshold to the supplier’s business model, reporting period, contract exposure, and jurisdiction.

Measure Formula What it helps answer Important limitation
Free cash flow to net debt Free cash flow ÷ net debt; free cash flow is operating cash flow less capital expenditure. Can the business generate cash to reduce debt after maintaining its assets? Results can be distorted by working-capital timing, unusually low capital expenditure, or negative net debt.
Net debt to EBITDA Net debt ÷ EBITDA. How large is debt relative to operating earnings? If EBITDA is negative, the guidance treats the result as high risk unless net debt is also negative. EBITDA does not equal cash available for debt service.
Interest paid cover Operating profit ÷ interest paid. How comfortably do operating earnings cover interest under this definition? It can deteriorate quickly when rates reset or operating profit falls, and it excludes principal repayments.
Acid or quick ratio (Current assets − inventories) ÷ current liabilities. Can liquid current assets cover short-term liabilities without selling inventory? It omits the possible speed of inventory realization and does not capture all committed or contingent funding sources.
Net assets Total assets less total liabilities. What accounting capital remains after recorded obligations? Book values may not equal recoverable values for used equipment, rental assets, goodwill, or specialized inventory.
Operating margin Operating profit ÷ revenue. How much operating profit is generated from sales? Compare like periods and business mixes; a margin change may reflect a shift between equipment, parts, service, and rental activity.

Use averages where timing matters

For construction-related businesses, a single year-end net-debt balance can be affected by payment timing. The GOV.UK guidance suggests that average month-end net debt may be more representative than a reporting-date snapshot in such cases. Calculate both when monthly data is available and explain the difference.

Step 6: Adjust for dealership economics

Generic distributor analysis can miss the way equipment dealers fund and monetize assets. Investigate the following areas separately.

New-equipment inventory and floor-plan funding

Ask which units are financed on floor plan, the age and sell-through of each unit, when promotional or interest-free periods expire, and whether the lender has recourse or other restrictions. Confirm who bears interest, curtailment, insurance, and repurchase obligations. Alta Equipment Group’s SEC filing says that, for its presentation, floor-plan financing on new equipment less than one year old is treated as working capital rather than corporate indebtedness. That is the issuer’s accounting and risk presentation; do not apply it to another dealer without checking its terms and accounting policy.

Used equipment

Review aging, valuation methods, auction or wholesale comparables, title status, refurbishment costs, and the proportion of stock that has been carried through more than one selling season. Falling market prices can force write-downs and reduce collateral value at the same time that lenders tighten advance rates.

Rental fleet and capital expenditure

Determine how much cash is committed to rental assets, fleet age, utilization, maintenance spending, disposal assumptions, and replacement commitments. A dealer may show operating profit while requiring substantial capital expenditure to keep a rental fleet productive. Check lease liabilities and guaranteed residual values alongside owned assets.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Parts, service, and warranty obligations

Parts availability and technician capacity often determine whether a supplier can meet service levels. Examine parts inventory turns, back orders, service labor demand, warranty reserves, and unpaid warranty claims. A balance-sheet weakness can become an operational failure if the dealer cannot buy parts or retain technicians.

Seasonality and concentration

Some northern territories experience winter seasonality, as described in Alta Equipment Group’s filing. Map the supplier’s own seasonal cash trough, not a generic calendar. Also measure dependence on one OEM, territory, major customer, or financing partner. Concentration does not prove distress, but it magnifies the effect of a lost franchise, delayed shipment, or withdrawn credit line.

Step 7: Use commercial credit data as a cross-check

A business credit report can add identity verification, payment patterns, peer comparisons, and a risk trajectory. Dun & Bradstreet describes its Viability Rating as a four-part measure: a viability score, portfolio comparison, data-depth indicator, and company profile. Its stated viability score compares the likelihood that a US business will no longer be in business within 12 months with other US businesses in its data cloud.

Interpret a score responsibly

  • Confirm the rated legal entity, address, subsidiaries, and reporting date.
  • Check the peer group and geography; a US 12-month estimate is not a universal probability for a supplier in another country.
  • Read the data-depth indicator. Financial statements provide richer predictive information than firmographic-only data, according to the methodology.
  • Look for payment experiences, delinquency trends, legal filings, and recent updates rather than relying on one headline score.
  • Use the report to challenge or corroborate your statement analysis, never as a guarantee or replacement for contract-specific diligence.

A thin-data rating should reduce confidence, not create false precision. Record the score date and the information available when you made the decision.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Step 8: Stress-test the supplier against your contract

Build a small downside analysis using facts from the supplier’s business. Model a delayed major-customer payment, a 10–20% fall in equipment sales, slower inventory turnover, higher interest rates, an OEM supply interruption, or a large warranty campaign only when those assumptions are plausible and clearly labeled. The purpose is not to forecast a failure probability; it is to see whether cash, covenants, and service capacity remain adequate.

Stress-test questions

  • How many months of payroll, parts purchases, and debt interest can unrestricted cash cover?
  • Would the supplier breach a covenant if EBITDA fell or inventory days increased?
  • Could it fund required fleet replacement and warranty work without drawing beyond committed headroom?
  • What happens if floor-plan interest-free periods expire before units sell?
  • How quickly could another supplier provide equivalent machines, parts, and technicians?
  • Which mitigation protects your project if the supplier cannot perform for 30, 60, or 90 days?

Document assumptions, source data, and sensitivity rather than presenting the scenario as an expected outcome.

Step 9: Turn findings into a documented decision

Use a risk memo or banding system that records the evidence, trend, uncertainties, exposure, and chosen controls. There is no universal weighted score for construction-equipment suppliers. Weight factors according to contract criticality and substitute availability.

Decision area Evidence to compare Possible buyer response
Cash generation Operating cash flow, free cash flow, trend, and cash-to-earnings conversion. Ask for updated figures, limit unsecured exposure, or align payment with verified delivery.
Liquidity and facilities Unrestricted cash, undrawn committed headroom, covenant cushion, and maturities. Seek evidence of committed funding, security, or a parent guarantee where proportionate.
Leverage and debt service Net debt, EBITDA, interest cover, amortization, and bullet repayments. Escalate review, set exposure limits, or require advance-payment protection.
Inventory and floor plan Age, sell-through, curtailments, valuation, and lender restrictions. Stage orders, avoid excessive deposits, and verify title and release conditions.
Operational resilience Parts, service labor, rental fleet, OEM and customer concentration. Approve alternate sources, critical spares, or service-continuity arrangements.
Transparency and data quality Timeliness, entity match, statement depth, and willingness to explain variances. Increase monitoring or make information delivery a contractual obligation.

Possible controls include adjusted credit terms, staged or escrowed payments, an appropriate parent guarantee, security, exposure caps, alternate sources, and contingency inventory. These are options to match the risk—not automatic remedies for a single weak ratio.

Step 10: Set monitoring and escalation triggers

Financial standing can change between annual accounts. Monitor financial metrics together with delivery KPIs and commercial behavior. Warning signs include requests for early payment, sudden changes in payment practices, repeated missed deliveries, unexplained parts shortages, staff departures, sale-and-leaseback transactions, covenant waivers, or a new dependence on one lender or parent entity.

Choose a cadence based on exposure

In the UK public-sector context, the 2026 guidance calls for at least annual financial-standing review of key suppliers for Gold and Silver contracts and other key suppliers. It recommends reviews every six months or less for suppliers considered critical or at more than low risk of failure. Private and non-UK buyers should set their own cadence according to contract value, criticality, switching time, and access to current information.

Define escalation triggers in advance

  • Material covenant breach, waiver, or loss of committed facility.
  • Debt maturity inside the period needed to refinance, especially without documented lender support.
  • Sharp fall in cash generation, rapid inventory build, or overdue taxes and trade payables.
  • Credit-report deterioration, adverse legal filings, or a change in the rated legal entity.
  • Requests to change agreed payment terms, deposits, ownership, warranty coverage, or delivery sequence.
  • Failure to provide agreed financial information or unexplained divergence between management figures and filed accounts.

For each trigger, assign an owner, a decision deadline, and a contingency action. Monitoring is useful only when someone can act on the result.

Comparing two or more suppliers

Compare candidates on the same reporting periods and definitions. A supplier with a lower leverage ratio may still be riskier if its cash is restricted, inventory is obsolete, or its contract entity depends on an unsupported parent. Score or rank only after documenting the exposure each supplier would carry.

Comparison axis What to place side by side
Cash generation Operating cash flow, free cash flow, cash conversion, and multi-period trend.
Liquidity Unrestricted cash, quick ratio, committed headroom, drawdown, and covenant cushion.
Leverage Net debt to EBITDA, interest paid cover, repayment schedule, and maturity concentration.
Inventory funding New and used stock age, floor-plan terms, curtailments, and valuation policy.
Rental and capital needs Fleet utilization, replacement spending, leases, and residual-value exposure.
Operational resilience Parts fill rate, service capacity, OEM dependence, territory coverage, and backup arrangements.
Commercial behavior Payment history, delivery reliability, requests for early payment, and dispute patterns.
Data quality Entity match, statement recency, facility transparency, credit-report depth, and response quality.
Downside capacity Ability to withstand delayed receipts, slower inventory turnover, rate increases, or an OEM disruption.

There is no published universal acceptable ratio cutoff or industry failure rate established for construction-equipment suppliers. Treat benchmark bands from government guidance as contextual examples and explain why your chosen tolerance fits the contract.

Common mistakes and how to correct them

Relying on profit alone

Why it fails: Profit can coexist with weak cash conversion, heavy debt maturities, or restricted cash.

Correction: Reconcile operating profit to operating cash flow, inspect free cash flow, and verify committed liquidity.

Using the wrong group company

Why it fails: A parent’s assets may not be available to the invoicing subsidiary.

Applying a generic ratio threshold

Why it fails: Definitions, sectors, reporting dates, seasonality, and business mixes differ.

Correction: Use consistent definitions, analyze trends, and tailor thresholds to exposure and contract economics.

Ignoring floor-plan and rental obligations

Why it fails: Inventory finance, curtailments, fleet replacement, and residual values can create cash demands not obvious in a simple distributor review.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Correction: Obtain facility terms, inventory aging, fleet utilization, and capital-expenditure commitments.

Treating a credit score as a guarantee

Why it fails: Scores vary by entity, date, peer group, and data depth.

Correction: Read the methodology and data-depth indicator, then corroborate with statements and current behavior.

Checking only at award

Why it fails: Liquidity and commercial behavior can deteriorate during a long equipment or service contract.

Correction: Set a cadence and escalation triggers before signing.

A practical diligence worksheet

Use the following headings in a supplier file or approval memo:

  1. Contract exposure: Value, term, payment structure, advances, critical equipment, service requirements, switching time, and disruption cost.
  2. Entity and ownership: Counterparty, parents, guarantors, operating entities, asset ownership, and enforceable support.
  3. Financial trend: Revenue, margins, operating profit, operating cash flow, free cash flow, net assets, and unusual items across comparable periods.
  4. Liquidity and debt: Cash, quick assets, facilities, headroom, covenants, security, maturities, amortization, and group funding.
  5. Working capital: Receivables and payables aging, inventory age and turns, floor-plan terms, rental fleet, and seasonal troughs.
  6. Operations: Parts, service labor, warranties, OEM and customer concentration, delivery performance, and alternatives.
  7. External cross-check: Credit-report identity, score date, peer group, data depth, payment behavior, and legal filings.
  8. Downside case: Assumptions, liquidity impact, covenant impact, and service consequences.
  9. Decision and controls: Risk conclusion, information gaps, payment terms, guarantees or security, exposure limit, alternate source, owner, and review date.

This structure makes the reasoning auditable and helps procurement, finance, and operations reach the same conclusion about what the numbers mean for the project.

Final decision rule

Approve a construction-equipment supplier when its contracting entity has credible access to cash, manageable debt and maturities, sustainable cash conversion, financeable inventory and rental obligations, and the operational capacity to perform your specific contract. If evidence is incomplete or downside capacity is weak, do not hide the uncertainty behind a score. Reduce exposure, obtain proportionate security or guarantees, establish an alternate source, and monitor the supplier at a cadence that matches the cost of interruption.
