A connected construction deal should not be approved on headline price, a polished demonstration, or a single contractor’s assurances. First define the transaction, asset and technology boundary; then verify contracts, deliverability, economics, cyber-physical dependencies, data and intellectual-property rights, and the visibility of the supply chain. Record evidence, unresolved assumptions, owners and decision dates, and escalate specialist issues before signing or funding.
“Connected construction deal” can mean an acquisition, loan, lease, project-finance investment, joint venture or other commitment involving a construction project, construction company or connected operational technology (OT). The checklist below is a practical framework, not a universal scorecard or legal advice. Adapt it to the jurisdiction, asset class, project stage, financing documents and applicable regulations.
1. Define exactly what is being financed or acquired
Diligence is only useful when the perimeter is explicit. A lender reviewing a corporate borrower, a lessor financing equipment and a project-finance funder are not testing the same risks. Write a one-page deal definition before requesting documents.

Identify the transaction form
| Structure | Primary questions | Evidence to request |
|---|---|---|
| Corporate lending | Can the borrower repay from its overall business, and are construction obligations material to credit risk? | Borrower accounts, forecasts, debt schedule, guarantees, project contracts and covenant package |
| Leasing | Can the lessee pay, and what residual value remains if payments stop or the project is delayed? | Lessee financials, equipment title, maintenance plan, insurance, repossession rights and resale assumptions |
| Project finance | Can this project be built, operated and permitted to generate the forecast cash flow, and are delivery companies and customers creditworthy? | Independent technical, commercial and financial reviews, revenue or offtake commitments, permits, EPC and O&M contracts |
| Acquisition | What assets, liabilities, contracts, people, data and technology transfer with the target? | Corporate records, contract register, claims, IP schedule, security assessments, employee obligations and tax files |
| Joint venture or development partnership | Who funds overruns, controls decisions and bears defects, delay and exit risk? | Shareholders or JV agreement, reserved-matters list, funding calls, deadlock and transfer provisions |
UK government heat-network guidance uses these financing distinctions as examples; the same logic applies elsewhere, but a heat-network example is not an industry-wide benchmark.

Fix the perimeter
- Jurisdiction: Identify governing law, permitting authorities, procurement rules, security regulations and data-protection regimes.
- Project stage: Separate feasibility, design, tender, construction, commissioning, operations, refurbishment and decommissioning risks.
- Asset boundary: State whether the deal includes land, buildings, utilities, plant, networks, control systems, cloud services, maintenance contracts, inventories and spare parts.
- Connectivity boundary: List every OT, building-management, IoT, cloud, remote-maintenance, enterprise-IT and third-party connection included or planned.
- Accountability: Name the sponsor, borrower, owner, designer, main contractor, system integrator, operator, maintainer, lender and customer or offtaker.
Turn the perimeter into a workplan. Each line should show the issue, evidence required, responsible reviewer, due date, decision gate and escalation threshold. Project-finance funders commonly use specialist technical advisers because construction and operating risks require expertise beyond a general credit review.
2. Build an evidence request that can be reconciled
Request complete, executed documents rather than summaries or selected extracts. Establish a version-controlled index and reconcile contradictions between drawings, specifications, schedules, contracts and financial models.
Core document set
- Executed contracts, schedules, amendments, side letters, letters of intent, change orders, guarantees, bonds and interface agreements.
- Corporate structure, authority matrix, board approvals, beneficial ownership and litigation or claims registers.
- Design drawings, specifications, equipment schedules, surveys, geotechnical and utility information, permits and consent applications.
- Master programme, critical path, milestones, long-lead procurement schedule, method statements and commissioning plan.
- Capex breakdown, tender evaluations, approved changes, contingency, cost-to-complete and costed risk register.
- Operating model, maintenance strategy, staffing, spare-parts assumptions, insurance and health-and-safety arrangements.
- OT and IT architecture diagrams, asset inventory, data-flow maps, remote-access register, supplier list and incident history.
- Data, software, design and know-how inventories, licences, assignments, confidentiality terms and open-source disclosures.
- Subcontractor and material-supplier lists, critical-component provenance, modern-slavery or human-rights controls and environmental records.
Test evidence quality
Label each item as executed, draft, proposed, expired, superseded, independently verified or management assertion. Record the date and owner. A model assumption supported only by a marketing presentation should not carry the same weight as a signed commitment, survey, test certificate or third-party report.

3. Review contracts and allocation of risk
A checklist can organize contract review; it cannot replace reading the contracts. The World Bank’s construction contract checklist is expressly intended for use after the underlying contract documents have been reviewed.
Read the complete contract set
- Collect the base agreement and every incorporated schedule, specification, drawing, pricing document, amendment, side letter, change order, guarantee and interface agreement.
- Build a hierarchy-of-documents matrix showing which document prevails when terms conflict.
- Mark obligations that depend on another party’s design, information, approval, permit, utility capacity or software interface.
- Compare the legal text with the commercial model and programme; investigate every mismatch.
- Record missing signatures, unexecuted options, expired notices, unresolved variations and conditions precedent.
Clauses that determine downside
- Scope and design duty: Is the contractor responsible for a defined performance outcome, or merely for following an employer’s design?
- Performance criteria and testing: Are capacity, efficiency, availability, cybersecurity, interoperability and acceptance tests measurable and enforceable?
- Information reliance: Which surveys, site data and third-party information may be relied upon, and who bears errors?
- Delay and cost overrun: Are extension-of-time rules, liquidated damages, compensation events and relief events clear?
- Liability and damages: Examine caps, exclusions, consequential-loss wording, carve-outs, insurance and security packages.
- Defects and warranty: Check notification windows, response times, latent defects, performance retesting and spare-parts obligations.
- Termination and step-in: Establish rights after insolvency, prolonged delay, repeated failure, security incidents or loss of permits.
- Recourse: Verify parent guarantees, bonds, direct agreements, collateral warranties and assignments to lenders or a buyer.
Map interfaces and accountability
For each system and interface, identify who designs, supplies, installs, integrates, commissions, operates, maintains and remedies it. A responsibility matrix should cover civil works, electrical systems, controls, networks, cloud services, data, security monitoring and handover documentation. Specifically test who pays when a defect sits between two contracts or when one supplier’s change breaks another system.
Do not assume the contract allocates consenting, defects, delay, overrun or termination risk clearly merely because a heading appears to address it. The allocation must be tested against the actual wording, governing law and available remedies.
4. Test technical deliverability, cost and schedule
Technical diligence asks whether the promised asset can be delivered, accepted and operated—not whether the concept is attractive.

Request the technical baseline
- Design drawings at the level needed for reliable quantities and pricing.
- Equipment schedules, performance specifications, design calculations and approved alternatives.
- Site, geotechnical, environmental and utility surveys, including evidence of available capacity.
- Contractor method statements, construction sequence, logistics plan and temporary-works design.
- Programme with critical path, float, dependencies, permits, interfaces and long-lead items.
- Procurement status, purchase orders, manufacturing slots, factory tests and delivery terms.
- Commissioning strategy, acceptance-test procedures, training, as-built records and handover plan.
Challenge cost certainty
Separate committed cost from estimate, allowance, provisional sum and contingency. Tie each major cost to a quantity, quotation, contract or transparent assumption. Ask whether a contractor has accepted a fixed-price, defined outcome or whether price will move with design development, inflation, ground conditions, utilities, client changes or commodity exposure.
Reconcile the capex model to the bill of quantities, tender returns, approved changes, procurement commitments and remaining risk. A low headline bid can conceal excluded interfaces, optimistic productivity, unpriced commissioning or a transfer of cost into operations.
Challenge schedule realism
Trace every financing or revenue milestone to physical evidence: design release, permit, factory acceptance, delivery, installation, energisation, integrated testing and operational acceptance. Examine float separately from contingency; a schedule with no credible recovery path is not robust simply because its dates are achievable on paper.
Test external dependencies such as utility connections, land access, planning conditions, customer readiness, specialist labour, imported equipment and software integration. Ask what happens if each dependency slips and whether the contracts provide time and cost relief.
Plan handover and whole-life cost
Handover should include tested assets, certificates, as-built drawings, software and configuration records, credentials transferred through a controlled process, training, maintenance data, warranties, spare parts and incident procedures. Model operating labour, energy, licences, monitoring, cybersecurity, replacement cycles, decommissioning, remediation and migration or transition costs. The UK Digital, Data and Technology Playbook treats whole-life and end-of-life costs as important in public-sector digital projects; use that as a prompt, not a binding rule for every private construction transaction.
5. Verify financing, counterparties and project economics
Connect the return case to evidence rather than to a single financial model output.
Match review to financing structure
- Corporate credit: Review borrower cash generation, leverage, liquidity, covenants, contingent liabilities and the extent to which this project can impair the wider business.
- Leasing: Assess lessee credit, asset title, maintenance, insurability, portability and residual value if payments stop.
- Project finance: Test construction and operating deliverability, commercial robustness, financial resilience, delivery-company credit, customer or offtaker credit and the legal ability to operate.
Stress the assumptions
Run downside cases for delay, capex growth, lower availability, weaker demand, customer default, interest-rate changes, inflation, energy costs, cyber remediation and replacement of a failed supplier. Identify which assumptions are contractual, independently evidenced, management estimates or unsupported placeholders.

Projected returns should tie to signed commitments or credible procurement and customer evidence where applicable. Confirm that permits, land rights, network access, licences and operating consents will exist when revenue is expected to start. Do not present an example from heat-network guidance as a sector-wide return, cost or schedule benchmark.
6. Assess connected OT and cyber-physical risk
Connectivity can improve monitoring, control and maintenance while creating paths into safety-critical or revenue-critical systems. Evaluate each connection as a business and operational decision, not just an IT configuration.
“Before you undertake any design work for new or existing connections to your OT environment, you must ensure you are equipped to make risk-informed decisions about when, how, and where connectivity is permitted within OT systems and to external/third party systems.”
National Cyber Security Centre, OT secure-connectivity guidance, Principle 1
Approve connections deliberately
- State the operational reason and measurable benefit for the connection.
- Identify the asset owner, risk owner, integrator and supplier with authority to approve it.
- Map systems, data flows, trust boundaries, dependencies, protocols, remote paths and safety implications.
- Define acceptable cyber and operational risk, compensating controls and conditions for use.
- Require a documented approval, review date, monitoring owner and removal process.
Check controls and dependencies
- Maintain an accurate asset and connection inventory, including legacy equipment and temporary commissioning links.
- Separate networks or functions where appropriate; mediate remote access and apply least privilege, strong authentication and time-limited vendor access.
- Monitor access and critical events, retain logs, test alerting and define incident escalation.
- Confirm backup, recovery, manual-operation and safe-shutdown procedures, then test them.
- Understand dependencies on cloud platforms, telecommunications, identity services, time sources, electricity, fuel, firmware and specialist vendors.
- Verify patching, vulnerability handling and change control against safety, availability and vendor-support constraints.
Interrogate supplier security
Supplier contracts should permit minimum security requirements, timely updates, access control, digital forensics, protective monitoring, incident notification, cooperation and secure disposal. Check whether the supplier can provide software bills of materials or equivalent component information, vulnerability notices, support lifetimes and evidence of tested recovery. A supplier’s certification or questionnaire is useful evidence but does not replace architecture and control testing.

7. Review ICT suppliers and interoperability
NIST Special Publication 1326, published July 8, 2026, frames ICT-supplier diligence around ownership and control, provenance, resilience, foundational cybersecurity practices and supply-chain tiers. Apply those categories to the ICT suppliers within the deal’s scope; they are not a universal certification or pass/fail test.
Supplier questions
- Who owns and controls the supplier, its key subcontractors and the software or hardware origin?
- Where are products developed, hosted, supported and updated, and which jurisdictions can access them?
- How resilient are manufacturing, support, hosting and replacement channels?
- What baseline security practices, independent assessments and incident history can be evidenced?
- Which fourth parties are material, and can the buyer audit, approve or replace them?
- What happens when a supplier is acquired, exits the market, loses a licence or stops supporting a product?
Define interoperability before purchase
Specify the data that must be exchanged, format, frequency, latency, quality, ownership, authentication, authorization, encryption, monitoring and failure behaviour. Document interface versions and test criteria. Controlled, audited API access and standardized interface guidance are discussed in the UK DDaT Playbook for public-sector digital services; private projects should adapt the principle to their own architecture and obligations.

Require an exit design: exportable data, usable configuration and logs, replacement interfaces, credentials and documentation, transition assistance and deletion or return of data. An interface that works in a demonstration but cannot be operated or replaced independently is a concentration and lock-in risk.
8. Establish data, software and intellectual-property rights
Connected projects create value in drawings, models, datasets, control logic, source code, reports, operating procedures and know-how. They also incorporate third-party and open-source material. Treat rights as an asset and a dependency.
Create an IP and data inventory
- Background IP brought by each party.
- New designs, models, software, configurations, documentation and reports created during the project.
- Operational, sensor, customer, geospatial and performance data.
- Third-party libraries, firmware, standards, imagery and licensed datasets.
- Trade secrets, confidential information and personal data.
Test the rights needed for the deal
For every item, record owner, contributor, licence, permitted users, territory, duration, modification rights, sublicensing, transferability, security restrictions and obligations at termination or sale. Check whether the lender, buyer, operator, successor and replacement supplier can access and use the material needed to operate, maintain, audit, defend or dispose of the asset.
Look for missing assignments, contractor claims, incompatible open-source terms, licences tied to an individual or supplier, restrictions on data export, and confidentiality terms that prevent disclosure to financiers or regulators. UK guidance emphasizes that formal IP diligence supporting legal or transactional decisions should be led or signed off by a qualified IP professional.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.9. Trace the construction supply chain
Construction often involves many subcontractors, labour providers, manufacturers, logistics firms and material suppliers. Fragmentation can reduce visibility, traceability and accountability, especially below the prime contractor.
Prioritize material tiers
Trace upstream parties where failure could affect critical delivery, safety, environmental or human-rights performance, cyber security, quality or continuity. Start with critical equipment, structural materials, high-risk geographies, sole-source components, software-enabled products and suppliers with access to OT or sensitive data.
- Obtain ownership, location, capacity, financial-health and sanctions or compliance information where relevant.
- Check quality systems, origin records, chain-of-custody evidence, labour practices and environmental permits.
- Identify single points of failure, alternate sources, inventory buffers and substitution approvals.
- Confirm flow-down clauses for safety, cyber security, reporting, audit, incident response and termination.
- Map who is accountable when a lower-tier problem reaches the owner or lender.
Satellite imagery, drones and similar tools can support environmental or site monitoring, but they are aids to governance and verification, not substitutes for records, inspections, interviews and contractual accountability.

10. Compare competing deals or delivery options consistently
When there is more than one project, contractor, technology stack or financing structure, compare the same dimensions. The available official guidance does not establish universal weights or pass/fail thresholds, so make your weighting explicit and obtain approval for it.
| Comparison axis | Questions to answer | Evidence quality to prefer |
|---|---|---|
| Transaction and risk allocation | Who controls decisions, funds overruns, bears defects and can step in or exit? | Executed agreements, guarantees, security and responsibility matrix |
| Design maturity | Is the design sufficiently defined for cost, interface and acceptance certainty? | Issued drawings, calculations, surveys, tested prototypes and independent review |
| Cost and schedule | Which amounts and dates are committed, and which depend on optimistic assumptions? | Orders, quotations, programme logic, contingency analysis and critical-path evidence |
| Project and counterparty credit | Can the asset earn or save the forecast amount, and can each key party perform? | Signed commitments, historical performance, audited financials and stress cases |
| Security and interoperability | Can systems be connected, monitored, recovered and replaced without unsafe dependency? | Architecture, threat and risk assessments, test results, contracts and exit plan |
| Data, IP and permissions | Will the funded party have durable rights to operate, audit, transfer and sell? | Assignments, licences, data schedules, source or escrow arrangements and consents |
| Supply-chain visibility | Are critical tiers known, accountable and replaceable? | Tier maps, provenance records, audits, alternate-source plans and flow-down terms |
| Whole-life and exit cost | What will operation, replacement, remediation, decommissioning and migration cost? | Lifecycle model, maintenance evidence, support terms and transition plan |
11. Use decision gates and escalation rules
A disciplined process prevents unresolved assumptions from disappearing into a closing timetable.
- Perimeter gate: Confirm transaction structure, jurisdiction, asset boundary, technology boundary, parties and decision rights.
- Evidence gate: Close the document index, classify evidence quality and identify missing documents that could change the decision.
- Deliverability gate: Reconcile design, programme, procurement, cost, permits, interfaces and handover.
- Rights and security gate: Confirm contractual remedies, OT approvals, supplier controls, data/IP rights and exit portability.
- Economics gate: Stress cash flow, counterparty performance, delay, overrun, demand and replacement scenarios.
- Commitment gate: List conditions precedent, required amendments, specialist sign-offs, monitoring covenants and post-close actions.
Escalate immediately when you find
- An unsigned or conflicting contract controls a critical obligation.
- A permit, land right, utility capacity or customer commitment is assumed but not evidenced.
- A fixed-price or completion claim excludes major interfaces, commissioning or ground risk.
- Critical OT connectivity lacks an owner, approval record, monitoring or safe fallback.
- A supplier can access systems or data without controlled, logged and revocable access.
- Operating, software, licence or data rights end on termination or cannot transfer to a buyer.
- A sole-source component, subcontractor or cloud service has no credible replacement plan.
- Projected returns depend on a date, volume, price or performance level with no signed support.
For each escalation, state the decision required: obtain evidence, amend the contract, add security or financial protection, reprice, reserve funds, defer a milestone, or stop the deal. Assign an owner and deadline; an unresolved risk without an accountable action is not a mitigated risk.
Do these 3 things before closing this tab:
1Repair Windows errors before they cause bigger problems2Scan for outdated or missing drivers - takes under a minute3Clear out junk files and repair common Windows errors12. Specialist reviews and limits of this checklist
Use qualified specialists where the consequence or technical complexity exceeds the deal team’s competence. Typical reviews include construction and commissioning, geotechnical and environmental, insurance, tax, permitting, financial modelling, cybersecurity, OT safety, data protection, IP, sanctions, employment and human-rights diligence.
The frameworks cited here have defined scopes. UK heat-network guidance illustrates project-finance and technical questions; National Cyber Security Centre guidance addresses OT connectivity; NIST Special Publication 1326 addresses ICT suppliers; the UK DDaT Playbook is written for public-sector digital delivery; and UK IP guidance is jurisdiction-specific. Translate each principle into the country’s law, the asset’s regulations and the actual transaction documents.
No universal legal threshold, valuation benchmark or numerical diligence score follows from these frameworks. The sound outcome is an evidence-backed decision with known residual risks, enforceable protections, realistic whole-life economics and a documented reason to proceed, renegotiate or walk away.
