Evaluate a commercial real estate (CRE) services company by following its revenue from the service provided to the event that earns the fee, then test how transaction conditions, people, balance-sheet obligations and valuation assumptions affect cash generation. The central question is not how large the company is; it is how much of its earnings are contracted and repeatable, how much depends on property transactions or financing markets, and whether the price already assumes a favorable cycle.
Use the company’s latest annual report, segment disclosures, management discussion and analysis (MD&A), debt notes and risk factors. Compare it with businesses that have a similar service mix, geography and financial risk. The examples below use company-reported information from 2025 Forms 10-K for CBRE Group, Jones Lang LaSalle (JLL) and Marcus & Millichap (MMI); they illustrate different models and are not investment recommendations.
1. Define what you are actually buying
A CRE services company may be a broker, an outsourced property operator, a project manager, an investment adviser, or a combination of these. Those activities can have very different revenue timing and margins. Before looking at a valuation multiple, write a one-page description of the company’s economic engine.
Separate the major service lines
- Investment sales and leasing brokerage: commissions are generally earned when a sale closes or a lease is executed. Pipeline and completed transactions matter more than signed mandates.
- Financing and capital markets: fees depend on debt or equity financing that reaches completion. Interest rates, lender capacity and investor risk appetite can change volumes quickly.
- Property and facilities management: contracts can produce recurring fees, but renewals, occupancy, client budgets and pass-through costs affect durability and margins.
- Project management and development services: revenue follows construction, renovation or development activity and may include milestone-based or incentive components.
- Valuation and advisory: assignments may be recurring or episodic. Demand can rise when owners need appraisals, restructuring advice or portfolio reviews.
- Investment management: management fees may recur on assets under management, while incentive fees depend on investment performance and realization events.
Reported segment names are not standardized. Reclassifications, shared corporate costs and acquisitions can make two similarly named segments economically different. Rebuild the comparison around the underlying services and fee triggers rather than copying labels from each issuer.

Identify the company’s mix of durable and cyclical revenue
CBRE describes four segments—Advisory Services, Building Operations & Experience, Project Management, and Real Estate Investments—and says its model contains both resilient and non-recurring revenue sources (CBRE Group, Inc., 2025 Form 10-K). JLL describes a global platform across property types and services and includes LaSalle Investment Management (Jones Lang LaSalle Incorporated, 2025 Form 10-K). These descriptions indicate breadth, not a guarantee that earnings will be defensive in every market.
2. Trace each dollar to the event that earns it
For every material revenue stream, answer five questions: What service is delivered? What event creates the right to payment? Is the fee recurring? Who bears the costs of subcontractors or third parties? How much time can elapse between work performed and cash collected?
Build a fee-trigger map
| Revenue type | Typical earning event to verify | Questions for the filing |
|---|---|---|
| Sales brokerage | Property sale closes | Are commissions paid at closing, in stages, or subject to clawbacks? How large is the backlog versus completed volume? |
| Leasing brokerage | Lease execution or commencement | Are fees based on contract value, rent, occupancy or milestones? What happens if a tenant or landlord terminates? |
| Financing fees | Loan or capital transaction closes | How sensitive are volumes to rates, lender availability and refinancing needs? |
| Management contracts | Service delivered over a contract period | What are renewal rates, termination rights, pricing escalators and pass-through expenses? |
| Incentive or performance fees | Performance hurdle, asset sale or other specified milestone | Are fees volatile, deferred or reversible? What assumptions affect recognition? |
| Development and project fees | Construction or development milestone | Are projects funded, delayed or cancelled? Which costs are reimbursed? |
CBRE states in its 2025 Form 10-K that its most significant revenue-recognition judgments involve sales and lease commissions, incentive management fees, development fees, and third-party fees for occupier outsourcing and property management. It applies the FASB ASC Topic 606 five-step framework. The filing also cautions: “The timing and amount of revenue recognition in a period could vary if different judgments were made.” Attribute that sentence to CBRE Group, Inc.’s 2025 Form 10-K, not to a named executive.

Check gross versus net presentation
Outsourcing and property-management arrangements may involve costs paid to third parties. Determine whether the issuer records those amounts as revenue and expense (gross) or records only its net fee. Gross revenue can make a company look larger without changing its economics. Use margins, cash flow and the accounting policy—not headline revenue alone—to compare firms.
3. Measure exposure to property and capital-markets cycles
Do not assume that the word “services” means stable earnings. A management contract can recur, while a brokerage commission may disappear when transactions slow. Examine at least several years that include different market conditions.
Use multiple dimensions of diversification
- Service: recurring management and advisory work versus closing-dependent brokerage, leasing and financing.
- Property type: office, industrial, retail, multifamily, hospitality, healthcare and specialized assets can respond differently to supply, demand and credit conditions.
- Geography: country and currency exposure can diversify demand but add exchange-rate and regulatory risk.
- Client: concentration among a few owners, occupiers, lenders or public-sector contracts can magnify the effect of one lost relationship.
- Transaction size: a high share of large deals may create lumpy results even when annual volume appears strong.
MMI says its results are significantly affected by the number and size of commercial property sales and financing transactions it closes. It identifies the economy, CRE supply and demand, capital markets, investor sentiment and investment activity as influences on those transactions (Marcus & Millichap, Inc., 2025 Form 10-K). Compare revenue and operating profit in strong and weak transaction periods; a broad service list does not offset concentration unless the disclosures show that it does.

Read volume and backlog carefully
Pipeline, listings or assets under management are not the same as recognized revenue. Ask how many engagements are exclusive, how long they have been active, what cancellation rights exist and how often signed mandates fail to close. For recurring contracts, inspect renewal and termination information. For incentive fees, separate base management fees from performance-dependent amounts.

4. Analyze financial quality, not just growth
Create a multi-year worksheet using the income statement, cash-flow statement, balance sheet, segment note and MD&A. Record the period, accounting definition and explanation for every change.
Core measures to collect
- Revenue and operating income by segment, geography and service where disclosed.
- Operating margin and margin change, with an explanation of mix, compensation, pass-through costs and acquisitions.
- Operating cash flow, capital expenditure and the conversion of operating income to cash.
- Accounts receivable, contract assets, deferred revenue and working-capital movements.
- Debt balances, maturities, interest rates, covenants, revolver availability and cash.
- Share-based compensation, restructuring charges, acquisition costs and other adjustments.
- Goodwill and identifiable intangibles created by acquisitions, plus impairment testing assumptions.
Separate organic growth from purchased or temporary growth
For each segment, determine whether the change came from completed transactions, pricing, service volume, currency, acquisitions, disposals or a different comparison period. A deal-driven rebound can produce high growth without creating a permanently larger earnings base. Conversely, an acquisition may add recurring contracts but also increase debt, integration costs and goodwill.
Reconcile non-GAAP measures
Read the reconciliation to GAAP for adjusted EBITDA, adjusted earnings or other management measures. Identify recurring exclusions, such as stock compensation or acquisition costs, and decide whether they are truly nonrecurring. Compare cash flow after capital expenditure with the measure used in the valuation. Never substitute an issuer’s preferred metric for a consistent peer definition without explaining the difference.
5. Understand the people and client engine
Brokerage businesses depend on producers, local market knowledge, listings and relationships. Management and advisory businesses depend on trained staff, contract execution and client retention. Review hiring, turnover, compensation, independent-contractor arrangements, non-compete limitations where applicable, and the effect of a senior producer leaving.
MMI’s producer model is a company-specific example
MMI reported 1,808 investment sales and financing professionals at December 31, 2025. It said these professionals were primarily commission-based independent contractors and identified retention, property contracting and transaction closings as factors affecting results (Marcus & Millichap, Inc., 2025 Form 10-K). Do not treat that staffing structure as an industry norm; compare the employment and compensation model of the issuer you are studying.

Test client durability
- Look for customer concentration and the percentage of revenue from repeat clients.
- Check contract length, renewal rates, termination provisions and fee escalators.
- Assess whether relationships belong to the firm, a local office or an individual producer.
- Compare employee retention with revenue per producer or per employee where the issuer provides those measures.
6. Read risks alongside management’s strategy
Risk factors are most useful when tied to a measurable exposure. For example, a statement about interest rates should lead you to financing volume, debt refinancing dates, valuation changes and client demand—not simply a generic note that rates are uncertain.
Risk categories to connect to numbers
- Rates and capital availability: higher borrowing costs can reduce property values, refinancing and transaction volume.
- Economic and property conditions: employment, rents, vacancies, construction and credit losses influence owners’ and occupiers’ decisions.
- Retention: losing producers, managers or major clients can reduce listings, mandates and recurring fees.
- Competition: local specialists, global platforms and technology-enabled providers may pressure fees or win talent.
- Regulation and litigation: licensing, fiduciary duties, antitrust, employment, privacy and transaction disputes can create cost or delay.
- Cybersecurity and technology interruption: outages can affect transaction processing, property operations and sensitive client data.
- Acquisition execution: integration, culture, client migration and goodwill impairment can undermine expected synergies.
MMI expressly warns that forward-looking statements are not guarantees and lists economic conditions, interest rates, retention, competition, technology, regulation and acquisitions among relevant risks (Marcus & Millichap, Inc., 2025 Form 10-K). Compare management’s forecasts with what actually happened in subsequent filings; treat projections as scenarios, not promises.
7. Compare companies on a like-for-like basis
Choose peers with similar services, geography, growth prospects, margins, leverage and transaction exposure. A brokerage-heavy company should not automatically receive the same assumptions as a platform with substantial contracted management revenue.

| Company and period | Company-reported description or measure | How to use it |
|---|---|---|
| CBRE Group, 2025 | Described itself as the world’s largest commercial real estate services and investments firm based on 2025 revenue. | Scale is a company assertion; test whether scale translates into segment margins, cash flow and client retention. |
| JLL, year ended December 31, 2025 | Reported $26.1 billion of annual revenue, operations in over 80 countries and a workforce of more than 113,000. | These are JLL-reported scale figures; verify segment definitions and the proportion generated by recurring versus transaction services. |
| MMI, 2025 | Reported 8,818 sales, financing and other transactions and approximately $50.8 billion of sales volume. | Transaction count and sales volume measure activity, not revenue or profit; check how each is defined and recognized. |
| MMI, 2025 revenue mix | Approximately 84% brokerage commissions, 14% financing fees and 2% other revenue. | This mix indicates substantial transaction sensitivity; confirm the issuer’s definitions and period before comparing. |
| MMI, 2025 brokerage commissions | Approximately 64% came from the $1 million to less than $10 million private-client market. | Use this to examine deal-size and client-market concentration. MMI cautions that market-size information can be imprecise and generally uses data available through the first nine months of 2025 unless otherwise indicated. |
These figures are not directly interchangeable. A workforce count, transaction count, transaction sales volume, segment mix and consolidated revenue answer different questions. Check reporting periods, consolidations, definitions and acquired businesses before building a peer table.
Standardize the comparison
For each company, calculate or collect the same measures: recurring contracted revenue, transaction-linked revenue, segment operating margin, operating-cash-flow conversion, net debt, debt maturity profile, acquisition contribution and concentration by client, property type and geography. Mark any cell as “not stated” when the filing does not provide a comparable figure; do not fill gaps with estimates presented as facts.
8. Build a valuation that exposes assumptions
Use more than one method and make the market assumptions explicit. Possible reference points include enterprise-value-to-EBITDA, price-to-earnings, price-to-operating-cash-flow and a discounted-cash-flow model. None is meaningful without a consistent treatment of leases, stock compensation, acquisition costs, minority interests and net debt.

Run at least three operating cases
- Down case: lower transaction and financing volumes, slower contract growth, pressure on margins and higher funding costs.
- Base case: your most defensible assumptions, tied to disclosed service mix, historical ranges and current balance-sheet capacity.
- Up case: stronger transaction activity, successful hiring or acquisitions and operating leverage, with a clear reason each assumption could occur.
Vary transaction volumes, margins, interest rates, currency and acquisition contribution independently where possible. Then show how each change affects free cash flow and implied equity value. Avoid applying a single sector multiple to every dollar of revenue when one company earns recurring management fees and another earns mostly closing-dependent commissions.
CBRE’s filing describes impairment analysis using public-company multiples and discounted cash flow, with assumptions such as growth, profit margins and discount rates. This demonstrates how sensitive value can be to assumptions; it is not a prescribed equity-valuation method or evidence of fair value.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.9. A practical filing-review procedure
Follow this sequence before making an investment decision. Save the filing date and the period covered beside every number so that later updates do not mix years.
- Start with Business and Segments. List services, geographies, property types, client groups and the stated sources of recurring and non-recurring revenue.
- Read Revenue Recognition and Contracts. Record the fee trigger, timing, gross-versus-net treatment and estimates for each major stream.
- Extract five years of financial data where available. Build a segment table for revenue, operating income, margin, cash flow, capital expenditure and acquisitions.
- Study MD&A for causes. Label each change as volume, price or mix, currency, acquisition, disposal, compensation, restructuring or transaction-cycle effect.
- Review the balance sheet and debt notes. Map maturities, variable-rate exposure, covenants, liquidity, lease obligations, goodwill and intangible assets.
- Assess people and clients. Check producer counts, employee trends, contractor arrangements, retention, concentration and contract renewals.
- Read risk factors and legal proceedings. Link each material risk to a metric or scenario in your model.
- Choose comparable companies. Exclude firms whose service mix or geography makes the comparison misleading, or explain the adjustment.
- Model down, base and up cases. Record the assumption behind every change and calculate the resulting cash flow and valuation range.
- Write an investment decision rule. State the price, expected return, downside tolerance, time horizon and facts that would invalidate the thesis. If those inputs are unknown, the analysis is incomplete rather than investable.
10. Common mistakes and how to correct them
Mistake: treating revenue growth as recurring
Correction: split growth into management contracts, advisory work, commissions, financing fees, incentives and acquisitions. Identify the event required for the next dollar of revenue.
Mistake: comparing headline revenue across firms
Correction: check gross-versus-net presentation, segment definitions, currency, consolidation and acquired businesses before calculating margins or multiples.
Mistake: using transaction volume as profit
Correction: reconcile transaction count and sales volume to recognized revenue, commission rates, expenses and operating cash flow.

Mistake: ignoring the producer relationship
Correction: examine retention, compensation, contractor status, concentration of listings and the portability of client relationships.
Mistake: accepting adjusted earnings without scrutiny
Correction: reconcile every adjustment to GAAP and compare it with cash costs and recurring share issuance.
Mistake: valuing the company on one market scenario
Correction: stress transaction volumes, financing conditions, margins, rates and acquisition outcomes separately, then establish a valuation range.

11. Final decision checklist
- Can you explain which services are recurring and which require a closing, financing or performance hurdle?
- Do segment, geography, client and property-type disclosures demonstrate genuine diversification?
- Have you tested revenue, margins and cash flow through both strong and weak transaction conditions?
- Are operating cash flow, capital expenditure, working capital, debt maturities and liquidity adequate for the thesis?
- Have you separated organic performance from acquisitions, currency and accounting changes?
- Is the people model—employees, contractors, producers and managers—compatible with the expected growth?
- Have you connected each major risk to a measurable downside case?
- Are peer metrics defined consistently, with “not stated” used where a comparison cannot be supported?
- Does the valuation still offer an acceptable return under the down case?
- Have you refreshed filings and market conditions immediately before acting?
A CRE services company is investable only when its fee engine, cycle exposure, financial quality, people model and valuation assumptions are understandable together. If any one of those links is missing, pause rather than infer certainty from scale, a broad service list or a single strong year.
