Evaluate a listed bitcoin miner by reconciling three things at the same reporting date: the cash and obligations it can actually access, the movement and purpose of its bitcoin sales, and the execution stage of any artificial-intelligence or high-performance-computing (AI/HPC) project. A large bitcoin treasury, a headline power pipeline, or an announced customer does not by itself prove liquidity, recurring profitability, or a financeable data-center business.

The practical test is a sequence: rebuild liquidity after restricted assets and near-term commitments, roll forward bitcoin from opening balance to closing balance, classify sales by purpose and source, then verify whether the AI/HPC pivot has a contract, funding, construction progress and commissioned revenue. Keep the legacy mining economics in the model throughout.

1. Start with liquidity that can meet obligations

The first question is not “How many bitcoin does the company own?” It is “What resources can it use, when are they available, and what claims rank ahead of shareholders?” Read the balance sheet, debt footnotes, credit-agreement disclosures, collateral descriptions and capital-spending commitments together.

Separate unrestricted cash from restricted cash

Use unrestricted cash and cash equivalents as the starting point. Restricted cash may be trapped in a debt-service reserve, collateral account, construction account or other arrangement. Record it separately and identify the release conditions. A company that reports a large combined cash figure can have much less operating liquidity if a material portion is restricted.

Inventory every debt instrument and maturity

Create a schedule for each term loan, convertible note, equipment loan, revolving facility and other borrowing. For every instrument, record principal, stated interest or effective rate, maturity date, amortization, conversion features, prepayment terms, collateral and financial covenants. Include drawn and undrawn portions of revolvers, because an undrawn commitment may be unavailable after a covenant breach or borrowing-base reduction.

Map collateral and borrowing constraints

Identify bitcoin, mining machines, power contracts, real estate, equity interests and cash that are pledged. A pledged asset may have value, but it is not equivalent to unencumbered liquidity. Read the default and liquidation provisions: a fall in bitcoin prices can trigger margin calls or collateral top-ups before a debt maturity arrives.

Add unavoidable capital spending

Near-term obligations include more than scheduled principal. Add committed miner purchases, deposits, transformer and substation work, data-center construction, leasehold improvements, maintenance capital expenditure and required infrastructure upgrades. Distinguish signed purchase commitments from management’s optional budget. A project described as “planned” should not be treated as a contractual cash outflow, but it also should not be ignored if management has repeatedly stated that the spending is necessary to preserve capacity.

Track equity capacity separately from equity issued

An at-the-market program or shelf registration creates potential funding capacity, not cash. Record shares actually issued, gross proceeds, fees, average issue price and the resulting dilution. Then record remaining capacity and any legal, market or covenant limits. Do not offset debt with hypothetical future equity proceeds.

A dated example: MARA’s reported liquidity and encumbrance

MARA Holdings’ 2025 Form 10-K reported 53,822 bitcoin at December 31, 2025, including 15,315 bitcoin loaned or pledged as collateral. Its June 2026 Form 10-Q reported $421.3 million of cash and cash equivalents, excluding restricted cash, at June 30, 2026. The same filing said total debt fell from $3.6 billion at December 31, 2025, to approximately $2.4 billion at June 30, 2026. These are issuer-specific, date-specific figures; they are not a sector benchmark. The correct analysis asks how much of the bitcoin was unencumbered, what debt maturities remained after June 30, and how much cash was required for operations and committed growth.

Liquidity item What to record Why it matters
Unrestricted cash Cash and equivalents available for ordinary use at the reporting date Immediate funding for payroll, power, interest and suppliers
Restricted cash Amount, account purpose and release conditions May not be usable when a payment is due
Unrestricted bitcoin Coins held without lending, pledge or other commitment Potential liquidity, subject to market depth, volatility and custody risk
Loaned or pledged bitcoin Quantity, counterparty, collateral terms and recovery rights Economic exposure does not equal immediate access
Debt Instrument, principal, rate, maturity, amortization and covenants Defines mandatory cash needs and refinancing risk
Committed capex Signed orders, deposits, construction contracts and timing Competes with debt repayment and treasury holdings
Equity funding Shares issued and remaining authorized capacity Shows actual funding and dilution rather than theoretical capacity

2. Roll forward bitcoin production, sales and holdings

Never infer treasury accumulation from production alone. Build a bitcoin roll-forward for each reporting period:

Opening bitcoin + mined + purchased or received − sold − transferred, loaned or pledged ± other adjustments = closing bitcoin.

Use the notes to explain every material adjustment. A change in quantity can result from a sale, a loan, collateral transfer, acquisition, settlement or accounting reclassification. A change in reported dollar value can occur even when the coin count is unchanged because bitcoin prices move.

Separate production from treasury transactions

Place newly mined coins, purchases, sales of current production and sales of older treasury holdings in separate lines. Then identify whether a loan or pledge changes the company’s access without changing legal ownership. If a filing combines categories, say so rather than creating false precision.

Read the stated use of proceeds

Management’s explanation is an important classification clue, not proof that the decision was good or bad. Proceeds used for electricity, payroll and routine operating costs suggest a different liquidity profile from proceeds used to retire debt, fund a new data center or finance acquisitions. Check whether the stated purpose is consistent with the cash-flow statement and debt balance.

Example: MARA’s reported sales and policy change

MARA’s 2025 Form 10-K reported 8,799 bitcoin mined during 2025, a 7% year-over-year decline, and 53,822 bitcoin held at year-end. The filing said the company changed its policy in 2025 to permit sales of bitcoin generated from operations. It expanded that policy in 2026 to allow sales of balance-sheet bitcoin. Its Q2 2026 Form 10-Q said approximately 23,093 bitcoin were sold for $1.6 billion in the first half of 2026 to fund operations, support growth opportunities and manage liquidity; 35,577 bitcoin remained at June 30, 2026.

Reported item Period or date Interpretation to test
8,799 bitcoin mined Calendar 2025 Production for the year; it does not show how much was retained
53,822 bitcoin held, including 15,315 loaned or pledged December 31, 2025 Gross holdings must be split by access and encumbrance
Approximately 23,093 bitcoin sold for $1.6 billion First half of 2026 Large treasury movement; review the stated operating, growth and liquidity uses
35,577 bitcoin held June 30, 2026 Closing balance after sales and other movements; reconcile the bridge
$421.3 million cash, excluding restricted cash June 30, 2026 Cash available before considering later receipts, payments and restrictions

3. Decide whether bitcoin sales are routine treasury management or funding pressure

A sale is not inherently a distress signal or a value-creating event. Classify it using evidence from several periods.

Signals consistent with routine treasury management

  • The company publishes a standing policy describing when production or treasury coins may be sold.
  • Sales are sized to regular operating expenses, taxes, debt service or a documented rebalancing plan.
  • Cash remains adequate after the sale, and debt maturities are covered without emergency financing.
  • Sales occur at different bitcoin prices and are accompanied by transparent custody and risk-management disclosures.
  • Management continues to fund maintenance capital while avoiding a sharp increase in expensive short-term borrowing.

Signals consistent with funding pressure

  • Sales accelerate as cash falls, borrowing bases tighten or a covenant headroom warning appears.
  • Older treasury holdings are sold in addition to newly mined coins, especially when production alone would not cover obligations.
  • Proceeds are used primarily for payroll, power arrears, interest or mandatory collateral rather than discretionary growth.
  • Debt maturities are near, refinancing is uncertain, or equity issuance is heavily dilutive.
  • The company provides less detail about quantities, prices, counterparties or the destination of proceeds.

These are analytical indicators, not a mechanical diagnosis. A company can sell bitcoin while financially healthy, and a company can retain bitcoin while facing a liquidity squeeze. Compare the timing of sales with cash balances, debt changes, operating cash flow, curtailment, capital spending and subsequent filings.

Account for price and access risk

Bitcoin sales convert a volatile asset into cash but reduce future upside and the inventory available for collateral. If a company sells after a price decline, it may realize less cash per coin; if it retains coins during a decline, reported asset values and collateral capacity can fall without a change in quantity. Custody, exchange limits, settlement timing and counterparty exposure also affect how quickly a stated treasury can become spendable cash.

4. Test an AI or HPC pivot by execution stage

Mining sites can have valuable power rights, land, substations, fiber, cooling systems and construction expertise. Those assets create an option to serve AI/HPC customers, but they do not establish an operating AI business. Classify every project in the highest stage supported by documents.

  1. Exploration or pipeline: management is evaluating sites, customers or technologies. No binding revenue should be modeled.
  2. Announced transaction with conditions: a memorandum, term sheet or announcement exists, but definitive agreements, permits, financing or other conditions remain outstanding.
  3. Signed customer contract: a binding lease or service agreement specifies customer, capacity, term, pricing mechanics and conditions. Check termination rights, credit support and commencement tests.
  4. Financed and under construction: capital sources, site control, procurement and a build schedule are established. Verify that “capacity” means critical IT load or another clearly defined measure.
  5. Commissioned and revenue-producing: power and cooling are delivered, equipment is accepted, the customer is billed and revenue appears in the financial statements.

Record the contract and engineering details

Question Evidence to seek Why it changes the valuation
How much capacity? Critical IT load, gross power, usable megawatts and phase timing Gross site power can overstate billable compute capacity
Who is the customer? Name, credit quality, concentration and parent guarantee One customer can create substantial renewal and default risk
What is contracted? Term, pricing, escalators, minimums, termination rights and expansion options Base-case revenue must be separated from optional upside
Is the site controlled? Owned land, lease term, interconnection rights and permits Without site and power control, a pipeline may not be buildable
What must be spent? Capex estimate, equipment deposits, financing source and contingency Unfunded capex can compete with mining and debt service
When can it operate? Construction milestones, long-lead procurement, energization and acceptance tests Announcement dates are not revenue dates

Riot: distinguish a signed lease from development work

Riot Platforms’ 2025 Form 10-K said it began pursuing data-center leasing in 2025. It reported a long-term AMD lease announced in January 2026 for an initial 25 MW of critical IT load at Rockdale. The filing described options for up to an additional 75 MW and a right of first refusal for up to an additional 100 MW. The base term is ten years, with three successive five-year renewal options at the lessee’s option. Treat the 25 MW as the contractual starting point and the 75 MW and 100 MW amounts as contingent expansion rights, not current operating capacity.

The same filing said Riot was still assessing procurement of long-lead equipment for its first Corsicana data-center phase. That disclosure places procurement assessment below commissioned capacity. A customer commitment and a construction step can both be real while still carrying financing, delivery, power and schedule risk.

Hut 8: a pipeline is not a portfolio of operating data centers

Hut 8’s February 25, 2026 full-year results release described an 8,500 MW development pipeline as of December 31, 2025 and characterized its strategy as power-first. Treat that figure as prospective capacity. Test each component for site control, interconnection, customer commitment, permits, financing and phase timing before assigning contracted or operating value.

CleanSpark: a stated future conversion

CleanSpark’s June 2026 quarterly filing described plans to transition Sandersville capacity to data-center use and expected to decommission mining there during fiscal 2028. This is a future plan, not current AI/HPC revenue. The analysis should model the remaining mining contribution, conversion capex, outage period, permitting and the risk that the schedule or end use changes.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

5. Preserve the economics of the legacy mining business

An AI/HPC narrative does not erase mining liabilities. Until alternative capacity is commissioned and producing revenue, the company still depends on bitcoin mining economics and must maintain its fleet.

Metrics that belong in the model

  • Deployed or energized hashrate, uptime and curtailment hours.
  • Fleet efficiency, machine age, failure rates and replacement schedule.
  • All-in energy cost, demand charges, hosting fees and power-contract terms.
  • Bitcoin produced and sold, network difficulty, transaction-fee contribution and block-reward changes.
  • Maintenance and growth capex, machine purchases, deposits and infrastructure spending.
  • Hosting concentration, geographic exposure and the ability to shut down or relocate machines.

Definitions matter. MARA notes that energized hashrate is a theoretical indicator and cannot be tied directly to expected production because of downtime, curtailment, machine failure and changes in global hashrate. Do not convert an energized-hashrate number into forecast bitcoin without modeling those factors.

Use company metrics only after aligning periods and definitions

Riot’s 2025 Form 10-K reported 5,686 bitcoin mined in 2025 and 38.5 EH/s of deployed hash rate at December 31, 2025. Those figures describe Riot’s period and definitions. They are not directly comparable with another miner’s “energized,” “installed” or average hash-rate measure unless the periods, uptime and calculation methods match.

Mining measure Questions to ask
Hashrate Is it energized, deployed, installed, average or end-of-period? What downtime and curtailment are excluded?
Efficiency Is the figure joules per terahash for the whole fleet or only new machines?
Power cost Does it include demand charges, hosting, transmission, credits and curtailment revenue?
Production Is bitcoin reported before or after pool fees, and for what exact period?
Capex Are deposits, infrastructure and replacement machines included or capitalized separately?

6. Compare miners on identical axes

A fair comparison uses the same reporting date, currency and definitions. Build a matrix rather than ranking companies by a single treasury or hashrate figure.

Comparison axis Required normalization Decision use
Unrestricted liquidity Exclude restricted cash; include available revolver only if covenant-compliant Near-term solvency and operating runway
Debt and maturities Show principal, secured status, interest, amortization and maturity by year Refinancing and collateral risk
Bitcoin holdings Split unrestricted, loaned and pledged coins; use the same valuation date Accessible treasury versus encumbered exposure
Bitcoin sales Quantity, average proceeds, source of coins, period and stated use Routine policy versus funding response
Mining output Align period, pool accounting, network conditions and production definition Operating execution
Power economics Use comparable all-in cost, contract duration and curtailment treatment Margin resilience
AI/HPC capacity Separate pipeline, options, contracted IT load, construction and commissioned load Probability-weighted diversification
Customer and financing risk Show concentration, contract term, guarantees and project-level funding Revenue durability and dilution risk

Keep optional expansion out of the base case. A ten-year lease for an initial 25 MW is not equivalent to a 200 MW operating campus. Also keep an investee’s bitcoin or data-center assets separate from the parent company’s consolidated assets and share dilution.

7. A repeatable filing-analysis workflow

  1. Fix the measurement date. Use the latest 10-K or 10-Q available for every company in the comparison. Note subsequent events separately.
  2. Build the liquidity bridge. Start with unrestricted cash, subtract restricted amounts from any headline cash total, list near-term debt service and committed capex, and identify undrawn facilities with their covenants.
  3. Build the debt maturity ladder. Add principal, interest, amortization, collateral and refinancing assumptions. Mark maturities that occur before expected AI/HPC revenue.
  4. Build the bitcoin roll-forward. Reconcile opening holdings, mined coins, purchases, sales, loans, pledges and closing holdings. Investigate every unexplained difference.
  5. Classify sale proceeds. Tie management’s stated purpose to the cash-flow statement, debt reduction, operating expenses and capital spending.
  6. Classify each AI/HPC claim. Assign one of the five execution stages and record IT load, customer, term, options, capex, financing, schedule and site control.
  7. Recalculate mining economics. Align hashrate definitions, uptime, energy cost, curtailment, fleet efficiency, production and capex before comparing margins.
  8. Stress the plan. Test lower bitcoin prices, higher network difficulty, delayed power delivery, construction overruns, customer default, refinancing failure and dilution. Identify the first covenant or cash shortfall under each case.
  9. Read subsequent filings. Confirm whether announced contracts were signed, options exercised, projects funded, mines decommissioned or bitcoin sold after the original announcement.

8. Common analytical mistakes and how to correct them

Counting every bitcoin as cash

Mistake: multiplying total coins by a spot price and treating the result as immediately available liquidity.
Correction: split unrestricted, loaned and pledged coins; apply custody, market-depth, volatility and collateral constraints.

Treating production as retained treasury

Mistake: assuming mined bitcoin automatically increases holdings.
Correction: reconcile sales and transfers during the same period, then explain the closing balance.

Calling every sale distressed

Mistake: inferring financial trouble from a sale without reading its purpose or timing.
Correction: compare sale cadence with cash, debt, operating costs, capex and stated policy across periods.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Valuing a pipeline as revenue

Mistake: converting a multi-gigawatt development figure into current data-center sales.
Correction: require site control, power rights, customer contract, financing, construction and commissioning evidence for each stage.

Adding expansion options to contracted capacity

Mistake: treating a customer’s option or right of first refusal as committed load.
Correction: show the base contract separately and probability-weight optional megawatts.

Comparing incompatible hashrate numbers

Mistake: ranking a company’s end-of-period deployed EH/s against another’s average energized EH/s.
Correction: normalize definitions, period, uptime, curtailment and machine availability.

Ignoring the funding conflict between mining and AI/HPC

Mistake: assuming a pivot removes the need for miner purchases, power payments or debt service.
Correction: model the transition period, including outage, conversion capex, overlapping operating costs and possible dilution.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

9. Weigh the upside against execution risk

The upside case is a more stable, contracted infrastructure business that earns revenue from power and data-center capacity rather than relying entirely on bitcoin prices. Existing substations, land, fiber, cooling and construction capability can shorten development time or reduce certain costs. A credible customer contract can also improve financing access.

The risk case is that the project remains a plan while the mining business absorbs capital. AI/HPC facilities require specialized power delivery, cooling, networking, equipment and customers. Financing may be expensive or unavailable; construction can run late; a concentrated customer can renegotiate or default; technology requirements can change; and bitcoin volatility can force management to choose between treasury retention, debt repayment and project spending.

Use a probability-weighted model with at least three buckets: existing mining cash flow, contracted AI/HPC economics that satisfy documented conditions, and optional pipeline or expansion. Assign no operating revenue to a pipeline merely because its megawatt figure is large. Revisit probabilities whenever a filing reports a new contract, financing, permit, construction milestone, commissioning date or cancellation.

Conclusion: the evidence hierarchy

The strongest evaluation follows the cash. Unrestricted cash, enforceable borrowing capacity and debt maturities determine near-term resilience. A bitcoin roll-forward shows whether sales are routine, strategic or needed to cover obligations. The AI/HPC pivot earns credit only as it advances from exploration to contract, financing, construction and commissioned revenue. Mining output, power cost, fleet efficiency and capex remain essential until that revenue is real.

For each miner, keep a dated worksheet with the liquidity bridge, debt ladder, bitcoin roll-forward, sale-purpose analysis, mining metrics and AI/HPC stage.
