A surprise tax bill after RSUs vest usually means payroll withholding was lower than your final tax liability—not that your employer necessarily made an error. For 2026, employers may use a 22% federal withholding method for certain supplemental wages, but that percentage is a prepayment, not a cap on the tax you owe. The practical fix is to estimate your full-year tax, compare it with payments already made, and address any shortfall during the year.
Why an RSU tax bill can be larger than the withholding
When RSUs vest or settle, their value is generally treated as wage compensation and included in taxable income. Employers withhold tax from pay, but withholding is only a prepayment toward the amount determined on your complete tax return. Your final federal liability depends on your total income, deductions, credits, filing circumstances, and other details—not just the RSU transaction.
Under the IRS’s 2026 employer guidance, an employer may use an optional flat 22% federal income-tax withholding method for qualifying supplemental wages that are separately identified and within the applicable $1 million threshold. Supplemental wages above $1 million are subject to a 37% federal withholding rule. These are withholding rules, not statements that every employee’s final tax rate is 22% or 37%. See the IRS Publication 15 (2026), Employer’s Tax Guide.
If your total tax rate on the additional compensation is higher than the amount withheld, the difference can appear as tax due when you file. Conversely, withholding can exceed your final tax liability. The withholding percentage alone cannot tell you which outcome applies.

How to check whether you are on track
Estimate your federal tax for the entire year rather than treating the latest vest as a separate tax return. Use current-year IRS forms and instructions, because thresholds and rules can change.
- Gather the records. Collect recent pay statements, your latest vest or settlement notices, and information about expected wages and other income, deductions, and credits for the year.
- Estimate total annual income. Include expected RSU compensation along with salary, bonuses, investment income, and other taxable income relevant to your return.
- Estimate total federal tax. Apply the current-year rules to your expected income and circumstances; do not simply multiply the RSU value by the employer’s withholding percentage.
- Subtract expected payments. Count federal income tax already withheld from pay and any estimated tax payments you have made or plan to make.
- Revisit the estimate after material changes. A new vest, bonus, job change, sale, or change in other income can alter the year-end projection.
The IRS’s Publication 505 (2026), Tax Withholding and Estimated Tax explains withholding, estimated payments, and the general safe-harbor framework. For 2026, the general estimated-tax test applies when you expect to owe at least $1,000 after withholding and credits and expect payments to be below the smaller of 90% of current-year tax or 100% of prior-year tax. The prior-year percentage is 110% for certain higher-income taxpayers. Whether you meet the test depends on your facts and payment timing; consult the current IRS instructions for the detailed rules.

Ways to address a projected shortfall
| Approach | How it works | What to check |
|---|---|---|
| Increase payroll withholding | Ask payroll whether you can increase federal income-tax withholding from remaining paychecks. | Confirm the employer’s process and how many pay periods remain. The effect depends on timing and the amount withheld. |
| Make estimated tax payments | Pay the IRS directly toward expected tax as income is received. | Calculate amounts and due dates using current IRS instructions and your full-year estimate. |
These are payment methods, not competing ways to change the tax treatment of the RSUs. Choose based on what your employer permits, your remaining pay schedule, and your estimate of when income and payments occur. IRS Publication 505 describes the applicable withholding and estimated-payment rules.

Keep the compensation event separate from a later stock sale
The tax reporting does not end with vesting if you later sell shares. Report the stock disposition under the applicable Schedule D and Form 8949 rules, and reconcile sale proceeds with compensation already included in income and the correct basis. The IRS explains the stock-reporting framework in its Stocks (options, splits, traders) FAQ; the option details there should not be mistaken for RSU rules. The IRS’s Publication 525 (2025) covers taxable income and equity-compensation context. Use the current publication and forms for the tax year you are filing.

Brokerage reporting can require care when the amount reported as basis does not reflect compensation already included in wages. The documents cited here establish the reporting framework but do not resolve every RSU Form 1099-B basis-adjustment situation. Compare your vest and settlement records, W-2, and brokerage statement, and get tax help if the figures do not reconcile. Selling vested shares may provide cash to pay a bill, but it does not erase income recognized at the compensation event; whether to sell or hold is an investment and concentration-risk decision, also subject to any trading restrictions.
Why state, local, and plan details can change the answer
Federal estimates alone cannot settle every RSU tax question. Your state or local residence, where you worked during the relevant period, nonresident status, and the employer plan’s terms may affect the result. Vesting and settlement records, payroll withholding, brokerage forms, and any share sales also matter. If you worked in multiple states or are unsure how your award was reported, seek advice specific to those facts.

Section 83(i) is a narrow exception, not a routine fix
Section 83(i) can permit certain employees in qualifying private-company plans to defer federal income inclusion, subject to eligibility requirements and a limited deferral period. It is not a general way for public-company employees to postpone tax on RSUs. The IRS discusses the provision in Publication 15-B (2026), Employer’s Tax Guide to Fringe Benefits. Whether a particular employee or plan qualifies depends on the statutory requirements and plan facts.
