There is no automatic rule to hold or sell a stock simply because it has completed an initial public offering (IPO). The offering price, the number of days since listing, and an early gain or loss are incomplete signals. Revisit the company’s latest disclosures, test the assumptions behind your valuation, map the shares that can come to market, and check whether the position still fits your time horizon, liquidity needs, concentration and tolerance for loss.
IPOs can be risky and speculative. Early trading may reflect limited available supply, changing demand and temporary underwriter activity rather than a settled long-term value. The U.S. Securities and Exchange Commission (SEC) says support can end and the market price can fall below the offering price. Use the process below as an educational framework, not as a personalized recommendation.
Start with the right question
Instead of asking, “Is the IPO up or down?” ask: “At today’s price, would I buy this company now, based on current information and my own constraints?” That question forces a fresh decision rather than anchoring on the price you paid or the IPO offer price.

- Share supply: How many shares trade now, who retained stock, and when could restricted shares become tradable?
- Personal fit: Can you tolerate the potential loss and uncertainty, and do you need the money for another purpose?
A “hold,” “sell part,” or “sell all” decision can each be rational. The correct choice depends on the evidence and your circumstances, not on a universal post-IPO timetable.
What makes newly listed shares different
Early prices may not represent a settled value
At listing, only a portion of the company’s total shares may be available for trading. Demand can be concentrated while the float is small, creating large price moves. Underwriters may also take actions intended to support the market temporarily. The SEC warns that this support may end and that the price can decline below the offering price. Therefore, an opening price or first-week return is not, by itself, proof that the company became more or less valuable.
The SEC’s investor bulletin describes the risk plainly: “By their nature, however, IPOs can be risky and speculative investments.” Treat the first quoted price as a market observation, not as a definitive appraisal of the business.

The prospectus is the starting point for issuer-specific facts. Use the most recent prospectus and amendments, then review later company filings that update material information. Extract the following before deciding:
- What the company sells, how it makes money and which markets it serves.
- Management’s stated strategy, operating milestones and principal risks.
- The planned exchange listing and the securities included in the offering.
- How much capital the company expects to raise and the stated use of proceeds.
- Whether the offering includes new shares, shares sold by existing holders, or both.
- Shares outstanding after the offering, insider ownership and other significant holders.
- Lock-up provisions, permitted exceptions and any early-release mechanisms.
Separate statements that describe the business from promotional language about market opportunity. If a claim matters to your decision, seek corroboration from filings, contracts, industry data or other independent sources rather than relying on a presentation alone.
Step 1: Rebuild your investment thesis from current evidence
Write the thesis in a few sentences before looking for reasons to defend your existing position. A useful thesis identifies the mechanism by which the company could create value, the evidence you expect to see and the conditions that would invalidate the idea.

Define what must go right
Examples of testable assumptions include reaching a stated customer or revenue objective, maintaining a sustainable margin, obtaining regulatory approval, or converting a particular product pipeline into cash flow. Use the company’s own disclosed milestones where available, but do not assume that management’s forecast is guaranteed.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Scan for outdated or missing drivers - takes under a minute3Repair Windows errors before they cause bigger problemsDefine what would change your mind
List observable events that would weaken the thesis: a deteriorating balance sheet, loss of a major customer, materially higher cash burn, an adverse regulatory development, delayed execution or a strategic change that invalidates your original rationale. A price decline alone may be noise; a failure of a central operating assumption may be fundamental.
Distinguish facts from expectations
Mark each important statement as a reported fact, an assumption or an uncertainty. This prevents a successful first-day trade from being mistaken for evidence that the long-term business case is working. It also makes it easier to sell when your own criteria are no longer met.
Step 2: Compare today’s price with a stated value range
Do not use the IPO offer price as your valuation anchor. Build a range based on assumptions you can explain, such as expected growth, profitability, dilution, balance-sheet needs and the risks that could prevent those outcomes. The method may differ by company; the discipline is to write down the assumptions and an acceptable margin of uncertainty.
When the price has risen sharply
A rapid increase may reflect demand, a small initial float or temporary trading conditions. It does not establish that the company’s operations improved by the same amount. Recheck whether any new disclosure justifies the change. If your value range is below the market price and the remaining upside no longer compensates you for the risks, reducing the position can be reasonable even when the business remains promising.

A decline does not automatically disprove the thesis. Newly listed shares can be volatile, and early support can disappear. Ask whether the fall is accompanied by changed fundamentals, new information or simply a shift in supply and demand. Selling only to avoid admitting a loss can be as unhelpful as holding solely to recover your purchase price.

Use scenarios rather than false precision
Describe a base case, an adverse case and an optimistic case. For each, state the operating assumptions, the risks and what the position would mean for your portfolio. A range communicates uncertainty better than a single price target, especially when the company has a short public reporting history.
Step 3: Map the shares that can reach the market
Share supply can change the trading picture independently of business performance. From the prospectus, identify:
- New shares issued by the company.
- Existing shares sold by founders, employees, venture investors or other holders.
- Shares retained by insiders and their voting rights.
- Outstanding options, warrants, convertible securities or other potential dilution.
- Restricted shares and the dates or conditions under which they may be released.
Primary versus secondary shares
Money from newly issued shares goes to the company and may fund operations, debt repayment or stated expansion plans. Money from existing shareholders’ shares goes to those sellers, not to the company. A large secondary component can therefore tell you something different about the transaction than a capital raise designed to finance the business.
Understand market overhang
Shares that exist but cannot yet be sold are often described as a market overhang. When restrictions end, the potential float can expand. The SEC notes that the share price may decline as previously restricted shares become available, particularly when many shares become tradable at once. This is a supply risk to model, not a prediction that every holder will sell.
Step 4: Verify the lock-up instead of assuming “six months”
Lock-up agreements restrict certain holders from selling for a specified period after the offering. Investor.gov explains that terms vary by issuer, although many prevent insider sales for 180 days. Treat 180 days as a common pattern, not as a rule for your stock. Read the issuer’s registration documents and prospectus for the actual start date, expiration date, covered holders, permitted transfers and exceptions. The Investor.gov explanation of IPO lock-up agreements describes why these provisions matter.
Build a lock-up calendar
- Record the listing or pricing date used by the agreement.
- Calculate the stated expiration date, then verify it against the filing language.
- Note staged releases, waivers, employee-sale programs and other exceptions.
- Mark related events that could alter supply, such as an earnings release or a secondary offering.
- Reassess the thesis before the date rather than waiting for the market reaction.
Expiration does not prove that insiders will sell, and it does not prove that the price will fall. It tells you that more shares could become available and that the supply-demand balance may change.

Hold, sell part or sell all: compare the choices

| Choice | When it may fit | What to check first | Main trade-off |
|---|---|---|---|
| Hold | The thesis remains supported, the current price fits your value range and the position is affordable through volatility. | Upcoming disclosures, lock-up supply, concentration and the time you can leave capital invested. | You retain full downside exposure and may face substantial volatility. |
| Sell part | The business case remains plausible but the position is too large, the price is above your range, or you want to recover capital while retaining exposure. | Which portion leaves a deliberate position size; tax and account consequences; liquidity for the order. | You reduce risk but also reduce participation if the stock rises. |
| Sell all | The thesis is invalidated, the valuation no longer compensates for risk, you need the funds, or the position conflicts with your risk capacity. | Whether the decision is based on new evidence or an emotional reaction; execution and tax details. | You remove future exposure but give up any later recovery or upside. |
Step 5: Apply your personal constraints
A sound company can still be an unsuitable holding if the position is too large or the money is needed soon. Write down these constraints before placing an order:
- Position size: What percentage of your portfolio is in this one issuer, including related holdings?
- Loss capacity: What loss could you absorb without impairing essential spending or long-term plans?
- Time horizon: Can you tolerate an uncertain holding period, or is there a known cash need?
- Liquidity: Would selling now or later leave you with enough accessible cash?
- Tax situation: Could a sale create a taxable gain or loss under your jurisdiction and account type?
- Concentration: Does the IPO add exposure to an industry, geography or factor you already own heavily?
- Emotional tolerance: Can you follow your written plan during large daily price moves?
These considerations can justify a partial sale even when your business thesis is intact. Conversely, a strong thesis does not justify risking money you cannot afford to lose.
Step 6: Plan the trade if you decide to sell
Deciding to sell and executing the order are separate tasks. Review your broker’s current order choices, fees and trading hours. Confirm the number of shares, the account, the order duration and any restrictions that apply to the security.
Choose an order instruction deliberately
- Market order: Prioritizes execution but does not guarantee the price. It can be risky when the stock is volatile or thinly traded.
- Limit order: Sets a minimum acceptable sale price, but may not execute if the market does not reach it.
- Staged sale: Splits a planned reduction into multiple orders or dates, which can reduce dependence on one moment but cannot guarantee a better result.
Check the bid-ask spread and recent trading volume before submitting. A quoted price is not a promise that your entire order will fill there. Avoid assuming that a lock-up date, earnings announcement or other event will produce a predictable price.

- Evidence: Cite the latest prospectus, amendments and subsequent filings that support or challenge the thesis.
- Invalidation: List the facts that would make you stop holding.
- Value range: Record the assumptions behind your base, adverse and optimistic cases.
- Supply: Note shares issued, secondary shares sold, retained insider holdings and lock-up dates.
- Portfolio fit: Record position size, maximum tolerable loss, cash needs and concentration.
- Action rule: State in advance what would trigger a hold, partial sale or full sale.
- Review date: Set a date tied to the next material filing or operating milestone.
Update the worksheet when new information arrives. Do not rewrite the original thesis merely to make a past decision look correct.
Common mistakes after an IPO
Anchoring on the offering price
The offering price is a transaction reference, not a guaranteed fair value or a floor. Public trading can move above or below it for reasons that do not immediately change the business.
Treating a lock-up expiry as a guaranteed sell-off
More eligible sellers can increase potential supply, but actual selling depends on holder decisions, price, liquidity and company information. Verify the terms and treat the date as a risk checkpoint.
Recommended Free Tools
Confusing a falling price with a broken thesis
Price and fundamentals can diverge, particularly in a newly listed stock. Investigate the cause before acting.
Ignoring dilution and retained ownership
Options, warrants, future issuance and large insider stakes can affect both economic ownership and voting control. Read the capitalization information instead of considering only the shares that traded on the first day.
Using a target price without assumptions
A number without a business model, time horizon and risk range encourages false certainty. Record what must happen for the number to make sense.
When to revisit the decision
Review the position after each material company filing, a major change in guidance, a financing or secondary sale, a lock-up event, or a change in your own cash needs and risk capacity. A regular review prevents the decision from being driven solely by the latest price tick. Current market facts and lock-up arrangements can change quickly, so use the issuer’s latest disclosures rather than an old summary.

Bottom line
Hold an IPO stock only when the current evidence still supports your written thesis, the valuation is defensible, future share supply is understood and the position fits your finances and time horizon. Sell part or all when those conditions no longer hold, when the position is too concentrated, or when you need the capital. The listing date, offering price and a commonly cited 180-day lock-up pattern cannot make that decision for you; a current, documented review can.
