Compare venture capital offers on the ownership you retain, the cash and certainty you receive, the control rights you grant, the downside economics, and the investor’s verifiable ability to help—not on headline valuation alone.
Build one fully diluted pro forma cap table using identical assumptions for every offer, then model liquidation proceeds at low, middle, and high exit values. Review the term sheet and definitive documents with counsel licensed in the relevant jurisdiction before signing.
How do I compare VC offers?
Put every proposal into the same eight-column comparison: amount and timing, instrument and price, ownership after closing, exit proceeds, governance, future rights, immediately binding provisions, and investor contribution. A term sheet can look attractive while a larger option-pool top-up, a participating preference, or a broad veto package materially changes the result.
| Dimension | What to record for each offer | What to normalize or model |
|---|---|---|
| Amount and timing | Lead commitment, other investors, conditions, diligence, exclusivity or no-shop period, expected close | How much cash is actually committed, when it funds, and what could delay or prevent closing |
| Instrument and price | Priced preferred stock, post-money SAFE, or convertible note; valuation, cap, discount, interest, maturity | Pre-money versus post-money basis, share price, conversion mechanics, and seniority |
| Ownership after close | Founder, employee, existing investor, and new-investor holdings | Fully diluted shares, converting SAFEs or notes, and option-pool treatment |
| Exit proceeds | Preference multiple, participation, dividends, anti-dilution, and warrants | Net proceeds to each class at low, middle, and high exit values |
| Governance | Board seats, observer rights, protective provisions, vetoes, and operational approvals | Who can block a financing, sale, pivot, hiring decision, or other major action |
| Future rights | Pro rata, information, transfer, co-sale, drag-along, and registration rights | Whether the rights consume future round capacity or create friction for a buyer |
| Binding provisions | No-shop, confidentiality, expenses, deadlines, governing law, and remedies | Which clauses bind on signature and which remain subject to definitive agreements |
| Investor contribution | Relevant operating experience, recruiting and customer help, follow-on capacity, and references | Evidence from comparable founders rather than promises made during fundraising |
Ask each investor to confirm the assumptions in writing. If a proposal omits a term, record it as not stated and request the actual language instead of assuming market-standard wording.

1. Compare cash, timing, and closing certainty
Separate a lead indication from money that is committed
Record the lead’s amount separately from amounts expected from a syndicate. A lead may be enthusiastic while other investors are still subject to diligence, investment-committee approval, or allocation changes. Note whether the lead’s commitment is conditional on filling the round, obtaining specific customer or technical information, or completing legal and financial diligence.
Map the path from term sheet to wire
A signed term sheet is not the closing. Definitive documents, board and shareholder approvals where required, completion of conditions, and the actual transfer of funds still follow. Put an expected date beside every milestone and identify who controls it. Ask what happens if a condition is not satisfied by that date.
Identify provisions that bind immediately
Many commercial terms remain nonbinding until the financing documents are signed, while confidentiality, exclusivity or no-shop, expense reimbursement, governing law, and certain access or standstill provisions can bind as soon as the term sheet is executed. Have counsel mark each clause as binding, nonbinding, or unresolved. A long no-shop period can be costly if the investor later reduces the round or changes terms.

2. Normalize valuation and ownership in a pro forma cap table
Use the same capitalization definition
For every offer, start with the company’s current issued shares, outstanding options, promised grants, and any other rights to acquire shares. Then add each converting SAFE or note under the terms that would apply in the proposed round. State whether the quoted valuation is pre-money or post-money and whether the option pool is included in that definition.
Valuation alone does not tell you the percentage sold. The relevant calculation is the fully diluted ownership after all conversions, the new financing, and any required pool increase. Carta’s explanation of a pro forma cap table covers this modeling approach at https://carta.com/learn/startups/fundraising/pro-forma-cap-table/.
Model pre-money and post-money consistently
In a priced round, the share price is generally derived from the negotiated valuation and the agreed capitalization. A post-money SAFE instead states a cap and an investment amount that make the ownership sold more calculable: investment divided by the post-money cap equals the ownership represented by that SAFE before considering other SAFEs and later option-pool changes. Do not apply that shortcut to a pre-money SAFE, a note, or a priced round without checking the document.
Account for existing SAFEs and notes
List every outstanding instrument, its cap, discount, valuation basis, most-favored-nation provision, and pro rata side letter. Add the ownership sold across all post-money SAFEs rather than evaluating one SAFE in isolation. A discount can produce a different conversion price from the cap, and an MFN provision can allow an investor to adopt later, more favorable terms. Notes also accrue interest, so the converting principal may be larger than the amount originally invested.

Show founder and employee ownership after the transaction
Present the percentage held by founders, employees and the option pool, existing investors, and each new investor after every proposed transaction. Include any pool top-up before the new money if that is how the term sheet defines the pre-money capitalization. The result should reconcile to 100 percent under a stated set of assumptions.
3. Treat the option pool as a priced term, not an administrative detail
Record the target pool size, the currently unallocated portion, and the number of shares needed to reach the target. Then determine whether the increase occurs before or after the new investment. A pool increase allocated pre-money generally leaves more of that dilution with existing holders; a post-money increase spreads the effect differently between existing holders and the new investor.
Request the exact share-count model from each investor. Two offers with the same valuation and investment can produce different founder ownership if one requires a larger pre-money top-up. Check whether promised grants, refresh grants, and unissued options are counted in the denominator. Do not compare percentages copied from a term-sheet summary when the underlying share counts differ.
4. Compare the financing instruments on their actual mechanics
| Instrument | What the investor receives | Key items to compare | Distinct risk or constraint |
|---|---|---|---|
| Priced preferred round | Preferred stock issued at a negotiated share price, with economic and control rights documented in charter and financing agreements | Pre-money and post-money valuation, share price, liquidation preference, participation, dividends, anti-dilution, board rights, and protective provisions | Terms are negotiated up front and can establish a precedent for later rounds |
| Post-money SAFE | A contractual right to receive shares in a future equity event; it is not debt or stock before conversion | Post-money cap, amount invested, discount, MFN, pro rata side letter, conversion triggers, and all other outstanding SAFEs | Several SAFEs accumulate ownership claims, and future pool changes affect the final percentage |
| Convertible note | Debt that may convert into equity | Cap, discount, interest rate and accrual, maturity date, repayment or conversion provisions, and seniority | Debt is senior to equity in a sale or wind-down, and maturity can create pressure if no financing occurs |
Y Combinator’s instrument comparison explains these distinctions, including debt priority and SAFE conversion mechanics, at https://www.ycombinator.com/safe/safe-vs-convertible-note. Its SAFE materials also discuss caps, discounts, MFN provisions, and pro rata rights at https://www.ycombinator.com/safe.

A priced round is common for Series A and later financings. It sets a firm valuation and issues a class of preferred shares with negotiated rights. The lead often receives a board seat and contractual consent rights. Compare the complete charter and investor-rights package, not just the price per share.
Post-money SAFE
The post-money cap makes the ownership sold by each SAFE easier to estimate, but the estimate is not the final cap table. Add all SAFEs, include any note conversion, and model later pool changes. Check whether the investor has a pro rata right that lets it buy more in the next round and whether an MFN clause can import terms from a later SAFE.
Convertible note
A note is debt. Compare the interest that accrues before conversion, the maturity date, what happens if maturity arrives without a qualified financing, and whether the holder can demand repayment. Because notes are senior to equity in a sale or wind-down, adding notes alongside SAFEs changes the order in which proceeds are paid.

5. Model downside and upside economics at several exit values
Build a waterfall rather than relying on ownership percentages
For each offer, create at least three exit cases: a low outcome, a middle outcome, and a high outcome. Use the same hypothetical exit values and capitalization for every offer. First pay any debt that ranks ahead of equity. Then apply the preferred liquidation preference, participation rights, accrued or cumulative dividends, and any other senior claims. Distribute the remaining proceeds according to the conversion and participation terms.
The key question is not only how much equity the investor owns after conversion. It is whether the investor can receive a preference and then share in the remainder, or must choose between a preference and the common-equivalent value. A participating preference can reduce founder and employee proceeds particularly in a modest exit where the preference consumes a large part of the sale price.
Check preference size and participation
Record whether the preference is 1x or greater than 1x, whether it is participating or non-participating, and whether dividends accrue. Y Combinator’s Series A term-sheet guidance identifies greater-than-1x preferences, participating preferred, cumulative dividends, and warrants as structures that can shift economics toward investors. Review the template at https://www.ycombinator.com/series_a_term_sheet/.
Stress-test anti-dilution and warrants
Anti-dilution provisions can change the conversion price in a later down round. Record the formula and the exceptions rather than labeling a term simply broad or standard. Warrants create another potential claim on shares or proceeds; include their exercise price, coverage, expiration, and treatment in a sale.
Present proceeds by holder and scenario
Your model should show, for each exit case, the amount paid to debt, each preferred class, common holders, and any option holders. Include the investor’s proceeds, founder proceeds, and the percentage of the total exit value each receives. A proposal that gives up less ownership can still be worse at a low or middle exit if its preference stack is heavier.
6. Compare control and day-to-day flexibility
Board composition
Write the proposed board seats by class and identify who appoints each seat. Note whether founders retain a board majority, whether an independent seat requires mutual consent, and whether an investor board seat continues after ownership falls below a threshold. Include observer rights, quorum rules, and casting-vote provisions.
Protective provisions and vetoes
List every action requiring investor or preferred-class consent. Typical categories can include issuing a senior or pari passu class, changing the charter, selling the company, taking on debt, paying dividends, or changing board size. The practical issue is scope: a veto limited to fundamental transactions is different from approval rights over budgets, hiring, compensation, contracts, or a product pivot.

- Please Note: To reach 10Gbps speed, keep the cable under 3.3 ft. For USB A Male to USB C adapters, try flipping the USB C connector. USB C Male to USB A adapters support bidirectional 10Gbps transfer within 3.3 ft
Operational consequences
Ask how each approval right could affect an urgent financing, a change in distribution strategy, a key hire, a restructuring, or a pivot. A right that appears narrow in a summary can become operationally significant when combined with quorum requirements or a board seat.
7. Evaluate future-round and transfer rights
Pro rata rights
Pro rata rights allow an investor to maintain its percentage in a future financing by buying additional shares. Model the capacity reserved for those rights and whether all investors can exercise simultaneously. A large set of side letters can make the next round slower or leave less room for a new lead.
Information and inspection rights
Record the reporting package, delivery deadlines, financial statements, budgets, capitalization updates, and inspection rights. Confirm whether the obligations are practical for a small team and whether confidentiality restrictions protect sensitive model, customer, and employee information.
Transfer, co-sale, and drag-along provisions
Transfer restrictions can require consent before an investor sells. Co-sale rights may let other holders participate in a founder sale. Drag-along terms can require holders to support an approved sale. Check who can trigger a drag, what vote is required, whether all holders receive the same form of consideration, and how preferred preferences are handled in the sale waterfall.
8. Test the investor’s contribution instead of pricing promises
Compare relevant experience with companies at your stage and in your market. Ask for specific examples of recruiting a critical executive, introducing a paying customer, arranging a partnership, or helping raise a follow-on round. Verify those claims through several founders who experienced both strong and difficult periods with the fund.
Assess follow-on capacity and behavior, not merely the size of the current check. Ask how the investor handled a missed plan, a delayed product, or a down round. The cited term-sheet guidance does not provide comparable investor-performance data, so founder references are the practical way to test fit.

Y Combinator expresses the underlying negotiation principle this way: “Good investors would rather address economic risks by negotiating valuation, and are otherwise happy to give standard terms because they know that the real money in venture is not made with structure, but by building long-term value, which they are confident in their ability to help you do.” This is Y Combinator’s guidance, not a universal empirical finding.

9. Understand what is binding before you sign
Have counsel mark the term sheet line by line. Confirm the duration and scope of any no-shop clause, what information may be shared, who pays legal expenses, the deadline for definitive documents, and the remedies for breach. Ask whether the investor can withdraw or revise the offer if diligence changes its view.
Then compare the definitive documents with the signed term sheet. The charter, stock-purchase agreement, investor-rights agreement, voting agreement, right-of-first-refusal and co-sale agreement, and any side letters can add detail that changes economics or control. A term-sheet summary is not a substitute for those documents.
10. Do not assume AI-specific terms are market standard
General venture guidance does not establish what is currently customary for AI-specific provisions concerning training data, model weights, compute commitments, inference costs, safety obligations, or distribution rights. If an offer addresses these topics, analyze the actual definitions, ownership grants, licenses, usage restrictions, audit rights, indemnities, and termination effects.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsAsk whether the company retains the ability to train on lawfully obtained data, move between cloud or hardware providers, open-source or commercialize a model, and serve customers in new jurisdictions. Treat a request for exclusive access to data, models, compute, or distribution as a material commercial restriction requiring separate valuation and legal review. Do not describe any such provision as standard without evidence specific to the relevant market and date.
11. Use market figures only as context
Carta reported that 93% of pre-seed rounds were structured as SAFEs in Q2 2026, representing 95% when measured by capital raised. Those are market-context figures for that quarter, not evidence that a SAFE is right for your company or that an offer is fairly priced.
Carta also reported a median Series A post-money valuation of $76.3 million on $14.7 million raised, with founder dilution around 18.7%, in Q2 2026. These figures are not AI-specific benchmarks and should not be used to price an individual startup without considering stage, geography, company profile, and market conditions. Because the figures can change quickly, keep the quarter and publisher attached whenever you use them; see https://carta.com/learn/startups/fundraising/term-sheets/.
12. A practical step-by-step comparison workflow
- Collect the complete documents. Obtain each term sheet, SAFE or note form, cap-table schedule, side letter, and any draft charter or investor-rights agreement.
- Freeze one starting cap table. Use the same issued shares, options, promised grants, SAFEs, notes, and pool assumptions for every offer.
- Normalize the price. Label every valuation pre-money or post-money and calculate the share price or conversion price under the actual instrument.
- Model the pool. Show the current unallocated pool, required top-up, timing of the increase, and resulting founder and employee ownership.
- Model conversion. Apply each SAFE’s cap, discount, MFN, and pro rata terms; add note interest and maturity consequences; then issue the new priced-round shares if applicable.
- Build the exit waterfall. Use identical low, middle, and high exit values and show debt, preferences, participation, dividends, warrants, and common proceeds separately.
- Map control. Create a board diagram and a list of every investor consent, veto, information, transfer, co-sale, drag, and pro rata right.
- Score certainty and fit. Record closing conditions, syndicate status, no-shop duration, references, follow-on behavior, and concrete help the investor has demonstrated.
- Negotiate the highest-impact terms first. Prioritize ownership dilution, preference and participation, board control, veto scope, pool treatment, and closing certainty before lower-impact drafting points.
- Reconcile the final documents. Ask counsel to confirm that the definitive agreements produce the same economics and governance shown in your approved model.
13. Red flags that deserve a second look
- A high headline valuation paired with a large pre-money option-pool top-up.
- Ownership percentages calculated without converting existing SAFEs or notes.
- A post-money SAFE comparison that ignores other post-money SAFEs or a pro rata side letter.
- A note with a near maturity date, unclear repayment rights, or an interest rate omitted from the model.
- Greater-than-1x or participating liquidation preferences, cumulative dividends, or warrants that are absent from the summary table.
- Investor consent over routine hiring, budgets, contracts, or product decisions.
- A board structure that removes founder control without a clearly defined independent seat.
- A no-shop period that extends beyond a realistic document-and-close timetable.
- Promises of customer, recruiting, or follow-on help that cannot be verified through founder references.
- AI-specific exclusivity or data, model, compute, or distribution rights whose commercial value and termination effects are not quantified.
14. Jurisdiction and professional review
SAFE forms and venture documents are jurisdiction-specific. Y Combinator publishes separate forms for the United States, Canada, the Cayman Islands, and Singapore; select the form that matches the company’s legal jurisdiction and obtain advice from counsel licensed there. Tax, securities, corporate, employment, data, and intellectual-property consequences can differ materially by location.
Use the model as a negotiation and decision tool, not as legal, tax, or investment advice for an individual company. Counsel should review the signed term sheet, every side letter, and all definitive agreements before execution.
15. Optional reading on venture deal mechanics
Venture Deals: Be Smarter Than Your Lawyer and Venture Capitalist, fourth edition, by Brad Feld and Jason Mendelson, is a 368-page hardcover published by Wiley in 2019. The publisher describes it as covering venture deal structure, term sheets, financing stages, and negotiation. Details are available at https://www.wiley-vch.de/en/areas-interest/finance-economics-law/venture-deals-978-1-119-59482-6; confirm the current edition and availability before purchasing.
