UK and US companies do not have to use the same fiscal year. A UK issuer may close its accounts on a month-end or another accounting-reference date, while a US issuer may choose a non-calendar year or a 52/53-week retail calendar. December 31 is a common US convention, not a universal rule. To compare companies correctly, identify each issuer’s exact year-end, map the actual start and end dates of every period, distinguish statutory filing deadlines from voluntary earnings announcements, and record the relevant time zone.
The practical result is simple: never compare “Q1,” “H1,” or “FY” labels by name alone. Compare periods of the same length and matching dates, then place each company’s filing and investor-relations dates on a separate calendar layer.
What a fiscal year means in the UK and US
A fiscal year is the 12-month accounting period a company uses to prepare annual financial statements. Companies House describes it plainly: “A financial year is usually a 12 month period for which you prepare accounts.” The period does not have to run from January 1 through December 31.

The issuer’s accounts, a tax return, a regulatory filing, and an investor-relations earnings release can all refer to different dates. Your comparison should preserve those distinctions instead of forcing them into one date.

How UK companies set their financial year
Companies House accounting reference dates
For a UK company filing at Companies House, the key starting point is the accounting reference date (ARD). A new company’s first ARD is normally the last day of the month in which its incorporation anniversary falls. The company’s financial year is generally the period ending on that reference date.
Companies House guidance allows accounts to be made up to a date up to seven days before or after the accounting-reference-period end. That seven-day tolerance can make a reported period end differ slightly from the date you would infer from the nominal ARD, so store the actual “made up to” date shown in the accounts.
- Nominal ARD: the company’s accounting reference date.
- Accounts made-up-to date: the date used for the filed financial statements, which may be within seven days either side of the reference-period end.
- Financial-year length: usually 12 months, but a first, shortened, extended, or closing period can be different.
Changing a UK year-end
A company can change its accounting reference date. The year in which it changes can therefore be shorter or longer than 12 months, and subsequent “Q1” or “H1” labels may cover dates that do not line up with earlier years. Treat that transition period as its own period rather than comparing it directly with a normal year.
Companies House versus HMRC tax periods
HMRC states that a Corporation Tax accounting period cannot be longer than 12 months. It is normally the same as the financial year in the annual accounts, but it can differ when a period is lengthened or shortened, or when a company is starting up, changing its year-end, or closing.
When researching a UK issuer, first decide which question you are answering:

How US companies set their fiscal year
Calendar years are common, not mandatory
US issuers choose an adopted fiscal year-end. SEC guidance says: “Fiscal year-end is presumed to be calendar year-end if no closing date has been adopted.” The presumption is a fallback, not a rule that every company must use December 31. A company may close on another month-end or use a 52/53-week convention.
US fiscal years may not exceed 12 months under the SEC framework. A year-end change can nevertheless create a short transition period, which should be identified separately in the filing history.
52/53-week and 4-4-5 calendars
Retailers and other businesses whose operations follow weekly selling cycles often use a 52/53-week year. Quarters may contain 13 weeks, and a 53rd week is added periodically. A 4-4-5 calendar divides a quarter into four weeks, four weeks, and five weeks rather than using calendar months. Such a quarter is not exactly the same as a calendar three-month quarter, even when the company calls it “Q1.”
For these issuers, record the filing’s exact beginning and ending dates and the number of weeks. Comparing revenue or earnings with a calendar-quarter company without adjusting for the extra week can produce a misleading conclusion.
The dates you must capture before comparing companies
Build a record for each issuer with separate fields. A US EDGAR filing, for example, exposes both “Fiscal Year End” and “Period of Report”; those fields illustrate why a period end and a filing date must not be stored as one date.

| Field | What it tells you | Why it matters |
|---|---|---|
| Fiscal or financial year-end | The issuer’s adopted closing date | Defines the annual period and the starting point for deadline calculations |
| Period start and end | The exact dates covered by Q1, Q2, H1, Q3, or FY | Allows like-for-like comparisons instead of label-based assumptions |
| Period length | Three months, six months, 13 weeks, 52 weeks, 53 weeks, or another stated duration | Reveals extra weeks, shortened periods, and transition years |
| Reporting framework | For example, UK-adopted IFRS or US GAAP where the issuer discloses it | Accounting presentation and recognition may differ even for matching dates |
| Regulatory filing or publication deadline | The latest date imposed by the applicable rules | Different from the date management chooses to release results |
| Investor-relations announcement date | The company’s planned earnings or results release | The date investors actually receive the announcement |
| Time zone and trading-day convention | Local time, UTC offset, and whether a date falls on a weekend or holiday | Prevents a release from appearing on the wrong day in a shared calendar |
Step-by-step method for lining up UK and US periods
- Identify the issuer and the reporting purpose. Decide whether you are comparing annual accounts, interim statements, tax periods, regulatory filings, or earnings announcements. Do not mix a tax accounting period with a market-reporting quarter.
- Find the adopted year-end. For a UK company, inspect the Companies House accounting reference information and the latest annual or interim report. For a US issuer, inspect the SEC filing cover page and the stated fiscal year-end rather than assuming December 31.
- Write the exact dates. Record the first and last day of every period. Include the “as of” date for a balance sheet and the “for the period ended” date for income and cash-flow statements.
- Measure the duration. Confirm whether the period covers approximately three calendar months, six months, 13 weeks, 26 weeks, 52 weeks, 53 weeks, or a transition interval.
- Match equal durations. Compare three-month periods with three-month periods and six-month periods with six-month periods. If one issuer reports 13 weeks and the other reports a calendar quarter, disclose the mismatch and avoid presenting the figures as directly equivalent.
- Check for structural breaks. Flag a changed year-end, an acquisition or disposal, a discontinued operation, a newly consolidated subsidiary, or a 52/53-week shift. These events can make year-on-year percentages incomparable even when the dates look similar.
- Record the reporting basis. Note the accounting framework identified by the issuer, such as UK-adopted IFRS or US GAAP, and any restatement or reclassification described in the filing.
- Add the regulatory deadline. Calculate or verify the latest permitted filing or publication date under the applicable UK or US rules.
- Add the voluntary release date. Use the company’s investor-relations announcement as the event date for earnings. Treat an estimate from a third-party calendar as provisional until the issuer confirms it.
- Normalize the calendar. Store each event with a time zone, local date, UTC equivalent where needed, and a note if the release is before market open, after market close, or on a non-trading day.
Why “Q1” is not automatically the same quarter
Quarter labels are shorthand, not universal date definitions. One company’s Q1 may run from January 1 to March 31; another’s may run from February 1 to April 30; a 52-week company may use a 13-week period ending on a Saturday. All three can be called Q1.

| Q1 | January 1–March 31 (three calendar months) | February 1–April 30 (three calendar months) | Overlapping but non-identical business conditions; disclose the date difference |
| Q2 | April 1–June 30 | May 1–July 31 | Do not treat the labels as simultaneous quarters |
| H1 | January 1–June 30 (six months) | February 1–July 31 (six months) | Equal duration, different seasonal window |
| FY | Year ended December 31 | 52 weeks ended on a stated Saturday | Check weeks, end date, and any 53rd week before comparing |
Seasonal businesses are especially sensitive to this issue. A retailer whose peak holiday weeks fall into Q4 for one issuer may report those same weeks in Q1 for another issuer with a February year-end. Comparing the quarter label without checking the dates can reverse the apparent seasonal pattern.
UK annual-report deadlines
For UK-traded issuers within the scope of FCA Disclosure Guidance and Transparency Rule (DTR) 4.1, FCA DTR 4.1.3R requires: “An issuer must make public its annual financial report at the latest four months after the end of each financial year.” The annual financial report includes audited financial statements, a management report, and responsibility statements.
Four months is a latest-publication deadline, not a promise that every company will publish on that date. A company may announce results earlier, and the date can be affected by weekends, holidays, exchange requirements, or a separate regulated-news timetable. Confirm the issuer’s own announcement and the applicable listing category.
US SEC filing deadlines
US domestic issuers report through SEC periodic forms, with deadlines that depend on filer category and the relevant fiscal period. The SEC’s acceleration rules specify Form 10-K annual-report deadlines of 60, 75, or 90 days, and Form 10-Q quarterly-report deadlines of 35, 40, or 45 days. These figures are not one universal deadline for every company; use the issuer’s filer status and the filing’s applicable rule.

A 10-K or 10-Q filing deadline is also not the same thing as an earnings-release date. Management may issue a press release, hold a conference call, or publish slides before filing the full report. Conversely, a filing can appear without a separately scheduled earnings call. Keep the filing event and the investor-relations event as separate records.
How to build a reliable earnings calendar
Use three date layers
- Period end: the last day of the quarter, half-year, or fiscal year being reported.
- Regulatory deadline: the latest date by which the annual report, 10-K, 10-Q, or other required report must be public or filed.
- Issuer-announced release: the date and time the company says it will publish results or hold its call.
This three-layer model prevents a common error: treating a filing deadline as if it were the date investors should expect an earnings announcement. The searched official rules establish filing and annual-report deadlines, but they do not establish one universal mandatory earnings-release date for every company.
Verify each event
- For a US issuer, check the company’s investor-relations announcement and the corresponding SEC EDGAR filing.
- For a UK issuer, check the investor-relations page, the annual or interim report, and the RNS or other regulated-news announcement where applicable.
- Record whether the announced time is before market open, after market close, or simply a date with no stated time.
- Mark unconfirmed dates as estimates and replace them when the issuer publishes a formal notice.
Handle time zones and non-trading days
A London evening release can appear as the next calendar day for a US-based reader, while a US after-hours announcement can be the following morning in the UK. Store the original local time and the converted time. If an event falls on a Saturday, Sunday, or market holiday, retain the issuer’s stated date and add a note about the next trading session rather than silently moving it.

Comparing Q1 labels without dates
Correction: write the exact start and end dates and compare equal lengths. A label is not evidence that two periods overlap.
Ignoring a 53rd week
Correction: note the number of weeks and identify the extra week in the analysis. A 53-week year can inflate reported sales or expenses relative to a 52-week comparison.
Using a calendar website’s estimated earnings date as fact
Correction: verify the date against the issuer’s investor-relations notice. No single mandatory earnings-release date applies to every UK or US company.
Combining a filing date with a period end
Correction: store “period ended,” “filed,” and “announced” as different fields. The interval between them is part of the company’s reporting timetable.
Worked comparison example
Suppose a UK company reports a year ended March 31 and publishes an interim report for the six months ended September 30. A US peer reports a 52-week year ending on the Saturday nearest December 31 and a second-quarter report covering 13 weeks. The correct comparison is not “UK H1 versus US Q2” because the labels and durations differ.
- Record the UK annual period as April 1–March 31 and its H1 as April 1–September 30.
- Record the US fiscal year’s exact start and end dates from the SEC filing, then record the 13-week Q2 dates.
- Compare the UK six-month period with a US six-month period only if the US issuer publishes one covering an equivalent duration.
- If only the US 13-week quarter is available, present it as a shorter, differently timed period and explain the limitation.
- Place the UK annual-report deadline at no later than four months after March 31 if DTR 4.1 applies, and place the US 10-K deadline according to the issuer’s filer category.
- Add each company’s separately announced results date after it is confirmed by investor relations.
A practical data template
A spreadsheet or database can use one row per issuer-period with these columns:
- Issuer name and ticker
- Country and listing category
- Fiscal-year-end convention
- Period label
- Period start date
- Period end date
- Calendar months or weeks in the period
- Accounting framework disclosed by the issuer
- Period-end event source
- Regulatory form or annual-report deadline
- Issuer-announced earnings date and time
- Time zone and market-session note
- Year-end change, acquisition, disposal, restatement, or 53rd-week flag
Keeping these fields separate lets you sort by period end, alert on filing deadlines, and display investor-relations dates without overwriting the underlying accounting information.

Key takeaways
- Fiscal years are issuer-specific in both countries; December 31 is not a universal US requirement.
- UK Companies House accounting-reference dates, HMRC tax accounting periods, and market-reporting periods can diverge.
- Quarter labels become comparable only after you verify exact dates and durations.
- UK in-scope issuers generally face a four-month latest-publication rule for annual financial reports under FCA DTR 4.1.
- US 10-K and 10-Q deadlines are filer-specific: 60, 75, or 90 days for 10-K and 35, 40, or 45 days for 10-Q under the cited SEC acceleration rules.
- An earnings calendar should show period end, regulatory deadline, and issuer-announced release as three different events.
