Compare all three choices on the same after-tax, after-cost forecast. A sale converts the apartment into cash but incurs selling costs, loan payoff and potentially significant tax. A refinance changes the debt and may release cash while preserving ownership, but it adds closing costs, a new term and leverage. Holding keeps the existing loan and operating exposure; it works only if collected rent covers realistic expenses, reserves and debt service through adverse periods.

This framework assumes a U.S. investment apartment. The appropriate analysis changes with unit count, owner occupancy, loan type, ownership entity, state and local taxes, rent regulations, building condition and the owner’s time horizon. Federal sources cited here do not provide a local market forecast or a personalized recommendation.

Define what “weak market” means for this property

Weakness can show up as falling sale prices, longer marketing times, softer rents, higher vacancy, expensive insurance, rising repairs, tighter credit or several of these at once. Write down the actual indicators before choosing a strategy:

  • Recent comparable sales and realistic time to close, rather than an optimistic asking price.
  • Collected rent, lease expirations, concessions, delinquency and physical occupancy.
  • Operating expenses, insurance renewals, property taxes, maintenance and known capital projects.
  • Current loan rate, maturity, amortization, prepayment terms, balance and payment.
  • Available liquidity and the owner’s ability to fund a deficit without a forced sale.
  • Expected holding period and the use for any capital released by a sale or refinance.

Use conservative, base and improving cases only when supported by credible local information. Label every assumption and keep it identical across the three strategies so that the comparison is not driven by inconsistent forecasts.

Decision axis Sale Refinance Hold existing debt
Cash available now Sale price less selling costs, liens and mortgage payoff, then estimated tax Cash-out proceeds less refinance costs and any required paydown Normally no new cash; preserve operating cash and reserves
Recurring cash flow None from this apartment after closing; compare the after-tax return of the replacement use of cash Collected rent less operating costs, new debt service and reserves Collected rent less operating costs, current debt service and reserves
Debt and equity Debt is repaid; equity becomes sale proceeds after costs and tax New balance, rate, term and amortization determine the remaining equity Current balance declines under the existing amortization schedule
Main downside Price discount, time to sell, transaction costs and tax Higher leverage, closing costs, rate or term risk and possible inability to refinance later Vacancy, repairs, liquidity pressure and continued market concentration
Key evidence Comparable sales, payoff statement, basis and depreciation records Written Loan Estimates and property-specific eligibility Rent roll, operating statements, reserve plan and debt schedule

For each case, show ending debt, ending equity, cumulative cash flow, major capital work, tax items and the result of lower rent, higher vacancy, lower value and higher repair or interest costs. Do not compare a sale’s immediate cash with a refinance’s gross cash-out; both must be net of the costs and taxes that actually apply.

How to evaluate a sale

1. Estimate an achievable closing price

Use recent, relevant comparable sales and adjust for unit mix, condition, location, leases and deferred maintenance. If local evidence is unavailable, state that the sale price and time to sale are uncertain instead of treating an appraisal or asking price as a guaranteed result. Include likely concessions and repairs required to close.

2. Calculate cash before tax

Start with the expected contract price and subtract brokerage and other transaction charges, buyer concessions, repairs or credits, the mortgage payoff, prepayment charges and other liens. The remainder is estimated cash before tax:

Cash before tax = sale price − selling costs − required concessions or repairs − loan payoff − other liens.

Request a current payoff statement; the principal shown on a monthly statement may not include accrued interest, fees or a prepayment amount.

3. Estimate taxable gain or loss separately from cash

Taxable gain is not the same as cash proceeds. The calculation generally depends on adjusted basis, capital improvements, depreciation claimed or allowable, the property’s rental or personal use, passive-activity facts and the owner’s other tax circumstances. A property can produce cash at closing while generating a taxable gain, or show a tax loss that is not fully deductible in the current year.

IRS guidance indicates that rental-real-estate dispositions may be reported on Form 4797 or Form 8949 depending on whether the activity is treated as a trade or business or as an investment. Confirm the applicable forms and the treatment of depreciation recapture with a tax professional who has the complete basis and depreciation history. State and local taxes, filing status and entity structure can materially change the result.

4. Test whether an exchange is actually available

If the objective is to move from this investment property into other real property without an immediate recognition of all gain, a qualifying like-kind exchange may be relevant. It is not a normal sale followed by a later purchase. Eligibility, identification and transfer deadlines, property-use requirements and the handling of non-like-kind value all matter.

IRS material describes a qualified intermediary or qualified trust as a safe harbor for avoiding actual or constructive receipt of proceeds in specified circumstances. Engage the intermediary and tax adviser before signing or closing; receiving the proceeds personally or missing a deadline can defeat the intended treatment. An exchange also defers tax rather than making economic gain disappear.

How to evaluate a refinance

Obtain comparable written offers

Ask multiple lenders for Loan Estimates and compare offers with the same assumptions. Freddie Mac consumer guidance recommends shopping and comparing Loan Estimates. Record:

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Interest rate, whether fixed or adjustable, and the APR.
  • Loan amount, points, lender charges, third-party costs and cash required to close.
  • Monthly principal and interest, escrow assumptions, amortization and maturity.
  • Prepayment provisions, interest-only or balloon features and any rate-reset terms.
  • Cash-out amount, required reserves and any lender-imposed repair or appraisal conditions.

Verify that the product applies to the building and ownership entity. The Freddie Mac rental-income method discussed here covers specified one- to four-unit investment properties; it is not a universal rule for larger apartment buildings, commercial mortgages, portfolio loans or every borrower. A larger building may be underwritten from property-level net operating income and debt-service coverage instead.

Separate payment relief from economic savings

A lower payment can result from a lower rate, a longer repayment period or both. Compare total interest and principal reduction over the period you expect to keep the loan, not merely the first payment.

For a straightforward rate-and-term refinance, a simple break-even estimate is:

Break-even months = total refinance costs ÷ monthly payment savings.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Freddie Mac notes that this shortcut does not fit cash-out refinances or term-reduction refinances. It also ignores the opportunity cost of cash, tax effects, changing rates and the possibility that you sell before reaching break-even. Use the lender’s amortization schedule to calculate cumulative interest and principal through your actual expected exit date.

Model cash-out as additional secured debt

Cash-out borrowing is not a return of trapped equity; it is new debt secured by the apartment. Add the increased balance, payment and interest to the forecast. At a later sale, the larger payoff leaves less cash for the owner. If the value falls, the loan-to-value ratio rises, which can make a later refinance unavailable or more expensive.

Federal Reserve consumer guidance describes these effects and warns that falling prices can push loan-to-value beyond lender guidelines. Stress-test the cash-out case with lower rent, higher vacancy and a lower valuation. Identify the specific use of proceeds—such as a documented capital project or debt reduction elsewhere—and show its expected benefit rather than assuming that any liquidity is automatically advantageous.

Underwrite rent conservatively

In specified Freddie Mac one- to four-unit investment-property cases, the guide uses 75% of gross monthly rent for qualifying purposes. The 25% adjustment is intended to account for vacancy, operating and maintenance costs, and unexpected expenses. This is a lender underwriting convention, not a universal forecast for every apartment.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

For your own forecast, use collected rent and actual expense evidence. Do not substitute the 75% figure for a full operating statement, especially for a larger building with different expense and reserve patterns.

How to evaluate holding the existing loan

Build the operating cash-flow statement

Start with rent actually collected, not advertised rent. Deduct vacancy and credit loss, utilities paid by the owner, management, payroll, maintenance, insurance, property taxes, licenses, accounting, recurring reserves and debt service. Add a separate schedule for known major work such as roofs, elevators, plumbing, heating and exterior repairs.

Cash flow before tax = collected rent − vacancy and credit loss − operating expenses − recurring reserves − debt service.

IRS rental-property guidance addresses rental income and expenses, but deductibility depends on the owner’s facts and current rules. Keep tax cash flow separate from property cash flow so a tax deduction is not mistaken for money available to pay the mortgage.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Prove that liquidity survives a bad period

Run at least one case with lower collected rent, higher vacancy, a major repair and no favorable refinance. Calculate the number of months the owner can cover the resulting deficit from liquid reserves. A hold plan that requires a future sale at an assumed price is not genuinely self-funding.

Recognize what holding preserves—and what it preserves against you

Holding retains the current loan terms and exposure to a possible market recovery, but it also retains operating risk, leverage, illiquidity and concentration in one property. Recovery is an uncertainty, not a forecast. Compare the capital tied up in the apartment with the net sale cash that could be used elsewhere, without inserting unsupported investment-return assumptions.

Run a side-by-side scenario model

Use one spreadsheet with separate columns for sale, refinance and hold. Keep the forecast horizon and operating assumptions identical, changing only the transaction and debt terms that differ.

  1. Gather documents: rent roll, trailing operating statements, leases, tax bills, insurance, repair history, loan note, payoff statement, title information, basis and depreciation schedules.
  2. Set the horizon: choose the date by which the owner expects to sell, refinance again or reassess. Include the loan maturity if it occurs sooner.
  3. Set operating cases: document collected rent, vacancy, expenses, reserves and capital work for conservative, base and improving cases. Identify the local evidence supporting each assumption.
  4. Price the sale: estimate closing price and time to sale, then deduct all transaction costs, liens and payoff amounts before estimating tax.
  5. Price each refinance: enter the actual Loan Estimate, payment, rate, term, APR, fees, cash to close, cash-out and prepayment provisions. Do not assume approval until the lender confirms property and borrower eligibility.
  6. Forecast the hold: use the existing balance, payment and amortization, and include every operating cost and reserve.
  7. Calculate outputs: cash available now after costs and tax, annual after-expense cash flow, cumulative cash flow, ending debt, ending equity, major capital needs and liquidity remaining.
  8. Stress-test: lower value, lower rent, higher vacancy, higher repairs, insurance increases and interest-rate changes where applicable. Record when loan-to-value, debt-service coverage or liquidity becomes unacceptable.
  9. Review taxes: have a tax professional verify basis, depreciation, disposition reporting, passive-activity limits, exchange eligibility and state or local effects.
  10. Choose a decision rule: state the minimum liquidity, maximum leverage and minimum cash-flow coverage the owner will accept before selecting an option.

Illustrative worksheet (not a market forecast)

The following numbers demonstrate the mechanics only. Replace them with the property’s documents and written offers.

Item Illustrative entry
Expected sale price $1,000,000
Selling costs and concessions $70,000
Mortgage payoff and other liens $620,000
Estimated cash before tax $310,000
New refinance balance $760,000
Refinance costs $18,000
Cash-out before tax Existing balance and lender terms determine this; do not infer it from the sale column

In this illustration, the sale column still needs a tax estimate, and the refinance column still needs the new payment, total interest, property eligibility and a downside cash-flow test. The figures do not predict any apartment’s value or expenses.

Decision rules for common situations

Sell when liquidity and risk reduction dominate

  • Net sale proceeds meet a defined cash need after payoff, costs and tax.
  • Operating cash flow is persistently negative or the owner cannot fund credible repair and vacancy reserves.
  • Debt maturity, a balloon payment or loan covenant creates a near-term risk that cannot be solved on acceptable terms.
  • The owner no longer wants the management burden or concentration, and the sale price is defensible.

Refinance when the written terms improve the whole balance sheet

  • The payment, rate risk and term fit the expected holding period after all fees.
  • The property still supports the new debt under lower-rent and higher-vacancy cases.
  • Cash-out has a specific, higher-priority use and the owner accepts the reduced equity cushion.
  • The lender confirms eligibility for the building, ownership structure and income documentation.

Hold when the asset can fund itself and the owner can absorb uncertainty

  • Collected rent covers operating costs, reserves and debt service in conservative cases.
  • Liquidity is sufficient for vacancies, repairs and insurance or tax shocks.
  • The existing loan is affordable and replacing it would add costs or unfavorable risk.
  • The owner’s time horizon and risk capacity justify continued property concentration.

Frequent analytical mistakes

  • Using headline price: a gross listing price is not sale cash after commissions, repairs, liens, payoff and tax.
  • Equating tax gain with cash: basis and depreciation can produce taxable gain even when proceeds are largely needed to repay debt.
  • Comparing payment only: a longer term can lower the payment while increasing total interest and slowing equity buildup.
  • Treating cash-out as free equity: the withdrawn amount becomes secured debt and reduces later sale proceeds.
  • Counting asking rent: vacancy, concessions, delinquencies and collection costs reduce actual revenue.
  • Applying a one-to-four-unit rule to a larger building: underwriting conventions differ by property and loan type.
  • Assuming a future refinance: falling values, credit changes or lender limits can remove that option.
  • Calling an exchange automatic: a like-kind exchange requires advance structuring, deadlines and qualified handling of proceeds.
  • Ignoring opportunity cost: compare net sale cash with realistic alternative uses, but do not insert an unsupported return forecast.

Information to take to advisers and lenders

Give the tax professional the purchase closing statement, improvement invoices, depreciation schedules, prior returns, use history and ownership documents. Give lenders the rent roll, leases, operating statements, insurance, tax bills, entity information, loan documents and a clear explanation of the requested use of proceeds. Ask each lender to identify assumptions, reserves, appraisal conditions, prepayment terms and whether the quoted terms are fixed or subject to change.

The final decision should state the chosen strategy, the assumptions that drive it, the trigger that would cause a reassessment and the cash reserve retained after closing. If no option meets the minimum liquidity and risk rules, postponing a transaction while gathering better information can be a valid decision.
