The first question is what you will do with the money. A securities-backed line of credit (SBLOC) is generally non-purpose credit: you pledge an investment portfolio but cannot use the proceeds to buy or carry securities. A margin loan is borrowing inside a brokerage margin account to buy or carry securities. That purpose difference affects the rules, account structure, collateral, pricing and what can happen when markets fall.
Neither option is automatically cheaper or safer. Compare the lender’s current written terms, the broker’s margin schedule, eligible collateral, advance values, maintenance requirements, call procedures, rate resets, fees and tax consequences. The signed agreement—not the product name—controls.
What you are comparing
In this article, “securities-backed loan” refers primarily to a securities-backed line of credit. An SBLOC is a separate credit facility secured by eligible securities in a pledged account. You typically draw cash for a permitted, non-securities purpose and pay interest on the amount outstanding. The lender determines which assets qualify and how much it will lend against them.

Some institutions also offer securities-backed term loans or other securities-based facilities. Ask whether the proposal is a revolving line, a term loan or another structure, because repayment schedules, draw rights and remedies can differ.
Purpose of proceeds is the first dividing line
SBLOC: generally non-purpose borrowing
SEC and FINRA investor guidance describes an SBLOC as generally non-purpose credit. The proceeds cannot normally be used to buy or carry securities, repay margin debt or fund another prohibited securities transaction. Permitted uses may include a business expense, a home improvement project or other personal liquidity need, subject to the lender’s agreement.
Do not infer permission from a sales description. Read the purpose clause and ask how the lender monitors use of proceeds, what documentation it requires and what happens if a prohibited use is discovered.
Margin loan: securities-account borrowing
A margin loan is tied to a brokerage account and is intended to finance securities purchases or carry existing positions. Federal Reserve Regulation U and the broker’s account agreement govern how credit may be extended. The broker can impose requirements that are stricter than the regulatory minimum.
If you need cash for a non-investment expense, a margin account may still allow a withdrawal in some circumstances, but the account agreement and applicable rules determine whether that use is permitted. Obtain written confirmation instead of treating “margin” as unrestricted cash.
Side-by-side comparison
| Comparison point | Securities-backed line of credit | Margin loan | Verify in writing |
|---|---|---|---|
| Primary use | Generally non-purpose; proceeds cannot be used to buy or carry securities | Borrowing through a brokerage account for buying or carrying securities | Prohibited uses and the agreement’s definition of purpose |
| Account structure | Pledged investment account and a separate credit agreement | Margin brokerage account with a debit balance | Where assets are held, who controls them and whether transfers are restricted |
| Oversight | Lender underwriting and contract-specific collateral terms | Federal margin rules, broker requirements and account terms | Applicable lender, broker and regulatory rules |
| Interest pricing | Often a floating benchmark plus a lender spread; pricing can vary by balance and lender | Broker’s published margin schedule and account terms | Current all-in rate, benchmark, spread, tiers, reset timing and fees |
| Collateral value | Lender sets eligible assets, haircuts and loan values | Broker sets marginability and maintenance values for securities in the account | Eligible securities, concentration limits and advance percentages |
| When value falls | Maintenance call may require collateral or repayment; liquidation is possible | Margin call or shortfall may lead to sales of securities | Trigger levels, notice method, cure period and liquidation authority |
| Tax and portfolio effects | Borrowing may defer a sale, but a later forced sale can create gains or losses | Leverage and forced sales can change exposure and create tax consequences | Individual tax treatment and records required after a sale |
Compare the total interest cost, not just the headline rate
Identify the rate formula
Request a term sheet showing the benchmark, the lender’s spread, the reset frequency and any balance tiers. An SBLOC may use a variable benchmark plus a negotiated spread. A margin broker may publish different rates for different debit balances. A lower rate at one balance may disappear if your borrowing moves into another tier.
Record whether the quoted rate is current, introductory or subject to change immediately. Ask what happens when the benchmark rises and whether the lender can change the spread under the agreement.

List every cash cost
Include origination or setup charges, annual or unused-line fees, wire fees, account-transfer charges, appraisal or documentation costs and any termination fee. A facility with no stated setup fee can still cost more if its spread is higher or if the line has a large unused-balance charge.
Calculate an annual carrying cost for the amount you actually expect to borrow:
estimated annual interest = average outstanding balance × annual interest rate
Run the calculation at several rates and balances. For a floating-rate facility, show the result after a one- and two-percentage-point increase rather than relying on today’s quote.

Check how interest is billed
Ask whether interest accrues daily, when it is posted, and whether unpaid interest is added to principal. Determine the minimum payment, payment date and consequences of missing it. Confirm whether you may repay and redraw without a new approval, and whether a minimum draw or minimum balance applies.
Examine eligible collateral and borrowing value
Eligibility is lender-specific
Do not assume that every publicly traded security receives the same advance value. The lender may exclude thinly traded securities, concentrated positions, restricted stock, options, mutual funds, employer securities or assets held in certain account types. It can also place issuer, sector or position-size limits.
For example, the Fidelity SBLOC disclosure says margin-purchased assets and retirement-account assets are ineligible for its described facility. That is an example of a provider’s rule, not a universal industry standard. A TD Wealth securities-based lending disclosure likewise describes underwriting and collateral requirements that must be checked against the specific proposal.

Understand haircuts and concentration limits
The loan value is normally less than the market value of the pledged portfolio. A lender applies a haircut to reflect volatility, liquidity and concentration. A diversified portfolio may receive different treatment from one dominated by a single issuer. Ask for the advance percentage for every asset class you plan to pledge and the maximum percentage for one security or issuer.
Request a worked example using your actual holdings. The example should show the portfolio value, each haircut, the resulting loan value and the remaining borrowing capacity after a market decline.
Check whether collateral can be changed
Agreements may allow the lender to change eligibility, haircuts or required maintenance when market conditions or the security’s status changes. Ask how much notice you receive, whether you may substitute collateral and what happens if an asset becomes ineligible overnight.
Understand maintenance calls and forced liquidation
How an SBLOC call works
If the pledged portfolio falls enough to breach the required loan-to-value ratio, the lender can issue a maintenance call. You may need to deposit additional eligible securities, repay part of the balance or provide another approved form of collateral. SEC and FINRA investor guidance says a typical SBLOC maintenance call may provide two or three days to cure. Treat that as a general description, not a guaranteed contractual period.
Read the agreement for the exact trigger, delivery method and deadline. A call sent electronically may be effective when posted rather than when you read it. Ask whether the lender may liquidate without consulting you and which securities it may choose to sell.

How a margin shortfall works
A margin broker monitors equity and maintenance requirements continuously or at intervals defined by its systems. If the account falls below the requirement, the firm can issue a call or sell securities to restore the required equity. The SEC’s margin investor guidance warns that a firm may sell securities without consulting the customer, and the broker’s agreement determines the practical process.
Do not assume that a broker must give you the same cure period as an SBLOC lender. The broker may sell before a stated deadline if the agreement or market conditions permit it.

Questions that expose the real liquidation risk
- What loan-to-value or equity level triggers a call?
- Can the lender raise the maintenance requirement without advance notice?
- How is a call delivered, and when does the clock start?
- Is there a contractual cure period, and can it be shortened?
- Can the firm sell immediately, without asking which securities to sell?
- Can it sell appreciated positions, creating a taxable gain?
- Can it liquidate other accounts or demand repayment of the entire balance?
Model a falling market before borrowing
Build a stress test with your proposed borrowing amount and the lender’s stated loan value. For example, calculate the portfolio and loan-to-value ratio after a 10%, 20% and 30% decline. Then repeat the exercise with a higher haircut on the most volatile or concentrated holding.
- List each pledged security and its current market value.
- Apply the lender’s stated advance percentage to each position.
- Subtract the proposed balance from the resulting loan value to find available capacity.
- Reduce market values by each stress-test percentage.
- Recalculate loan value and the loan-to-value ratio after each decline.
- Estimate how much cash or eligible collateral you could provide within the stated cure period.
Run a separate interest-rate stress test. Increase the floating rate by one and two percentage points and calculate the resulting monthly and annual interest. A portfolio decline and a rate increase can occur together, so test both at once.

Compare tax and portfolio consequences
Borrowing can postpone selling an appreciated investment, but it does not eliminate tax risk. If a lender or broker liquidates securities after a call, the sale may generate capital gains or losses. The timing, cost basis, holding period and account type affect the result.
Interest deductibility depends on how the borrowed money is used and on your individual tax circumstances. An SBLOC’s non-purpose restriction does not make interest automatically deductible, and margin interest is not automatically deductible simply because the account is labeled “margin.” Keep records of each draw and its use, and ask a qualified tax professional about your situation before relying on a deduction or a tax deferral.
Consider portfolio effects as well. A forced sale can change your asset allocation, interrupt a long-term strategy and leave you with less collateral just when liquidity is most valuable. If you pledge a concentrated position, a decline in that one security can trigger a call even when the broader market is stable.
Independent reader supportYour contribution helps us test, update, and keep practical guides available for everyone.Review regulatory and contractual differences
Regulation U and margin borrowing
Federal Reserve Regulation U addresses credit secured by margin stock and the purposes for which certain lenders may extend it. The Office of the Comptroller of the Currency explains margin loans in the context of securities financing, while your broker’s agreement adds operational and maintenance requirements. The regulatory framework does not replace the account contract.
SBLOC controls and disclosures
SBLOC terms are heavily contract-specific. FINRA examination findings from 2018 highlighted the need for risk disclosures, attention to market downturns and rising interest rates, tax implications of liquidation, and controls to prevent the same collateral from being pledged to both an SBLOC and a margin arrangement.

Ask the lender and broker to confirm in writing that the assets you plan to pledge are not already securing another obligation. A transfer or new loan can change that status, so recheck it whenever accounts or facilities change.
A practical comparison worksheet
Collect the following documents before choosing either facility:
- The complete SBLOC or securities-backed loan agreement, including amendments and collateral schedules.
- The broker’s current margin rate table and margin-account agreement.
- A list of eligible securities, advance rates, concentration limits and excluded account types.
- The maintenance-call policy, notice method, cure period and liquidation powers.
- A fee schedule showing setup, annual, wire, transfer, unused-line and termination charges.
- Illustrations of rate resets and borrowing capacity after market declines.
- Tax reporting information and the lender’s description of interest treatment.
Enter the offers in one table using the same proposed balance and holding period. Compare the all-in annual cost, not only the initial rate. Mark every item the provider says can change unilaterally and every item that requires your consent.
When each structure may fit
An SBLOC may fit when
- You need liquidity for a permitted non-securities purpose.
- You want to keep investment positions rather than sell immediately, while accepting call and liquidation risk.
- Your portfolio meets the lender’s eligibility, diversification and custody requirements.
- You can provide cash or additional collateral quickly if values fall.
A margin loan may fit when
- The borrowing is directly connected to buying or carrying securities.
- You already use a brokerage margin account and understand its maintenance rules.
- You can tolerate the broker’s authority to sell securities, potentially without consultation.
- Your investment plan includes leverage and a written method for controlling position size and losses.
Neither may fit when
- A market decline could leave you unable to meet a call.
- Your income cannot support a higher floating-rate payment.
- The proposed borrowing would create a concentrated or highly leveraged portfolio.
- You need certainty that the collateral will not be sold during a downturn.
Common mistakes and how to avoid them
Choosing by advertised rate
A headline rate omits spread tiers, resets and fees. Use the written all-in quote at your expected balance and test higher rates.
Assuming the same securities qualify everywhere
Eligibility and haircuts vary by lender and broker. Obtain a position-by-position assessment before transferring assets or signing.
Relying on a promised call period
General descriptions of two or three days for an SBLOC do not override your contract, and margin brokers may act sooner under their agreements. Read the notice and liquidation clauses.
Borrowing against retirement assets
Retirement-account assets may be excluded from a provider’s SBLOC, as the Fidelity example illustrates, and account rules can restrict pledging them elsewhere. Confirm eligibility before counting those assets in your borrowing plan.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteUsing one pool of collateral twice
Do not assume that assets pledged for one facility remain available for another. Obtain written confirmation of the lien and collateral status from each provider.
Confusing delayed tax with avoided tax
Keeping a position by borrowing can defer a sale, but a later liquidation can create a taxable event at an inconvenient time. Model that possibility with a tax professional.
Decision checklist
- State the purpose of the borrowing and remove any facility that prohibits it.
- Obtain current written terms from the SBLOC lender and the margin broker.
- Compare benchmark, spread, rate reset, tiers and every fee.
- Map eligible collateral, haircuts, concentration limits and account restrictions.
- Read the maintenance-call trigger, notice method, cure period and liquidation authority.
- Stress-test portfolio declines, higher rates and simultaneous events.
- Confirm how a forced sale could affect taxes, asset allocation and future borrowing capacity.
- Verify that collateral is not pledged elsewhere.
- Have a realistic source of cash or eligible securities for a call.
- Get individualized tax or financial advice when the amount or consequences are material.
Bottom line
Compare an SBLOC and a margin loan in this order: permitted purpose, total floating-rate cost, collateral eligibility and loan value, maintenance-call mechanics, liquidation authority, and tax and portfolio effects. An SBLOC is generally non-purpose credit secured by a pledged portfolio; a margin loan is securities-account borrowing. Both can force sales when collateral falls, and neither has a universal price or safety advantage. Your lender’s and broker’s current written agreements determine the actual deal.
