Start with what you are buying, not what the product is called. A token delivered to your wallet is usually a spot transaction; a futures contract, option, swap, leveraged position, or pooled strategy creates a different regulatory question. The Commodity Futures Trading Commission (CFTC) has full regulatory and enforcement authority over derivatives markets involving digital commodities, but generally has only anti-fraud and anti-manipulation authority in cash or spot digital-commodity markets. The firm, adviser, broker, pool operator, and venue involved may have separate registration duties.
This workflow helps a U.S. reader screen a product and verify firms through official records. It is not a definitive legal classification of an unnamed offering. Classification depends on the contract’s rights, settlement, leverage, custody, marketing, and the parties’ actual activities.
What the CFTC may regulate
The CFTC describes itself primarily as a derivatives regulator. Its strongest authority applies to futures, options, swaps, and related trading venues and intermediaries. Digital assets can be commodities for CFTC purposes, but commodity status alone does not mean that every cash token sale receives comprehensive CFTC supervision.
Recommended Free Tools
For a spot or cash digital-commodity market, the CFTC says it can bring enforcement actions involving fraud and market manipulation. It does not generally register companies simply because they offer customers the ability to buy or sell virtual currency for immediate delivery. Other federal or state regimes may still apply, including securities, money-transmission, consumer-protection, and anti-money-laundering rules.

The agency states on its Digital Asset Frauds page:
“The CFTC has enforcement authority over fraud and market manipulation in the cash or ‘spot’ digital commodity markets and full regulatory and enforcement authority over derivatives markets, including futures or options contracts that use digital commodities — such as bitcoin or ether — as underlying assets.”
That sentence is the practical starting point: determine whether the customer receives the asset itself or a contract whose value is tied to the asset, then identify every business performing a regulated function.

Read the customer agreement, order ticket, risk disclosure, fee schedule, and settlement terms. Ignore labels such as “utility token,” “consumption token,” “yield product,” or “crypto account” until you understand the legal and economic rights. The CFTC warns that a token can raise commodity, derivatives, or securities questions depending on its structure and circumstances.
Spot token purchase
In a conventional spot purchase, the customer pays for a token and receives possession or control of that token, normally through a wallet or account that can withdraw it. The transaction is not automatically a CFTC-registered product. The CFTC’s registration guidance says companies offering spot virtual-currency purchases or trading are not required to register with the CFTC solely for that activity.
That does not make the transaction risk-free or outside all regulation. The CFTC can pursue fraud or manipulation in a cash digital-commodity market, and another regulator may view the arrangement differently if the customer receives an investment contract, a pooled interest, or a promise of returns rather than usable digital property.
Futures contract
A futures contract creates an obligation to buy or sell an asset at a later date or under specified settlement terms. The customer usually posts margin rather than paying the full notional value. A crypto future is a derivative even when it is cash-settled and the customer never receives coins. Futures products and the firms and venues handling them are the clearest examples of CFTC-regulated activity.

Option
An option gives its holder a right, but not generally an obligation, to buy or sell an underlying asset at a stated price or according to a defined payoff. The premium, expiration, exercise or cash-settlement method, and who writes the option matter. An option referencing a digital commodity is a derivative; do not treat it as a spot purchase merely because its payoff is described in tokens.
Swap or perpetual-style contract
A swap exchanges payments based on an asset’s price or another reference variable. A perpetual-style leveraged contract may have no traditional expiration, yet funding payments, margin calls, liquidation rules, and cash settlement can make it economically a derivative. The product name is not decisive. Obtain the full contract and identify the counterparty before assuming that “spot,” “earn,” or “margin” describes the legal category.
Pooled account or advised strategy
If customers contribute money to a pool and someone trades futures or other derivatives for the group, the operator may be a commodity pool operator. If a person or firm gives advice about trading futures, options, or swaps for compensation, the activity may fit the commodity trading advisor category. A managed account, signal service, copy-trading arrangement, or algorithmic strategy can therefore raise registration questions even when the customer never places an order directly.
Spot versus derivative: the questions that separate them
| Question | Spot token transaction | Derivative or managed arrangement |
|---|---|---|
| What does the customer receive? | Possession or control of a token, subject to the platform’s custody terms | A contract, payoff, leveraged position, pooled interest, or advice about derivatives |
| How is exposure created? | Buying or selling the asset for immediate delivery | Reference to an asset’s price through futures, options, swaps, margin, or another contractual formula |
| Does leverage or margin apply? | Not inherent in an unleveraged cash purchase | Commonly present; liquidation and margin-call rules can be material |
| Who may have CFTC registration duties? | The spot trading company is not required to register with the CFTC solely for spot purchases, according to the CFTC’s consumer guidance | Depending on the activity: futures commission merchant, introducing broker, commodity pool operator, commodity trading advisor, swap dealer, venue, or another regulated category |
| What CFTC authority is most relevant? | Anti-fraud and anti-manipulation enforcement in the cash market | Full regulatory and enforcement authority over the derivatives market, subject to the product and activity |
| Could another regulator be involved? | Yes; token structure and the offer’s economic promises can raise securities or other questions | Yes; securities, banking, state, and other regimes can overlap with CFTC rules |
The table is a screening aid, not a legal opinion. A single platform can offer both spot and derivative products, so classify each product and account type separately.

1. Describe the thing the customer buys or enters
- Collect the documents. Save the terms of service, product supplement, order confirmation, margin agreement, risk disclosure, fee schedule, and any marketing page shown to the customer.
- Write a plain-language description. State whether the customer receives a token, a right to a future payoff, a leveraged position, a pooled interest, or advice. Note whether the provider can withdraw, rehypothecate, lend, or commingle assets.
- Record settlement. Determine whether settlement is physical delivery to a wallet, cash payment, a token balance that cannot be withdrawn, or an internal account adjustment.
- Identify leverage and termination. Record initial margin, maintenance margin, funding payments, liquidation triggers, expiration, exercise, and early-termination provisions.
If the documents conflict with the sales description, rely on the operative contract and flag the discrepancy for legal review.
2. Separate cash trading from derivatives
A customer paying today for a token that can be transferred is a different fact pattern from a customer posting margin against a price index. Ask whether the provider promises delivery, or only credits a gain or loss. Ask who bears the counterparty obligation and whether the customer can close the position before an expiration date.
Do not infer that a product is outside CFTC oversight because it is called “spot,” or that it is a derivative merely because the word “crypto” appears in the name. The economic rights and settlement mechanics control the next step.

3. Map every firm and person in the chain
Make a list rather than checking only the consumer-facing app. Include the exchange or trading venue, executing broker, introducing broker, custodian, entity taking customer funds, adviser, pool operator, technology provider acting as an agent, and any affiliate named in the contract.
Do these 3 things before closing this tab:
1Fix the driver behind crashes, sound loss and screen glitches2Repair Windows errors before they cause bigger problems3Scan for outdated or missing drivers - takes under a minuteThe CFTC’s Intermediary Registration guidance identifies futures commission merchants (FCMs), introducing brokers (IBs), commodity pool operators (CPOs), and commodity trading advisors (CTAs) as categories that generally must register when their activities fall within the relevant definitions. Registration can depend on exemptions, exclusions, the products traded, and the person’s exact role, so do not treat a category name as a conclusion.
4. Check registration and disciplinary history
Use the CFTC’s registration-check guidance to reach the National Futures Association’s BASIC database. Search the exact legal name, trade name, and any parent or affiliate disclosed in the agreement. Compare the search result with the address, website, phone number, and registration number supplied by the business; impostors sometimes copy a real firm’s identity.
Review the firm’s current status, approved categories, principals, associated persons, arbitration information, and disciplinary or regulatory history shown in BASIC. Save a dated copy or record the search date because status can change.
The CFTC’s consumer guidance says: “Verify the registration status and disciplinary history of the person or firm selling a product or strategy before researching the risks or potential returns of the trade itself.” A registration result is a due-diligence step, not an endorsement, insurance policy, or guarantee against fraud or loss. Conversely, no result is not automatically proof of illegality: a different entity may be the registered counterparty, or an exemption or exclusion may apply. Ask the firm to identify the legal basis for its status and verify that explanation with current official material.

A venue listing futures or options may need to operate as a CFTC-registered designated contract market (DCM). A system for trading swaps may implicate swap execution facility (SEF) requirements, subject to statutory and regulatory exceptions. The CFTC’s DCM and SEF pages explain these venue categories and their functions.
Confirm what the venue actually does:
- Does it list standardized futures or options for multiple participants?
- Does it facilitate swaps subject to execution requirements?
- Is it merely matching spot buyers and sellers?
- Does another registered venue or broker appear as the legal counterparty?
Venue registration is evidence about the venue’s status. It does not establish that every token, wallet balance, lending program, or marketing offer on the platform is a CFTC-regulated product.

6. Check overlapping securities questions
The SEC and CFTC have issued joint staff material concerning certain spot crypto asset products, and a Federal Register interpretation published March 23, 2026, addresses application of federal securities laws to certain crypto assets and transactions with related CFTC guidance. The 2025 joint staff statement reflects staff views about whether registered exchanges at either agency may facilitate certain spot commodity products; it is not a statute, formal rule, or blanket approval for every spot crypto product.
For a specific offer, read the current official text and the product’s actual terms. Ask whether purchasers expect profits from the managerial efforts of others, whether the asset is pooled or wrapped, and whether the provider promises yield or repayment. Those facts can make SEC analysis relevant even when the underlying token is described as a commodity.
How to interpret common registration categories
Futures commission merchant
An FCM accepts orders for futures, options on futures, or swaps and may hold customer money or property to support those positions. If the product involves margin and the firm is the counterparty or carries the account, check whether an FCM is identified and registered for the relevant activity.
Introducing broker
An IB solicits or accepts orders for futures, options, or swaps but does not generally hold customer funds in the same manner as an FCM. A front-end app can be an IB while another company carries the account. Verify both entities instead of assuming the visible brand is the regulated counterparty.
Commodity pool operator
A CPO operates a pool that trades futures, options, swaps, or other commodity interests. Read the offering and operating documents for the pool’s legal entity, administrator, custodian, and disclosure statements. An exemption may change the registration result, but the operator should be able to identify the applicable status.
Commodity trading advisor
A CTA provides advice about trading commodity interests, directly or through publications or software, when the advice falls within the statutory definition. Paid signals, managed accounts, and automated recommendations can require analysis even when the adviser never touches the customer’s money.
Red flags that make a classification check urgent
- The sales page calls a leveraged position a “spot purchase” but the customer cannot withdraw the referenced asset.
- The provider will not identify the legal counterparty, custodian, venue, or entity receiving funds.
- Terms mention margin, liquidation, funding rates, expiration, or cash settlement while advertising “ownership.”
- A firm displays a registration number that belongs to a different legal entity or has a different address.
- The promoter says CFTC registration proves the product is safe, insured, or approved.
- The business claims no registration is needed but refuses to explain an exemption or the role of another registered intermediary.
- Returns are guaranteed, losses are described as impossible, or withdrawals require additional “tax,” “unlock,” or “verification” payments.
These indicators do not by themselves establish a violation. They identify facts to document and questions to raise before sending money or signing a contract.

Worked screening examples
Example: transferable token purchase
A customer pays dollars, receives a token in an account, and can withdraw it to a self-controlled wallet. There is no margin, expiration, or promised return. Treat this initially as spot activity. Check the company’s identity, custody terms, state and federal disclosures, and any fraud or manipulation concerns. Do not assume that the absence of CFTC registration means the company is unregulated in every respect.
Example: cash-settled crypto future
A customer deposits margin, receives a position tied to a bitcoin reference price, faces liquidation if equity falls, and receives cash rather than bitcoin at settlement. That is a derivative-style fact pattern. Identify the FCM or IB, confirm the venue’s status, and search the relevant firms and principals in BASIC.
Example: pooled yield strategy
Customers contribute stablecoins to a common pool; an operator trades futures and distributes a stated share of profits. The pooled structure and use of derivatives require analysis of CPO, CTA, securities, custody, and disclosure issues. Checking only the app’s spot-token listing would miss the entities and activities that matter.

Example: “advice only” signal service
A subscription service sends automated instructions to trade crypto futures through a separate broker. Even without custody of customer funds, the service may raise CTA questions depending on what it advises, how it is compensated, and whether an exemption applies. Record the advice, compensation terms, and the broker named in the execution agreement.
Keep a defensible record of your check
For each product, retain:
- The exact product name, version or edition of the agreement, and date obtained.
- Screenshots or PDFs of the order flow, leverage settings, settlement language, and withdrawal controls.
- The legal names and addresses of every firm and individual identified in the documents.
- Your BASIC search terms, search date, registration categories, and disciplinary-history results.
- The venue name, product symbol, contract specifications, and whether the venue identifies itself as a DCM or SEF.
- Any explanation of an exemption or exclusion supplied by the provider.
- Questions sent to customer support and the replies, including contradictions between marketing and contract language.
This record helps a lawyer or compliance professional analyze the facts and makes it easier to detect changes in a product’s terms.
What an online check cannot establish
No public registration search can decide whether an unnamed token is a security, whether a particular exemption applies, whether a contract is legally a swap, or whether a provider is complying with every applicable rule. The same company may operate separate entities with different permissions, and a platform’s registration can cover one product while excluding another.
For a transaction whose classification affects a large investment, employment compensation, tax treatment, custody arrangement, or enforcement exposure, obtain advice from a qualified attorney familiar with commodities and digital assets. Give that adviser the operative documents and your registration record rather than relying on a product label or headline.
