Open-weight does not mean unrestricted. It means that a model’s trained parameters (weights) are available to obtain under some terms. Those terms may permit research but limit redistribution, require notices, incorporate an acceptable-use policy, impose eligibility rules, or require a separate commercial license above a threshold. To evaluate a model, identify the exact checkpoint and revision, read its model card, open the operative license or terms, follow every incorporated policy, and match each provision to what you plan to do.
This is a practical document review, not a legal opinion. For a consequential launch, have counsel review the actual documents and your facts. Licenses, policies, and repository contents can change, so save the versions you reviewed and recheck them before deployment or redistribution.
What “open-weight” tells you—and what it does not
An open-weight release gives you access to model parameters, often through a repository or download. It does not automatically tell you whether you may use the model commercially, fine-tune it, redistribute the weights, publish a derivative, embed it in a product, or offer it through an API. Those permissions come from the applicable agreement and any documents it incorporates.
Do not use “open,” “open weights,” or a hub’s license badge as a synonym for “open source,” “public domain,” “free of restrictions,” or “free for every commercial use.” A conventional license such as Apache 2.0 can have a different risk profile from a model-specific community agreement. Even models from one publisher can use different terms.

The reliable unit of analysis is the specific artifact: publisher, repository, model family, checkpoint, revision, and release. A fine-tune, quantization, adapter, merge, or distilled model may carry additional obligations from its stated base model. Treat an uploader’s license label as a starting point, not proof that the uploader could relicense every upstream component.
A document-checking workflow
1. Record the exact model and revision
Start a review record before downloading anything. Capture:
- Publisher and repository owner
- Model family and exact checkpoint name (for example, an instruct, base, safety, or quantized variant)
- Repository revision, tag, commit, or release identifier
- Date and time you checked the documents
- The planned use, users, geography, and distribution model
For a derivative, record the derivative’s page and the stated base model, adapter, merge inputs, tokenizer, and other components. If the lineage is incomplete, mark that as an unresolved issue rather than assuming the most permissive terms apply.

2. Read the model card and metadata
On Hugging Face, the model card is the repository’s README.md plus metadata, and the license field is shown on the model page. The platform’s guidance says a card should describe the model, intended uses, potential limitations, biases, and ethical considerations. Read the entire card, including sections below the first screen, attached files, and links to external policies.
Use the card to answer factual questions about the checkpoint: what was released, which base model it uses, known limitations, intended uses, and whether the publisher names a custom agreement. The card is a useful map, but it is not necessarily the complete contract. See Hugging Face’s model-card guidance and its license documentation.
3. Open the operative license or terms
Click through the license link and locate the actual text in the repository or on the publisher’s official site. Determine whether it is a standard license, a modified standard license, or a model-specific community agreement. Read the operative clauses rather than relying on a short identifier such as “Apache-2.0,” “MIT,” or “custom.”
At minimum, note:
- Scope: which weights, code, documentation, outputs, and derivatives are covered
- Permission: what copying, modification, use, and distribution are allowed
- Conditions: notices, attribution, naming, pass-through terms, or display requirements
- Prohibitions: activities or users that are excluded
- Acceptance: whether downloading, accessing, or using the model forms an agreement
- Eligibility and geography: countries, entities, export controls, or other restrictions
- Duration: amendment, suspension, termination, and survival clauses
- Commercial triggers: user, revenue, product, or service thresholds that change the permission
Save the license text or a stable official link with the revision you reviewed. A repository can change while retaining the same URL.

4. Follow every incorporated document
Search the agreement for phrases such as “acceptable use,” “use policy,” “safety policy,” “incorporated by reference,” “additional terms,” and “applicable law.” Open each linked document from the official location and check its date and version. A restriction in an incorporated policy is a real usage condition even when the model page’s license field does not display it.
Meta’s Llama 3 materials illustrate this structure. The model repository and card are available at the Meta Llama 3 model page, while its Acceptable Use Policy states: “If you access or use Meta Llama 3, you agree to this Acceptable Use Policy (‘Policy’).” Review the agreement and policy together; do not treat the repository badge as a complete answer.
5. Translate your plan into separate activities
Make a list of what you will actually do. A single project can involve several legally distinct activities:
- Run the unmodified checkpoint for internal research or evaluation.
- Use it in a paid product or an internal business process.
- Fine-tune, quantize, merge, distill, or add an adapter.
- Distribute the original weights or a derivative to customers, employees, or the public.
- Embed the model in software or a device.
- Offer inference as a hosted service or API, including a service that never gives users the weights.
- Publish model outputs, benchmarks, or generated training data.
For each activity, quote the clause that grants permission or imposes a condition. Check whether a term uses a narrower concept such as “Llama Materials,” “covered models,” “products,” “services,” or “derivatives.” Do not infer that permission to run a downloaded file includes permission to redistribute it or to offer it as a hosted service.
6. Check the base model and every derivative input
A derivative’s page may name a base model but display a different license. Inspect the base model’s card, agreement, and incorporated policies as well as the derivative’s terms. For a merge, review each source model. For a quantization or adapter, check whether the distribution includes original weights, modified weights, code, or only deltas.
Ask who had authority to distribute each component. If the lineage, permission to redistribute, or relationship between the derivative and upstream terms is unclear, record the uncertainty and obtain clarification or legal advice. A permissive label on a derivative does not erase upstream restrictions by itself.
7. Check version, threshold, and geography conditions
Do not apply terms from one release to another. Publishers can issue a new agreement for a new model family or version. Confirm that every linked policy covers your exact checkpoint and that your organization meets any eligibility, location, trade-compliance, or user-status requirement.

Look for thresholds that change the result. They may depend on monthly active users, revenue, release date, product type, or the identity of the licensee. Carry the qualifying date and measurement period with the number in your review notes; a threshold is not a general rule for open-weight models.
8. Preserve evidence and schedule a recheck
Keep a dated copy or stable link to the model card, license, incorporated policies, repository revision, and your activity-by-activity analysis. Record who approved the review and which unresolved questions remain. Recheck before a material deployment, customer distribution, model update, or change in geography or business model. A changed policy or repository file can alter the conditions even when your code has not changed.
Questions to answer for each intended use

Write “not stated” when the documents do not answer a question. An absence of a clear grant is an issue to resolve, not permission to assume.
How to compare two or more candidate models
Build a side-by-side record using the same checkpoint-level scope for every candidate. Include a column for unresolved questions; forcing an ambiguous clause into “allowed” or “not allowed” hides risk.

No license-family name answers all of these fields. Compare the operative documents and your proposed activity, not just the badges shown on a model hub.

What current publisher examples demonstrate
Meta Llama 3: agreement plus policy and a release-specific threshold
The Meta Llama 3 model card identifies an April 18, 2024 release date. Its community-license terms include an additional commercial condition tied to products or services exceeding 700 million monthly active users in the preceding calendar month on that version’s release date; the agreement calls for a separate license request when that condition applies. This is a term of that agreement, not a universal limit on open-weight AI. Read the exact release and agreement at the Llama 3 model page and the linked Acceptable Use Policy.
Meta Llama 4: a distinct agreement
Llama 4 has its own Community License Agreement; do not carry Llama 3 wording forward. The Llama 4 agreement states a comparable 700 million monthly active-user release-date threshold for its own license and requires compliance with applicable laws and the Llama Materials’ Acceptable Use Policy. It says: “Your use of the Llama Materials must comply with applicable laws and regulations (including trade compliance laws and regulations) and adhere to the Acceptable Use Policy for the Llama Materials.” Confirm the current agreement and whether its definitions apply to your organization.

Google Gemma: check the covered-model list and linked terms
Google’s Gemma Terms of Use identify which models and materials are covered and point readers to separate terms for newer Gemma releases, including Gemma 4. Treat the covered-model list and any linked version-specific terms as part of the review. A Gemma term cannot be assumed to govern every Google model or every checkpoint carrying a similar name.
Mistral: most open models versus modified MIT terms
Mistral’s guidance dated August 12, 2026 says most of its open models use Apache 2.0, while certain models use a modified MIT license with a revenue-related condition. For qualifying companies under that modified license, the page says a commercial license or use of Mistral Studio is required when monthly revenue exceeds $20 million USD. The guidance does not say this applies to all Mistral models; use the exact model card and the publisher’s current terms. See Mistral’s licensing guidance.
Common mistakes and how to correct them
Relying only on the hub badge
Problem: A page shows “Apache-2.0,” “MIT,” or a custom label, so the team approves the model without opening the text.
Correction: Treat the badge as metadata. Open the repository license, linked agreement, and incorporated policies, then record their scope and conditions.
Equating download access with permission
Problem: Anyone can download the file, so the team assumes every use is allowed.
Correction: Separate technical access from contractual permission. Check acceptance mechanics, eligibility, prohibited uses, and commercial or distribution clauses.

Correction: Trace every upstream model and component, verify redistribution authority, and document unresolved lineage.
Applying one release’s terms to another
Problem: A team reuses its approval for a new checkpoint or family.
Correction: Re-record the revision and release date, open the new agreement, and check whether a new policy or threshold applies.

Problem: The team asks only whether a paid product is allowed.
Correction: Analyze modification, redistribution, hosted service, notices, user obligations, geography, and thresholds as separate questions.
Ignoring policy changes
Problem: A saved URL silently serves revised terms later.
Correction: Keep dated copies or revision links and schedule a review before material deployment, redistribution, or a business-model change.
A reusable approval checklist
- Exact publisher, repository, checkpoint, revision, and release date recorded
- Model card read, including intended uses, limitations, and external links
- Operative license or agreement saved and its scope identified
- Every incorporated acceptable-use, safety, or external policy opened
- Internal, commercial, modification, redistribution, embedding, hosted-service, and output activities assessed separately
- Base model and all derivative inputs checked
- Notices, attribution, naming, pass-through, and user-facing obligations listed
- Geography, eligibility, trade-compliance, acceptance, amendment, and termination clauses reviewed
- Thresholds recorded with their units, dates, and measurement periods
- Unresolved questions marked “not stated” or escalated rather than guessed
- Dated evidence retained and a recheck date set
When to obtain legal review
Escalate to a qualified lawyer when the model is central to a revenue-generating product, will be redistributed, will serve external users, involves a derivative with uncertain lineage, crosses jurisdictions, handles regulated or sensitive data, or triggers a user-count or revenue threshold. Provide counsel with the exact checkpoint, revision, downloaded files, model card, license, incorporated policies, planned architecture, target users, territories, and distribution plan. The question for counsel is not simply “Is this model open?” but “Do these exact terms permit these exact activities for this organization, at this scale and in these locations?”
The decision rule
Approve an open-weight model only after you can point to current official text supporting each activity you intend to perform and can explain every condition that accompanies that permission. If a clause, lineage, policy link, or threshold remains unclear, preserve the uncertainty and resolve it before deployment or redistribution. That discipline is what turns a model download into a documented, reviewable licensing decision.
