To evaluate a U.S.-traded depositary receipt, first identify the exact receipt, its depositary bank, listing venue, sponsorship status, and receipt-to-underlying-share ratio. Then read the program’s SEC Form F-6 and deposit agreement for depositary charges, ask your broker which fees it passes through, inspect live bid-and-ask data and recent activity, and verify the venue’s regular and extended trading sessions. U.S. stock-market regular hours are generally 9:30 a.m. to 4:00 p.m. Eastern Time, but access, order types, holidays, and extended hours depend on the security, venue, and broker.
What a depositary receipt represents
A depositary receipt is a security issued by a depositary bank that represents shares of a foreign company held in custody. In the United States, the most familiar form is an American Depositary Receipt (ADR). The ADR is the tradable receipt; the foreign shares held in the home market are the underlying securities. Market participants also use “American Depositary Share” (ADS) in connection with the shares represented by an ADR, although the SEC distinguishes the receipt from the underlying shares it evidences.
One receipt may represent one foreign share, several shares, or a fraction of a share. That ratio is essential when comparing a U.S. quote with the company’s home-market price. Investor.gov describes the relationship as the home-market share price adjusted for the receipt ratio. A ticker by itself is therefore not enough to establish value or fees.

Write the ratio in an unambiguous form, such as “one ADR equals two ordinary shares” or “one ADR equals one-quarter of a share.” Then translate the home-market price into the ADR’s currency and apply that ratio. For example, if a home-market share is 40 units of local currency, one ADR represents two shares, and one local-currency unit converts to $0.25, the arithmetic reference value is 40 × 2 × $0.25, or $20 per ADR, before transaction costs and market movements. If the ratio were one-quarter instead, the ratio adjustment would reduce the reference value accordingly.

This calculation is a comparison aid, not a guaranteed trading price. The two markets may be open at different times, exchange rates move, and the receipt can trade at a premium or discount while supply, demand, and arbitrage conditions adjust. Record the ratio and currency every time you compare a receipt with its foreign listing.
This guide focuses on U.S.-traded receipts and ADR-style programs. Other countries use depositary receipts with different regulators, venues, currencies, settlement rules, and hours.
Step 1: Identify the exact receipt before checking anything else
Start with the security record shown by your broker or market-data service. Record all of the following:
Free tools Windows power users keep installed
One-click scans. No signup required.
- Ticker and full security name: Check for multiple share classes or more than one receipt program for the same issuer.
- Listing venue: Establish whether it trades on a U.S. exchange or an over-the-counter (OTC) venue.
- Depositary bank: The bank administers the receipt program and sets or collects the contractual depositary charges.
- Sponsored or unsponsored status: Sponsored programs are established with the foreign issuer’s involvement; unsponsored programs can be created by a depositary without the issuer entering the same type of arrangement.
- Receipt-to-share ratio: Note exactly how many underlying foreign shares one receipt represents, or what fraction of a share it represents.
- Trading currency and underlying market: Record the foreign listing, its currency, and the time zone and calendar used there.
Do not infer the ratio, depositary, or venue from a similar-looking ticker. Use the security description, the depositary’s program information, and the filing for that particular receipt. If the description is unclear, ask the broker to confirm the exact CUSIP or program identity associated with the order ticket.
How to find every fee that can affect your return
Read the Form F-6 and deposit agreement
The SEC’s Form F-6 registration statement is the primary filing for a U.S. ADR program. Search the SEC’s EDGAR database for the receipt and open the deposit agreement associated with the program. The fee terms are commonly located under a heading such as “Description of American Depositary Shares” or “Description of American Depositary Receipts.”
Look for the schedule or paragraphs describing charges for custody and other depositary services. The SEC says these services can include safekeeping the underlying shares, registration, compliance, dividend processing, communications, and recordkeeping. The same documents may describe charges connected with distributions, currency conversion, voting, transfers, issuance, cancellation, or other corporate actions.
Record the amount or formula, the event that triggers it, the currency in which it is calculated, and who is permitted to collect it. Note whether the document describes a charge per receipt, per transaction, or by another formula, rather than copying only a headline number. Terms can differ between programs, so a fee found for one receipt is not evidence of the fee for another.

Ask the broker about pass-through charges
The depositary’s charge and your broker’s charge are separate questions. Before placing an order, ask the broker specifically:
- What depositary service or custody fees apply to this exact receipt?
- Are dividend, distribution, reorganization, voting, issuance, or cancellation charges passed to the account?
- How are foreign-currency conversions handled, and is a conversion charge or spread applied?
- Are there transaction, settlement, regulatory, wire, or other pass-through fees in addition to the broker’s stated commission or spread?
- When will each charge appear: at purchase or sale, when a distribution is paid, during a corporate action, or on another schedule?
- Which order sessions and order types are available for this receipt?
The SEC specifically advises ADR investors to ask their broker what fees are charged. A quote screen’s commission field does not necessarily include a depositary fee. Ask for the answer in writing through the broker’s secure message system when possible, and retain the response with the program documents so you can reconcile the eventual statement.
Understand how the fee is collected
A fee may not arrive as a separate invoice when you buy the receipt. A common method is to deduct the charge from a dividend or other distribution before the remaining amount reaches your account. If a program does not pay periodic dividends, an intermediary may be billed and pass the charge to customers through the account. Check account statements, distribution notices, and corporate-action entries for the actual deduction.
Do not assume that a charge deducted from a distribution is a broker commission, or that a commission shown on an order confirmation covers later depositary activity. Match each line item to the event that caused it and to the fee language in the deposit agreement. If an amount does not match, ask both the broker and the depositary’s investor-services contact which party imposed it.

That is an example from a 2012 investor bulletin, not a current typical range or a quote for any receipt. Current terms must come from the program’s latest filing, depositary information, and your broker. The same bulletin mentioned more than 2,000 ADRs representing companies in more than 70 countries at that time; that is historical context, not a current market count.
How to judge whether an ADR is liquid enough for your order
Liquidity is specific to the security, order size, and time of day. The SEC describes a liquid market as one with buyers and sellers willing to trade and meaningful price competition. Less interest can increase the cost and uncertainty of executing an order.
Check the live bid, ask, and spread
At the time you expect to trade, record the displayed bid (the highest current buying price) and ask (the lowest current selling price). The difference is the bid–ask spread. A narrower spread generally means less visible price friction for a small marketable order; a wider spread signals that crossing from one side to the other may cost more. Compare the spread with the order size you actually intend to place, not with an abstract “average” spread.

Look at more than the last-traded price. A last price may be from an earlier transaction, while the current bid and ask show where participants are presently indicating interest. If the quote is stale, unusually wide, or changes sharply when a small trade appears, treat that as a warning to investigate rather than as evidence of a stable market.

Check displayed size and recent activity
Where the data feed provides it, inspect the number of shares displayed at the bid and ask. Compare that displayed depth with your intended order. Also review recent volume over the relevant intervals, such as the current session and recent trading days. Volume indicates activity, but a daily volume number alone does not guarantee that an order of your size can fill near the displayed quote; trades may be concentrated at certain times or occur at prices far from the current screen.
Repeat the observation at the time you would actually submit the order. A receipt can look active during overlapping U.S. and foreign-market hours and much quieter when the underlying market is closed. Record the spread and displayed size before sending the order, not only after an execution problem appears.
Check whether the underlying market is open
U.S. trading can continue while the foreign market is closed, and the reverse can also occur. When the home market is shut, fewer arbitrage and hedging trades may connect the receipt with its underlying shares. That can make the U.S. quote less representative of the underlying market and can widen spreads or increase price sensitivity. Note the home-market opening hours, local holidays, and daylight-saving changes when assessing a particular session.
Use limit orders when price certainty matters
A market order accepts the best available prices in the session and can be costly in a thin market. A limit order specifies the highest price you will pay or the lowest price you will accept. It may not execute, but that non-execution is visible rather than an unexpected fill far from the last displayed quote. Confirm with your broker how unfilled limits behave across sessions and whether an order expires at the end of the day or remains active.
How to verify trading hours and order handling
Use 9:30 a.m.–4:00 p.m. Eastern Time as the U.S. baseline
The SEC’s June 6, 2022 extended-hours bulletin states that regular trading hours for stocks traded on exchanges and certain other markets are 9:30 a.m. to 4:00 p.m. Eastern Time. This is a reference schedule, not a guarantee that every receipt is accessible throughout those hours.
Confirm the specific venue’s calendar
Check the listing venue’s official calendar for the date you plan to trade. Confirm regular sessions, early closes, full-day holidays, and any special suspension. An OTC receipt may follow a different quotation and execution arrangement from an exchange-listed receipt. A holiday in the United States can also coincide with an open or closed home market, so check both calendars rather than assuming they match.

Confirm the broker’s session and order rules
Extended-hours sessions differ among venues and brokerages. Ask or look up the instrument-specific schedule, then verify:
- Whether the broker accepts orders before the regular session, after it, or both.
- Which order types are accepted in each session; some brokers restrict extended-hours orders to limits.
- Whether the quote feed is real-time and which venue or market center supplies it.
- How the broker routes the order and whether the order can interact with all available liquidity.
- Whether an order entered in one session carries into the next session or is canceled.
Thin after-hours activity can produce wider spreads, less displayed depth, and fills that are less certain than during regular hours. Treat a last-traded price outside regular hours as a data point, not as proof that the same price is available for your order. Also account for daylight-saving changes: the relationship between Eastern Time and the home-market clock can shift during the year even when neither exchange changes its own local schedule.

Use the same checklist for each candidate. The following table keeps the comparison focused on facts that affect an actual trade.
| Comparison | What to record | Why it matters |
|---|---|---|
| All-in charges | Depositary fee, broker fee, currency-conversion cost, and when each is collected | A low commission can be offset by a distribution deduction or pass-through charge. |
| Receipt ratio and currency | Underlying shares per receipt (or fraction), home-market price currency, and U.S. quote currency | The ratio and exchange rate determine how the prices relate. |
| Liquidity | Bid, ask, spread, displayed size, and recent activity at your intended order time | These show the likely price and execution conditions for your order, rather than a generic volume ranking. |
| Venue and sessions | Exchange or OTC venue, regular hours, extended-hours availability, and accepted order types | Access and execution quality depend on the venue and broker’s rules. |
| Home-market conditions | Foreign market hours, holidays, early closes, and whether it is open during your U.S. session | A closed underlying market can reduce price linkage and visible liquidity. |
When two receipts represent the same issuer, also verify that they actually represent the same class of foreign share. A different share class, ratio, or depositary can change voting rights, distributions, fees, and the way prices track one another. Compare documents for each program instead of treating one receipt as a substitute for another.
A repeatable pre-trade workflow
- Write down the identity: ticker, full name, venue, depositary, sponsored or unsponsored status, foreign listing, and receipt ratio.
- Open the current Form F-6 and deposit agreement: find the fee section and note each amount, formula, triggering event, and collection method.
- Contact or check your broker: obtain account-specific depositary, currency, transaction, settlement, and pass-through charges, plus session and order-type rules.
- Observe the market at the intended time: capture bid, ask, spread, displayed size, and recent activity; repeat during regular hours if you are considering an extended session.
- Check both calendars: verify the U.S. venue’s date, early close or holiday status and the foreign market’s opening status.
- Select order handling: decide whether a limit order is appropriate, set its price and duration, and confirm where and when the broker will route it.
- After execution or distribution: reconcile the confirmation and account statement with the quoted price, ratio, currency conversion, and any depositary deduction.
Save the filing link, broker response, quote time, and calendar pages with your trade notes. That record helps explain a later fee or price difference and makes the same check repeatable for another order. Recheck the information whenever the receipt, broker, venue, or trading date changes.

- Comparing prices without the ratio: Recalculate the relationship using the number of underlying shares represented by one receipt.
- Assuming “zero commission” means zero cost: Ask separately about depositary, currency, settlement, and corporate-action charges.
- Using a historical fee example as a current quote: Treat the SEC’s $20–$50 illustration for 1,000 ADRs as 2012 context only and obtain current terms.
- Equating daily volume with guaranteed liquidity: Check spread and displayed depth at your order size and time.
- Assuming U.S. regular hours guarantee access: Confirm that the particular venue lists the receipt and that your broker accepts orders for it.
- Ignoring the home-market calendar: Note when the foreign shares cannot trade and reduce confidence in a U.S. quote formed while that market is closed.
- Placing a market order in a thin session: Use a limit order when controlling the execution price is more important than immediate completion.
- Relying on a stale quote: Check the quote timestamp and current bid and ask, especially outside regular hours.
- Assuming every program has the same depositary: Confirm the bank and filing for the exact receipt, including when two programs reference the same issuer.
What can and cannot be known before placing the order
You can establish the contractual fee rules, receipt ratio, venue schedule, broker permissions, and the market conditions visible at the moment you check them. You cannot guarantee a fill at the displayed quote, a particular spread, or the future amount of a currency-conversion cost. Fees, quotes, liquidity, venue calendars, and broker access are time-sensitive; recheck them for the specific security and trading date.

Frequently Asked Questions
Where do I find an ADR’s contractual fees?
Search SEC EDGAR for the program’s Form F-6 and open the related deposit agreement. Look for “Description of American Depositary Shares” or “Description of American Depositary Receipts,” then record the amount or formula, triggering event, currency, and collection method.
Will I see a depositary fee when I buy the receipt?
Not necessarily. The charge may be deducted from a dividend or other distribution, or an intermediary may be billed and pass it through when the program does not pay periodic dividends. Review statements, distribution notices, and corporate-action entries.
What should I ask my broker before trading an ADR?
Ask about depositary service or custody fees, dividend and corporate-action charges, currency-conversion handling, transaction or settlement pass-through costs, available sessions, accepted order types, and when each charge is posted. Broker fees and depositary fees are separate.
How can I tell whether an ADR is liquid enough for my order?
Check the live bid, ask, spread, displayed size, and recent activity at the time and size you intend to trade. Daily volume alone does not guarantee a fill near the displayed quote. Compare conditions when the home market is open and closed.
What are regular U.S. trading hours for an ADR?
The SEC’s June 6, 2022 bulletin gives 9:30 a.m. to 4:00 p.m. Eastern Time as regular hours for stocks traded on exchanges and certain other markets. Confirm the particular venue’s calendar and your broker’s access; extended sessions vary.
Why does the foreign market’s opening status matter?
When the underlying market is closed, fewer trades may connect the receipt with the foreign shares. Spreads can widen and the U.S. quote may be less representative of a contemporaneous home-market price. Check local holidays and daylight-saving differences.
Recommended Free Tools
Should I use a market or limit order for a thinly traded receipt?
A market order accepts the best available prices and can be expensive when the spread is wide or displayed depth is small. A limit order sets the highest buy or lowest sell price, although it may not execute. Verify how your broker handles unfilled limits across sessions.
Does the ADR-to-share ratio affect fees as well as price?
The ratio directly affects how the receipt price relates to the home-market share price. Fees are governed by the specific program’s deposit agreement and broker practices, so do not infer a fee from the ratio or from another receipt for the same issuer.
The Bottom Line
For a U.S. depositary receipt, verify the exact program and share ratio, read its current Form F-6 and deposit agreement, and obtain broker-specific pass-through charges. Then check the live spread, displayed depth, recent activity, home-market status, and the venue’s regular and extended sessions. This combination gives you a realistic view of both the cost and the execution risk before you submit an order.
