Draft the NDA as a legal agreement first, then use WordPress only to present the reviewed information. An NDA should identify the confidential information, restrict its use to a defined purpose, state who may receive it, set an appropriate confidentiality period, and address governing law and dispute forums. After a solicitor or attorney familiar with the relevant jurisdiction has reviewed those choices, you can publish an explanatory NDA page from Pages > Add New in WordPress. A public, private, or password-protected page controls website visibility; it does not by itself create a signed contract between the parties.

What an NDA is and when it is useful

The UK Intellectual Property Office (UK IPO) defines the basic point plainly: “An NDA (Non-disclosure agreement) is a legal contract.” Its GOV.UK guidance, published 12 March 2015, describes an agreement that sets the terms for sharing information in confidence. That legal function is separate from the website used to explain or distribute a draft.

An NDA can be useful before you discuss a product, process, business plan, customer information, or another non-public idea with a potential partner. The UK IPO gives examples including conversations with investors, manufacturers, and stockists. It also identifies situations involving professional advisers such as accountants, banks, financial advisers, insurance brokers, business coaches, and marketing agencies. The fact that a conversation is commercially sensitive does not mean every detail is automatically protected; the agreement must define the protection the parties intend.

For a real disclosure, treat the WordPress page as explanatory material or a controlled link to documents, not as the execution mechanism. The people who will disclose and receive information should agree on the wording, sign it in the required form, and keep the executed copy. A qualified solicitor or attorney who knows the transaction and applicable law can tell you whether the proposed terms are suitable.

How to create a non disclosure agreement: make the drafting decisions first

Before opening the WordPress editor, write down the decisions the agreement must express. The following sequence keeps the legal work distinct from page formatting.

1. Define the information that is covered

Decide whether the definition includes only information recorded and marked as confidential, or also information disclosed orally in meetings, demonstrations, or presentations. The UK IPO presents these as choices rather than a universal formula. If oral disclosures are included, the agreement should explain how the parties identify or confirm them so that the recipient can tell what is protected.

Describe the information in a way that matches the planned discussion. A broad phrase such as “all information” may create uncertainty, while a list that is too narrow can leave out the material you actually need to protect. Consider the categories that will be exchanged, who will provide them, and the format in which they will appear. The UK IPO specifically discusses information such as know-how, customer lists, and personal information connected with a project when explaining why some material may require long-term confidentiality.

Do not turn this planning exercise into a promise that every item will be legally protected in every country. Local law can impose limits, exceptions, or formal requirements that are not resolved by a general online explanation.

2. State the permitted purpose precisely

An NDA should say why the recipient may use the information—for example, to evaluate an idea or to discuss a possible joint venture. The purpose is a boundary: use that is necessary for the stated evaluation may be allowed, while unrelated commercial use is not. The UK IPO cautions that a purpose can later be widened, whereas narrowing a broad restriction may not be possible. Draft the purpose around the actual transaction and have counsel check the wording before anything is disclosed.

3. Identify the parties and choose one-way or mutual

List the legal names and addresses of the people or organizations that will be bound. Then ask who will disclose information.

Structure Use it when Drafting question
One-way NDA One party is expected to provide the confidential material and the other primarily receives it. Can the recipient’s permitted employees and advisers access the material while remaining bound by confidentiality?
Mutual NDA Both parties will exchange information that each wants protected. Are the obligations balanced for each direction of disclosure, and do the definitions work for both parties?

Do not make a one-way arrangement mutual merely because a template offers that option. The structure should reflect the actual flow of information. In the UK IPO’s context, a one-way NDA may need to be executed as a deed to be enforceable. That is a jurisdiction-specific point, not a rule you should apply to every country or transaction; ask local counsel what form and signing formalities are required.

4. Decide who may receive the information

Many negotiations require a recipient to involve employees or professional advisers. Decide whether those people may see the material, limit access to those who need it for the permitted purpose, and require the recipient to keep their disclosures confidential. Your agreement should make clear which party is responsible if an allowed recipient mishandles the information. The exact wording and enforceability of these obligations depend on the governing law.

5. Select a duration that fits the information

Choose a period for the confidentiality obligations rather than inserting a number without considering the deal. The UK IPO gives three or five years as common examples in its guidance; those are drafting examples, not a measured statistic or a universal legal requirement. A short evaluation may need a different period from a product launch or a long-running collaboration. Information intended to remain secret—such as certain know-how, customer lists, or project personal information—may call for indefinite confidentiality, subject to local law and the agreement’s terms.

6. Address governing law and the forum for disputes

If the parties are in different countries, specify which law governs the agreement and which courts may hear a dispute, after getting advice on the consequences. Legal systems can differ even within one country. The UK IPO notes the difference between England and Wales and Scotland, so a clause that looks familiar may not operate as expected in another UK jurisdiction or elsewhere. Do not guess at boilerplate language simply to complete a form.

7. Sign before making the disclosure

The UK IPO’s practical recommendation is not to disclose the ideas or information until the recipient has signed and returned the NDA. Set an internal checkpoint so that presentations, data-room access, samples, and follow-up emails wait until the executed agreement is held by the appropriate party. If the transaction changes, ask counsel whether the agreement should be amended or replaced.

A practical NDA content checklist

A reviewed agreement will normally need to connect its terms to the decisions above. Use this checklist to organize a draft for professional review, not as a ready-to-sign universal form:

  • Parties: the correct legal names, addresses, and roles of disclosing and receiving parties.
  • Confidential information: the categories covered and whether marked records, oral statements, presentations, or demonstrations are included.
  • Permitted purpose: the specific evaluation, negotiation, or project for which use is allowed.
  • Use restrictions: a clear limit on use outside that purpose.
  • Permitted recipients: employees and professional advisers who need access, with confidentiality obligations attached.
  • Duration: the chosen period and any treatment of information that is intended to remain secret longer.
  • Governing law and forum: the law and courts selected for the transaction, checked for the parties’ locations.
  • Execution: signature blocks and any deed, witness, delivery, or other formalities required by the applicable law.

Reference material can help you understand clause patterns. The ICAEW guide to non-disclosure and confidentiality agreements points readers to example standard NDA documents and books that compile contract clauses. Those resources do not remove the need to adapt the wording and obtain advice for the particular deal.

How do I create an NDA in WordPress?

WordPress is the publishing layer. Use it to explain the agreement, provide a contact route, or make a reviewed document available to an intended audience. The legal choices belong in the agreement and the parties’ execution process.

Prepare the page content outside the editor

Write and review the text before publishing. A useful page can explain what an NDA does, identify the information and purpose decisions, describe whether the arrangement is one-way or mutual, and tell readers when to obtain legal advice. If you provide a downloadable or viewable document, label it clearly as a draft, explanatory example, or executed agreement for a named transaction as appropriate. Avoid presenting a generic page as a form that is automatically enforceable everywhere.

Keep the public explanation free of real secrets. Replace customer names, credentials, unreleased specifications, personal information, and other sensitive material with neutral descriptions. The page should teach the process without becoming a new disclosure.

Create the Page from the WordPress dashboard

WordPress documents Pages as content that sits outside the normal chronological post stream, which makes a Page suitable for persistent information such as an NDA explanation. The standard workflow is documented in Create pages.

  1. Log in to the dashboard. Use an administrator or editor account that has permission to create Pages.
  2. Open Pages > Add New. This opens the block editor for a new Page.
  3. Enter a descriptive title. For example, use “Non-Disclosure Agreement Guide” or a title that accurately describes whether the page is an explanation, a request form, or a document for a particular audience. Do not imply that viewing the page constitutes acceptance.
  4. Add the body content. Insert paragraph blocks for explanations, heading blocks for sections, and list blocks for decision checklists. The WordPress Block Editor documentation explains that content is assembled from blocks and that the editor’s publishing control makes the Page available according to its visibility setting.
  5. Set the link and organization details. Review the generated slug, parent Page or menu placement if your site uses them, and any featured image or excerpt settings your theme displays. Keep the URL understandable and avoid putting confidential terms in the slug.
  6. Adjust the Page settings. Use the sidebar to check discussion, template, author, and other theme-supported options. The exact controls can vary by WordPress version and theme, so confirm how your site renders them in a preview.
  7. Choose visibility and publish. Check the visibility control, preview the result, and click Publish when the wording and audience are correct.

WordPress visibility options and what they do not do

WordPress documents three core visibility choices for Pages in the block editor. The choice controls who can view the website content; it is not a substitute for signing an NDA.

Visibility Website behavior Appropriate use for an NDA-related page
Public The Page is available to normal site visitors and may appear in navigation or search, depending on site settings. A general educational guide or instructions for requesting a review.
Private The Page is restricted to authorized logged-in users according to WordPress permissions. Internal drafting notes or staff procedures that should not be publicly displayed.
Password protected Visitors must enter the Page password to view its content. A limited-audience explanation when a simple viewing barrier is sufficient for the site’s purpose.

These controls manage access to a web page, not the legal relationship between counterparties. A visitor does not become a contracting party by reading a public page, entering a password, or clicking a navigation link. Use a proper signature and delivery process for the NDA itself, and do not place the confidential information you are trying to protect on a page merely because its visibility is restricted.

How to publish an NDA page safely and clearly

Separate the explanation from transaction documents

For a public guide, explain the drafting decisions without embedding a live negotiation’s secrets. If a particular deal requires a document exchange, use a process approved by the parties and their advisers for delivering and retaining the executed agreement. WordPress can host an informational page, but the page should not be described as proof that the recipient signed anything.

Use headings that answer the reader’s questions

Organize the Page with headings such as “What information is covered?”, “Is this NDA one-way or mutual?”, “Who may receive the information?”, and “Which law applies?”. This lets a reader scan the issues without mistaking a checklist for legal advice. Keep examples visibly hypothetical and identify the jurisdictional limits of the guidance.

Check links and rendered formatting

Open each external reference in a new browser tab during review and verify that the link points to the intended official guidance. Confirm that headings are hierarchical, lists display correctly, tables remain readable on a phone, and any document link has the correct access setting. A broken link or hidden heading can prevent readers from finding a crucial qualification.

Do not confuse an NDA with the WordPress privacy-policy helper

WordPress includes a privacy-policy helper under the site’s privacy settings. Its purpose is to assist administrators in creating a page about how the website handles personal data; it is not an NDA generator and does not set confidentiality terms for a business negotiation. The WordPress Privacy documentation says administrators remain responsible for a comprehensive, current policy that reflects applicable requirements. Keep that site privacy page separate from an NDA guide or transaction agreement.

Pre-publication review checklist

Run this check after legal review and before making the Page available:

  • The title accurately says whether the content is a guide, a draft, or a document for a defined transaction.
  • The text distinguishes website visibility from contract formation.
  • The covered information and permitted purpose are specific enough for the intended discussion.
  • The one-way or mutual structure matches who will actually disclose information.
  • Employee and professional-adviser access is addressed where needed.
  • The duration is justified by the information, and any indefinite treatment has been checked under applicable law.
  • Governing law and dispute forum have been selected with advice when parties or information cross borders.
  • No disclosure will occur before the required signatures and delivery are complete.
  • No confidential or personal information appears in the public copy, page URL, excerpt, metadata, or media files.
  • The Page’s visibility, slug, menus, headings, tables, and links have been tested on the published site.

Common mistakes and how to correct them

Publishing a template and calling it enforceable everywhere

Why it fails: The UK IPO material is guidance in a UK context, and formal requirements vary by jurisdiction and transaction.

Correction: Describe the page as educational or transaction-specific, identify the relevant jurisdiction, and obtain advice from a qualified solicitor or attorney before use.

Using a mutual NDA when only one side discloses

Why it fails: The obligations may not reflect the information flow, creating unnecessary complexity or an inaccurate allocation of duties.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Correction: Map the expected disclosures first, then choose one-way or mutual language that matches them.

Leaving oral disclosures out accidentally

Why it fails: A document-only definition may not cover what was said in a meeting or shown in a presentation.

Correction: Decide expressly whether oral and presentation disclosures are covered and how they will be identified or confirmed.

Making the purpose too broad

Why it fails: A broad permitted purpose can be difficult to narrow later, as the UK IPO warns.

Correction: Name the actual evaluation, negotiation, or project and have counsel review the boundary before disclosure.

Assuming a password is a signature

Why it fails: A WordPress password controls page viewing only.

Correction: Keep the signed agreement and its delivery record in the parties’ execution process; use WordPress visibility only for the website audience.

Disclosing first and signing later

Why it fails: It defeats the UK IPO’s practical recommendation to wait for the signed and returned NDA.

Correction: Add a no-disclosure checkpoint before presentations, samples, file access, or detailed follow-up discussions.

Bottom line

Create the NDA by making the legal decisions—scope, purpose, parties, structure, permitted recipients, duration, governing law, forum, and signing formalities—with qualified local advice. Then create a WordPress Page through Pages > Add New, format the reviewed explanation with blocks, check the visibility and links, and publish it for the intended web audience. WordPress can communicate the agreement; only the parties’ properly executed contract establishes the obligations.
